Chart sieht gut aus und ist auch durch gute
Geshäftszahlen gestützt.
Die Geschäftszahlen haben sich seit einiger Zeit positiv entwickelt...der Kurs war bislang eher zögerlich. Vielleicht schaffen die ja jetzt den turn around.

irgendwann wird sich zwangsläufig auch mal der eine oder andere Börsenbrief auf framfab stürzen und dann knallts. Ich tippe auf die Windhunde Frick oder Prior!
Bin gespannt, wann die 0,10 € Marke geknackt wird...
Habe gehört, daß LB Icon seine Beteiligung auf über 15 % aufgestockt hat.
Da Framfab bereits seit 6 Quartalen profitabel und sehr niedrig bewertet ist, könnte sich hier eine Übernahme anbahnen.
Mal schauen was passiert.

Habe heute wieder mal etwas Zeit zum Surfen. Dabei bin ich auf Framfab aufmerksam geworden, weil ich einen Fonds habe der zu 0,2 % des Fondsvolumens in diese Aktie investiert ist.
Auf der Homepage http://www.framfab.com kann der Quartalsbericht für das 3. Quartal, der mit 21.10.2005 datiert ist, abgerufen werden.
Mal schauen, ob mein kleiner Auftrag in Frankfurt in nächster Zeit zur Durchführung kommt (gültig bis Ende Nov.).

Framfab Continues to Improve
# Net revenue for January-September was SEK 335.6 million (244.9), an increase of 37% over the same period last year. Net revenue for the third quarter was SEK 129.9 million (75.0), 73% higher than the corresponding period in 2004. At SEK 1,127 thousand (933), net revenue per employee on an annual basis for January-September was up by 21% on the first nine months of 2004.
# Profit after tax for the first nine months increased by 111% to SEK 18.8 million (8.9). Profit after tax for the third quarter was SEK 5.8 million (3.1), an increase of 87% over 2004. January-September operating profit rose by 141% from 2004 to SEK 20.0 million (8.3), while the third quarter operating profit increased by 154% from 2004 to SEK 6.1 million (2.4). January-September operating margins were 6%, as opposed to 3.4% for the first nine months of 2004.
# Earnings per share came to SEK 0.02 (0.01) for January-September and SEK 0.00 (0.00) for the third quarter.
# Framfab has posted an operating profit for the seventh quarter in succession and Framfab Netherlands turned profitable.
# LB Icon AB, which controls approximately 15% of Framfab`s share capital and votes, has requested that the company convenes an Extraordinary General Meeting of shareholders to elect new Board members. The EGM will be held on 28th November 2005.
# Cash flow from operating activities was SEK -13.7 million (-36.2) for the first nine months and SEK -22.3 million (-16.8) for the third quarter. Including SEK 135.3 million in payments for Oyster, the January-September cash flow was SEK -130.1 million (103.5). For the third quarter cash flow was SEK -14.8 million (-21.1), of which SEK 13.6 million was payment for Oyster. Liquid funds were SEK 30.6 million as of 30 September.

In den letzten Monaten hat die Führungsspitze von ICON in Gesprächen mit Vertretern von FRAM, die Bereitschaft zu einem Zusammenschluss ausgelotet. Grundsätzlich ist FRAM dieser Idee gegenüber offen, bezüglich der Beteiligungsverhältnisse an der neuen Gesellschaft bestanden aber Meinungsverschiedenheiten, weshalb die Gespräche ergebnislos abgebrochen wurden. In der Folge hat ICON ihre Beteiligung um ca. 5 % auf 15.1 % ausgebaut.
Weiter hat ICON die Einberufung einer a.o. Aktionärsversammlung verlangt, um zwei, evtl. drei der Aufsichtsräte, welche der Avance von ICON kritisch gegenüber standen, durch ICON wohl gesonnene Personen zu ersetzen.
Man will also durch einen Austausch im Aufsichtsrat den Boden für einen “Heiratsantrag“ vorbereiten.
Ich habe gehört, daß sich, um zu vermeiden, dass ein ICON ergebener Aufsichtsrat einem Zusammenschluss zu Konditionen zustimmt, welche die Interessen der freien Aktionäre zu wenig berücksichtigt, Widerstand formiert.
Scheinbar kauft ICON parallel weitere Aktien auf. Das wäre neben den guten Ergebnissen ein weiterer Grund für den stetigen Kursanstieg.
Warten wir ab was bis zur a.o. Aktionärsversammlung am 28.11.2005 in Stockholm noch so passiert.

Sara Lee International has signed a Master Agreement with Framfab as its e-Marketing agency for their European Businesses
The master agreement covers the full range of Framfab’s services from online advertising campaign creation and designs thru to building individual brand experiences online, and encompasses Sara Lee International’s major brands, Douwe Egberts, Pickwick, Senseo, Kiwi, Ambi Pur and Sanex. Regarding online media buying Framfab will work closely together with the media communications specialist OMD who has been appointed as Sara Lee International’s off- and online Media Buying Agency in Europe.
Sara Lee International has been reviewing its online activities over the past years and has decided that its needs can be best met by working with Framfab as their international partner. Their business objectives have led them to more centrally co-ordinate and align online activities for the major brands.
The newly signed Master Agreement will intensify the cooperation between both parties and will achieve mutual business benefits including online advertising, international campaign execution, higher efficiencies and speed to market as well as overall cost benefits.
“We are of course extremely excited about the new possibilities that arise for both Framfab and Sara Lee as a result of the new agreement. As a full service provider it allows us to implement strategic insight, digital marketing and transactional solutions across Sara Lee International’s multiple brands and international markets”, says Steve Callaghan, CEO of Framfab.

Framfab continues to improve
- prepared in accordance with IFRS
# Net revenue for the year was SEK 474.0 million (325.8), an increase of
45% year on year. Net revenue for the fourth quarter was SEK 138.4 million
(80.9), an increase of 71% year on year. Net revenue per employee rose to
SEK 1,176 thousand (943), up 25% compared to last year.
# Earnings after tax for the year totaled SEK 35.7 million (25.1), an
improvement of 42% year on year. Earnings after tax for the fourth quarter
came to SEK 16.9 million (16.2), an increase of 4%.
# Earnings per share amounted to SEK 0.03 (0.03) for the full-year, an
improvement of 18% year on year. Earnings per share for the fourth quarter
came to SEK 0.01 (0.01) for the fourth quarter, equal to the fourth quarter
2004. Earnings per share for the fourth quarter recalculated on an annual
basis are equivalent to SEK 0.06.
# Operating profit for the year was SEK 38.4 million (13.6) an 182%
increase year on year and fourth quarter operating profit increased by 247%
to SEK 18.4 million (5.3). Operating margins for 2005 were 8.1%, nearly
double that for 2004 (4.2%).
# Cash flow from operating activities was SEK 30.3 million (-36.5) for the
year and SEK 44.0 million (-0.3) in the fourth quarter. Including SEK 135.3
million in payments related to the Oyster acquisition, 2005 cash flow
totaled SEK -98.8 million (104.6). Liquid funds were SEK 61.7 million
(159.5) as at 31 December.
# During the fourth quarter an extraordinary general meeting reappointed
Katarina G. Bonde, Steve Callaghan, Robert Gogel, Kaj Green and Sven
Skarendahl as board members. Lucas Mees and Arne Myhre were appointed as
new members of the board. Sven Skarendahl was re-elected chairman.

Framfab continues to improve
- prepared in accordance with IFRS
# Net revenue for the year was SEK 474.0 million (325.8), an increase of
45% year on year. Net revenue for the fourth quarter was SEK 138.4 million
(80.9), an increase of 71% year on year. Net revenue per employee rose to
SEK 1,176 thousand (943), up 25% compared to last year.
# Earnings after tax for the year totaled SEK 35.7 million (25.1), an
improvement of 42% year on year. Earnings after tax for the fourth quarter
came to SEK 16.9 million (16.2), an increase of 4%.
# Earnings per share amounted to SEK 0.03 (0.03) for the full-year, an
improvement of 18% year on year. Earnings per share for the fourth quarter
came to SEK 0.01 (0.01) for the fourth quarter, equal to the fourth quarter
2004. Earnings per share for the fourth quarter recalculated on an annual
basis are equivalent to SEK 0.06.
# Operating profit for the year was SEK 38.4 million (13.6) an 182%
increase year on year and fourth quarter operating profit increased by 247%
to SEK 18.4 million (5.3). Operating margins for 2005 were 8.1%, nearly
double that for 2004 (4.2%).
# Cash flow from operating activities was SEK 30.3 million (-36.5) for the
year and SEK 44.0 million (-0.3) in the fourth quarter. Including SEK 135.3
million in payments related to the Oyster acquisition, 2005 cash flow
totaled SEK -98.8 million (104.6). Liquid funds were SEK 61.7 million
(159.5) as at 31 December.
# During the fourth quarter an extraordinary general meeting reappointed
Katarina G. Bonde, Steve Callaghan, Robert Gogel, Kaj Green and Sven
Skarendahl as board members. Lucas Mees and Arne Myhre were appointed as
new members of the board. Sven Skarendahl was re-elected chairman.

The Boards of Directors of LB Icon AB ("LB Icon") and Framfab AB ("Framfab") propose that the companies merge. The new company will be the leading European digital design, marketing and communications, branding and technology firm. The two companies have virtually no customer overlap and the combined group will be in a strong position to respond to the clients increasing demand for digital services. The Boards have unanimously agreed the form of merger in
a joint merger plan. The merger will be implemented by Framfab absorbing LB Icon. Each LB Icon share will be exchanged for 50 new shares in Framfab.
LB Icon`s and Framfab`s Boards believe that a merger is
beneficial for each company and its shareholders. They further believe the exchange ratio is fair and each Board therefore unanimously recommends the merger to the shareholders of each company and urge them to approve the merger plan at Framfab`s Extraordinary General Meeting and LB Icon`s Annual General Meeting respectively, both expected to be held mid May, 2006.
The Boards` recommendations are supported by fairness opinions by SEB Enskilda and Handelsbanken Capital Markets.
The Board of the combined group is proposed to be composed of Mrs. Katarina Bonde, Mr. Michiel Mol, Mr. Fred Mulder, Mr. Robert Pickering and Mr. Sven Skarendahl. Mr. Sven Skarendahl is proposed as Chairman of the new Board.
The executive management of the combined group will be composed of Mr. Robert Pickering - CEO, Mr. Jan Norman - CFO, Mr. Theo Cordesius - EVP and Mr. Jesper Andersen - EVP. Steve Callaghan will continue to serve as CEO of Framfab until the merger is completed. Additionally he will work with country managing directors to both plan the integration in geographies where both entities are represented and he will facilitate the collaboration of UK/US businesses.

Framfabs extraordinary general meeting and the subsequent statutory
board meeting of May 30, 2006 made the following decisions:
• The merger plan was approved meaning that Framfab will absorb LB Icon. The merger consideration
shall consist of one (1) newly issued share in Framfab (after a 50:1 reverse split of the shares in
Framfab) for each share in LB Icon.
• Approval of a reverse split of the company’s shares whereby each 50 shares are consolidated into 1
share. The record date at the Swedish Securities Register Center (Sw: VPC) for effecting the reverse
split is proposed to be Wednesday 28 June 2006.
• Approval of a scheme allowing shareholders to on one occasion only, either buy or sell shares free of
commission up to such number of shares necessary to obtain a valid shareholding of even round
trading lots, i.e. 10,000 shares (before the reverse split) or, should the shareholding comprise less
than 10,000 shares, sell the entire shareholding commission free.
• Approval on an issue of not more than 37,081,213 new shares (after the reverse split) as merger
consideration. Through the new issue of shares, Framfab’s share capital will be increased with not
more than SEK 92,703,032.50. The right to receive the newly issued shares shall, as set out in the
merger plan, lie with the holders of shares in LB Icon. The execution of the share issue is conditional
upon the registration of the merger with the Swedish Companies Registration Office (Sw:
Bolagsverket).
• Authorisation to issue employee stock options entitling to the purchase of not more than 1,735,317
shares in Framfab (after the reverse split). The issue is due to replace outstanding stock options
under LB Icon’s global stock options plan with corresponding stock options in Framfab. The employee
options will thus be allotted to the holders of stock options under LB Icon’s global stock option plan.
In order to ensure the fulfilment of the commitment in accordance with the abovementioned stock
options and to cover administration and tax costs connected to the stock options, authorisation was
also given to issue warrants for subscription of 1,896,124 new shares in Framfab (after the reverse
split). The warrants shall be subscribed for, held and used for the abovementioned purpose by a third
party and shall be issued without consideration. If fully exercised, the above warrants may dilute the
total share capital and votes in Framfab following the merger with LB Icon by approximately 3 %. The
issues are conditional upon the registration of the merger between Framfab and LB Icon with the
Swedish Companies Registration Office (Sw: Bolagsverket).
• Changing of paragraph 4, 5 and 10 in the Article of association to the wordings:
§ 4 The limits of the share capital shall be at least SEK 60,000,000 and SEK 240,000,000 at the
most.
§ 5 The number of shares shall be at least 24,000,000 and at the most 96,000,000.
§ 10 Reconciliation record – The shares of the Company shall be registered in a reconciliation
record (Sw: avstämningsregister) in accordance with Act (1998:1479) regarding Account
Management of Securities (Sw: lagen (1998:1479) om kontoföring av finansiella instrument).

Zudem wird durch den Reverse-Split die Problematik des Pennystockdaseins ad acta gelegt und die Firma, als "Big-Player" mit guter Leistung für große Kunden auf dem europäischen Markt, vermehrt für einen erweiterten Investorenkreis interessant werden: "Dual"-Listing Euronext Amsterdam + OMX Stockholm, und ein paar Aktien werden auch in Deutschland gehandelt. Übrigens bin ich auf die Aktie gestossen, weil der Wert bereits in einem Fonds enthalten ist, den ich anspare. Kurzfristig ist das Risiko der Kursentwicklung nach dem Split und der Verschmelzung mit LB Icon zu sehen, längerfristig (bis Ende 2007/2008) glaube ich an gewachsenes Vermögen in meinem Depot durch FRAMFAB/LB Icon.

Als Begründung wird die Verschmelzung mit LB Icon und die damit verbundene fortgesetzte Integration angeführt. Vielleicht hängt es mit der Umstellung wegen des Reverse-Splits zusammen, die heute zumeist während des Tages bei den verschiedenen Kursanbietern (onvista, comdirect usw.) durchgeführt wurde.

Gestern war in SWE letzter Handelstag von LB Icon. Ich habe mir während des Tages den Spread angeschaut, der weit auseinandergegangen ist: SEK 36,--/46,-- = SEK 41,-- im Mittel. LB Icon wurde in den Tagen zuvor in Stockholm auch mit sehr wenig Volumen gehandelt. Parallel dazu hat sich die Aktie von FRAMFAB durchwegs im oberen Bereich der Preisspanne (im Vergleich zu LB Icon) bewegt. Man muss sich zwar an die nach dem Split scheinbar gestiegene Volatilität gewöhnen (die Aktienanzahl im bid/ask ist dünner und dadurch häufigere Schwankungen haben nominell gleich größere Auswirkungen als früher im Öre-Bereich, aber im Candlestick-Chart ist kein großer Unterschied der Schwankungsbreite festzustellen). Aus dem Vorgenannten ergibt sich für mich der Schluss, dass kurzfristig die Gefahr weiterer Kursverluste bei FRAM/LBI International im Raum stehen könnte (+/- SEK 36,-- = könnte für Einkäufe interessant sein). Nicht außer Acht lassen muss man aber auch den Umstand, dass die Nachfrage nach einem Papier (LB Icon), das in wenigen Tagen vom Kurszettel genommen wird, weil es in andere Aktien umgetauscht wird, tendenziell geringer sein kann.
Ich behalte meinen Anteil mit einer guten Perspektive für 2007.

Für mich geht der veröffentlichte Bericht soweit in Ordnung. Die Geschäfte entwickeln sich großteils zufriedenstellend. Einsparungspotential für 2007 durch den Merger wird nun doppelt so hoch angesetzt, wie zuvor erwartet. Etwas kann man vermutlich im 2. Halbjahr 2006 schon einsparen (erwarte mir heuer aber unter dem Strich nicht zu viel). Wichtig ist wohl die Entwicklung in GB. An den Zahlen sieht man, dass die Aquisition von Oyster sich niederschlägt. In GB waren sowohl LB Icon als auch FRAMFAB positioniert. Hoffe, dass der Zusammenschluss zügig und ohne größere Probleme umgesetzt wird. Ob die halbe Lösung mit Weiterführung von FRAMFAB und LB Icon in Deutschland optimal ist, weiß ich nicht. Insgesamt zeichnet sich aber wieder ein erfolgreiches Jahresergebnis ab.

Bei schönem Volumen hat LBI in den letzten zwei Tagen wieder etwas Boden gut gemacht. Auf EURONEXT wurden heute über 2 Mio. Aktien gehandelt - 1.832.000 Stk. alleine um 10.05 Uhr! Hintergrund ist die Meldung, dass LBI die Escador GmbH (Deutschland) an Atos Origin Middle East abgegeben hat und dadurch im Gegenzug mit 10 % Eigentumsanteil an Atos Origin Middle East beteiligt ist - eine strategische Partnerschaft wird begründet. Dadurch steckt LBI seine Fühler auf neue wachstumsstarke Märkte aus. Auch Meta Design (ebenfalls ein deutsches Tochterunternehmen von LBI) soll sich in dieser neuen Region durch Anbieten von Marken-Strategien und weiteren Dienstleistungen entwickeln. Die Escador GmbH mit 31 Beschäftigten unterstützt Unternehmen im Kundenbeziehungsmanagement (customer relationship management = CRM). Während diese Dienstleistungen nicht im Focus von LBI stehen, sind sie eine hochwertige Ergänzung für die Angebote von Atos Origin Middle East.

Nächste Woche, am 02.11.2006 kommen die Quartalszahlen. Bin mal gespannt, wie sich der Zusammenschluss der beiden Firmen (LB Icon und FRAMFAB) in den Zahlen niederschlägt. Wirkt sich das Einsparungspotential schon entsprechend aus oder belasten Einmalkosten aus dem Merger die Zwischenbilanz?
