      Mittwoch, 30. November, 2005
      Aktie 690 Indonesische Rupiah = 0.05870 Euro

JAKARTA/SINGAPORE, March 17 (Reuters) - Indonesia`s largest listed miner, Bumi Resources (BUMI.JK: Quote, Profile, Research), is to sell two coal mines to an international investor group in a deal worth $3.2 billion, marking the country`s second-largest takeover.

Bumi, controlled by the family of Indonesian chief welfare minister Aburizal Bakrie, said proceeds would be used to build a coal liquefaction plant and to produce biodiesel from crops.

Red-hot oil prices are fuelling worldwide interest in alternative energy, and the sale comes amid surging international coal prices, due in part to booming demand from Japan and China.

Indonesia is the world`s second biggest coal exporter after Australia.

Bumi said in a statement it had agreed to sell 100 percent of PT Arutmin Indonesia and a 95 percent stake of PT Kaltim Prima Coal (KPC) to a consortium led by PT Borneo Lumbung Energi, an affiliate of Indonesian investment bank Renaissance Capital.

Other members of the consortium included Japanese trading house Marubeni Corp. (8002.T: Quote, Profile, Research) and Leighton Holdings Ltd. (LEI.AX: Quote, Profile, Research), Australia`s top engineering contractor, a source familiar with the matter told Reuters.

Renaissance Capital, the only local partner in the consortium, will take a stake of more than 50 percent, according to the source and another person familiar with the situation.

The source, who asked not to be identified, said the $3.2 billion price tag included unspecified amount of debt, and "it reflects the targetted assets` future cash flow and debt servicing prospects".

The acquisition would be financed by a combination of equity and debt capital, said the source.

Bumi, set up in 1973 as a hotel and tourism firm, has yet to finalise a deal with Marubeni and Leighton, the source added.

A Marubeni spokesman said: "We are considering joining the consortium, but no decision has been made yet." Officials at Leighton were not immediately available for comment.

The purchase would be the second-largest merger and acquisition deal in Indonesia by enterprise value, after the $5.2 billion acquisition of Indonesian tobacco firm PT Hanjaya Mandala Sampoerna Tbk last year by Tobacco giant Philip Morris, a unit of U.S. consumer giant Altria Group Inc. (MO.N: Quote, Profile, Research).

      HEFTY GAIN

The Jakarta Stock Exchange <.JKSE> halted trading on Friday in Bumi shares because of the mines sale plan. Shares in Bumi have soared almost 20 percent in the past three months.

The value of the Bumi deal was slightly higher than analysts estimates of $3 billion. Bumi Resources has a market capitalisation of $1.97 billion, Reuters data shows.

"In the short term it will be good (for Bumi) as they got the good price for those assets," said Arianto Reksoprodjo, head of research at AAA Securities. "We can see some extraordinary gain from the sale."

Prior to the announcement, Macquarie Securities analyst Ahmad Solihin said in a report that Bumi could see a 25-35 percent upside in its share price if it could sell the assets for $3 billion, which would imply an equity value for Bumi of $2.4 billion-$2.7 billion.

Bumi bought 80 percent of Arutmin from Australia`s BHP Billiton (BHP.AX: Quote, Profile, Research) (BLT.L: Quote, Profile, Research) for $148 million in 2001. The Indonesian company in 2003 bought a 100 percent stake of KPC for $500 million from Rio Tinto <RIO.AX.> (RIO.L: Quote, Profile, Research) and BP Plc. (BP.L: Quote, Profile, Research).

Reksoprodjo estimated Bumi was selling KPC at $71-$73 per tonne in enterprise value, including debt, nearly tripling the price of $28 per tonne at which they bought the asset in 2003.

Credit Suisse (CSGN.VX: Quote, Profile, Research) advised the buyer. The bank is top M&A deal adviser in Indonesia from 1995 to date, racking up 35 deals worth $12 billion -- 22 percent of all the deals in the country, according to data from Thomson Financial.

As part of the deal, the consortium will also acquire a Bumi special purpose vehicle, PT IndoCoal Resources Ltd., which issued $600 million in seven-year bonds last year.

PT Arutmin produced 15 million tonnes of coal in 2004. It has an estimated 170 million tonnes of low-sulphur thermal coals and over 250 million tonnes of other kinds of coal, according to Bumi`s 2004 financial report.

KPC produced 21.4 million tonnes of coal in 2004, nearly all of which were exported. It has proven and probable reserves of 619 million tonnes, the report says.

Was sagt Ihr dazu?

Bumi to sell KPC, Arutmin for US$3 billion
      Business and Investment - March 17, 2006

      The Jakarta Post, Jakarta

The country`s largest coal producer and exporter, PT Bumi Resources, appears on the verge of clinching a deal to sell its entire stakes in two coal-mining firms, PT Kaltim Prima Coal and PT Arutmin, to a consortium of foreign and local companies, including U.S.-based Farallon Capital Investment and local company PT Renaisance Capital, an inside source said Thursday.

"The preliminary agreement on the transaction, for a price of almost US$3 billion, will be signed tonight," the source told The Jakarta Post.

He added, however, that the deal would not be concluded until June, after it had been endorsed by the company`s shareholders, who are also due to meet that month.

Bumi, which is controlled by the family of Aburizal Bakrie, the coordinating minister for the people`s welfare, owns almost 95 percent of KPC, and an 80 percent stake in Arutmin.

The sale of the stakes in the two companies will be the second largest divestment ever conducted by a local company, following the record set by the Sampoerna family when it sold its entire stake in cigarette producer PT H.M. Sampoerna last year for US$5.2 billion.

Ari Hudaya, Bumi`s president, could not be reached for comment, but he earlier told Dow Jones that the company`s management was in talks with local buyers to sell the company`s entire stake in both KPC and Arutmin.

"We have a big plan, which we will reveal after the sale is completed," he said.

The source told the Post that the divestment of Bumi`s shares in the two coal miners was part of a major expansion plan by the company into the oil and gas business.

He said that after the two stakes had been sold, Bumi would acquire oil and gas firm PT Energi Mega Persada, which is also partly owned by the Bakrie family.

"Bumi will expand its business into oil and gas through PT Energi Mega Persada, which at present operates eight oil and gas blocks in Indonesia and two others in Yemen," he said.

In addition, Bumi would add value to its coal output by processing it into liquid, he said, adding that the company would collaborate with South Africa-based firm SOAL in the production of "liquefied coal".

Bumi`s shares surged Rp 50 rupiah, or 5.4 percent, to Rp 980, their highest level ever, on news of the divestment plan. More than 326 million Bumi shares were traded Thursday, the highest number since March 31, 2005, when 364.1 million Bumi shares changed hands.

Bumi divest coal firms, changes focus

      Business and Investment - March 18, 2006

The nation`s largest coal producer, PT Bumi Resources, confirmed Friday that it had signed a binding sale agreement to off-load almost all its shares in three coal mining firms to a consortium of local companies for US$3.2 billion.

Bumi Resources president Ari Saptari Hudaya said that the company would sell 95 percent of PT Kaltim Prima Coal and 100 percent of PT Arutmin Indonesia and IndoCoal Resources Ltd to a local consortium led by PT Borneo Lumbung Energy, an affiliate of Jakarta-based PT Renaissance Capital, which is controlled by former Deloitte Touche Samin Tohamatsu partner Samin Tan.

"The transaction is subject to customary completion conditions including shareholder approval," Ari said.

A spokesman for Marubeni Corp told Bloomberg that the Japanese conglomerate might also join the consortium. A source had earlier informed The Jakarta Post that U.S.-based Farralon Capital Investment would be part of the consortium but its name did not appear on Ari`s list of buyers.

If the transaction goes through, Bumi will receive a hefty capital gain of at least US$2.5 billion from the divestment, the second largest ever conducted by a local company after the US$52 billion divestment of the Sampoerna family`s entire stake in clove cigarette producer H.M. Sampoerna,

Bumi, which is controlled by the family of the coordinating minister for the people`s welfare, Aburizal Bakrie, bought 80 percent of Arutmin from BHP Billiton in 2001 for US$148.5 million and 20 percent from the Bakrie Group for $37 million. Two years later, Bumi bought 100 percent of Kaltim Prima for $500 million from BP Plc and Rio Tinto Group.

Bumi`s full takeover of KPC caused a furor at the time as a government team back then was finalizing negotiations on the sale of a 51 percent stake in the East Kalimantan firm to the local government.

BP and Rio Tinto were required to sell their 51 percent stake in the late 1990s to Indonesian entities to meet mandatory divestment requirements under the government`s mining legislation. But negotiations over the divestment to the local government had been bogged down for several years, forcing the Energy and Mineral Resources Ministry to set up a special negotiating team.

KPC and Arutmit, which produced 21.4 million and 14.6 million tons of coal respectively last year, are among the largest coal miners in the country. A sharp increase in coal prices has helped Bumi`s shares increase 49-fold since October 2002.

Bumi`s shares were suspended from trading by the Jakarta Stock Exchange on Friday, pending more details on the transaction. The shares had gained 5.4 percent Thursday to close at a record Rp 980.

Analysts estimate that Bumi`s profit jumped more than 80 percent last year on rising exports to China and other Asian nations.

Bumi is estimated to have earned Rp 2.19 trillion ($237 million) in the year ended December 31. Its earnings may rise another 12 percent to Rp 2.46 trillion in 2006, according to the median of five recent forecasts by Thomson Financial as reported by Bloomberg.

The news on the divestment of Bumi`s stakes in its three coal-mining companies has come as a surprise given that many investors are currently rushing to get into the coal mining industry, which has become one of the most profitable business in the country following the surge in global coal prices over the last two years.

But Bumi`s president, Ari, said the sale of the company`s coal assets was fully in line with its strategy of becoming the country`s best performing energy and natural resources company.

He said the sale of the stakes would allow Bumi to realign its focus on the energy and natural resources sectors, which management believed held out the prospect of greater long-term benefits for Bumi.

"The company will continue to actively seek business opportunities in the oil, natural gas, minerals and alternative energy sectors," he explained.

He also said that the company would spend $1.5 billion of the divestment proceeds on setting up plants to turn coal into diesel in Kalimantan and Sumatra.

      Quelle: http://www.thejakartapost.com/yesterdaydetail.asp?fileid=200…

Coal producer PT Bumi Resources announced Tuesday a plan to merge with oil and gas firm PT Energi Mega Persada (EMP), with the merger expected to take effect in July this year.

The two publicly-listed companies plan to merge through a share-swap mechanism, in which they will exchange some of their shares, Bumi president Ari Saptari Hudaya said during a briefing by the company in Jakarta.

"We have opted for a share-swap deal ... to keep costs down," he said. "We plan to use our capital to expand into new businesses."

The merger plan came after Bumi signed a binding sale agreement Thursday to sell three coal mining firms for US$3.2 billion to a consortium controlled and led by local company PT Borneo Lumbung Energi, an affiliate of Indonesia-based PT Renaissance Capital. The company will seek approval for the divestment deal from its shareholders in May.

As part of the deal, Bumi, which is controlled by the family of Aburizal Bakrie, the coordinating minister for the people`s welfare, sold its 95 percent stake in PT Kaltim Prima Coal and 100 percent stakes in PT Arutmin Indonesia and IndoCoal Resources Ltd.

The company plans to acquire other assets related to its core business within the next six months.

"After the merger, Bumi will set up a plant to process coal into crude synthetic oil in South Sumatra in order to add value to our coal output," Ari said.

For the project, he explained, Bumi had signed a deal to acquire coal producer PT Pendopo Energi Batubara in South Sumatra, which is valued at around $3 million.

The plant would produce crude synthetic oil with a capacity of 80,000 barrels per day (bpd). To achieve this production target, the company would need 47,500 tons of coal per day. The plant will require an investment of $3 billion.

Last year, Bumi produced around 45 million tons of coal, while its sales reached 44.3 million tons, with an average price estimated at $40 per ton.

Bumi shares have been suspended since last Friday following reports about the divestment of its coal mining assets. The share price was last quoted at Rp 980 on the Jakarta Stock Exchange

PT Bumi Resources to produce liquefied coal

Jakarta (ANTARA News) - PT Bumi Resources, a national company that has so far been operating in coal production, will begin producing liquefied coal to increase its revenue and return on investment.

Bumi Resources Managing Director Ari Saptari Hudaya said after a public presentation here on Tuesday liquefied coal production will raise fivefold the company`s revenue and bring in 25 percent of return on investment.
The proceeds from the sale of stocks, which reach US$3.2 billion, will be used to develop alternative energy sources, including liquefied coal that will be produced by PT Bumi Resources` subsidiary, Pendopo Energi Batubara (PEB).

Bumi Resources is currently seeking for the signing of Memorandum of Understanding (MoU) with PEB for the acquisition of 90 percent of PEB`s stock worth US$2 million.

Ari disclosed that some US$800 million to US$3 billion are required for the production of liquefied coal. The factory is expected to start the commercial production of liquefied coal in the coming four years, he said, adding that liquefied coal can be used as a substitute for other energy sources such as diesel oil, kerosene and natural gas.

The company produced 45 million tons of coal in 2005, and the sale of this mining product by the firm in the same year reached 44.3 million tons. The sale price of coal averages US$42 per ton, so the income of PT Bumi Resources from the sale of coal in 2005 is estimated at approximately Rp17 trillion.

Besides producing liquefied coal, PT Bumi Resources will also develop the oil/gas industry. For that purpose, the company will merge with PT Energi Mega Persada and acquire Gorontalo Minerals and Bumi Mauritania. (*)

Hefty dividend rumored for Bumi Resources investors

      Business and Investment - May 15, 2006

      The Jakarta Post, Jakarta

Observers expect publicly listed mining concern PT Bumi Resources, the country's largest coal producer, to provide a hefty annual and interim dividend of Rp 200 per share to investors.

The company will announce the dividend at the annual shareholders meeting Wednesday.

Company president Ari S. Hudaya did not dismiss the rumors when questioned Sunday. "We'll certainly distribute a dividend. Concerning the size (of the dividend) let's see at the shareholders meeting. What is certain, investors will not be disappointed," he said.

The company will also hold an extraordinary shareholders meeting Wednesday to seek approval for its plan to sell three coal mining subsidiaries -- PT Kaltim Prima Coal, PT Arutmin and PT Indocoal.

Bumi plans to sell the three subsidiaries to PT Borneo Lumbung Persada. The company expects to make US$3.2 billion from the divestment, and plans to reinvest the money at home.

A stock market analyst said such a hefty dividend would increase the attractiveness of Bumi, as earning per share was estimated to increase to Rp 104 from the Rp 62.98 earlier stated in the company's financial report.

The analyst also said that Bumi had strong prospects, particularly if its plan to merge with listed energy concern PT Energi Mega Persada went through.

Bumi plans to merge with Energi this year through a share swap mechanism once the divestment of its coal subsidiaries is complete.

Bumi Resources Cancels $3.2 Billion Coal Mine Sale (Update1)

      By Leony Aurora

Aug. 25 (Bloomberg) -- PT Bumi Resources, Indonesia's biggest coal exporter, canceled plans to sell its biggest coal mines for $3.2 billion to local investment bank PT Renaissance Capital.

Bumi's shares will be suspended from all markets starting Friday morning until further notice as there are uncertainties on the company's plans on the sale of the coal mines and the merger with PT Energi Mega Persada, Yose Rizal, head of listing at the Jakarta Stock Exchange, said in a statement posted on the bourse's Web site late yesterday.

The statement didn't say why the agreement was canceled. The trading of the shares of Energi Mega, Indonesia's second-largest publicly traded oil company, will be suspended as well, Rizal said in another statement on the Web site.

Renaissance agreed in March to buy PT Kaltim Prima Coal and PT Arutmin Indonesia in a transaction that would be the country's second-biggest acquisition. Bumi announced on June 14 that it would buy Energi Mega with shares to create Indonesia's largest energy company.

Bumi's shares fell 20 rupiah, or 2.6 percent, to 750 rupiah at yesterday's closing on the Jakarta Stock Exchange. Energi Mega was unchanged at 570 rupiah.

Renaissance planned to seek $2.1 billion in loans, assisted by Credit Suisse, from a group of lenders and issue $700 million of exchangeable bonds to finance the acquisition. The investment bank wanted to revise terms in the plan to acquire the mines, the Financial Times reported on Aug. 7.

Bumi already postponed the deadline for the completion of the coal mines sale at least twice to the end of this month from the end of June. Bumi and Energi Mega are affiliated with the Bakrie group, controlled by the family of Indonesia's Coordinating Minister for Welfare Aburizal Bakrie.

Bumi Resources Scraps $3.2 Billion Coal Mine Sale (Update4)

By Leony Aurora and Karima Anjani

Aug. 25 (Bloomberg) -- PT Bumi Resources, Indonesia's biggest coal exporter, scrapped plans to sell its two largest mines for $3.2 billion after failing to reach a final agreement with PT Renaissance Capital.

``It took too much time'' to complete the March 17 pact, Eddie Soebari, finance director at Bumi said today in a telephone interview from Jakarta. Renaissance President Director Samin Tan declined to explain the failure. He denied there had been a delay or any funding obstacles.

The failure leaves Bumi with less money to expand oil and gas production after a merger with PT Energi Mega Persada, Indonesia's second-largest publicly traded oil company. Bumi may have decided to stay in the industry after coal prices surged 26 percent in Asia this year, making it hard for Renaissance to negotiate a reasonable price, said Sebastian Tobing, an analyst at PT Trimegah Securities in Jakarta.

``If Bumi's going to sell the two mines, it will probably be at a lower price,'' said Tobing. Renaissance and its creditors may have judged ``profitability at the two mines isn't convincing.''

Shares of Bumi and Energi Mega, which are affiliated with the Bakrie group, controlled by the family of Indonesia's Coordinating Minister for Welfare Aburizal Bakrie, will be suspended from trading because of uncertainties on the sale and the merger of the two companies, Yose Rizal, head of listing at the Jakarta Stock Exchange, said in a statement yesterday.

``The money was there,'' Renaissance's Tan said in a phone interview, without elaborating. ``It's also not true that the agreement was delayed. The two companies had initially agreed to complete the transaction by Sept. 30.''

      Dividend Payment

After the March agreement, Bumi agreed to pay a special dividend of 190 rupiah a share this year and buy back as much as 10 percent of the company's stock. The dividend is 19 times the final payout Bumi gave its shareholders last year.

The Energi Mega merger will be completed on Sept. 19, Bumi's Soebari said.

Bumi will hold a public briefing next week to disclose its plans, Geroad Jusuf, the company's corporate secretary said in an interview in Jakarta today.

Renaissance, based in Jakarta and run by former Deloitte Touche Tohmatsu partner Tan, agreed to buy PT Kaltim Prima Coal and PT Arutmin Indonesia in what would have been the country's second-biggest acquisition. Bumi had said it would use the funds to increase production at Energi Mega and build plants that produce diesel from coal and crops such as palm oil.

      Share Halt

Bumi shares fell 20 rupiah, or 2.6 percent, to 750 rupiah at yesterday's closing on the Jakarta Stock Exchange. Energi Mega was unchanged at 570 rupiah.

Renaissance had planned to seek $2.1 billion in loans, assisted by Credit Suisse, from a group of lenders and issue $700 million of exchangeable bonds to finance the acquisition.

Bumi already postponed the deadline for the completion of the coal mines sale at least twice to the end of this month from the end of June.

In 2001, Bumi bought 80 percent of Arutmin from BHP Billiton for $148.5 million and 20 percent from Bakrie Group for $37 million. Two years later, Bumi bought Kaltim Prima for $500 million from BP Plc and Rio Tinto Group.

The Kaltim Prima mine is 50 kilometers north of the equator, on the east coast of Kalimantan in the Indonesian part of Borneo Island. It has 3.56 billion tons of reserves, according to the company's Web site. Arutmin operates four open-pit mines in the southeastern portion of Kalimantan.

Spot coal prices at Australia's Newcastle, the world's biggest coal-export harbor, have risen to $51.70 a metric ton on Aug. 18, from $36.60 at the end of last year, according to the McCloskey Group.

Bumi scraps $2.3b deal to sell coal companies

      Business and Investment - August 26, 2006

      The Jakarta Post, Jakarta

PT Bumi Resources, Indonesia's biggest coal exporter, has canceled a US$3.2 billion deal to sell its two coal mining units to a consortium of local companies led by PT Renaissance Capital following a prolonged delay in the closing of the transaction.

Bumi's finance director Eddie Soebari told The Jakarta Post on Friday that his company was forced to cancel the deal after seeing no clear sign as to when the consortium would be able to finalize the deal.

"We have not seen any positive progress since the agreement was signed in March. That's why we have decided to cancel it, as we don't want this kind of situation to affect our company," he said in a telephone interview.

Renaissance, run by former Deloitte Touche Tohmatsu partner Samin Tan, agreed on March 17 to buy Bumi's two coal mining units, PT Kaltim Prima Coal and PT Arutmin Indonesia, both of which operate in East Kalimantan.

Renaissance agreed to pay Bumi US$3.2 billion for 95 percent of Kaltim Prima Coal and 100 percent of Arutmin.

Bumi had already extended the deadline for the closing of the sales twice the signing of the agreement.

Soebari said the consortium had, however, been given the option to buy up to 25 percent of Bumi's shares in the two mining companies, despite the cancellation.

Bumi, which is controlled by the family of Coordinating Minister for the People's Welfare Aburizal Bakrie, said earlier that the company would merge with the another company run by the family, Energy Mega Pesada, to create one of Indonesia's largest energy-based companies after the divestment of its coal units.

The company said that a larger part of the proceeds from the divestment would be injected into the merged company, which would expand into biofuel production. The money would be used to pay dividends to the existing shareholders and to repay the company's debts.

Soebari said Bumi would go ahead with the merger plan but acknowledged that the company would have to raise at least US$800 million in loans to repay the debts due to the scrapping of the deal with Renaissance.

Without the sale, Bumi will have less money to invest in a planned merger with Energi Mega Persada, Indonesia's second-largest publicly traded oil company.

Energi Mega, which indirectly owns part of the Lapindo gas field in East Java, has to bear a larger part of the costs that might arise because of the mud flow caused by faulty exploration well in the gas field.

The accident may cost Energi Mega about US$50 million, or 56 percent of its forecast pretax profit this year, PT Danareksa Sekuritas analyst Bonny Setiawan told Bloomberg.

Energi Mega's subsidiary Lapindo owns half of the field, while Medco Energi has a 32 percent stake and Australia's Santos Ltd. owns the remaining 18 percent.

Bumi-EMP merger plan delayed yet again

      Business and Investment - August 31, 2006

Andi Haswidi, The Jakarta Post, Jakarta

PT Bumi Resources's efforts to transform itself into an integrated mining company have suffered a setback with a proposed merger with PT Energi Mega Persada being delayed once again.

Bumi finance director Eddie J Soebari said Wednesday an extraordinary shareholders meeting scheduled for Sept. 19 to approve the proposed merger had to be postponed until November.

He said the delay was necessary to carry out further evaluations of Bumi's assets following the cancellation of its divestment of coal companies PT Kaltim Prima Coal, PT Arutmin Indonesia and PT Indocoal to a local consortium led by Borneo Lumbung Energi.

The company initially planned to hold the shareholders meeting July 28 but pushed that back to Sept. 19 due to delays in the closing of the proposed US$3.2 billion divestment deal.

"The reevaluation can be completed in one month's time. Therefore, the shareholders meeting will be held sometime between November and December," Eddie said.

Energi Mega is also reevaluating its assets following the mudflow disaster at a gas exploration well operated by its subsidiary company PT Lapindo Brantas in Sidoarjo, East Java.

"The reevaluation of our assets in relation to the merger is still in process. The result could either result in an increase or a drop in the company's total asset value," said Energi Mega Persada director Yuli Soedargo when asked about the effect of the Lapindo incident on the company's total value.

Yuli said the proposed merger between Bumi and Energi Mega, both controlled by the family of chief welfare minister Aburizal Bakrie, would create one of the largest natural resources-based companies in Southeast Asia.

"The merger will create Indonesia's largest global company with diversified assets in natural energy resources," he said.

Bumi president director Ari Hudaja said the merger would establish a "one-stop energy source mining company", providing coal, crude oil and gas.

With the cancellation of the company's $3.2 billion divestment of its coal companies, Bumi will have less funds to finance its expansion plans.

Bumi had planned to inject the majority of the proceeds from the planned divestment into a merged Bumi-Energi Mega to help finance its expansion into biofuel production. The company also said some of the money from the divestment would be used to repay debts of about US$800 million and to pay extra dividends to shareholders.

Asked how the company would repay the debts with the cancellation of the divestment plan, Ari said the profits from its coal units would cover the loan repayments.

Ari said the divestment deal was canceled due to a disagreement over the price, even though Borneo Lumbung Energi had agreed in March to buy the coal mining companies for $3.25 billion.

Ari said the $150 billion put down by Borneo as a down payment on the deal would be returned.

Regarding shareholder disappointment at not getting an extra dividend that would have come with the divestment, Bumi corporate secretary Geroad Jusuf said the company still planned to sell up to 20 percent of its stake in its coal mining units, and would distribute the proceeds from the sales as dividends.

The company would also go a head with a plan to buy back 10 percent of its shares, worth Rp 2.32 trillion, as agreed to during a shareholder meeting in May.

Indonesia has significant coal reserves and, although a member of the Organization of the Petroleum Exporting Countries, is a net importer of oil.

In early 2006, mining group Bumi Resources Tbk (BUMI.JK: Quote, Profile , Research) announced plans to build an 80,000 barrels per day coal-to-liquids facility in South Sumatra.

The Fischer-Tropsch coal-to-liquids process was invented in Germany during the 1920s and interest in the technology is re-emerging.

A pre-feasibility study is being undertaken for a 3,000 barrels per day facility at the Schwarze Pumpe industrial facility at Spreetal, the first phase of a larger 20,000 barrels per day project.

Indonesia c.bank cuts rates by 25 bps to record low
      Thu Jul 5, 2007 4:43am ET
...The central bank said there was scope to cut interest rates further this year with annual inflation seen at around 5 percent at the end of 2007, the bottom of its previous 5-7 percent forecast range. "In general Indonesia's economy up until the second quarter of 2007 remained on the right track. Inflation is under control," central bank governor Burhanuddin Abdullah said.

Most analysts said there was room for a rate cut, though the scope had narrowed with interest rates getting near those seen in some more advanced economies.

"It will have a positive impact on the economy. I am still expecting another rate cut next month. I estimate the BI rate to fall to 7.5 percent by the year-end," said Purbaya Yudhi Sadewa, economist with Danareksa Research Institute in Jakarta.

Indo Stock: [BUY] Bumi Resources Tbk PT (BUMI) Power Plant To Reduce Cost. - Kim Eng 8 Aug, 2007Snapshot News

It is reported that Bumi plans to build two coal-fired power plants and at least three-conveyor belts, with estimate total cost at US$300m.
As such, Bumi expects to reduce its costs by 18% to US$22/tons by 2009 from current US$26.87/ton.
      Comment:
-At present, fuel accounts for a fifth of Bumi's expenses, and has risen by 25% in 2007.
-The investment will help Bumi to reduce dependence on diesel for electricity generation and trucks for transportation.
-As of June 07, Bumi has US$483m cash in its balance sheet. Any spending up to US$300m, to build power plants for instance, should not trigger the company to seek massive external financing.

WestSide Signs New Indonesian Coal Seam Gas Deal
      Monday, September 03, 2007
      Latest Oilvoice Headlines

Queensland coal seam gas (CSG) company WestSide Corporation Ltd has furthered its international ambitions by signing a new joint venture agreement with Indonesia’s PT Bumi Resources TBK (Bumi).

A Heads of Agreement (HoA) executed with Bumi and Bumi subsidiary Arutmin Indonesia TBK (Arutmin) will enable WestSide and Arutmin to evaluate and develop CSG prospects within Arutmin’s coal production permits in the south east corner of Kalimantan, Indonesia.

The HoA replicates the May 2007 agreement covering the sites operated by another Bumi subsidiary Kaltim Prima Coal (KPC) in eastern Kalimantan.

WestSide Chief Executive Officer Stephen Cullum said the new agreement with Bumi and Arutmin furthers the Queensland company’s international aspirations.

“Our aim is to expand WestSide’s horizons, and the Indonesian market offers growing energy demand with less-advanced CSG development,” Mr Cullum said.

“This agreement represents a significant vote of confidence in WestSide as Arutmin is one of Indonesia’s major coal producing and exporting companies in its own right and is also one of the country’s longest-standing, private coal producers.”

Arutmin’s parent Bumi is a major shareholder and cornerstone investor in WestSide, holding 27.5% of the issued shares.

Mr Cullum said the new agreement reinforced WestSide’s relationship with Bumi at a time when Indonesia was undertaking major projects to increase energy production to meet domestic demand growth.

“CSG has a bright future in Indonesia and these agreements secure a strong position for WestSide,” he said.

The bond will be converted at Rp3,250 into shares (from treasurey stocks).
It seems the bond was well accepted by the market that the company increased the bond offer from initially US$125m to US$150m.
According to Bisnis Indonesia daily, proceeds will be used to finance development of non-coal projects like in Mauritania (iron ore), Gorontalo Mineral (copper and gold), Citra Palu Mineral (gold).

Antwort auf Beitrag Nr.: 32.747.395 von Hadock am 12.12.07 23:19:24SYDNEY, Dec 12 (Reuters) - PT Bumi BUMI.JK, Indonesia's largest coal producer, said it offered A$455 million ($396 million) in cash for Australian zinc miner Herald Resources Ltd (ASX: HER.ax) as it looks to diversify its mining interests.
Bumi, part of Indonesia's politically well-connected Bakrie group, said on Wednesday it offered A$2.25 a share for Herald, 23 percent above the target's A$1.83 closing price on Tuesday.

Herald, whose stock surged as much as 29 percent to A$2.36 following the announcement, said the bid was unsolicited and advised shareholders to take no immediate action.

Euroz Securities and Blackstone & Crabb are Herald's advisers while Credit Suisse is advising Bumi.

Strong demand for industrial raw materials, driven by China, has turned turned Australia, with its wealth of mineral resources, into a quarry for foreign firms.

But Herald's main asset is its 80 percent interest in the undeveloped Dairi lead and zinc mine in Sumatra, Indonesia, which has not yet won a forestry permit to start work at the site.....
..."Demand for all minerals will remain strong, propelled by demand from China and India," said Norico Gaman, an analyst at Jakarta-based BNI Securities, adding that the timing for a deal looked good from Bumi's perspective.

"Prices of lead and zinc have yet to rally compared to other minerals such as gold, which would allow lower costs of acquisition. If it is done when the mineral prices are at highs, it will increase the costs."

Stehen wir kurz vor einem Mega-Crash?
      Erschienen am 06. Februar 2008 | T-Online/ mmr

      Verheerender Kursfall steht bevor

      Was ist eigentlich hieraus geworden?

HONG KONG, Feb 15 (Reuters) - A mystery shareholder has built a 5 percent stake in Herald Resources Ltd (HER.AX: Quote, Profile , Research), an Australian mining company at the centre of a takeover battle between two Indonesian firms.

New Age World Ltd said in a regulatory filing on Friday that it had bought 5.06 percent of Herald since Feb.1, buying stakes at market prices of A$2.61-A$2.63 per share, well above the prices offered by the parties hoping to take over the firm.

Indonesian state-controlled mining group PT Antam (ANTM.JK: Quote, Profile , Research) and Chinese miner Shenzhen Zhongjin Lignan Nonfemet Co Ltd (000060.SZ: Quote, Profile , Research) have offered A$2.50 a share for Herald, valuing it at A$505 million.

That trumped an earlier bid from Indonesia's PT Bumi (BUMI.JK: Quote, Profile , Research), which had offered A$2.25 a share. It has extended its offer period to March 7 but has yet to say if it will raise the offer.

New Age World Ltd gave the same registered address in its filing as Bumi's bidding vehicle, Calipso Investment Pte Ltd. But a spokesman for Bumi said he had no knowledge of New World Age.

      Hallo,

BUMI RESOURCES FIRST QUARTER – ESTIMATED OUTTURN AND
      FUTURE OUTLOOK FULL YEAR 2008
Jakarta, 30 April 2008 – PT Bumi Resources Tbk. take s this opportunity of providing a relevant
background to Bumi’s Q108 outturn on volume and price parameter and a forecast, quarter wise,
      of our FY08 outturn.
Q1 in any year is usually the lowest performing quarter on sales and price beca use of impact of
rainfall which adversely affects coal mined and conveyed and prices are largely at previous year
      levels.
In Q107 Bumi sold 14.5 million tons vs Q106 of 11.5 million tons - the reason being that Q107
was untypical of a normal year as year end inventory in 2006 was at a record level of 5 to 6
million tons and we sold about 3 million tons from inventory, hence, sale from fresh production
in Q107 was actually 11.5 million tons or the same Q106. Year end inventories in 2007 were
negligible and we sold out of fresh production and yet achieved 12.5 million tons of sales in
Q108 and removed overburden at 13% higher than Q107. We emphasised this point specifically
to reporters this morning – this may have been missed by a few.
Our forecast for 2008 is 62 million tons of sales (vs 55.4 million tons in Fy07), Production of 64
million tons ( vs 54.2 million tons in FY 07) at an average price of $ 70/ton ( vs $44/ton in 2007)
and forecast split of production, sales, price by quarter in 2008 is as follows:-
      Q108 Q208 Q308 Q408 FY08
      Production (mt) 12.64 15.51 17.99 18.08 64.22
      Sales (mt) 12.53 13.96 17.26 17.25 61.00
      Average Price ($/t) 58.34 70.73 77.68 81.45 70.00

+ Sales can increase to 62 MT by inventory adjustment during the year.

We expect a ramp up in production and sales from Q208 onwards because of expected higher
productivity due to arrivals of approx $ 200 million of mobile equipment in Q208 which raises
productivity and mining activity levels higher during challenging weather conditions, and we
expect to give a fresh guidance on price for FY08 once the Contract settlements with Japanese
utilities takes place next month for the period April'08/ March '09.
Indeed, Bumi expects another high performance record breaking year in 2008 as you can see.
This is the full substance of what we actually conveyed to reporters today for coal and Bumi we
recommend that a perspective is best taken on an annualized basis by audit year not by a month

JAKARTA, Oct 12 (Reuters) - Indonesian conglomerate, PT Bakrie & Brothers (BNBR.JK: Quote, Profile, Research, Stock Buzz), said on Sunday it aimed to settle $1.2 billion of debt within a week under a deal that may involve selling a 10 percent stake in the country's top coal miner Bumi Resources (BUMI.JK: Quote, Profile, Research, Stock Buzz).

Traders have highlighted concerns over leveraging at the Bakrie group and worries there might be forced selling of shares which had been pledged as collateral for loans. The company denied last week there had been forced selling.

Bakrie & Brothers said in a statement on Sunday that the global market meltdown had compelled it to "rationalise" its share portfolio in Bumi, Bakrie Telecom Tbk (BTEL.JK: Quote, Profile, Research, Stock Buzz), Bakrieland Development Tbk (ELTY.JK: Quote, Profile, Research, Stock Buzz), Bakrie Sumatera Plantations Tbk (UNSP.JK: Quote, Profile, Research, Stock Buzz) and Energy Mega Persada Tbk (ENRG.JK: Quote, Profile, Research, Stock Buzz).

Asked if Bakrie & Brothers was considering selling a 10 percent stake in Bumi, Dileep Srivastava, a director of the firm, said by telephone text message: "That's a possibility."

The Indonesia Stock Exchange suspended trading last Tuesday in the shares of the six firms, controlled by the family of chief social welfare minister Aburizal Bakrie, pending clarification of a number of issues.

The stock market was then closed a day later for the rest of the week after the benchmark composite index .JKSE had dropped by more than 20 percent in just three sessions since Sept 29.

Shares of Bakrie and Bumi have lost about 50 percent of their value in the last month alone.

Bakrie & Brothers said the action was a response to "continuing financial turmoil, irrational global market conditions and plunging international stock markets."

The firm said the situation for the group had been aggravated by "rumours, distress news creaters (and) short sellers."

Bakrie & Brothers said it was the final stages of talks with potential local and strategic partners on a deal and that it supported an extension of the blackout on its shares until a deal was concluded.

According to Bisnis Indonesia newspaper, Indonesia's state enterprises minister Sofyan Djalil said on Friday the government could allow state-owned mining firms PT Aneka Tambang Tbk (ANTM.JK: Quote, Profile, Research, Stock Buzz) and PT Tambang Batubara Bukit Asam (PTBA.JK: Quote, Profile, Research, Stock Buzz) to acquire Bumi shares.

Indonesian businessman Tommy Winata, who had also been linked in media reports to buying Bumi shares, told Reuters he was "not interested and never thought about it."

India's Tata Steel Ltd (TISC.BO: Quote, Profile, Research, Stock Buzz) has also been linked in media reports to a deal.

Bakrie & Brothers had total liabilities of 18.6 trillion rupiah ($1.89 billion) as of June and out of this 14.8 trillion rupiah were short-term liabilities, according to Reuters data.

Bumi said in a statement that it planned to buy back an additional 20 percent of its 19.4 billion outstanding shares on top of a 10 percent buyback announced last week and a 3 percent buyback approved in June.
