Veolia Environnement Sells Its Concession Contracts in Morocco
Regulatory News :
Veolia Environnement (Paris:VIE) has signed an agreement, via its holding company Veolia Services à l'Environnement Maroc, with global investment fund Actis to sell its Moroccan water, wastewater and electricity services, operated by concession companies Redal and Amendis. The transaction will contribute around €370 million1 to the Company's divestment program and, given its accounting treatment under IFRS5 at December 31, 2012, will reduce the company's debt by around 88 million euros in 2013.
This withdrawal reflects Veolia Water's decision to redirect its geographic focus and its growth strategy based on higher added value solutions and activities.
Finalization of the transaction is subject to obtaining formal approval from the relevant public authorities and Moroccan government departments.
Veolia has signed a three-year technical support contract with Actis. This contract will ensure the smooth transition of services, enabling Veolia to share its know-how and expertise in Morocco. The choice of Actis promises to bring high added value for Morocco; Actis has over 60 years of experience of investing exclusively in emerging markets, and particularly across Africa.
###

Net income (loss) from continuing operations 143.7
Net income (loss) from discontinued operations 386.1

Antoine Frérot, Chairman and CEO of Veolia Environnement
"In 2012, Veolia achieved significantimprovements, which enabled the Company to favorably alter its trajectory and accelerate theachievement of its transformation objectives. Divestments were completed under very good conditions. The Company's net financial debt was reduced to €11.3 billion, a year in advance of our originalobjective. At the end of 2013, the Company's adjusted net financial debt should reach between €6billion and €7 billion2. The implementation of the Convergence Plan contributed €142 million in grosscost savings, and after implementation costs, contributed €60 million to operating income. We haveachieved a number of commercial successes in economically dynamic geographies with offerings fromnew business models. The progress achieved in 2012 will enable Veolia to start 2013 with a strongbase, ahead of our objectives. Veolia is on the right path. We are ahead of our debt reduction targetsand we are confident in the success of our strategic plan, despite an economic environment thatremains uncertain. As such, Veolia expects an absolute dividend level in 2014 equal to that which willbe paid in 2013."
