Giralia Resources NL (ASX-"GIR") and American Metals & Coal International Inc. ("AMCI") have reached agreement on two separate major transactions that will result in the injection of a minimum of approximately $70 million into Giralia, through the sale of Giralia's 16.8% stake in Red Hill Iron Limited at a significant premium to market, and a share placement, again at a significant premium.

The Directors of Giralia Resources NL ("Giralia") are pleased to announce today that it has: • agreed to sell all of the shares it owns in Red Hill Iron Limited ("Red Hill Iron") to AMCI Investments Pty Ltd ("AMCI Investments") and First Reserve ("First Reserve"); and • secured the strategic support of AMCI Capital LP ("AMCI Capital") as its new major shareholder via a 9.9% share placement. Following the transactions, Giralia will have approximately $77 million in cash. The funds raised will be used principally to accelerate exploration and development of Giralia's extensive project portfolio, particularly the Company's wholly owned iron ore assets. Sale of Giralia's shareholding in Red Hill Iron to AMCI Investments and First Reserve Giralia has entered into a binding agreement to sell all of the shares it owns in Red Hill Iron, being 6,643,333 shares, to AMCI Investments and First Reserve. Giralia has agreed to sell 4,000,000 shares in Red Hill Iron immediately to AMCI Investments and First Reserve for $7.00 per share and the parties have put and call options in respect of the remaining 2,643,333 shares, exercisable at $7.00 per share by Giralia on 1 July 2008 or by either party at a market-based price between 2 July 2008 and 30 June 2009 (although the call option is exercisable earlier if a takeover or similar transaction for Red Hill Iron is announced). This transaction is the result of Giralia receiving an unsolicited offer from AMCI Investments and First Reserve to acquire Giralia's shareholding in Red Hill Iron. The Directors of Giralia believe the offer price of $7.00 per share represents an attractive and substantial premium to Red Hill Iron's recent and historical trading prices. The sale of 1,440,000 of the second tranche of shares in Red Hill Iron is conditional on AMCI Investments and First Reserve obtaining approval under the Foreign Acquisitions and Takeovers Act. The agreements relating to the placement of Giralia shares and sale of Red Hill Iron shares will be annexed to the corresponding substantial shareholder notices to be lodged.

Giralia secures AMCI Capital as a strategic shareholder In a separate, subsequent and unrelated transaction, Giralia has secured AMCI Capital as a strategic shareholder via a 9.9% share placement. AMCI Capital is an $800 million resources and energy focused private equity venture managed by Hans Mende, President and co-founder of AMCI, and Mike Salamon, former executive director of BHP Billiton. AMCI Capital has agreed to subscribe for 17,500,000 ordinary shares in Giralia at an issue price of $1.30 per share, to raise $22.8 million. AMCI Capital's shareholding will represent 9.9% of Giralia's issued shares (including the shares issued to AMCI Capital). The placement price represents a substantial premium to Giralia's recent trading prices. The placement to AMCI Capital will provide Giralia with considerable financial capacity and places Giralia in a position to accelerate the progress of its projects, with a view to maximising value from its assets for its shareholders. Commenting on the transaction, Hans Mende, partner of AMCI Capital said: "This investment provides AMCI Capital exposure to an attractive set of assets with a strong operating partner in Giralia. We are excited to work with Giralia to grow the value of its assets." Giralia's Chairman Graham Riley said, "The Company welcomes AMCI Capital onto its register as a cornerstone investor. AMCI Capital has a proven record of financing and fast tracking the development of major infrastructure and minerals projects. The transaction will transform Giralia, and underlines the quality of both the Company's management and its skills in project acquisition and early stage value addition through discovery premium. We are pleased to have been able to complete the placement at an attractive valuation notwithstanding the volatile equity markets. This significant injection of funds will enable the accelerated development of Giralia's wholly owned iron ore assets, and vindicates the Company's strategy of value creation through commodity-specific spin outs. It also represents the first transaction to realise and lock in the full value of one of these strategic shareholdings, and demonstrates the belief and commitment of a recognised major private international resource investor in the Company and its future. an, welch int. wert sich hinter GIR verbirgt !!!


wird jetzt darauf ankommen, den CASH- berg effektiv
in die verbliebenen beteiligungen zu investieren.

nach meiner einschätzung konnte das managm. in der
vergangenheit damit schon glänzen und hat nicht
von ungefähr den akt.- kurs in den last 5 years
mehr als VERFÜNFFACHEN können

I agree, this is a good deal a sign of things to come - note the reference to it being a validation of their spin off strategy. If they can find a big partner for GIR and RHI, then they can and will find it for some of the other smaller spin offs (PMH, UTO, CAP etc). The same guys run all these companies. I like their slow, steady, strategic approach and getting someone else on board has been the strategy all along, now it seems to be coming together.

Looking forward to selling GIR for $7 sometime soon.

Earaheedy, (200 km S of Newman) – Historic surface rocks 75 metres @ 62 %Fe, drilling 14 metres @ 59.3% Fe. 23 known hills of hematite outcrop with rock sample grades over 57% Fe within 130 kilometres of iron formations on Giralia tenements, with shallow dips indicating large tonnage potential.

McPhee Creek, Giralia holds 100% interest in a tenement application covering the McPhee Creek iron ore project, located 220 kilometres south-east of Port Hedland in Western Australia's Pilbara Block.

Yerecoin, Giralia's 100% owned Yerecoin project is located 10 kilometres east of New Norcia and 150 kilometres north of Perth, within 1 kilometre of existing rail access. Outcropping banded iron formations of the Archaean Jimperding Metamorphic Belt occur within the tenement area, and significant extensions beneath laterite cover are inferred from aeromagnetic interpretation.

Lake Frome JV, South Australia (Uranium) – tenements surround operating Beverley in-situ leach uranium mine; very prospective for extensions/repeats. Giralia free carried at 25% to decision to mine.

Snake Well, Western Australia (Gold, Zinc – 100% owned advanced gold project , with existing gold resource of 2.84 million tonnes @ 1.9 g/t Au, plus numerous immediate drilling targets along a 15 kilometre magnetic unit with RAB and RC intersections including 8 metres @ 25.3 grams per tonne gold, 13 metres @ 6.32 grams per tonne gold, etc. Nearby felsic volcanics host high grade zinc intersections.

Daltons JV, Western Australia (Nickel, Platinum Group Elements-PGE) – Giralia has earned 75% interest in 2 tenements in the Pilbara block of WA, with high grade nickel intersections in previous drilling, and surface gossans with extraordinary PGE grades.

Blue Rose JV, South Australia (Copper, Gold) – major joint venture with widespread copper, gold anomalies and geophysical targets. RC and RAB/aircore drilling returned significant intersections including 24 metres @ 2.14% copper and 48 metres @ 1.01 grams per tonne gold, 0.82% copper.

Ashburton JV, Western Australia (Gold) – key landholding in exciting new gold province. (Total of $4.7 million in partner funded exploration).

Yuinmery JV, Western Australia (Gold) – control of almost entire Archaean greenstone belt. Untested high order gold in soil anomalies.

Kathleen Valley JV, Western Australia (Gold, nickel, tantalum) – gold resources and nickel, tantalum prospectivity 5 kilometres from the
Cosmos nickel mine. Drilling on gold targets in mid 2002 returned high grades, including 5.9 metres @ 12.1 grams per tonne gold.

Cardinals JV, Western Australia (Copper, Zinc, Lead) – advanced base metals projects with ore grade drill intersections.

Mt James JV (Clevermary/Big Bend), Western Australia (Gold, zinc) – two contiguous tenements in the Gascoyne Province. Clever Mary covers a 'greenstone hosted' gold prospect with ore grade/width intersections. Big Bend is a possible 'sedex' zinc occurrence in Mid Proterozoic sediments. Talisman Mining NL has agreed to earn 60% interest.

Ist ja erstaunlich, tatsächlich 0-Umsatz in GER. Und Du bestreitest
den Thread fast ausschließlich in Personalunion. Mir gefällt vor
allem die Breite Aufstellung durch die Beteiligungen.

Werde mich mal mit einem Kauf dazugesellen.

Bin überhaupt kein Anhänger der Charttechnik, aber solch markante
Punkte, denke ich, sind schon bedeutungsvoll. Sollte es dann gar
über 200 gehen, könnte der Weg sogar frei sein für neue Höhen.

Bin gespannt, denke es wird doch eine kleine Hürde darstellen.

fange schon eher an, mir Sorgen zu machen, da scih im Chart nahezu
eine Fahnenstange ausbildet.

Die Presentation kann ja nicht jeden Tag ein up von 10 % gebären,

Nur zur Einnordung:

Uslar liegt im südöstlicher Niedersachsen zwischen Göttingen im Süden
und Höxter (bereits Westfalen).

Aber vielleicht ist Dir mehr das Einbecker Mai Ur Bock ein Begriff.

Beide Orte liegen ca. 12 km von meinem Heimatort Dassel entfernt
so daß ich biertechnisch selten in Not gerate.

Und wenn mein Brent-OS, erworben bei 125,25 heute noch ordentlicher
ins Plus läuft, dann gönne mich mir auf Dein Wohl noch ein schönes
Mai-Bock, da der Monat ja schon endstufig ist.

Na, so muß es sein, hbg, besser kann man das timing nicht setzen.

Die Korrektur hatten wir ja schon fast herbeigesehnt. Mal schaun,

Ich bleibe in jedem Fall dabei, denn das Beteiligungsportfolio birgt

Russian Metal Stocks Surge on Signs China Demand Is Returning

Feb. 9 (Bloomberg) -- Russian metals and mining stocks climbed for a seventh day after Morgan Stanley upgraded steelmakers and metal prices climbed on signs demand is returning in China.

OAO Severstal, Russia’s biggest steelmaker, jumped to the highest in almost four months, while OAO Mechel rallied 18 percent after Morgan Stanley recommended the shares. OAO Raspadskaya, which makes coking coal for the steel industry, surged 12 percent. Iron ore prices last week posted their biggest advance this year.

The Micex Metal & Mining Index jumped 4.4 percent to 1,705.44 as of 3:11 p.m. in Moscow, gaining 35 percent in seven days, the longest winning streak in two months. The broader Micex Index rose for a second day, adding 3.7 percent as oil and gas companies also increased. The RTS Index added 7.1 percent, its biggest advance in two weeks.

“There is hope for a recovery based on China,” said Constantin Demchenko, head of trading at Everest Asset Management in Moscow. “All international names were buying.”

Severstal shares jumped 5.2 percent to 149.16 rubles on the Micex Stock Exchange after Morgan Stanley upgraded the stock to “overweight” from “equal-weight.”

Mechel, the coal and steel producer controlled by billionaire Igor Zyuzin, increased 18 percent to 173.50 rubles in Moscow, the most since the stock began trading on the Micex this year. Morgan Stanley raised the stock to “overweight” from “underweight.”

‘Marked Pickup’

“It is now clear that there has been a marked pickup in export volumes for Russian steel producers,” Morgan Stanley analysts Dmitriy Kolomytsyn and Marina Zavolock in Moscow wrote in a report dated today. “Steel traders within China are also pointing to increased imports from Russia, indicating that Chinese buying has caused some Russian producers to sell out of April export shipments.”

Steelmakers are also benefiting from the ruble’s decline as their costs are based in the local currency, while revenue is dollar-based, said Morgan Stanley, which estimated the cost of Russia steelmaking is 40 percent below the world average. The ruble fell 36 percent against the dollar since July 14.

Raspadskaya jumped 4.23 ruble, or 12 percent, to 38.44 rubles on the Micex Stock Exchange.



Iron Ore Climbs

Chinese iron ore spot prices jumped 5 percent last week, the biggest gain this year. The price is quoted once a week. Iron ore is recovering from a three-year low just as Cia. Vale do Rio Doce, Rio Tinto Group and BHP Billiton Ltd. start talks with Asian steelmakers to set prices for annual supply contracts.


The Baltic Dry Index, a measure of the cost to ship commodities that’s used as a gauge for demand, has advanced for 14 consecutive days. It jumped 9.6 percent on Feb. 6.

OAO GMK Norilsk Nickel, Russia’s biggest mining company, rose 7.4 percent to $4.63 in London. Nickel for three-month delivery rose for a second day on the London Metal Exchange. Copper also gained.

Das sieht Tatsache nach einer sehr schönen Resource aus, kann zu den möglichen Transportoptionen allerdings nichts sagen. Eine interessante Bemerkung ist auch diese: "Further helicopter supported rock sampling and mapping of areas of hematite potential within the Daltons JV’s 30 kilometres of known iron formation outcrop was carried out in the last few days ..."


Ich stecke hier nicht sehr tief in der Materie, mal schauen wie es weitergeht. Von der Gesamtaufstellung her wahrs. ein ziemlich interessantes Unternehmen.

Kleine Korrektur: Habe das mit dem "Western Creek" Projekt verwechselt, Mt. Webber liegt ja in "trucking distance" zum Hafen. Kann man mal auf die Scoping Study gespannt sein.

Giralia Runs Scoping Studies On Two Iron Ore Projects With A View To Fast Tracking Production - Minesite - Sep 30, 2009

"ASX listed Giralia Resources has that indefinable air about it of an efficient, well managed and intelligent operation. The fact that its share price is back where it was a year ago tells you that Mike Joyce and his co-directors did not cower away during the bad times, like some, but kept the profile and the level of activity up and running Admittedly they always had money in the bank as exemplified by the fact that at the beginning of this July there was A$67 million in the kitty. The interesting thing, however, is that brokers have failed to keep up with progress at the company despite a background of deals and good news in the iron ore industry. When Bell Potter wrote about the company in May of this year the share price was A57 cents and analyst Stephen Thomas put up a target price of A67 cents which was a reduction from the previous A$1.02/share.

His caution was based on the fact that no scoping or feasibility studies had been carried out on any of Giralia’s projects and they therefore remained high risk. Fair enough, but when cash accounts for around 34 per cent of current market capitalisation, and when the sale of any one of Giralia’s haematite projects could bring in all that cash, and more, at any time, it looks like Mr Thomas must have still been feeling a little bruised at the time. The point is that Giralia manages its money well, always seeking new sources of revenue; it also chooses its projects with care; and it knows a lot about exploration. In fact its getting close to being the full monty as its chosen product is haematite which is the higher grade form of iron ore. With bulk mineral such as iron ore there are two crucial judgements to be made. First, is the ore of such a consistently high grade that it can be direct shipped to customers, or does it need to be concentrated? Second, as transport is so vital to the profitability of bulk minerals, is it near road or rail?

Let’s start with the finance. Mike Joyce, the chief executive, explains that there was A$67 million in the kitty at the beginning of July, plus the value of the investments where Giralia has significant holdings as a result of spin-offs, and the average burn rate is only around A$1 million per quarter. It has a 10.4 per cent holding in PacMag Metals, a copper company, a 12 per cent stke in Zinc Co Australia, 10.4 per cent in Carpentaria Exploration and 5 per cent in Hazlewood Resources. OK. they all added up to only A$5 million at that time, but they should be worth more now and any of them could come good at a stroke. They certainly put a little sex into Giralia, but the main excitement is clearly in the iron ore projects. Beebyn-Weld Range, for instance, adjoins and is along strike from a major portion of the 149 million tonne JORC resource at Sinosteel Midwest and Sinosteel paid A$1.36 billion for Midwest not that long ago.

Mike Joyce reckons that this works out at a price of around A$9/tonne, but points out that the deal was done when the market was at a high. Even so if we take a price of A$6/tonne for the current JORC resource of 7.2 million tonnes at 57.2% iron Beebyn alone would be worth A$43 million and Mike reckons that the resource can be jacked up to nearer 20 million tonnes. In addition to this there is the nearby Beebynganna Hill project where 7 new zones of haematite outcrop have been discovered in an 11 km strip of banded iron formation. The latest news is that some RC drilling was carried out there recently and the best intersection was 28 metres at 59.1 per cent iron, but more importantly resource extensions were confirmed on the Weld Range. Earlier this year the Western Australian government executed a State Development Agreement for the Oakajee port and rail infrastructure which should take a railway to Beebyn and Beenbynganna Hill.

The 100 per cent owned Western Creek project is another that benefits from its proximity to BHP Billiton’s near surface Silver Knight iron ore deposit which is hosted in the Marra Mamba formation. Western Creek comprises a thick zone of flat lying or shallow dipping iron ore within 50 metres of surface and it is only 15 kms from the Mount Newman mining leases in the Pilbara where there are rail facilities. The current inferred resource amounts to 52.4 million tonnes of direct shipping ore at 56.7% iron and this is another where Mike reckons a significant uplift can be achieved as he has been encouraged by the initial results from helicopter and ground supported surface mapping and rock sampling over additional targets of similar mineralisation.

Lest investors think that Giralia is simply about building a portfolio of saleable iron ore projects he points out that scoping studies are in progress with a view to production at two projects where infrastructure solutions are readily available. The first of these is the 75 per cent owned Mt Webber project which is part of the Daltons joint venture with Haoma. It is only 150 kms south of Port Hedland and around 30 kms from the BHP and Fortescue rail lines. There is plenty of activity in the area as Atlas Iron is carrying out a pre-feasibility study on its Abydos deposit only 25 kms to the north and Fortescue has announced encouraging results from its joint venture with Baosteel on the nearby Glacier Valley magnetite deposit.

Mention of magnetite brings us to the other project undergoing scoping which is the Yerecoin project which is 150 kms north of Perth and only 1 km from a rail line. No resource has been estimated as yet , but drilling earlier this year gave intersections of 72 metres at 32.4% iron and 52.4 metres at 31.6% iron. Magnetite requires concentration but this magnetite is coarse and Davis Tube Recovery work has shown that it can be upgraded to a high quality concentrate. Sure, concentration costs money but the result can be sold for a higher price than direct shipping ore where the rough sums work out as an operating margin of A$15/tonne on ore sold for A$60/tonne. Anyway Mike Joyce recons that this could be fast tracked into production so it will be worth watching.

‘Pregnant with possibilities’ is a fair summation of Giralia and it is worth noting that its portfolios not confined to iron ore. The Lake Frome joint venture in which it has a 25 per cent free carried interest is bang next door to the Beverley uranium mine and its Snake Well gold project covers 45 kms of strike on the Archaean Tallering greenstone belt in the Western Murchison. Giralia has a 100 per cent right to the gold and Zinc Co Australia is earning a 75 per cent interest in other commodities. Then there come other projects in gold, copper, nickel and zinc, any of which could come good. Small wonder the share chart looks healthy as more investors climb on board. "

Strong results continue to extend current JORC resource to the south including 102 metres @ 58.2% Fe (63.5%CaFe) and there is significant figures on the eastern side of range of including interection of 74 metres @ 56.5% Fe, (63.6%CaFe).

An interim resource upgrade will be calculated when all results from drilling south of the current JORC resource are received. "

"Giralia Resources NL have reported the maiden JORC reported Mineral Resource at the Company’s 100% owned Yerecoin magnetite project, located around 120 kilometres NNE of Perth in Western Australia. The key to the development of the Yerecoin project is its location within 1 kilometre of existing rail access.

The overall Resource totals 186.8 million tonnes @ 30.9 % Fe (70.1% Fe, 2.1% SiO2 DTR concentrate) with weight recovery of 32.8% and includes 153.4 million tonnes @ 31.1%Fe (70.6% Fe, 1.7% SiO2 DTR concentrate) with weight recovery of 34.3%, in the northern Yerecoin area.

Davis Tube Recovery (“DTR”) and grind optimisation tests indicate that magnetite mineralisation at Yerecoin has exceptionally favourable magnetic separation liberation characteristics, likely to enable a premium product at a grind size much coarser than other Western Australian magnetite projects.

The maiden Mineral Resource estimate provides support for the Company’s previously defined Exploration Target at Yerecoin (200 to 250 million tonnes grading 30% to 35% Fe).

At the mining rate envisaged in the Scoping Study (7.5mtpa) this will equate to in excess of 20 years of production. Additional potential is envisaged in untested magnetic anomalies along strike. "

Die weltweit hergestellte Stahlmenge solle in diesem Jahr um 13,1 Prozent auf rund 1,27 Milliarden Tonnen steigen. Damit würde der bisherige Rekordwert von 2007 überschritten.....

SYDNEY Dec 21 (Reuters) - Australian miner Atlas Iron has agreed to buy domestic iron ore rival Giralia for A$828 million ($822 million), sending the shares of its target a massive 40 percent higher.

Atlas said the deal increasing scale and lower costs in the Pilbara iron ore region of Western Australia, and would create a group with a combined market capitalisation of around A$2.5 billion.

The cash and shares offer implies a price of A$4.57 per share, well above Giralia's last close at A$2.99 and sent Giralia's stock up 40 percent to A$4.2 per share by 0013 GMT. Atlas Iron shares meanwhile fell 3.7 percent to A$2.84.

Giralia Chairman Graham Riley welcomed the acquisition, saying it would create "a combined entity with the critical mass and required infrastructure to be a significant power in the Pilbara iron ore sector."

Atlas would immediately increase its resource base with an eye to higher production, while Giralia would gain access to Atlas' port facilities, he said.

Giralia's Daltons and McPhee Creek projects in the Pilbara, Western Australia, contain an aggregate mineral resource of 300 million tonnes. Giralia also holds numerous other iron ore and other mineral prospects, and a number of listed investments.

Atlas is currently mining and exporting at an annualised rate of 6 million tonnes a year from its Pardoo and Wodgina iron ore projects, also in the Pilbara, and has other projects in development.
