      Profile

      TerniEnergia is active in the energies from renewable sources business, particularly in the photovoltaic segment, where it operates as a system integrator. The Issuer, through a business model that provides for the integration and control of the entire process (marketing, design, installation and maintenance of systems) offers systems on a “turnkey” basis. Starting in 2007, the Company, through investees, added to the system integrator activity the production of electrical energy through the conversion of solar energy.
      The photovoltaic systems built by the Issuers generally have a power rating above 20 kWp. TerniEnergia mainly targets nationwide industrial groups, municipal or national electrical companies, and local authorities. As of March 31, 2008, TerniEnergia had completed 76 photovoltaic systems for a total installed power of approximately 6,037 kWp, emerging as one of Italy’s leading operators, characterized by significant knowledge and experience within the industry. The Company manages all the phases of the process including the installation and commissioning of the photovoltaic system, passing through site identification, marketing, project development and system construction, and the remote control and maintenance phases. The development of the solar sector was given considerable and decisive momentum as a result of the promulgation of the Ministerial Decree on July 28, 2005, and in particular of the Ministerial Decree on February 18, 2007, which introduced in the Italian law an incentive scheme for the production of electrical energy from photovoltaic systems (the so-called Conto Energia, i.e. Energy Account, and Nuovo Conto Energia, i.e. New Energy Account).

      Introduction of Industrial Plan 2009-2011

      * Progressive consolidation of TerniEnergia as a leader in the production of large photovoltaic plants.

      Milano, 20 November 2008 – TerniEnergia, an Expandi quoted company on the Italian Stock Exchange, introduced its 2009-2011 industrial plan today in the scope of the “Il fotovoltaico: una nuova industria in Italia” (Photovoltaic power: a new industry in Italy”) conference organized by the company itself.

      The industrial plan outlines a progressive and constant growth trend regarding production as well as revenue and profitability. In particular, TerniEnergia shall progressively expand the plants produced in order to become a general contractor for the production of large photovoltaic power stations (for third parties and proprietory clients).

      The plan guidelines are briefly as follows:


      * completion of partnership agreements with primary industrial groups following the approach that led to SolarEnergy and EnergiaAlternativa joint ventures;
      * consolidation of existing industrial relations i.e with Foresight mutual fund;
      * development of new industrial relations with industrial as well as financial partners.


      In order to finance development of the company, the TerniEnergia Assembly recently decided to issue 2.400,000 new shares in the scope of private placings in favour of Italian and foreign institutional investors and industrial investors by 31 March 2009.
      Intermonte and Unipol Merchant Banca per le Imprese were nominated Joint Global Coordinators for placing of shares through increase of capital.

      Concerning year end closure 2008, TerniEnergia foresees a consolidated turnover of approx. 34 million euro, an increase exceeding 250% with respect to 9.6 million euro in 2007. By the end of the year, the company is expected to produce a total of 41 photovoltaic plants having an installed capacity of 11 MW, of which 3.994 kW generated by five large plants produced for Solar Energy. This result represents an increase of approx. 300% with respect to 3,5 MW installed in 2007.

      In 2009, TerniEnergia is expected to install plants having total capacity of approx. 22 MW (+100% with respect to 2008) of which 10 MW represented by installations produced for the two existing joint ventures and 12 MW represented by installations produced for third parties.

      Moreover, management foresees for 2010 and 2011 an annual average production growth of approx. 30%, in line with the expected growth of the market. Concerning revenues, 54,4% average annual growth is foreseen with expectations of reaching approx. 63 million euro by the end of 2009, about 90 million euro in the subsequent year and finally 125.2 million euro at the end of the plan period.

      The “Il fotovoltaico: una nuova industria in Italia” (Photovoltaic power: a new industry in Italy”) conference – Focusing on thermodynamic solar

      The conference including the TerniEnergia industrial plan particularly highlighted interesting prospects deriving from CSP energy, duly reported by the consultancy firm EnVent. This technology enables the concentration of solar heat thus generating steam transferred to an electricity-generating turbine. CSP has characteristics that make it convenient for medium-large plants (power between 5 MW - 250 MW) which thus require very large areas usually distant from final users.

      CSP is witnessing a stage of intense growth and the installed power could reach 3,000 MW in 2010 (CAGR 2005 – 2010 exceeding 50%) and possibly reaching – according to Mckinsey – approx. 17,000 MW in 2015 and 46,000 MW in 2020 in the world.

      Spain was one of the first countries to have approved incentive-producing rates. Rate procedures resembling the Spanish model are setting in rapidly and Italy, France, Greece, Israel, Portugal, Algeria, Egypt and other countries have adopted incentive-bearing plans thus giving further drive to the sector.

      The south-west states of the U.S.A. and the Mediterranean basin are very potential areas for the development of thermodynamic solar plants. Estimates reported by EnVent concerning the potential of the Mediterranean area pinpointed the possibility of reaching approx. 400 GW of installed power by 2050, a capacity which is very close to the installed power provided by fossil fuels excluding coal.

      In Italy, the energy expenditure procedure for thermodynamic solar power is similar to the one approved for photovoltaic power except that the rates are lower. The decree set duration of the incentive to 25 years, imposing thermal storage and outlined restrictions for areas occupied by the plants that, in terms of installed power, amounts to 250 MW. In this sector, Italy can create and develop entire industrial facilities that, thanks to research carried out by ENEA in past years and the immediate involvement of the industrial sector, could play a primary role in the world CSP panorama.

      Research carried out by DLR (German Aerospace Centre) estimated that in Italy it is economically convenient to generate approx. 5 TWh per year using CSP technology, amounting to approx. 1,250 MW.

      TERNIENERGIA: A THREE-YEAR AGREEMENT HAS BEEN REACHED WITH SOLSONICA FOR THE SUPPLY OF PHOTOVOLTAIC SOLAR MODULES

      Terni, 13 October 2008 - TerniEnergia, company operating in the field of renewable energy sources and main ‘integrator system’ in Italy in the photovoltaic sector, at the end of July listed on the Espandi Market of the Borsa Italiana Spa, has sealed an agreement with Solsonica S.p.A., the EEMS Group company, avant-garde in Italian photovoltaic technology thanks to the production of cells and modules and to the supply of integrated solutions.
      The agreement regards the supply of photovoltaic modules up to a maximum of 29 MW, in the three-year period 2009-2011.
      “This contract”, underlines Stefano Neri, the President of TerniEnergia, “substantially contributes in guaranteeing the necessary procurement for the realization of TerniEnergia expansion programmes over the following three years”.
      “The cooperation with Solsonica”, continues Stefano Neri, “will enable a worthwhile exchange of experiences between two industrial entities which are among the leaders in the Italian photovoltaic sector”.

      TERNIENERGIA: The Board of Directors has approved the report at 30.09.2008 and the 2009-2011 industrial plan

      * At 30.09.2008 proceeds equal to 24.15 million Euros have been recorded, with a 344% increase with respect to 5.43 million Euros of the same period in 2007
      * Gross Operating Margin (EBITDA) equal to 2.1 million Euros in the first nine months of the year compared to 212.8 thousand Euros at 30.09.2007
      * At 30.09.2008 the net financial position has been positive for 210 thousand Euros, with a substantial balance with respect to 31.12.2007 and with a net decrease with respect to the value of June 2008
      * An agreement has been undersigned with the company managing the Foresight investment funds, concerning the turnkey supply of 5-MW photovoltaic plants by 31 December 2009
      * A 2009-2011 industrial plan has been approved, that foresees proceeds equal to 62 million Euros for 2009 with a EBITDA equal to 5.74 million Euros

      By the end of September 2008, the Company has achieved important goals consolidating its national leadership in the manufacturing of medium and large photovoltaic plants, amounting to 37 plants having a total power of 9.3 MWp. In the same period in 2007, TerniEnergia had realized 27 plants for 0.9 MWp.

      In particular, in the month of September, a framework agreement was undersigned between TerniEnergia and the English company managing the Foresight investment funds for the turnkey supply of photovoltaic plants to be realized in Italy by 31 December 2009, having a global 5-MW capacity. The agreement is part of a wider project by Foresight, that foresees in the next three years investments for the achievement of 150/200 MW photovoltaic plants in Italy and in the Mediterranean area. These investments shall lead to a
      further involvement of TerniEnergia in equal conditions.

      Main results at 30.09.2008

      In the first 9 months of 2008, the proceeds by TerniEnergia amounted to 24.15 million Euros with 344% increase with respect to 5.43 million Euros of the same period in 2007, thanks to the considerable increase of activity. With respect to the previous period, apart from the installed power variation (+916%), there was a substantial increase of the average plant dimensions as well, from 34 kWp in 2007 to 251 kWp in 2008. These factors made the operational result grow even in relation to the economics to scale achieved.

      The gross EBITDA of 2.1 million Euros amounted to 8.7% of the turnover. At 30 September 2007, EBITDA was equal to 0.213 million Euros, with a 3.9% effect on proceeds. Following appropriation of net amortizations and provisions equal to 101 thousand Euros, the operational result (EBIT) is positive amounting to 1.9 million Euros with an 8.3% effect on proceeds. The pre-tax profit amounts to 1.46 million Euros, following the impact of financial costs equal to 186 thousand Euros and a negative sum of joint venture result amounting to 355 thousand Euros.

      The net profit at 30.09.2008 is equal to € 881.359.

      In the first nine months of 2008, the net working capital has significantly increased with respect to the value at the end of 2007, mainly because of the substantial increase of the trade credit following the company increased volume of assets.

      The net financial position at 30.09.2008 equal to 210 thousand Euros was basically unchanged with respect to December 2007 and is totally decreasing with respect to the value of June 2008 (negative for 6.33 million Euros), also enjoying the positive effects of the increase of capital referred to the Public Offer for Subscription.

      2009-2011 Industrial Plan

      The Board of Directors of TerniEnergia has approved the 2009-2011 industrial plan with the guidelines summarized hereunder:

      * A more and more specialized approach to the manufacturing of large photovoltaic plants;
      * Partnerships with important industrial groups;
      * Consolidation of already existing industria relations.

      The plan foresees:

      * The installation of plants in 2009 for a total capacity of about 22 MW (+100% with respect to 2008), 10 MW of which coming from the T.E.R.N.I. SolarEnergy-EnergiaAlternativa joint venture;
      * A yearly average increase in production amounting to about 30% for the two following years (2010 and 2011), in line with the market expected increase;
      * A yearly average increase in proceeds amounting to 54.4%, with the expectation to achieve proceeds equal to 125.2 million Euros and an EBITDA of 11.8 milioni Euros at the end of the period in 2011.


      Moreover, the industrial plan will be illustrated in details during the conference on photovoltaic plants organized by TerniEnergia at the seat of Borsa Italiana, in Milan on the next 20 November.

      The considerable revenue and profitability growth registered in the 1st half-year 2008 testifies the Company’s continuous development. The Company is currently among the main operators in the Italian photovoltaic sector, especially concerning industrial plants.

      Main half-year results

      The Company has made revenues equal to 14,583,522 Euro, substantially in line with the budget forecast with an increase of over 341% in respect to the 3,306,027 Euro of the corresponding half-year 2007.

      On the profitability front, the Gross Operative Margin (EBITDA) was equal to 1,204,424 Euro, while it was negative for 14,089 Euro in the same half-year 2007.

      Also analysing the revenues, EBITDA has increased, going from -0.4% in the first half-year 2007 to 8.3% in the first half-year 2008. However the marginality improvement at 30 June 2008 has been affected by some negative non-recurring revenue components mainly linked to the consolidation of the operative structure and some minor aspects concerning the Stock Exchange listing process.
      The Operative Result (EBIT) has reached 1,137,543 Euro, while at 30 June 2007 it was negative for 73,922 Euro.

      The pre-tax result was equal to 776,852 Euro, rapidly growing in respect to the negative result of 83,207 Euro registered in the corresponding half-year 2007.

      Net profit reached 411,082 Euro, compared to a loss of 65,094 Euro registered at the end of the 1st half-year 2007.

      The net financial debt at 30 June 2008 was 6,338,052 Euro, while at 31 December 2007 the Company had no financial debts. In this regard it is reported that in the period in question, company growth, especially concerning working capital, was backed up by the partial financing with the credit lines available to the Company. Nevertheless, the Company’s financial structure remains very solid and this debt level is not structural, as testified by the evolution highlighted by the same over the months following 30 June 2008. In fact, at 31 July 2008, the Net Financial Position was negative (cash) for 2,721,619 Euro, due mainly to the collection of a commodity credit of over 4,600,000 Euro, in the month of July. It was this postponement in respect to the natural deadline of the credit collection, due to the extension of the preliminary for the leasing payment, which mainly gave rise to temporary, further financing by the Company.

      Net capital at 30 June 2008 was equal to 5,040,566 Euro, compared to 5,038,485 Euro at 31 December 2007.

      Expected evolution of management

      During the months of July and August 2008, the high growth of activity already demonstrated during the first half-year of the fiscal year continued. In particular, as well as those already acquired, five new worksites were opened and three new contracts were concluded for the construction of as many power plants superior to 900 kWp, for which the start-up of work is foreseen in one case, within the forth half-year, and the remaining two within the first half-year 2009.

      As from the second half-year of the fiscal year 2008, the Company intends to continue the accomplishment of the process of strategic focusing in the segment of large plants initiated during the final part of the fiscal year 2007.

      Furthermore, TerniEnergia wishes to strengthen its presence in the renewable energy sector, through the on-going joint ventures, as well as through the formation of similar new initiatives. To this aim informal interviews with potential partners are underway.

      On the basis of the planning carried out, in the second half of the 2008 fiscal year, installations shall mainly concern plants for third parties that guarantee margins in absolute value, higher in respect to those installed for the SolarEnergy joint venture.

      Furthermore, wind farm development shall continue in order to obtain the necessary administrative authorizations as soon as possible at first request for the development of the three planned wind farms.

      Terni, 16 February 2009 – TerniEnergia, company operating in the field of renewable energy, among the main integrator systems in Italy in the photovoltaic sector and listed on the Expandi Market of the Italian Stock Exchange, has won the Enel Green Power tender together with another operator for the installation of the 6 MWp photovoltaic station at Montalto di Castro (Viterbo) owned by the same Enel. TerniEnergia will be involved above all in the executive planning and some implementation stages.

      The plant, which is just under 10 hectares, will be the biggest in Italy and seventh in Europe. For some days now works are underway and are estimated to be finished by July.
      Expected energy production will be around 7 million kilowatts a year, equal to the requirements of 2,700 families. Furthermore, the clean energy generated will help to avoid the yearly atmospheric emission of nearly 5 thousand tons of carbon dioxide, with an obvious advantage for the environment.

      Terni, 24 March 2009 – TerniEnergia, company active in the field of renewable energy,
      among the main integrator systems in Italy in the photovoltaic sector and listed on the
      Expandi Market of the Italian Stock Exchange and NextEnergy Capital, European merchant
      bank specialized in the sector of renewable energy, have signed an agreement for the
      manufacture of photovoltaic plants in Italy in the 2009-2010 period, for a total capacity of 15
      MW. The agreement foresees a total investment of over 70 million Euro.

      TerniEnergia, counting especially on its consolidated experience as system integrator, will
      deal with all the construction stages of the plants: from the purchase and development of the
      sites, to the building and network connection, supplying “turnkey” plants.

      By constantly developing its projects, NextEnergy Capital aims at investment opportunities
      concerning all the variety of technologies (mainly solar, wind, biomass, hydro and
      geothermal) and has an increasing number of transactions under negotiation in the solar
      sector, particularly active in Italy. The Company will provide opportunities and play an
      advisory role for projects in the initial stage and for plants under construction all over Europe
      to invest directly or in its own investment funds and platforms.

      Terni, 27 marzo 2009 - il Consiglio di Amministrazione di TerniEnergia S.p.A. - società quotata alla classe 2 del mercato Expandi di Borsa Italiana S.p.A. - ha approvato il progetto di bilancio al 31.12.2008.

      Nell’esercizio 2008 TerniEnergia ha conseguito importanti traguardi, consolidando la propria leadership nazionale nel settore della fornitura “chiavi in mano” di impianti fotovoltaici di medie e grandi dimensioni.
      TerniEnergia ha realizzato infatti 10 impianti di dimensione prossima al MWp, facendo registrare nel 2008 una crescita consistente della dimensione media degli impianti, che ha raggiunto il livello di 335 kW dai circa 70 kW dell’anno precedente.
      La Società ha in complesso realizzato nel corso del 2008 41 nuovi impianti per una potenza di 10,6 MWp.
      Dall’inizio della sua attivita’ nel 2006, TerniEnergia ha installato complessivamente oltre 100 impianti con una capacita’ cumulata di circa 15 MWp.

      La Società, che ha portato a compimento il progetto di quotazione il 25 luglio 2008, punta inoltre a rafforzare il proprio ruolo di produttore di energia elettrica da fonte solare. A questo riguardo si evidenzia che T.E.R.N.I.
      SolarEnergy, joint-venture paritetica con EDF EN Italia, e’ proprietaria alla fine del 2008 di un portafoglio di sette impianti fotovoltaici, tutti in esercizio ed allacciati alla rete elettrica nazionale, per una potenza di 5,7 MWp.

      TerniEnergia è stata inoltre impegnata a cogliere le opportunità derivanti dal crescente interesse per il settore fotovoltaico italiano dei fondi di investimento che operano nelle rinnovabili, anche alla luce della revisione in senso restrittivo dei meccanismi di incentivazione finora utilizzati in altri Paesi (Germania e Spagna). Nell’autunno 2008 è stato sottoscritto un accordo quadro con la società di gestione di Fondi di Investimento Foresight, per la fornitura chiavi in mano di impianti fotovoltaici da realizzarsi in Italia entro il 31 dicembre 2009 per una capacità globale di 5 MW.
      A marzo 2009 si è concretizzato un ulteriore sviluppo in questo senso. TerniEnergia ha infatti siglato un accordo con NextEnergy Capital, merchant bank europea specializzata nel settore delle energie rinnovabili, per la realizzazione di impianti fotovoltaici in Italia nel periodo 2009-2010, per una capacità complessiva di 15 MW.

      Principali risultati dell’esercizio 2008

      I ricavi netti per vendite e prestazioni dell’esercizio 2008 sono stati pari ad 31,8 milioni di Euro, in forte crescita (+263%) rispetto all'esercizio precedente (8,7 milioni di Euro), in virtù del rilevante incremento nei volumi di attività fatto registrare dalla societa’. In particolare 27,5 milioni di Euro sono derivati da realizzazioni conto terzi, mentre 3,4 milioni di Euro sono derivati dalla joint venture T.E.R.N.I. SolarEnergy, al netto delle elisioni infragruppo.

      Il rilevante incremento dell’attività del 2008 ha comportato un progressivo adeguamento della struttura organizzativa e operativa, generando un conseguente aumento dei costi operativi. Sull’esercizio 2008 hanno anche avuto impatto le spese collegate all’operazione di quotazione.

      Il margine operativo lordo (EBITDA) fatto registrare al 31.12.2008 e’ stato di 2,3 milioni di Euro, pari al 7,4 % del fatturato. Al 31 dicembre 2007, l'EBITDA era stato pari ad 582 mila Euro (incidenza sui ricavi pari al 6,6%). L'incremento evidenziato dall'EBITDA è a sua volta il risultato della marcata crescita del business nel corso del periodo di riferimento.

      Gli ammortamenti, accantonamenti e svalutazioni sono aumentati a 648mila Euro nel corso del 2008 rispetto ai 105mila Euro dell’esercizio 2007. Questo incremento risente anche dell’impatto della svalutazione di un immobile di proprieta’ di TerniEnergia utile alla promozione dell’attivita’ per la realizzazione di impianti di piccole e medie dimensioni. Vista la focalizzazione dell’attivita’ su impianti fotovoltaici di tipo industriale, a marzo 2009 la Società ha siglato un preliminare di vendita di tale bene, alla luce della possibilita’ di liberare capitale immobilizzato a fronte di un investimento non piu’ necessario.

      Il risultato operativo è stato pari a 1,7 milioni di Euro a fronte di 476.733 di Euro al 31,12.2007. L’utile di periodo ha fatto registrare un incremento molto consistente, raggiungendo 532mila Euro nel 2008 rispetto ai 10.340 Euro dell’esercizio 2007.

      Al 31 dicembre 2008 si è registrato un indebitamento per 5,9 milioni di Euro, in peggioramento rispetto al valore registrato al 30 settembre 2008 (posizione finanziaria netta pari a 210 mila Euro). La causa principale e’ rappresentata dallo slittamento rispetto alla naturale scadenza dei tempi di incasso di alcuni crediti, imputabile al prolungarsi dell'istruttoria per la concessione del leasing da parte della clientela. In particolare questo fenomeno ha riguardato un impianto di grandi dimensioni (984 kWp), di valore pari a 5 milioni di Euro, il cui pagamento e’ stato rinviato rispetto all’ultimo trimestre dell’anno.

      Il CdA di TerniEnergia ha infine deliberato la convocazione dell’Assemblea Ordinaria per l’approvazione del bilancio al 31.12.2008 in data 28 aprile 2009 (prima convocazione) e 29 aprile 2009 (seconda convocazione).

      Evoluzione prevedibile della gestione

      La Società intende proseguire anche nel 2009 il processo di concentrazione strategica nel segmento degli impianti di grandi dimensioni. Questa scelta è dovuta principalmente alla possibilita’ di conseguire importanti economie di scala e poter realizzare significative efficienze di natura autorizzativo/burocratica rispetto ai piccoli impianti.

      Un percorso di crescita di particolare rilevanza per la Societa’ nel prossimo periodo e’ inoltre rappresentato dal rafforzamento dell’attivita’ di produzione di energia da fonte solare, svolta attualmente tramite joint-venture controllate pariteticamente con un partner di prestigio e comprovata solidità finanziaria quale EdF EN Italia. Per gli anni 2009 e 2010 il sistema di incentivi stabilito in Italia dal “nuovo Conto Energia” per i produttori di energia da fonte solare sembra essere tra i piu’ attraenti a livello europeo, soprattutto alla luce della revisione in senso restrittivo dei meccanismi finora utilizzati in Spagna ed in Germania. A questi introiti si aggiunge il ricavo derivante dalla vendita dell’energia prodotta al distributore locale della rete.

      Infine, per quanto riguarda il settore eolico, verrà continuata l’attività di sviluppo, volta in prima istanza all’ottenimento delle necessarie autorizzazioni amministrative in tempi più rapidi. Per quanto concerne il parco eolico da 18 MW di Colle Ventatoio, la Società sta intrattenendo colloqui informali finalizzati alla costituzione di una joint-venture che ne gestisca la progettazione e la successiva realizzazione, sulla base del modello già sperimentato con successo per gli impianti fotovoltaici.

      Terni, 7 luglio 2009 – TerniEnergia, società attiva nel campo dell’energia da fonti rinnovabili, tra i
      principali system integrator in Italia nel settore fotovoltaico, annuncia la conclusione dei lavori per la
      realizzazione di 8 impianti fotovoltaici nel secondo trimestre 2009, per una capacità complessiva di
      oltre 6 MWp.

      Sul totale dei parchi fotovoltaici realizzati, tre impianti sono stati realizzati per Conto Terzi “chiavi in
      mano” (con fornitura di pannelli e inverter), per una capacità di oltre 2 MWp. Altri due impianti “Conto
      Terzi” sono stati invece installati per conto del cliente EDF EN Italia (senza fornitura di pannelli e
      inverter), per una potenza complessiva di circa 1,9 MWp.

      Sono stati inoltre conclusi i lavori affidati dall’Enel, relativi all’impianto fotovoltaico da 6 MWp presso la
      centrale termoelettrica di Montalto di Castro (Viterbo). TerniEnergia si è occupata in particolare della
      progettazione esecutiva e di alcune fasi della realizzazione. L’impianto, con un'estensione di poco
      inferiore ai 10 ettari, sarà il più grande in Italia e il settimo in Europa. La produzione di energia attesa è
      di circa 7 milioni di chilowattora l'anno, pari al fabbisogno di 2.700 famiglie. L'energia pulita generata
      consentirà inoltre di evitare ogni anno l'emissione in atmosfera di quasi 5mila tonnellate di anidride
      carbonica, con un evidente beneficio per l'ambiente.

      TerniEnergia comunica inoltre l’avvio dell’operatività della terza joint venture costituita con EDF EN
      Italia, la Società del gruppo EdF dedicata allo sviluppo delle energie rinnovabili nel nostro Paese.

      Terni, 07 July 2009 – TerniEnergia, the company operating in the renewable energy sources sector and one of the main system integrators in the photovoltaic sector in Italy, announced completion, in the second quarter of 2009, of works for the construction of 8 photovoltaic installations having total capacity of 6 MWp.

      Over the total photovoltaic park, three installations were constructed for third parties turn-key supply (including panels and inverters), exceeding 2 MWp. Two other third-party systems were installed for EDF EN Italia (excluding panels and inverters), amounting to approx. 1.9 MWp.

      Works commissioned by ENEL regarding the photovoltaic 6 MWp installation at the Montalto di Castro (Viterbo) thermal power plant were completed as well. In particular, TerniEnergia carried out the executive planning of various stages of construction. The 10 hectare (approx.) installation is the biggest in Italy and the seventh biggest in Europe. The expected production of energy is approx. 7 million kilowatt-hours per year, meeting the requirements of 2.700 households. Moreover, the clean energy generated will prevent the emission of nearly 5 thousand tons of carbon dioxide into the air each year thus providing obvious benefits for the environment.

      In addition, TerniEnergia notifies the operability of the third joint venture with EDF EN Italia, the company owned by the EdF Group dedicated to development of renewable energy in our country.

      Enerfie Srl, jointly controlled by the two partners, constructed its first 800 MWp installation at Galatone (Lecce). The start of the third joint venture further consolidates the alliance between TerniEnergie and EdF EN Italia that are currently partners in the joint venture T.E.R.N.I. SolarEnergy and Energia Alternativa.
      In particular, T.E.R.N.I. SolarEnergy is among the main Italian producers of energy from photovoltaic renewable sources. In the period May 2007 – December 2008, T.E.R.N.I. SolarEnergy constructed 7 big installations in Italy generating approx. 6 MW of total power; these installations are currently and fully operational and five of them meet all the architectural integration requirements.

      Centrobanca (Ubi Banca Group) and MPS Capital Services (Montepaschi Group) are the mandated lead arrangers (MLA) of the operation. The total funded sum is 24 million euros. MPS Capital Services shall be bank agent as well.

      The financing plan regards the portfolio of the joint venture T.E.R.N.I. SolarEnergy of seven photovoltaic power installations in Umbria and Puglia having installed power of 6 MW each.

      The funded photovoltaic installations are currently and completely constructed, connected up to the power transmission grid and running.

The total funded sum is 24 million euro directed in particular to refinancing for construction and support in the management stage.

      These installations having 6 MW each are located in Umbria (installations positioned on shelters) and in Puglia (fixed installations on the ground) and are supplied turnkey and run by TerniEnergia.

      T.E.R.N.I. SolarEnergy is one of the major Italian producers of photovoltaic energy generated from renewable sources. TerniEnergia mainly strives to consolidate the production of energy from solar sources through joint venture companies mutually controlled by EDF EN Italia. Recently, a third joint venture (apart from T.E.R.N.I. SolarEnergy and Energia Alternativa) was established between the two companies and named Energie Arl. The start of the third mutual venture further consolidates the alliance between the companies that have been partners for some time.

      Centrobanca, the Corporate and Investment Bank of the UBI Group, is active in the sector with teams dedicated to various segments of the market including solutions that are adequate for the dimensions and types of installations. The bank was established in the first part of the year in which the resolutions for financing of renewable energy increased by 35% with respect to the whole of 2008, leading to an expenditure of approx. 700 million euro.

      MPS Capital Services Banca per le Imprese that in the scope of the T.E.R.N.I. SolarEnergy operation has the role of MLA and acts as the consortium’s bank agent as well, is the Montepaschi Group company specialized in providing banking and consultancy services to corporate and institutional clientele as well as agencies and Public Administration. Through its own organization specialized in project financing, it provides financial support to electrical power production projects especially deriving from renewable sources as well as to public-private partnership operations for the achievement of public works according to the project financing outline or rather to the general contractor.

      Terni, 27 luglio 2009 - Il Consiglio di Amministrazione di TerniEnergia S.p.A., società attiva nel campo dell’energia da fonti rinnovabili e tra i principali system integrator in Italia nel settore fotovoltaico, ha presentato in data odierna la proposta di un piano di acquisto di azioni proprie (buy-back), da sottoporre, ai fini della relativa autorizzazione, all’esame dell’Assemblea ordinaria degli Azionisti.
      Il CdA ha stabilito di convocare l’Assemblea ordinaria degli Azionisti per deliberare a tal fine il primo settembre 2009.

      Motivazioni della richiesta di autorizzazione

      I principali obiettivi che il Consiglio di Amministrazione intende perseguire mediante le operazioni per le quali si chiede l’autorizzazione sono:
      - disporre di titoli da utilizzare quale corrispettivo nell’ambito di eventuali operazioni di natura straordinaria e/o strategica, anche mediante scambio di partecipazioni, con altri soggetti, inclusi partner industriali e/o commerciali;
      - costituire la provvista necessaria a dare esecuzione ad eventuali piani di stock option che dovessero essere in futuro approvati. Tali piani potranno essere varati al fine di rendere sempre più competitiva la capacità di attrarre e
      mantenere nella Società le migliori competenze manageriali.

      Le operazioni di acquisto non sono strumentali alla riduzione del capitale sociale mediante annullamento delle azioni proprie acquistate, né intenzionalmente finalizzate ad operazioni di delisting della Società.

      Numero Massimo di azioni proprie acquistabili

      Il capitale sociale, interamente sottoscritto e versato, è pari a Euro 12.410.000,00, ed è rappresentato da n.24.820.000 azioni ordinarie, prive di valore nominale.
      La proposta in oggetto riguarda l’acquisto, in una o più volte, di un numero massimo di 1.241.000 azioni proprie, fino al 5% del capitale sociale, avuto riguardo alle azioni proprie possedute direttamente e a quelle possedute da eventuali società controllate. La Società non detiene attualmente azioni proprie.

      Periodo di validità dell’autorizzazione assembleare

      L’autorizzazione all’acquisto delle azioni proprie è richiesta per un periodo di 18 mesi dalla data dell’Assemblea che ne abbia deliberato l’autorizzazione. L’autorizzazione alla disposizione delle azioni proprie acquistate di volta
      in volta e detenute in portafoglio è richiesta senza limiti temporali.

      Indicazione del prezzo minimo e massimo

      Il corrispettivo unitario per l’acquisto delle azioni non può essere né superiore né inferiore del 10% rispetto al prezzo di riferimento registrato dal titolo nella seduta di Borsa precedente ogni singola operazione di acquisto.
      Dal punto di vista del corrispettivo per l’alienazione delle azioni proprie acquistate, il Consiglio di Amministrazione avrà il potere discrezionale di determinare, di volta in volta, ogni ulteriore condizione, modalità e termine avuto riguardo all’andamento dei prezzi delle azioni nel periodo precedente l’operazione ed al migliore interesse per la Società.

      Modalità per l’effettuazione degli acquisti

      Gli acquisti di azioni proprie dovranno essere effettuati nel rispetto della normativa vigente in materia, anche di natura regolamentare e, in particolare, ai sensi dell’articolo 132 del TUF e dell’articolo 144-bis, del Regolamento
      Emittenti e secondo le modalità di cui all’art. 5 del Regolamento CE 2273/2003.
      Tra le varie modalità consentite dal Regolamento Emittenti (in particolare mediante offerta pubblica di acquisto o di scambio ovvero sui mercati regolamentati), il Consiglio di Amministrazione di TerniEnergia S.p.A. ritiene preferibile l’acquisto sui mercati regolamentati. Per quanto riguarda le operazioni di disposizione di azioni proprie, il Consiglio di Amministrazione propone che l’autorizzazione ne consenta l’esecuzione, in una o più volte, senza limiti temporali, e nei modi ritenuti più opportuni per conseguire la finalità proposta.

      Terni, 28 agosto 2009 - Il Consiglio di Amministrazione di TerniEnergia S.p.A. - società quotata al mercato Expandi di Borsa Italiana S.p.A. - ha approvato i risultati economico-finanziari conseguiti nel 1° semestre 2009.

      In questo periodo la società ha ulteriormente consolidato la propria leadership nel settore della fornitura “chiavi in mano” di impianti fotovoltaici di media e grande dimensione, avendo realizzato 13 nuovi impianti fotovoltaici industriali per una potenza installata di 8.6 MWp. Dei nuovi impianti, 8 sono stati realizzati nel secondo trimestre. La dimensione media degli impianti realizzati è aumentata in modo consistente nel corso del primo semestre 2009, raggiungendo i 664 kWp, rispetto ai 195 kWp del corrispondente periodo del 2008.
      Dall’inizio della sua attività, nel 2006, gli impianti realizzati da TerniEnergia salgono quindi a 113, con una capacità cumulata di oltre 25 MWp.

      Quattro degli impianti realizzati nel primo semestre del 2009, per una potenza installata complessiva di 3,7 MWp, sono di proprietà delle joint venture paritetiche con Edf Energies Nouvelles, attive nella produzione e nella vendita di energia elettrica, che al 30 giugno 2009 contano dunque su un portafoglio di 11 impianti fotovoltaici, per una capacità complessiva pari a 9,4 MW. Nel mese di giugno 2009 ha iniziato la propria attività la terza joint venture con EDF EN Italia S.p.A, Energie Srl, che ha realizzato il suo primo impianto da 820 kWp nel comune di Galatone (Lecce). La partenza della terza iniziativa comune consolida ulteriormente l’alleanza tra le due aziende, che sono già partner da tempo nelle società T.E.R.N.I. SolarEnergy, EnergiaAlternativa.

      È stata inoltre conclusa la realizzazione dell’impianto fotovoltaico da 6 MWp presso la centrale termoelettrica di Montalto di Castro (Viterbo) di proprietà di Enel, per la quale TerniEnergia si è occupata della progettazione esecutiva e di alcune fasi della realizzazione. L’impianto, con un'estensione di poco inferiore ai 10 ettari, sarà il più grande in Italia e il settimo in Europa.

      Nei primi sei mesi del 2009 TerniEnergia ha registrato ricavi netti pari a 20,618 milioni di euro, in aumento del 41,4% rispetto al primo semestre del 2008.
      Il margine operativo lordo (EBITDA) è ammontato a 2,806 milioni di euro, pari al 13,6% del fatturato, con un incremento del 133% rispetto agli 1,2 milioni dei primi sei mesi del 2008 (quando l’incidenza sui ricavi era pari all’8,3%). L’EBIT registra una crescita del 116%, attestandosi a 2,459 milioni di euro, rispetto ai 1,137 milioni dello stesso periodo dell’anno precedente.
      Il consistente incremento dei margini è il risultato della marcata crescita del business nel corso del periodo di riferimento, delle economie di scala su alcuni costi operativi variabili e dell’azione di contenimento dei costi di struttura.

      Notevole la crescita dell’utile netto di periodo (+196,8%), pari a 1,220 milioni di euro. L’utile ante imposte al 30 giugno 2009 è stato pari a 2 milioni di euro, rispetto ai 776 mila euro registrati al 31.03.2008.

      Aumentano anche le risorse proprie della società. In seguito all’aumento di capitale del 27 febbraio 2009 sono state emesse n. 800.000 azioni ordinarie al prezzo di 1,60 euro, per un totale di 1,208 milioni di euro, di cui 880mila a titolo di sovraprezzo. Considerando anche l’utile netto di periodo, il Patrimonio Netto è dunque aumentato dai 9 milioni di fine 2008 agli attuali 11,5 milioni di euro. L’indebitamento netto al 30.06.2009 è pari a 9,3 milioni di euro.

      TerniEnergia completes its 2009 installation target three months in advance

      By the end of September, TerniEnergia should have completed all nine of its new PV solar installations in Puglia, Marche and Umbria with a total combined capacity of 10MW. Five of the new installations are assigned to the joint ventures for the production and sales of electrical energy from solar sources, with total combined capacity of 6MWp, while the other four are for third parties and will achieve 4MWp, says Solarbuzz.

      These new installations will be spread across seven new construction sites in the three aforementioned locations. The plant in Umbria is a photovoltaic park with power capacity exceeding 3MWp.

      The five new installations totaling 6MW are assigned to the joint ventures for TerniEnergia with Edf Energies Nouvelles Italia - EnergiaAlternativa and Energie, for the sale of generated energy.

      Once these installations are complete, the TerniEnergia will have achieved its goals set for the end of 2009, a full three months early.

      Terni, 10 settembre 2009 - TerniEnergia, società attiva nel campo dell’energia da fonti rinnovabili, tra i principali system integrator in Italia nel settore fotovoltaico, annuncia che in data 8 settembre sono state perfezionate le acquisizioni delle società a responsabilità limitata Capital Solar, Newcoenergy e Investimenti Infrastrutture con sede in Nardò (LE).

      Le operazioni di acquisizione delle tre società sono finalizzate allo sviluppo di 15 nuovi impianti fotovoltaici di taglia industriale in Puglia, di cui quattro già pronti per l’avviamento dei lavori, e i restanti undici a diversi gradi di avanzamento.

      TerniEnergia prevede di completare i nuovi 15 impianti, che complessivamente raggiungono una capacità pari a circa 13 MWp, al più tardi entro il primo trimestre del prossimo anno.

      Grazie a tali acquisizioni TerniEnergia arricchisce ulteriormente il proprio portafoglio produttivo, che, al 30 giugno 2009, conta 113 impianti fotovoltaici, con una capacità cumulata di oltre 25 MWp.
      Entro la fine del mese inoltre, la società completerà la costruzione di altri 9 impianti fotovoltaici, dalla potenza installata complessiva di circa 10 MWp.

      Solar firm TerniEnergie, which has a supply contract with EDF Italia, has bought three local PV developers with projects totaling 13MWp on the go.

      Italy’s Puglia region is getting close to being saturated with solar electricity supply and it is getting harder and harder to obtain the necessary permits and to get connected to the grid.

      “When times were easy we used to develop our own projects, now we buy instead,” said the company’s investor relations officer Luca Cioffi. “Now some of the lines are almost saturated and you can no longer build families of plants as before,” he added.

      The three acquired companies are Capital Solar, Newcoenergy and Investimenti Infrastrutture, all with offices in Nardo. Between them the companies have a portfolio of 15 projects of which four are close to starting work and the remaining 11 are at various stages of development. Milan-listed Terni (TRNI.MI) plans on using some of the projects to fulfill its off-take agreement with EDF Italia while others will be sold to other companies as turnkey projects.

      Terni did not reveal how much it paid for the companies or what the value of the projects are but it is broadly estimated that a solar project can be sold at between EUR100,000 and EUR150,000. The company will finance the purchase internally. It expects that all of the new plants will be completed during the first quarter of next year.

      TerniEnergia acquires Capital Energy to boost PV installation target in Italy

      Italian PV systems integrator, TerniEnergia has acquired project developer Capital Energy in an effort to boost its target of PV installations in Italy and add to its pipeline of projects. TerniEnergia noted that it had already reached its previously announced plan to install 22MW in 2009, which occurred in the third quarter of 2009. The acquisition of Capital Energy gives the company a pipeline of 6 PV plants and 6MW of installations that were said to be in an advanced phase of authority approval.

      As of the end of September, TerniEnergia counts 122 completed PV projects, having an aggregate capacity exceeding 35 MW. During the first nine months of 2009, the company completed the construction of 24 photovoltaic plants of medium and large sized projects with a total power of 21.9 MW.

      The company recently posted third quarter revenue of €34.6 million (+43% on Q3 2008).

      TerniEnergia looks abroad to boost growth

      MILAN, Nov 30 (Reuters) - Italian renewable energy company TerniEnergia is looking to buy stakes in companies at home and abroad to boost growth, top executives said on Monday when presenting its 2010-12 business plan.

      TerniEnergia, which focuses on solar power, said it aimed to add 154 megawatt of installed photovoltaic capacity, which turns sunlight into electricity, by 2012 compared with 35.2 MW installed at present.

      More growth may come from buying stakes in Italian and foreign companies, it said.

      TerniEnergia chairman and chief executive Stefano Neri said the company has been studying the market in Saudi Arabia, Iran, the United States as well as monitoring the situation in Spain hoping the current restrictive incentive scheme may come up for review there.

      The company had no concrete foreign acquisition targets yet, top executives said.

      Executive Board Member Paolo Ricci said the company planned to take part in a tender to install 8 MW of PV panels at Athens' airport for which bids have to be presented within the next three weeks.

      The company and its partners in solar power generation, including France's power giant EDF, would invest about 18 million euros ($27 million) over 2010-2012 to boost their joint ventures' total capacity to 100 MW by 2012 from about 20 MW expected by the end of this year.

      TerniEnergia also plans to install 74 MW of PV panels for third-party clients in 2010-2012, it said.

      Encouraged by growing net profit which is expected to come in at about 3 million euros in 2009, TerniEnergia would propose a 40-45 percent dividend payout this year, its top executives said.

      Ricci said he expected Italy's total installed capacity to reach 900 MW this year and rise above 1,300 MW in 2010 on the back of a generous government incentives scheme.

      But there is little visibility beyond next year when the government is widely expected to change the incentive scheme to ease budget burdens, TerniEnergia executives said.

      The Board of Directors is also expected to propose the distribution of 2009 dividends whose payout is in the region of 40% to 45%. Stefano Neri, chairman and managing director of TerniEnergia, said, ''TerniEnergia establishes itself in the energy sector, notably in the photovoltaic field, with 35MWp of installed capacity and with a portfolio of No.122 already completed plants in three years, when it started its operation. Our pipeline of projects includes the setting up of a capacity exceeding 150MWp during the next three-year period, partially to be performed through joint ventures with industrial partners aimed at energy production.

      The strengthening of power generation shall increase the visibility on the business development thus limiting the risk profile.       Overall, investments will be approximately €18 million over the next three-year period. These investments will focus on the development of PV plants installed through joint ventures.

      The acquisition is aimed at developing 8 new photovoltaic plants of industrial size in Puglia region, whose total power amounts to 8 MWp, that are in an advanced phase as far as authorizations are concerned.

      By means of this acquisition, TerniEnergia enriches further its portfolio of plants to be constructed.

      The Board of Directors of TerniEnergia S.p.A. has approved the subscription of a frame work agreement with a national player, who is a leader in the electric energy field, for the projection and building of six photovoltaic plants for a total power capacity of 14,5 MW.

      The subscription of such an agreement has been awarded by TerniEnergia, through the submission of a tender.

      The above mentioned plants shall be built in Central Italy during the year 2010 for a total amount of approximately Euro 45 million.

      Aufs Jahr hochgerechnet wären das ca. 2,7 GW - Spanien reloaded

      Was ich leider immer noch nicht abschätzen kann ist, wie groß der time-lag zwischen physischer Errichtung und Registrierung bei GSE ist.

      TerniEnergia has begun constructing 10 solar PV plants in Umbria, Marche, Sicily and Apulia regions for a total capacity of approximately 10MWp.

      Around 4.5MWp of these installations are for joint venture companies, while the remaining 5MWp are to be set up on account of third parties, of which 3.5MWp are without solar panels supply. The completion of construction works is expected to take place in March 2010.

      Consistent with its announced plans for further small-scale power plants in Italy, TerniEnergia has plans to build a 1MW PV power plant in the Apulia region at a cost of approximately €3 million. The plant will be owned by TRP-PVE, an Italian-Chinese joint venture company.

      TerniEnergia said that the JV could build further plants in Italy. In January, 2010 TerniEnergia announced plans to build 10 solar PV plants in Umbria, Marche, Sicily and Apulia regions for a total capacity of approximately 10MW.

      Approximately 4.5MW of these installations were planned with joint venture companies.

      Industrial results as at December 31st, 2009

      During the year 2009 the construction of 30 new photovoltaic plants of industrial size was completed and
      for a total power of plants of 27.2 MWp. Notably, on behalf of the JVs, 13 plants with a total power of MWp
      14,2 were constructed.
      Since the starting of its operation in 2006, the Company built totally no. 128 plants with an accrued capacity
      of approximately 40 MWp. The 4 joint-ventures companies equally owned with EDF EN Italia S.p.A (i.e, Terni
      SolarEnergy S.r.l, Energia Alternativa S.r.l, Energie S.r.l. and Fotosolare Settima S.r.l) are the owners as at

      Consolidated Results as at March 31, 2010

      In the first quarter of 2010, the revenues amount to € 17.7 million and they register a significant increase if compared with the first quarter of 2009 (Euro 6.1 million). Such an increase is due to to the important results obtained by the industrial activity, with 10 photovoltaic plants of medium and big size completed (for a total power of 10.3 MWp). Notably, 6 plants for a total power of 6,5 MWp were built on behalf of the equally owned joint venture companies, while the remaining 3.8 MWp are turn-key photovoltaic plants built on behalf of other clients.

      As at March 31, 2010 the total number of plants increases up to 138, with an aggregate power equal to 50,2 MWp, of which 26,5 MWp are for power generation activity carried out by the JV companies and that correspond to 26 plants.

      The gross operating profits (EBITDA) is € 2.7 million with 15% margins in respect of revenues. Such a significant increase was obtained thanks to a constant significant presence in the reference market, as well as to the important economies of scale achieved in terms of operation costs and structure. As at March 31, 2009 the EBITDA was € 370 thousand (6.1% of revenues).

      The Result Share of the JV companies is negative for € 38,7 thousand (it was negative for € 60.3 thousand as at March 31, 2009).

      The net profits are € 1.6 million, equal to 9% of the revenues (€ 67.0 thousand as at March 31, 2009), thanks to the optimum financial management that determined few financial costs.

      The net financial position is € 2.3 million with € 0.4 million increase in respect of December 31, 2009 (€ 2,7 million).

      The own shares held by TerniEnergia S.p.A. as at today are no. 413.649, that are 1,67% of the share capital.


      SIGNIFICANT FACTS OCCURRED AFTER THE END OF THE FIRST QUARTER

      On April 30, 2010 the “Marsciano plant”, placed in Marsciano Municipality in the Province of Perugia, started running. Its power is 1.8 MWp and it belongs to Energia Alternativa S.r.l., a joint-venture company equally owned by TerniEnergia and EDF Italia.

      IN UMBRIA A PHOTOVOLTAIC PLANT OF 1.78 MWp CAPACITY HAS BEEN TESTED AND CONNECTED TO THE NET

      A photovoltaic plant of 1.78 MWp capacity, located in Marsciano Municipality (in the Province of Perugia) in Umbria, has been connected to the Enel electric net in M.T. and started running.

      The plant has been performed in a three month period only (the works started on January 25, testing and connection to the net took place on April 30) by TerniEnergia on behalf of EnergiaAlternativa (a joint venture company owned by TerniEnergia and EDF EN Italia). Such a plant is the second photovoltaic plant built in Umbria in terms of power and it follows only S. Sofia plant (3 MWp) belonging to the same joint venture company and located in the Municipality of Narni (in the province of Terni) and that has been running since September 2009.

      The plant in Marsciano, that was built using 7568 Yingli 235 Wp modules, produces energy that is expected to be approximately 2.3 million kWh/year, and that is capable to fill energy need of 762 families and to avoid the issuance of Co2 in the atmosphere for approximately 1360 t/year.

      Thanks to the start of running of Marsciano plant, TerniEnergia and EDF EN Italia enriched further the number of plants that they have in portfolio for the production and sale of energy from photovoltaic solar source; the accrued power of the plants jointly performed since 2007 exceeds 24 MW and it will increase by the end of this year of further 8 MW, taking into account the eight plants that are already in an advanced building phase.

      Italy's TerniEnergia buys 5 solar companies


      MILAN, May 24 (Reuters) - Italy's rapidly growing renewable energy company TerniEnergia has bought 5 privately owned domestic solar firms to boost capacity of the solar power systems it installs by 55 megawatts, it said on Monday.

      TerniEnergia said in a statement it would pay a total 6.7 million euros ($8.29 million) for the companies it has bought with a view of developing their industrial-scale solar projects in southern regions of Molise and Basilicata.

      The photovoltaic projects -- which use sunlight to generate power -- are at different stages of permitting process and TerniEnergia expects to start work on them by the end of November, it said.

      Italy's solar market, the third-biggest in Europe, has boomed since 2007 when the support scheme, among the most generous in Europe, was launched. Operators are racing to sign up for incentives before the government cuts them next year.

      TerniEnergia, which had installed a total of 50.3 MW of PV systems by the end of March, said last week it started installing 18 new PV systems with a total capacity of 19 megawatts and aims to complete 14 MW by the end of June.

      Terni, July 2nd, 2010 - In the second quarter of 2010, TerniEnergia, a company operating in the renewable energy sector, completed the construction of 15 new photovoltaic plants of industrial size for a total installed power of 13,8 MWp. Notably, 8,9 MWp are for joint venture companies while the remaining MWp have been performed on behalf of third parties. The new plants are placed in Piemonte, Marche, Umbria, Puglia and Sicilia regions.

      Therefore, in the first half-year of 2010, the total number of completed plants increases up to 25, for a total installed power of 24,1 MWp, of which 15,4 MWp are for joint venture companies and the remaining amount on account of third parties clients.

      The total number of plants built as at June 30, 2010 by TerniEnergia increases up to 153 for an aggregate power of 64,1 MWp, of which 35,4 MWp are for the Power Generation activity to be carried out by the joint venture companies

      During the second quarter of 2010 four additional working sites, for a total power of 8,8 MWp, of which 2,3 MWp for Joint Venture companies, were started and currently they are at an advanced phase of construction, The relevant completion is expected to take place within the month of July.

      The industrial results obtained in the first semester of 2010 confirm the excellent trend of the management and the significant increase of the activity in respect of 2009 (in the first semester of 2009 8,6 MWp were installed, of which 3,7 on account of the joint venture companies).

      TERNIENERGIA AND TRP PVE BV ENTERED INTO AN INTERNATIONAL CONTRACT RELATING TO THE CONSTRUCTION OF TWO PHOTOVOLTAIC PLANTS FOR A TOTAL POWER OF 12 MW

      Work order’s value: Euro 40 million

      TerniEnergia, a company operating in the renewable energy sector, entered into certain agreements with TRP PVE BV, an Italian-Chinese joint-venture company incorporated by TOLO and SAAE (whose scope is investing in the photovoltaic sector both in Italy and in Europe) and MILIS ENERGY. The above mentioned agreements rule the design, construction, putting into operation, management and maintenance of two solar parks whose total power is 12 MWp and whose counter-value is Euro 40 million. TerniEnergia shall carry out operation and maintenance activities of the same plants pursuant to a contract having a twenty year period duration.
      MILIS ENERGY SPA is a company totally owned by TRP PVE BV, the joint venture company incorporated by the Italian company TRP - Technologies and Resources for the Planet belonging to TOLO Group- and the Chinese company SAAE (Shanghai Aerospace Automobile Electromechanical Co., Ltd.), the latter company being listed on the Stock Exchange Market of Shanghai and having a capitalization of approximately Euro 1.3 billion.
      The company Shanghai Solar Energy Science & Technology in Shanghai (China) shall supply the panels for the construction of such plants .
      The plants to be constructed in Sardinia, in the Municipality of Milis (Province of Oristano) are expected to be commissioned in the period ranging between the end of this year and the end of the first quarter of 2011.

      TerniEnergia’s Chairman and Managing Director, Mr. Stefano Neri, commented as follows: “This international contract is significant under an economic viewpoint, it projects our Group into the world photovoltaic market and strengthens the collaboration already started with TOLO Group at the beginning of last February This work order is a further piece of our project of growth that we aim at reinforcing through the share capital increase transaction that the Company’s shareholders’ meeting recently approved”.

      The CEO of TRP-SAAE joint-venture, Mr. Gilberto Gabrielli, commented as follows: “This significant investment, that positively consolidates our relationship with TerniEnergia, financed by China Development Bank and organized availing of Tolo Group’s Italian experience, is an important example of Italian-Chinese technologic, financial and business cooperation in this field.       During the third quarter of 2010, TerniEnergia, a company operating in the renewable energy sector, listed on MTA market of Borsa Italiana, completed the construction of 18 new industrial sized photovoltaic plants, for a total installed capacity amounting to 19.5 MWp. Notably, 6.8 MWp are for equally owned joint ventures (5.8 MWp of which are for joint venture with EDF EN Italia), while the remaining MWp have been performed on behalf of third parties clients. The new plants are placed in the following regions: Puglia, Umbria, Marche, Veneto, Piemonte and Lazio.

      As a matter of fact, during the first nine months of 2010, the total number of plants increased up to 44, for a total installed power equal to 43.7 MWp, 22.4 MWp of which are for joint ventures and the remaining MWp are for third parties clients.

      As at September 30, 2010 the total number of built plants rises to 172 for an aggregate power equal to 83.7 MWp, 42.2 MWp of which are for joint venture companies in the context of Power Generation activity. The industrial results obtained in the third quarter of 2010 confirm the excellent trend of the management and the significant increase of the activity if compared to the results as at 2009 (during the third quarter of 2009, 10 photovoltaic plants for a total power of 10,5 MWp were installed, 6,7 MWp of which on behalf of joint venture companies).

      Thanks to the completion of 18 new plants, the Company reached one quarter early the industrial targets that it intended to achieve within the whole year 2010.

      Furthermore, TerniEnergia announces its program to open new working sites for installing industrial sized photovoltaic plants for a total power amounting to approximately 19 MWp during the fourth quarter of 2010.

      13 MWp shall be performed on behalf of third parties clients, 4MWp shall be for equally owned joint ventures (mostly with EDF EN Italia), while the remaining 2 MWp shall be performed autonomously by the Company in the way of a diversification in Power Generation sector, by means of Full Equity plants, wholly belonging to the same Company

      (ADPnews) - Dec 29, 2010 - Italian solar power company TerniEnergia (BIT:TER) has signed a preliminary agreement to buy 100% in Meet Green Italia Srl, TerniEnergia said on Tuesday.

      The acquisition of Meet Green Italia, based in the southern province of Lecce, is aimed at developing and building new industrial-sized solar power facilities in the Abruzzo region with a combined installed capacity of some 11 MWp. Currently, the projects are in various stages of receiving authorisation.

      The price for the acquisition may vary from EUR 2.2 million (USD 2.9m) to EUR 2.64 million, depending on the value of the permitted plants. If they receive permits prior to September 30, 2011, the price would be EUR 240,000 per MWp, while the price would be EUR 200,000 per MWp if the plants get their permits after September 2011.

      TerniEnergia exceeds 2010 target, completes 76 plants totalling 77.2MWp

      TerniEnergia has completed the construction of 31 industrial sized photovoltaic plants, together totalling 33.3MWp. A sum of 4.4MWp was developed for Joint Venture’s power generation business, with the remaining built on behalf of third parties. The new plants are located in Sardegna, Umbria, Lazio, Puglia, Piemonte, Abruzzo, Veneto, Toscana e Campania regions.

      The plants were completed during the fourth quarter of 2010, increasing the total number of installed plants by TerniEnergia that year to 76, with a total installed power of 77.2MWp, 29.5MWp of which was performed for JV’s power generation business and 47.7MWp for third parties.

      With the completion of new plants, TerniEnergia’s exceeded the target of its 2010 business plan, bringing the total number of plants built by the company from the beginning of its activity until December 31, 2010 to 204 for a total aggregate capacity of 117.2MWp, 49.3MWp of which were performed for JV’s power generation business.

      Portfolio a photovoltaic plant for a total power of 1MWp

      TerniEnergia, a company operating in the renewable energy sector, listed on the Star segment of Borsa Italiana, executed the purchase of Società Agricola Fotosolara Oristano S.r.l.. Such a purchase is aimed at developing a new industrial sized photovoltaic plant on greenhouses in Sardinia, for a total installed power of approximately 1 MWp, ready to be in the pipeline and provided with Autorizzazione Unica. The total cost of the transaction was Euro 0.25 million, totally financed by cash, Euro 84.000 of which were paid in advance. The balance shall be paid into two instalments for an equal amount on April and May 2011. As at December 31st, 2010 the total number of plants that were completed by TerniEnergia is 204 for an aggregate capacity of 117,2 MWp, 49.3 MWp of which are for joint venture companies and for their Power Generation activity.

      The Board of Directors of TerniEnergia S.p.A., a company operating in the renewable Energy field and listed on Star segment of Borsa Italiana, under the chairmanship of Mr. Stefano Neri, President and General Manager of the company, approved today the six month financial statement as at June 30th, 2011.

      Prof. Stefano NeriTerniEnergia’s Chairman and Managing Director, commented as follows:
      “The results of the first half year 2011 confirm the growth of our Group who gained absolute size of relief with revenue equal to 116 million thanks to the extraordinary industrial results and with an EBITDA equal to Euro 8,9 million with an increase of 51,5%. Net income equal to 5,4 million has shown a growth of 50% which has contributed for Euro 1.1 million the earnings share resulting from the power generation business of plants on behalf of JV tripled compared to last year. These results were also obtained in a complex environment not only globally, but specifically for our industry that has suffered a significant change following the revision of the structural system related to incentive effects, particularly in the construction of large plants. In addition to this and in order to safeguard the industrial continuity and efficiently manage the decalage of incentives we have oriented our Group gradually towards the plants construction in full equity, in part for the BOT, and the financing of PV systems after being connecting to grid.
      While this choice may lead to a reduction in EBITDA margin with an increase in the debt position, however, was not altered the financial balance of the Group and the working capital remained in line with the plan. Similarly we are working to increase our presence in the high margin of “Energy saving” from which we are expecting significant effects on our business including also a growth through external lines. The ongoing evolution of the sector did not affected the potential growth, which has always characterized our Group, we can fairly say that what has been achieved in such extraordinary conditions confirm a strong managerial flexibility and the overcome the uncertainty phase of which characterized the first months of the year”.

      Consolidated results as at June 30th, 2011
      The Net Revenues, amounting to Euro 116,4 million, with a significant increase compared to June 30th, 2010, which recorded Revenues equal to Euro 36,3 Million, being connected to the continued growth of the industrial results. The installed Power during the half year is equal to 38,2 MWp ( 24,2 MWp as at June 30th, 2010) 11,8 MWp of which performed by equal owned JV, 6,6 MWp performed in full Equity and the remaing 19,8 MWp for third parties.
      EBITDA amounted to Euro 8.9 million compared to Euro 5.9 million recorded on June 30th , 2010. The result is connected to the variation on the stock position determined both by the transfer of the share related to plants performed for third parties, and by the new tariff regulation approved under the so-called “Quarto conto energia” which has affected the value of the plants already built and not still connected to the grid.
      The Net Operation Result (EBIT) is equal to Euro 8,3 million ( Euro 5,4 million as at June 30th, 2010) after depreciation, amortization and provisions amounted to Euro 0.6 million ( Euro 0,5 Million as at June 30th, 2010).
      The Net Profit, amounted to Euro 5.4 million, which includes the share of earnings coming from joint ventures activities equal to Euro 1.1 million more than tripled compared to June 30th , 2010 (Euro 0.3 million). Net income as at June 30th, 2010 was Euro 3.6 million.
      The net financial position is equal to Euro 36,3 million; the increase compared to December 31st, 2010 which recorded a result equal to Euro 5,7 million reflected strategic choices of the Group aimed at optimizing the delivery of plants to be realized in full equity and in part intended to be realized in B.O.T. (Build, Operate and Transfer) to anticipate the possible repercussions of a sudden change in the system of incentives.
      Significant facts occurred after the ending of the half year period.
      There has been no significant events after the close of the first half year period.

      Industrial results as at June 30th, 2011
      TerniEnergia’s total number of plants built from the very beginning of its activity as at June 30th, 2011 rose up to No. 233 for total power equal to 155.3 MWp, 6.6 MWp of which for plants in full equity, entirely built in the first half of 2011, 61.1 MWp performed by the equal owned joint venture power generation business and the remaining 87.6 MWp built on behalf of third parties.
      As as today TerniEnergia built 60 photovoltaic plants on behalf of equally owned joint venture for power generation business, 55 of which went into operation for a total of 57.9 MWp.

      Other resolutions
      The Board of Directors of TerniEnergia also resolved about the signing of the Frame Agreement with a leading national operator of the electricity sector for the design and construction of a photovoltaic plant for a total capacity of approximately 23 MWp.
      The Agreement follows the award by call for bids, obtained from TerniEnergia. The plant will be built in the province of Rome within the year 2011 for a total amount of approximately Euro 16 million, without the supply of panels and inverters. The Board of Directors of TerniEnergia, finally, has expressed its support on the periodic adaptation of the Service Contract with the parent Terni Research SpA, concerning the provision of rental real estate, logistics, legal, ICT.

      Management expected evolution
      The PV business remain a core activity and the company is evaluating an anticipation of the Energy Saving business, including also external growth lines in order to reduce time to market and integrate their activities, enhancing the growth prospects inside an industrial sector with higher profitability.

      TerniEnergia a company active in the renewable Energy field and listed on Star Segment of Borsa Italiana, announces to have carried out the subscription and payment of the first tranche of di Lucos Alternative Energies S.p.A. capital increase by payment amount, with exclusion of pre-emption right pursuant to Articles 2441, fifth paragraph of the Civil Code, and have performed the sale of shares expected by the frame agreement signed with Lamse S.p.A., Lofin S.r.l., Angelo Casolaro, Andrea Marano and Raffaele Maria Mellone on August, 9th, 2011 (members), as a follow-up released to the Market on August 9th, 2011 and on September 27th, 2011.
      Notably, TerniEnergia subscribed and paid the first tranche of the capital increase equal to Eur 1 Million resolved by Lucos Alternative Energies S.p.A for a total amount equal Eur 2,5 million, by issuing n. 348.675 new shares with a nominal value of Euro 1,00 each , at a subscription price of Eur 7,17 for each new share to be reserved for subscription by TerniEnergia S.p.A..
      In addition to this, TerniEnergia has acquired a total quantity of 339.432 Lucos shares , for an amount equal to Eur 2,43 million. TerniEnergia transferred to current members 281.101 own shares for a unit value equal to the average price recorded in the 5 trading days of Borsa preceding the date of execution (Enhancement of Eur 2,358888), corresponding to a total value equal to Eur 663.086. By signing the agreement, TerniEnergia paid to current members the cash amount equal the difference between the price of Shares and Enhancement of TerniEnergia’ shares corresponding to Eur 1,77 million.

      Lucos Alternative Energies, with a specialized sales network and focused on key regions of central and northern Italy and with a dedicated engineering structure, is active (directly and through its subsidiaries) in the field of energy efficiency through public and private counterparts through the provision of services Energy Saving Company (ESCO). As at December 31st, 2010 the Group achieved a turnover of Eur 1,7 million, Ebitda equal to Eur 1,1 million and a net profit equal to Eur 0,4 million.
      In the field of energy efficiency, Lucos Alternative Energies has developed, among others, Energy saving measures in public light in several italian municipalities and created covenants and partnerships with operators and suppliers of the sector to access selected projects and public and private medium-large call for bids. The company has also developed a specific know-how and a “pipeline” of replicable projects.
      Lucos Alternative Energies, holds:

      A share of 70% of the share capital of LytEnergy S.r.l., which is active in Energy efficiency for public lighting;

During the first quarter, the Group reviewed its strategic objectives in light of the new market conditions and it brought forward to the current year the entrance in the energy efficiency segment, through the purchase of Lucos and the subsequent framework agreement with Cofely, a company belonging to the French GdF Suez group. Such an agreement, that has an absolute strategic value for TerniEnergia, confirms the Group’s intention to conquest a leadership in Italy in the energy efficiency segment and to remain coherent with the main directives issued by the environment European politics. Contemporaneously, TerniEnergia continues its construction activity of industrial sized photovoltaic plants in Italy, strengthening its partnerships with Italian and European utilities and, in compliance with its new strategic lines, has started the activities to construct plants abroad, notably in Greece and South Africa. The new mix of turnover will put us in a position to achieve and maintain significant marginal returns and efficiency that have been already included in the renewed industrial plan”.

      Consolidated results as at September 30th, 2011
      Revenues amount to Euro 153.0 million, with a 139% growth if compared to September 30th, 2010 (Euro 64.1 million) due to the completion of 38 medium and large sized photovoltaic plants for an installed power of 69.8 MWp.
      Notably, 11.8 MWp were perfomed on behalf of equally owned JV, 47.5 MWp on behalf of third parties clients and 10.4 MWp in full equity (3,0 MWp of which were sold to third parties companies, 3.2 MWp were recorded under the immobilizations item and 4.3 MWp were recorded under the magazzino item).
      As at September 30th, 2011 revenues include also the construction of 23.2 MWp in the third quarter of 2010, since the necessary accounting requirements for the relevant accounting took place.

      EBITDA is Euro 10.8 million, whilst it was Euro 9.8 million as at September 30th, 2010. Such a result was affected by the approval of the 4th Energy Account that nullified the existing incentives system in such a sector, in consideration of which the company had elaborated its production and personnel policies. As at September 30th, 2011 the Company has adopted a policy aimed at reducing fixed costs and it formulated new directives for the stocks to be linked to the current orders already included in the portfolio.

      The Net Operation Result (EBIT) is Euro 9.7 million (Euro 9.2 million as at September 30th, 2010) after depreciations, devaluations and allocations amounting to Euro 1.1 million (Euro 0.5 million as at September 30th, 2010).

      Net Profit increased of 18% amounting to Euro 7.8 million, if compared to Euro 6,5 million as at September 30th, 2010; the quota result form the JV plants increased and amounts to Euro 2.9 million (Euro 0.6 million as at September 30th, 2010).

      Net Financial Position is Euro 34.4 million (Euro 36.3 million as at June 30th, 2011); debt/equity ratio is a little bit more that a unit and reflects the Group’s vision to carry out investments in material immobilizations.

      Industrial results as at September 30th, 2011
      The total number of plants built by TerniEnergia since the beginning of its activity has increased up to no. 242 for an aggregate capacity of 186.9 MWp: 10.4 MWp in full equity (3.0 MWp of which were sold to third companies, 3.2 recorded as immobilizations and 4.3 MWp recorded as stock); 61.1 MWp relate to plants belonging to equally owned joint venture companies in the context of Power Generation activity, while the remaining 115.4 MWp relate to plants built on behalf of third parties.

      Significant facts that took place after the end of the relevant financial period
      On November 4th, 2011 the Group, through its controlled company Lucos Alternative Energies S.p.A., a company operating in the energy services sector, signed a letter of intent with Cofely Italia S.p.A., a leading company in Italy and in Europe in the energy efficiency filed and in the sector of technological multiservices, part of “Energy Services” branch of GDF SUEZ group. The partnership, whiose duration is until December 31st, 2014, governs the indentification and the performance of projects on behalf of private or public clients, aimed at reducing the prime energy consumptions, including interventions on electric devices, mechanic plants and the relevant premises, the performance of special plants and management of energy plants for several years.

      On Octobre 28th, 2011 the Group executed the purchase of 100% of Società Agricola Padria S.r.l., with registered in office in Sassari; such a purchase is aimed at performing an industrial sized photovoltaic plant in Sardinia on greenhouses, is already authorised and it is already possible to open its owrking site, for a total ninstalled power of 2.9 MWp. The prica that has been agreed for such a purchase was Euro 0.25 million, and the relevant payment has been made wholly by cash..

      On Octobre 4th, 2011 the Group subscribed and paid up the first tranche of the share capital increase resolved by Lucos Alternative Energies S.p.A., by cash and with exlcusion of pre-emption right, pursuant to article 2441, fifth paragraph of the civil code, and it has alreadycarried out the purchase of shares governed by the framework agreement that was enetered into with Lamse S.p.A., Lofin S.r.l., Angelo Casolaro, Andrea Marano and Raffaele Maria Mellone. As a consequence of above mentioned transactions, TerniEnergia came to own 62% of Lucos Alternative Energies share capital. For the purpose of the completing such a transaction, TerniEnergia totally used its own shares portfolio. Lucos Alternative Energies, is a company provided with a commercial network that is specialized and focussed on tha main regions of the North and the Centre of Italy where it is present with a dedicated engineeristic structure, is active (directly and through its interested companies) in the energy efficiency with public and private counterparties, through the offering of energy saving services. As at December 31st, 2010 the Lucos Group achieved a turnover of Euro 1.7 million, with an Ebitda equal to Euro 1.1 million and a Net Profit equal to Euro 0,4 million.

      Foreseeable management evolution
      As a consequence of the changed scenario and notably of the approval of the Fourth Energy Account, the Group management policy brought forward to this current year the diversification of its own activities focusing on the development of energy efficient plants according to EPC schemes as well as according to FTT ones (Financing Through Third Parties). The new turnover mix, that is characterized by a significant incidence of the new business, is aimed at keeping a high level of efficiency and profitability.
      The investments relating to the next three years shall be aimed at performing energy efficient plants, in addition to the development of photovoltaic plants. Notably, the activities have been started for the construction of plants abroad, with reference to the countries of Greece and South Africa.
      The Group aims at keeping a constant gearing ratio, equal to a unit.

      Other Board of Directors resolutions
      TerniEnergia’s Board of Directors verified the existence of independence requirements set forth by the Consolidated Financail Act and Codice di Autodisciplina relating to directors Paolo Ottone Migliavacca, Davide Gallotti and Domenico De Marinis, in compliance with codice di autodisciplina and Art. 148 of the TUF.

      TERNIENERGIA: Completed in the IV quarter 2011 3 photovoltaic plants for a total capacity of 5,8 MWp

      TerniEnergia, a company operating in the renewable Energy sector and listed on Star Segment of Borsa Italiana, completed in the fourth quarter of 2011 the building of 3 new industrial sized photovoltaic plants, for a total installed capacity equal to 5,8 MWp. Plants are located in Marche, Puglia and Sicilia, and they were performed for third parties without panels supply.

      Therefore the total number of installed plants during the year 2011 increased up to 41 with a total installed capacity equal to 75,5 MWp (10,4 MWp of which performed “full equity”, 12,8 MWp performed for joint venture and the remaining were performed for third parties).

      Recorded industrial results of the fourth quarter 2011 confirm the excellent performance of the industrial management, even in a changed macroeconomic scenario and with a new incentive system following the approval of the Fourth Energy Bill. It shall be highlighted the increase in average power of installed plants (1,75 MWp during the year 2011 compared to 0,98 MWp during the year 2010) and it should be pointed out how the Company, in a phase of considerable normative uncertainty, has pursued the enhancement of Power Generation activity, also through the production of plants in “full equity” and with a use of massive investment aimed to support this important production line and revenues.

      The total number of plants built by TerniEnergia from the beginning of its activity until December 31st, 2011 increased to no. 245 for a total aggregate capacity equal to 192,7 MWp ( 10,4 MWp of which performed in “full equity” and 62,1 MWp were performed for joint venture for Power Generation activity). With reference to 10.4 MWp performed in "full equity", 3 MWp were sold to other companies, the remaining 7.4 MWp remained in full ownership of the Company.

      TerniEnergia announces also that an industrial sized photovoltaic plant for a total installed capacity of 4,8 MWp in Greece is in an advanced stage of completion.

      The Board of Directors of Terni Energia, a company operating in the renewable Energy sector and listed on Star segment of Borsa Italiana, today approved the draft financial statement and the consolidated financial statement as at December 31st, 2011.

      Stefano Neri, Chairman and Managing Director of TerniEnergia, commented as follows:
      “During 2011 our Group has managed once again to achieve goods results in accordance with stated goals, even despite having faced a long period of regulatory uncertainty, a penalizing reformulation of the incentive system belonging to the photovoltaic sector and operating in a difficult economic framework. In this context , TerniEnegia has shown, at every level of organization, a significant adaptability and a strong rapid reaction. The Group has started in record time the internationalization activities, enhancing technical skills and know-how acquired during these years operating on the medium-large size photovoltaic of the Italian market. With the purchase of Lucos Alternative Energies and the covenant with Cofely Italia, the Company brought forward the opening of the new business of energy efficiency, with an operating model without technological constraints, no policy driven and the objective of achieving a national leadership in the industrial segment. In 2012 the Group will see additional results of the Power Generation activity, thanks to revenues guaranteed by the entry into operation of 62,1 MWp realized in JV and by 7,4 MWp in full equity. TerniEnergia continues its own path of growth and creation of value, also to benefit shareholders while maintaining a proper financial balance”.


      CONSOLIDATED RESULT AS AT DECEMBER 31ST, 2011
      The Net Revenues amount to Euro 169,8 million, with a 70% increase compared to 31/12/2010 (Euro 99,9 million). Such a significant growth was given by an excellent operating management . The Group could consolidate its leadership in EPC segment related to the supply of “turn-key” medium and large sized photovoltaic plants, completing 43 new plants, for a total power of 75,7 MWp, in line with respect to the 2010 installed power (77,2 MWp), but with a substantial increase in the average power plant (1,76 MWp compared to 0,98 MWp in 2010).
      Notably, 22 photovoltaic parks were built “turn-key” on behalf of Third parties for a capacity of 52,5 MWp, n. 10 plants for a total capacity of 10,4 MWp were built in “full equity”, while the remaining 11 plants were built for joint venture for a total capacity of 12,8 MWp for Power Generation Activity.

      The Earnings Before Interest, Taxes, Depreciation and Amortization (EBITDA), equal to Euro 15,2 million (Euro 14,6 million in 2010), increased up to 4%. This result was influenced by the approval of the 4° Energy Bill which cancelled the previous system of incentives to this sector, based on which the Company has aligned its production policy and personnel. Therefore the Group adopted important managerial actions in terms of optimizing investments efficiencies increase, costs savings and laid down new guidelines for procurement linked to orders already in portfolio.

      The operation result (EBIT) is equal to Euro 13,2 million (Euro 13,8 million in 2010), after depreciation and provisions equal to Euro 0,9 million. Operating profitability (R.O.I.) is equal to 25,3% compared to 53,2% of the previous financial year.

      The net profit is equal to Euro 9,05 million, +0,3% compared to 2010 (Euro 9,02 million). The capital profitability (R.O.E.) is equal to 39% compared to 42,8% of the previous year.

      The Net financial position is equal to Euro 35,8 million (Euro 34,4 million as at 30/09/2011). The change compared to December 31st, 2010 (Euro 5,7 million), is related to support investments in full-equity ( PFN remains very limited in respect with the volumes of the installation and the investments for full equity plants performed during the 2011 which is equal to Euro 28 Million). Non current net financial position is equal to Euro 13,4 million, while the Net Financial Position in short is equal to Euro 22,4 Million. The gearing ratio (PFN/Net Asset) is equal to 1,1.

      Performed investments were for an amount of Euro 38,1 million, including Euro 28 Million for full equity plants fully available to the Company. In particular, 2,2 Million of investments were for shareholdings in JV, Euro 4,2 million for the purchase of authorizations related to the construction of photovoltaic plants, Euro 2,3 million for the start related to purchasing Lucos Alternative Energies S.p.A. , Euro 0,5 million for purchasing real estate rights (diritti di superficie), Euro 0,2 million for purchasing lands and Euro 0,5 million for buying equipments and other materials for the purpose of the operation activity, aimed at increasing the production capacity and hardware provisions.

      The Board of Directors confirmed the proposal submitted to the Shareholders meeting about the distribution of a gross dividend per unit equal to Euro 0,19 per share that corresponds to a pay out ratio equal to 58,4%. The dividend shall be paid on May 24th, 2012 and the relevant coupon nr. 2 shall be separated on May 21st, 2012


      INDUSTRIAL RESULTS AS AT DECEMBER 31ST, 2011
      As at December 31st, 2011 the Group built no. 247 photovoltaic plants for a total installed power equal to 192,8 MWp (10,4 MWp of which were performed in “full equity” and 62,1 MWp were performed for joint venture in the context of Power Generation activity). As fas as 10,4 MWp is concerned, they were performed in “full equity”, 3 MWp were sold to third party companies, the remaining 7,4 MWp remain fully available to the Company.

      As far as Energy production from solar source is concerned, the 11 equally owned joint venture companies as at December 31st, 2011 owned a portafoglio of 61 photovoltaic plants for a total power of 62,1 MWp.
      The production of the plants, some of which started running during such period, was equal 63 Million of kWh. In 2012, the built plants will guarantee a production exceeding 80 million of kWh.


      TERNIENERGIA S.P.A.’ S RESULTS AS AT DECEMBER 31ST, 2011
      The net revenues amount to Euro 197,8 million (Euro 126,5 million as at 31/12/2010). The gross operation margin (EBITDA) is equal to Euro 16,5 million (Euro 20,9 million as at 31/12/2010). The operation result (EBIT) is equal to Euro 14,7 million (Euro 20,4 million as at al 31/12/2010). The net result is equal to Euro 7,9 million (Euro 12,8 million as at 31/12/2010).

      SIGNIFICANT FACTS OCCURRED AFTER THE END OF THE FINANCIAL YEAR
      February, 2nd 2012 – The Group signed an agreement for the transfer of the entire representative share of 50% of the corporate capital of the JV Enerflus owned by Lucos Alternative Energies to Ventonovo Energie. The price for the stake sale - conventionally determined by the Parties was Euro 1,625 million – has been fully paid in cash by VentoNovo Energie.

      February 22nd, 2012 - As part of its development and internationalization strategy, TerniEnergia established in Athens the Company TerniEnergia Hellas M.e.p.e. which has as its goal the development, construction and operation of industrial-size photovoltaic plants in Greece. The Company started its activity with the management of working sites for the construction of 2 “turn-key” photovoltaic plants without panels supply on behalf of two special purpose vehicle (SPV) both 100 % owned by a major European utility, each plants of a power of approximately 5 MWp.


      FORESEEABLE MANAGEMENT EVOLUTION
      The changing regulatory framework in the photovoltaic sector has led to a timely review of the Group’s strategic and industrial choices. In particular the limitations imposed on the implementation of photovoltaic plants on the ground in Italy have substantially reduced the return on investments. Ternienergia will continue to strengthen its leadership in the EPC activity through partnership with primary utilities and through the consolidation of the already started internationalization process establishing in foreign markets expertise in the implementation of medium large-size photovoltaic plants of its parent company.The company will continue to develop significantly other complementary business features, including operation and maintenance. This activity is performed both on plants than on own plants and on by third parties. The new strategies of the Group will lead to the choice of facing the reduction of revenues compared to an improvement of profitability and the increase of the results arising from the Power Generation activity. The Group, during the year 2012, will start a diversification of investments towards the developments of energy efficiency plants both in EPC and in FTT (TPF), which will provide a greater visibility in terms of profit margins during the period of the strategic plan. The Group then aims to bring forward to 2012 the entry into the new business line “Hydro” for which is performing a scouting activity in Italy and Europe for the construction and operation of new plants.


      OTHER BOARD OF DIRECTORS’ RESOLUTIONS
      The Board of Directors examined and approved the Report on Corporate Governance and proprietary assets for the financial statement for the Report on the Remuneration of administrators and managing directors with strategic responsibility pursuant to article no. 123-ter del D. Lgs. 58/98, which will be subject to approval by the shareholders’ Meeting.

      The Board of Directors has also called for an ordinary shareholders’ meeting to resolve on the financial statement as at 31/12/2011, the distribution of dividends and the remuneration adjustment to the Company’s auditors Pricewaterhouse Coopers S.p.A., since the purchase of Lucos Alternative Energies S.p.A.
      The Board of Directors of TerniEnergia, according with “Comitato per Operazioni con Parti Correlate”, has argued for periodic adaptation of the contract of service with the parent TERNI Research SpA, concerning the provision of logistics services, legal and corporate affairs, ICT and space availability, and on adherence to the new edition of the Code of Conduct issued by Borsa Italiana.

      The documentation required by local regulations regarding the Shareholder’s meeting will be released in accordance with law and regulations in force.

      TerniEnergia, a company active in the renewable energy sectors, energy efficiency and waste management, listed on Star Segment of Borsa Italiana, announces that on February 4th, 2014, the bond “TerniEnergia 2019” (ISIN: IT0004991573), the issuance of which was approved by the Board of Directors last January 27, was admitted to trading on ExtraMOT PRO market, managed by the Borsa Italiana.

      Stefano Neri, Chairman and CEO of TerniEnergia, commented:
      “The operation, which ended brilliantly with the total subscription of the issue, is a further action of an operating plan aimed to integrate the Group’s financial structure, in parallel with the draft partnership with the constituting Fund RA – Renewable Assets. The bond will optimize the timing and balance of the debt, extending maturities from short to medium-long term, including through a reduction of the exposure to credit institutions, and increasing the cash and financial flexibility. TerniEnergia, thanks to the “corporate” loan agreement, signed with Veneto Banca, and the bond issue, considers passed the draft medium-term syndicated loan presented to a syndicate of lenders.       From February 6th, 2014 the bonds may be traded on the market ExtraMOT PRO, the professional segment of the ExtraMOT market managed by the Italian Stock Exchange and dedicated to the listing of bonds, finance bills, equity instruments and project bonds.

      The fund raising will be used to the full development of the company’s business and to support the industrial strategy that envisages a significant strengthening of international revenue growth, a steady operating margins and a rising generation of value for shareholders, as well as a rationalization of the financial structure through a reduction of the debt.

      Rom plant die Einspeisevergütung von gewerblichen Photovoltaikanlagen ab 200 Kilowatt rückwirkend zu beschneiden. Der Gesetzesentwurf liegt bereits auf dem Tisch. Für Investoren ist das pures Gift.

      Trotz massiver Proteste von Banken und der Photovoltaikbranche sowie drohenden Klagen will die italienische Regierung rückwirkende Änderungen bei der Einspeisevergütung für Solaranlagen durchsetzen. In einer Pressekonferenz am 18. Juni 2014 haben die zuständigen Minister den von der Regierung verabschiedeten Gesetzesvorschlag vorgestellt. Dieses muss nun innerhalb von 60 Tagen noch in ein Gesetz umgewandelt werden. „Es bleibt also die Hoffnung, dass das Parlament noch Änderungen im Interesse der Investoren durchsetzt“, sagt Andreas Lutz. Er ist Geschäftsführer von New Energy Projects und arbeitet seit über 4 Jahren im italienischen Markt.

      Geplante Änderungen

      Rund 8.600 Betreiber von insgesamt 200.000 von Photovoltaikanlagen mit einer Größe von über 200 Kilowatt seien von den geplanten Einschnitten betroffen. Die Betreiber von gewerblichen Anlagen sollen demnach nur rund 60 Prozent der Vergütung erhalten. Ausgezahlt werde diese von der Behörde Gestore Servizi Energetici, kurz GSE. Sie gehört zum italienischen Wirtschaft- und Finanzministerium.

      Für Bestandsanlagen stehen folgende Maßnahmen in der Gesetzesvorlage: GSE werde ab der zweiten Jahreshälfte 2014 nicht mehr die tatsächliche monatliche Produktion vergüten, sondern eine konstante monatliche Abschlagszahlungen. Allerdings nicht auf 100 Prozent des prognostizierten Jahresertrags, sondern nur auf 90 Prozent. Im Juni des darauf folgenden Jahres gibt es dann eine Endabrechnung auf Basis der tatsächlich produzierten Strommenge. Diese Regelung verletzt klar den Bestandsschutz der Betreiber und ist Gift für künftige Investitionen in Erneuerbare.

      Eine Vergleichsrechnung

      Zudem müssen die Betreiber bis 30. November 2014 eine Entscheidung treffen. Die soll dann ab 1. Januar 2015 gelten. Entweder werde die Vergütung bei einer Laufzeit von 20 Jahren um ein Zehntel gekürzt. Oder bei einer Laufzeit von 24 Jahren in Bezug auf die Restlaufzeit gekürzt. Bei einer Restlaufzeit zwischen 12 und 18 Jahren sind demnach gestaffelte Kürzungen von 25 bis 18 Prozent vorgesehen. Bei einer Restlaufzeit mindestens 19 Jahren sollen es 17 Prozent sein, berichtet Lutz. Eine Vergleichsrechnung: Die Gesamtvergütung sinke damit bei Option eins um rund eine halbe Million Euro. Bei der zweiten Variante bleibe die Gesamtvergütung gleich – sie werde allerdings um vier Jahre gestreckt. Es sei aber noch unklar, wie die Absenkung bei einer unterjährigen Restlaufzeit gehandhabt werde, sagt Lutz.

      Weitere Änderungen: Um die Kürzungen abzufedern, soll es Finanzierungshilfen von der Cassa Depositi e Prestiti Spa geben. Zudem müssten die Behörden die Laufzeit der Genehmigungen bei einer Verlängerung auf 24 Jahre anpassen. (Niels H. Petersen)

      ärgerlich, dass der Bond mit 100k eine Kindersicherung hat,
      habe dann halt mal eben ein bisschen bei der Aktie aufgestockt (und ein paar Capital Stage proceeds reinvestiert)

      obwohl mir die Q2-Zahlen nicht wirklich gefallen haben: Umsatzversechsfachung mit fast Null Profitabiilität

      nach längerem Lesen zu folgendem Verständnis gekommen:
      ...die Aufplusterei hat mit der letztjährigen Übernahme von FreeEnergia zu tun, die hauptsächlich Energiehandel zu betreiben scheinen; deswegen auch die lausige Profitabilität.

      Inzwischen scheinen tax-Probleme aufgetreten zu sein UND man findet das Business nicht mehr so attraktiv, weswegen beide Seiten sich darauf verständigt haben, das Ding einfach(?) zurückzudrehen.

      Mal sehen, wie das klappt...

      Italeaf ist der größte Shareholder; aus einer PM vom 7.8.2014:

      "August 4, 2014:

      Finalized the divestment transaction for the transfer of the Free Energia SpA’s shares for the purchase of treasury stock

      On 30 November 2015, TerniEnergia, smart energy company active in the fields of renewable energy, energy efficiency, waste and energy management, listed on the Star segment of the Italian Stock Exchange and part of Italeaf Group, has finalized the divestment transaction for the transfer of the shares of Free Energy SpA (“Free Energia”), receiving as consideration the shares of TerniEnergia held by the shareholders of Free Energia.

      In particular, as announced to the market on the same date, on October 2, 2015 the Board of Directors of TerniEnergia approved the signing of the divestment contract for the transfer of shares of Free Energia in favor of the main former shareholders of Free Energia, in exchange for TerniEnergia shares unlisted.

      Subsequently to the fulfillment of the two conditions precedent provided for the divestment contract – ie the positive express consent (i) by the Bondholders Meeting of the bond “TerniEnergia Euro 25,000,000.00 Notes due 2019”, held on November 16, 2015 and (ii) by the Shareholders’ Meeting held on November 18, 2015 – with the turn of the Free Energia shares and the transfer of the TerniEnergia shares to the presence of an authorized intermediary, on November 30, 2015, was completed this divestment transaction.

      Consequently, TerniEnergia transferred n 3,315,936 Free Energia shares (representing 88.07% of the entire capital of Free Energia) in favor of BA & Partners SpA, Sistematica SpA, Energetica SpA and Feed SpA, in exchange for n. 5,845,290 own shares (representing 13.26% of the entire capital of TerniEnergia)

      The right to collect the profits related to the business year 2015 remain pro quota with those buyers.

      Part of the treasury stock resulting from this transaction will be placed at the service of the acquisition of Greenled Industry SpA shares, under the terms referred to in the press release dated November 30, 2015.

      The transaction price for the 50% of the companies amounts to Euro 1.7 million; payment shall be made by cash by the European Investment Renewable Italy 3 – REI III Srl


      TerniEnergia, smart energy company active in the fields of renewable energy, energy efficiency, waste and energy management, listed on the Star segment of the Italian Stock Exchange and part of Italeaf Group, as part of its strategy to increase the value of its photovoltaic assets, has signed an agreement to sale the 50% of the share capital of the SPVs (Special Purpose Vehicle) Investimenti Infrastrutture Srl, Società Agricola Fotosolara Oristano Srl, Società Agricola Fotosolara Bonannaro Srl e Infocacaciucci Srl to European Investment Italy 3 – REI III Srl, a company owned by Radiant Clean Energy investment Fund.

      These SPVs owns a total of four photovoltaic plants of utility scale for a total installed capacity of approximately 3.3 MWp.

      The total price of the traansaction has been agreed between the parties in approximately Euro 1.7 million. The payment by the European Investment Renewable Italy 3 – REI III Srl will be made by cash by 31 January 2016.

      The agreements relating to the sale of the shares of the four SPV are subjected to condition subsequents, including:

      the negative outcome of the due diligences;

      failure to consent to the transaction expressed by the leasing company with which the companies have signed contracts relating to the PV plants, no later than 30 March 2017;

      failure to provide adequate guarantees from the seller on the return of the price, in the case of lack of consent by the leasing company.


      As of today, the total number of PV plaants built by TerniEnergia from beginning of the activity is equal to 273, with an aggregate capacity of approximately 284.1 MWp (including 13.2 MWp wholly owned by the Company and 30 MWp in joint ventures, for the activity of power generation).

      TerniEnergia, smart energy company active in the fields of renewable energy, energy efficiency, waste and energy management, listed on the Star segment of the Italian Stock Exchange and part of Italeaf Group, within the internationalization process of the PV EPC business, has been acquired a order worth of approximately $ 19.2 million for the construction in Egypt of an industrial scale photovoltaic plant for a total capacity of 47 MWp, on behalf of an Italian leading utility.

      The plant will be installed in locations Benban about 900 km from Cairo on an area of about 150 hectares. The order includes the EPC (engineering, procurement and construction) activities without the supply of PV modules and inverters. In the construction site will be active more than 250 workers. The project involves the use of the be 3Sun panels (Made in Italy, in Catania) mounted on steel structures.

      In addition, the Company announces that it has signed an energy efficiency lighting contract with the TPF formula (third party financing) shared savings, worth about Euro 0.6 million on behalf of a leading cement italian player. The intervention, of which TerniEnergia will also manage the “turnkey” EPC, will be performed on a plant in Lombardy and will provide for the replacement of 4497 traditional lighting points with 2853 new LED lighting units of the latest generation, with an expected savings of about 1GWh / year.

      TerniEnergia wins 34MW PV EPC contract in Zambia

      Italian renewable energy firm TerniEnergia continues to strengthen its position in the African PV market with its latest 34MW EPC and O&M contract in Zambia. This latest contract follows the company’s construction of a 47MW solar farm in Egypt, 82.5MW in South Africa and launching a subsidiary in Mozambique.

      The new contract, worth around US$8 million, is for the construction of an industrial-scale PV plant on behalf of an unnamed Ieading Italian utility. The recent traction the company is gaining in the African PV market is driven by an increase in energy demand within the continent, new international initiatives on climate change and increased investments in the sector, according to the company.

      The 34MW plant will be installed in Lusaka – a popular location for solar PV plants – in the homonymous province, spanning around 50 hectares, according to a company statement. According to an internal TerniEnergia source who spoke to PV Tech, construction of the plant will take eight months until it is operational. Construction is likely to start in October 2016, once the client has obtained all the necessary permits. In addition, the plant will install around 106,260 polysilicon, 320W modules. The plant will also require 2.550kg of carpentry steel frames and the laying of 960km of electric cables, according to a company statement.

      Zambia has been heating up as a hot spot for the deployment of solar PV, due to the IFC’s Scaling Solar Programme that this week saw Neoen SA and First Solar achieving record-low bids at 6.02 cents/kWh for a joint 47.5MW plant. Senegal and Madagascar have also launched tenders under the programme. TerniEnergia’s spokesperson labelled the Zambian PV market as “promising” and cites the low tariffs under the tenders as a “further consecration of solar energy as the cheapest and fastest source of new installed capacity in developing countries.”

      It also reinforces the activities in the smart grid sector with the financing of the second phase of the project Smartgen in the town of Sanremo.

      Softeco Sismat, digital company of the Group, is the coordinator of the "Anastacia research project" co-financed under the EU program Horizon 2020, that will involve for 36 months a consortium of 14 partners from 7 European countries including Thales, Atos, Ericsson and CNR. The project received a contribution of approximately EUR 4 million and expected total costs exceeding EUR 5.4 million.

      The main target of the Anastacia project is to solve new and unexpected risks that cannot be prevented by current state-of-the-art of security solutions, by researching, developing and demonstrating a holistic solution enabling trust and security by-design for Cyber Physical Systems (CPS) based on IoT and cloud architectures.

      It was also assigned to Softeco Sismat the project coordinator role for the second phase of the research project Smartgen, funded with approximately EUR 1.3 million under the Electricity System Research program. The project involves the introduction of storage technologies (Toshiba) on the Sanremo city distribution grid managed by AMAIE SpA. The first phase of the project had foreseen the development of a DMS (Distribution Management System), capable of handling problems optimization and control of power flows, regulating the voltage, the supply of the auxiliary generation services with potential involvement of the electricity market.


      The CEO of Softeco Sismat and executive director of TerniEnergia, Ms Laura Bizzarri, stated:

      "The significant growth of technological and R&D activity of the TerniEnergia Group, also through its subsidiaries, is a tangible acceleration signal on the side of business "smart energy", which is the core of the new business plan to 2018. The project concerns the city logistics operations and the better planning of local authorities, especially in the urban freight sector, with the aim of alleviating the negative environmental and economic impacts associated occurring in the city.

      Final results of the Share Capital Increase

      TerniEnergia announces that, today, were paid the considerations relating to all n 3,0.00,000 newly issued shares of the Company deriving from the reserved share capital increse resolved by the Shareholders ‘Meeting on 30 December 2016 (“The Share Capital Increase”) at a price of Euro 0.73 each, for a total already paid amounted of Euro 2.19 million.

      The share capital increase, reserved to institutional investors in Italy and institutional investors abroad, excluding the United States of America, Australia, Japan and Canada, has been subscribed and paid by n. 3 investors. Consequently, the share capital increase resolved by the shareholders on December 30, 2016 was fully subscribed and paid up.

      The newly issued ordinary shares subscribed have been made available to beneficiaries through authorized intermediaries today.

      The private placement was coordinated and directed by EnVent Capital Markets Ltd, acting as Global Coordinator and Bookrunner; Issuer’s financial advisor was SRI Capital Advisers Ltd, a company specialized in Financial Advisory, Fundraising and Deal arrangements that involved a group of institutional investors of its own network. SRI Capital Advisers, part of the International SRI Group headed by the chairman Mr. Giulio Gallazzi, will be the TerniEnergia partner for the development and implementation of the Business Plan “Plug in the smart energy company”.
