XEMPLAR ENERGY ENTERS INTO OPTION AND JV AGREEMENT IN RELATION TO BENTONITE PROPERTY IN PAKISTAN

Xemplar Energy Corp. has entered into an option agreement with Pak-Kashmir Minerals Resources (PVT) Ltd., whereby it was granted an option to acquire from the optionor a 25-per-cent interest in a certain bentonite exploration/exploitation concession over an area of 2,332 acres, located in the Kathar Sadiqabad Tehsil, Dudhial District Mirpur of Azad Jammu and Kashmir, Pakistan. Simon Tam, the former chief executive officer and director of the company, is a shareholder of the optionor. The option agreement was negotiated at arm's length between the company and the optionor.

The option agreement is subject to the acceptance for filing with the TSX Venture Exchange.

Pursuant to the option agreement, the company may exercise the option by incurring a total of $2.5-million (U.S.) of work expenditures toward the exploration and development of the property on or before the first anniversary of the date of TSX-V approval, and by paying $500,000 (U.S.) cash as a refundable deposit to the optionor upon approval by the company's board of directors of and the execution of the option agreement. The deposit shall be credited toward the work expenditure requirements for the exercise of the option and is refundable if the option agreement does not receive TSX-V approval by Oct. 31, 2013.

Upon the exercise of the option, a joint venture will be formed between Xemplar and the optionor with regard to the property, and the Xemplar and the optionor will enter into a joint venture agreement.

Upon the formation of the joint venture, Xemplar will be entitled to receive the greater of:


25 per cent of the net proceeds of the production from the property;
Or 10 per cent of all gross receipts until $3.5-million (U.S.) has been paid to Xemplar.

Geologically, the property area is underlain by sedimentary rocks of Siwalik Group of non-marine origin, ranging in age from Late Miocene to Pleistocene. These rocks are consisting of alternating sequence of sandstone, siltstone and clays deposited in a slowly sinking basin under fresh water conditions. The Siwalik Group is divided into four geological formations, typically consists of red clay with subordinate sandstone (Chinji formation) at the base which is overlain by thick sandstone with minor clay (Nagri formation). This is succeeded by a cyclic alternation of clay and sandstone (Dhok Pathan formation), followed by a conglomerate/sandstone/clay sequence (Soan formation) in the upper part.

The bentonite occurrences on the property are located in lower Soan formation of Siwalik Group and are considered as volcanic ash zones. In the area, two types of bentonite is found -- grey and white bentonite, ranging in thickness from 25 to 150 centimetres, deposited under water and later on partially altered hydrothermally to form grey bentonite, whereas unaltered part remained as white bentonite.

Historical exploration work on the property was carried out in 2004 to 2005, by Azad Kashmir Mineral Development Corp., a government-owned corporation. The exploration work covered an area of three kilometres by 1.25 kilometres, and included surface geological mapping, digging 91 trenches and test pits, driving four exploratory adits with a cumulative length of 110 metres, and completing eight diamond drill holes.

Historical assaying data indicate that the gray bentonite zone on the property is a calcium bentonite which can be potentially used as bleaching agent for decolouring and deordering vegetable and mineral oils, pharmaceutical, chemical and paper industry. The white bentonite is a sodium bentonite which absorbs water up to eight to 10 times of its weight and swells up to 15 times of its volume. It is mostly used for drilling purposes as mud.

delisting, marmor - wenn schon, dann korrekt.....

Ich habe keine Ahnung. Ich hoffe, dass uns das endgültige deslisting erspart bleibt und es irgendwann wieder weitergeht - dann eben in der Mamorbranche.

Meine ganzen Hoffnungen liegen in Simon Tam. Ich habe hier sehr, sehr viel Geld drinnen.

Xemplar Energy Corp. has entered into an option agreement with Gul Asghar Khan (the optionor) and Apex Industries (Private) Ltd., whereby it was granted an option to acquire from the optionor a 60-per-cent equity interest in Apex, a corporation holding a prospecting licence for a marble concession comprising 168.469 acres located in Markandi district, Abbotabad, Pakistan.

The option agreement is subject to acceptance for filing with the TSX Venture Exchange.

Pursuant to the option agreement, the company may exercise the option by incurring an aggregate of $1.5-million (U.S.) of work expenditures on the property on or before the first anniversary of the date of TSX-V approval and by paying $200,000 (U.S.) cash as a refundable deposit to the optionor upon approval by the company's board of directors of and the execution of the option agreement and a further $400,000 (U.S.) to the optionor upon TSX-V approval.

Upon the exercise of the option, a joint venture will be formed through Apex between Xemplar and the optionor with regard to the Apex marble property, and Xemplar and the optionor will enter into a joint venture agreement.

Friday, 21 December 2012 Xemplar Energy Corp. (the "Company" or "Xemplar") (TSX VENTURE:XE) announced today that it has agreed to a reconstitution of its board of directors ("Board") as part of an agreement with Fursa Master Global Event Driven Fund LP ("Fursa").

The reconstitution of the Board will take place on Monday, December 17, 2012 and is the result of discussions between the Company and Fursa, one of Xemplar's major shareholders, aimed at resolving the proxy contest that has been ongoing between Xemplar and Fursa regarding Xemplar's special meeting of shareholders that was scheduled to take place on January 15, 2013 (the "Meeting"). As part of these discussions, Fursa has agreed to withdraw its requisition of the Meeting, and as a result the Meeting will not be convened.

Ronald Mitchell will no longer be serving as Chairman and a director of Xemplar and Gerard Pallotta will no longer be serving as Xemplar's Chief Financial Officer and a director. Messrs. Mitchell and Pallotta have agreed that they will provide certain consulting services to Xemplar for a period of five months under their existing management consulting agreements. As part of the Board reconstitution, Xemplar will appoint two new directors to the Board, resulting in there being the following four directors: Simon Tam, Ryan E. Cheung, William F. Harley III and Robert Campbell. In addition, the Board will appoint a fifth director, on or before January 15, 2013, nominated by Messrs. Mitchell and Pallotta, who must be independent and at arm's length to each of such individuals.

Xemplar Cancels Proposed Acquisition of Lobo Property

Xemplar Energy Corp. (XE.V) announced that the company will not proceed with its previously announced acquisition of a pecan farm property in Culberson County, Texas.

On November 28, 2012, the company received a letter from the vendors to terminate the purchase agreement on the grounds that there had been no agreed-upon extension to the closing date. The purchase agreement's closing date had been extended several times since June.

The company was working towards securing agricultural loans in order to finance a portion of the purchase price of the property. On November 30, 2012, the company was notified by its proposed lender that it will not proceed with the financing proposal to provide the company with debt financing to complete the purchase.

Trading of the shares of the company remain halted and will be reinstated upon receipt by the TSX Venture Exchange of satisfactory documentation to effect a resumption of trading.
