      Letztere habe sehr schöne Zahlen, aber Axis ist deutlich größer.

      In 2008 abstrus gute EK-Rendite (133%).

      Allerdings SEHR weit über Sustanz bewertet (Kurs-zu-Buch ca. 12!)

      Axis Communications Network Cameras Deployed By Chippewa Valley School District

      Addressing Safety, Security of Students, Teachers and Property

      Axis Communications, the global leader in the network video market, today announced that the Chippewa Valley School District in Michigan is using its network cameras to increase public school security in a cost-effective manner.

      Located in the suburban Detroit area, Chippewa Valley is the state’s 9th largest school district (out of more than 500), serving 15,000 students.

      More than 600 network cameras and video encoders are being installed in the district’s high schools and ninth grade centers, including the AXIS 216FD-V(fixed dome); 216MFD-V (megapixel fixed dome), Q1755(HDTV) and 214 PTZ Network Cameras; and AXIS Q7900 Racks with Q7406 Video Encoder Blades.

      Chippewa Valley purchased the Axis network video products from Spiritech, Inc., based on a design by the district’s IT consultants Metro Technology Services. Spiritech is installing the infrastructure, Axis network video products and Milestone Systems’ video management software.

      Chippewa Valley first sought out a video solution in order to provide good security measures with a reduced need for staffing. Like most school districts, Chippewa Valley is highly sensitive to theft, vandalism, violence and bullying. Its goal is to protect people and property. The school district sought out a network video solution (vs. analog) because of superior image quality, centralized storage and management, integration into the district’s active directory and web integration.

      According to School Superintendent Mark Deldin, ”Ever since the Columbine high school tragedy 10 years ago, school districts have been looking for ways to enhance security in their schools. If students do not feel safe in their schools they will be distracted from learning. Our mission is to make students, parents and staff as safe as possible. A strong sense of safety and welfare enhances the educational process and improves our standing with our community.”

      Several factors drove the selection of the new network video solution, including the quality of the Axis network cameras and housings, the ability to expand the system in the future, the Milestone Systems video management software’s comprehensive functions, Metro Technology Services’ design criteria and Spiritech’s experience.

      The district contracted with Metro Technology Services in order to procure the network video solution because of the size of the project. The specifications accounted for WAN connectivity using the district’s fiber-optic network, proper cameras and locations, and also to comply with state bidding requirements. Based on a complete solution, Axis network cameras were approved.

      Until now, the school district has had to rely on hall monitors and security guards to be physically present during school hours and periods of heavy building use, such as concerts and athletics. Once the network video system is fully deployed in the spring, it will help school authorities determine ”who did what, and when.” It is also expected to help deter, detect and document inappropriate behavior.

      During the design process, school administrators and police liaisons performed building walkthroughs, with a focus on public areas such as hallways, cafeterias, computer labs, media centers, school stores, gymnasiums and exterior coverage. The system will be monitored by officials, including security guards, principals, assistant principals, food service directors, maintenance directors and technology staff. Principals and assistant principals will have dedicated monitors connected to their district computers for viewing, while security stations will be provided with dual monitors. Even the cafeterias will have their own LCD monitors.

      Axis Communications and Kowa Company introduce P-Iris technology

      Axis Communications, the global leader in the network video market1 and Kowa Company today introduced P-Iris, a new and precise iris control that allows fixed network cameras to deliver better image quality in both indoor and outdoor applications.

      A P-Iris lens, together with specialized software, can automatically and precisely regulate the iris opening to enable better contrast, clarity, resolution and depth of field.

      The advanced iris control will be especially beneficial for megapixel/HDTV cameras and demanding video surveillance applications.

      'P-Iris allows fixed network cameras to reach a new level of performance in image quality. This is a revolutionary improvement for video surveillance cameras and for the industry in general as we expect P-Iris to become a standard that eventually replaces DC-iris lenses,'

      said Baraa Al Akkad, Regional Manager Axis Communications ME.

      DC-iris (auto-iris) control for surveillance cameras with fixed/varifocal lenses does not enable the camera or user to know the exact position of the iris opening, which is needed in order to optimize image clarity. Axis saw a need to solve this and found Kowa, an innovative optics manufacturer, to jointly develop a solution.

      'The P-Iris lens uses a stepper motor that allows the position of the iris opening to be precisely controlled,' said Tosao Tohjima, Technical Director at Kowa CCTV Products. 'P-Iris is an innovative solution that truly allows a network camera, particularly a megapixel network camera, to perform optimally in all lighting conditions.'

      A megapixel camera, which generally has smaller pixels than a standard resolution camera, can take advantage of P-Iris to maintain the delivery of crisp, high-resolution images, even in difficult lighting situations.

      A P-Iris lens works together with software in the network camera to automatically provide the best iris position for optimal image quality in all lighting conditions. Images will be sharper, with better contrast, resolution and depth of field. Having good depth of field-where objects at different distances from the camera are in focus simultaneously-is important in the video monitoring of, for example, a long corridor or parking lot.

      In very bright situations, P-Iris limits the closing of the iris to avoid blurring (diffraction) caused when the iris opening becomes too small.

      This can typically happen in cameras that use DC-iris lenses in combination especially with megapixel sensors that have small pixels. Being able to avoid diffraction and at the same time benefit from an automatically controlled iris is highly valued in outdoor video surveillance applications.

      P-Iris will be incorporated in upcoming Axis network cameras, beginning with the 3-megapixel AXIS P1346 Network Camera.

      Axis Communications (STO:AXIS) maintains its strong market leading position for network cameras and further improves its position in the category - global vendors providing video surveillance equipment. This was published in the latest report from IMS Research.

      The 2009 edition of the annual IMS Research report ”The World Market for CCTV&Video Surveillance Equipment” is based on data compiled in 2008 and provides an overall view of the video surveillance market for both traditional analog manufacturers and the network video market where Axis is active.

      In the report, Axis is ranked fourth in the world in the category - vendors providing video surveillance equipment - compared with sixth place last year.       Axis network cameras increase safety in Portuguese schools

      Axis Communications today announced that its network video cameras will play a key role in a comprehensive safe school project in Portugal. More than 12,000 network cameras will be installed in order to increase security in public schools in a cost-effective way. The installation started in August 2009 and is expected to continue during 2010.

      The selected network camera models are the AXIS 225FD for the indoor installations and the AXIS 221 for outdoor installations. Axis network cameras are going to be installed in 1,200 schools, in 2nd and 3rd class of primary education and in secondary schools. The cameras will be installed in corridors and school entrances.

      “We are proud to deliver our network cameras to the schools in Portugal. We have seen an increasing interest in installations of network video products at schools and universities due to a heightened interest in student security.” said Ray Mauritsson, President, Axis Communications. “As the schools often have the infrastructure in place, a cost-efficient installation of network cameras with superior image quality can easily be deployed.”

      Axis Communications: Axis Network Cameras Chosen to Improve Safety on Madrid's Buses

      Axis Communications' (STO:AXIS) network cameras will be installed on Madrid's 2,300 public buses. Each bus will include three network cameras and one video encoder. The network video products will be part of a security system to improve passenger's security and safety. The installation started in late 2009 and the whole installation will be finished by the end of 2010.

      "During the last few years we have seen a lot of interest from customers who want to improve safety and security in their transit systems. Axis' network video products have successfully been installed in many demanding environments, including buses in Prague, trains in Sydney and Zurich and subway cars in Moscow. And in addition to this, now on Madrid buses in Spain", says Ray Mauritsson, President Axis Communications.

      Axis has supplied network cameras that are robust, easy to install and compact, yet also deliver high resolution images and tampering alarms. Each bus will include three AXIS M3113-R network cameras and one AXIS Q7401 video encoder.

      The surveillance system includes high resolution real time recording and monitoring, and also features a panic button which is connected to EMT's (The Municipal Transport Company of Madrid) Central Alarm Station. Each bus also includes GPS so it is easy to locate the bus quickly.

      Axis continued to broaden its product portfolio with the release of a large number of high quality network video products. The expansion plans are continuing with recruitment within sales, marketing, research and development as well as establishment of sales offices. The number of employees amounted to 786 at the end of the period, which implies a slightly lower recruitment rate for the full-year than planned."

      "A very strong close of the second quarter generated growth of 6 percent, compared with the first quarter of the year. Sales have been particularly robust within the Americas region which reported growth of 25 percent, compared with the same period of the preceding year. The Asia region also showed strong growth of 56 percent. The corresponding growth rate within the EMEA region amounted to 19 percent.

      The product portfolio was extended further with a number of high-quality network video products. All of the new products support HDTV quality video and the H.264 compression standard.

      During the second quarter, Axis continued its expansion and a high rate of recruitment took place. The number of employees increased by 64 and amounted to 850 at the end of the period."

      Axis reports a strong close to 2010


      Axis Communications today announces that the company will present a stronger close to 2010 than expected.
      The preliminary net sales 2010 are estimated to amount to approximately SEK 2,930 million with a preliminary operating profit (EBIT) of SEK 415 million and a gross margin in line with the previous quarter.

      "Our strong sales trend at the end of last year continued during the beginning of 2011 when we saw a stable trend in demand for our network video products in all regions. In our view, the weak investment climate in Southern Europe is essentially the only factor which is affecting the growth rate negatively in Region EMEA. At the same time, the strong Swedish krona in relation to USD and EUR has impacted our sales negatively. Adjusted for foreign currency effects, sales increased by 39 percent during the quarter.

      The AXIS M50 Series featuring compact and good-value pan/tilt/zoom network cameras was an important product release during the first quarter. These products are further supplements to our very strong product line of high-quality PTZ network cameras. The AXIS M50 Series will strengthen our offer of network solutions, particularly towards the important retail market.

      We maintained a very high rate of recruitment during the first quarter. The number of employees increased by 69 during the period. The recruitments during the first quarter were mainly concerned with strengthening the global sales organization."

      Elliott Management’s Axis Stake May Push Canon To Up Bid
      Canon is attempting to get into the video surveillance business by acquiring Axis AB, but the price could become steeper

      Activist hedge fund Elliott Management has unveiled a 7.5% stake in Swedish video surveillance firm Axis AB in a move that could force Canon to raise its bid for the firm. The stake disclosure was made in a filing with Sweden’s Financial Supervisory Authority.


      Canon’s plan to acquire Axis
      In February, Japan’s Canon announced plans to acquire Axis AB for ¥333.7 billion ($2.8 billion) in an effort to expand into surveillance products, which are outside its traditional camera and office equipment offerings. In recent years, Canon’s sales from its traditional business have plummeted.

      Axis’ board recommended that shareholders accept Canon’s offer, which could translate to 340 Swedish kroner ($40.02) a share.

      Canon’s proposal requires acceptance from at least 90% of Axis shareholders. After Elliott disclosed its 7.5% stake, Canon might need to persuade the hedge fund to support the offer in order to reach the required 90% threshold. Alternatively, Elliott Management would need to enhance its holdings in Axis to over 10% or partner with other shareholders to thwart Canon’s offer.



      Elliott Management stake could force Canon to raise bid
      According to people familiar with the matter, the activist hedge fund, which is run by founder Paul Singer, could lobby for a higher price for Canon’s acquisition of Axis. Elliott has a history of routinely buying stakes in companies involved in takeovers to drive the price of an outside firm’s offer up.

      In 2011, Elliott Management forced U.S. chemicals company DuPont to raise its bid for Danish food company Danisco. DuPont sweetened its bid to 700 Danish kroner ($139) a share from 665 kroner a share in a $6.64 billion deal. However, as reported by ValueWalk, the acquisition turned out to be an expensive affair for DuPont, as since the acquisition, Danisco’s organic revenue has plummeted by one-third and margins dropped to approximately half of what they were in 2010.

      Last year, Elliott Management forced drug marketer McKesson Corporation (NYSE:MCK) to sweeten its offer for German drug distribution rival Celescio. However, Elliott was accused of receiving a higher price in the takeover battle than other investors. It was reported that when McKesson purchased Celescio, it paid more to Elliott Management than other bondholders. The report indicated that Elliott Management was paid €31 for convertible bonds, while other bondholders were paid just €23.50 in the takeover of the public company.

      TOKYO—In a bid that industry analysts told Security Systems News is intended to get Canon to increase its $2.8 billion offer for Axis Communications, Elliott Management, a New York hedge fund, increased its stake in Axis to 10.91 percent and has not yet sold those shares to Canon.

      Canon now owns 84 percent of Axis shares. On April 24, Canon extended the offer period a second time, from the original April 15 to May 5. Canon said it would neither extend the offer period again nor raise its offer price.

      So, how does the hedge-fund holdout affect the deal? The deal is essentially done, Canon Global spokesman Richard Berger told SSN.

      “With the settlement on April 15 for the 75.46 percent of the shares that had been acquired following the initial acceptance period, which concluded on April 1, Axis has already become a Canon subsidiary,” he said.

      Berger echoed Canon Global CFO Toshizo Tanaka who recently said that Canon would like to own all Axis shares, but that there’s no rush.

      “While it would have been preferable to obtain 100 percent of the shares, having a minority of the shares owned by other parties does not pose an obstacle to our strategy going forward,” Berger said.

      He added that the “synergies are not affected by costs but rather lie in the opportunities going forward, we are confident that we will be able to realize the synergies of the deal. Furthermore, our plan has always been for Axis to remain an independent entity within the Canon Group. As such, we have no plans to integrate Axis.”

      Elliott Management did not return a call from Security Systems News inquiring about its reason for increasing its stake in Axis.

      Elliott Management has not publicly stated its intentions for increasing its stake, but an industry analyst contacted by SSN said it is an attempt to “get the price raised on all the shares.”

      So why, if the deal is done and Canon is OK with waiting to obtain all shares, is Elliott Management’s 10.91 percent stake notable?

      The industry analyst said that Canon cannot “squeeze out” or forcibly take over the remaining Axis shares if there is more than 10 percent outstanding.

      Canon also is “not allowed to pay more for just the remaining stake in the company because that would represent a different share price and be unfair to shareholders that already submitted their shares,” the analyst said.

      The company could pay more for those shares, but that would be down the road after a designated waiting period defined under Swedish law, reports said.

      The bottom line, this analyst said, is that “Canon can own and control Axis, but Elliott would have a 12 percent minority stake and essentially the Elliott stake is marooned.”

      Asked about the development, Axis GM Americas Fredrik Nilsson said he could not comment beyond saying: “Canon now owns the majority of the shares in Axis and will control Axis. Axis will be run as a separate legal entity reporting to Canon CEO in Tokyo. Additionally, Axis and Milestone will be run as separate legal entities.”

      Increasing shares to more than 10 percent and holding out for a higher price is a common tactic for “activist investors” like Elliott Management.

      Canon has taken its time acquiring full ownership of acquisitions previously, Reuters reported, citing a 2009 deal to acquire Oce, a Dutch print machine maker. Canon met “a challenge from Orbis Portfolio Management and [the deal] was only completed in 2012 after a squeeze out.”

      What about the $2.8 billion price tag?

      Imperial Capital’s Jeff Kessler reiterated earlier statements to SSN that Canon’s is a fair offer.

      “The transaction is 29.7x enterprise value to EBITDA and also 43.5x earnings,” Kessler said. “There’s not another video company out there [valued like this],” he said.

      Chinese camera manufacturers Hikvision and Dahua are valued at 18.8x EBITDA and 27x EBITDA, respectively. “And these are companies that are growing at 30 percent internally,” he added.

      Kessler said, “Axis is facing headwinds with regard to the small- and medium-business market from Asian manufacturers [like Hikvision and Dahua].”

      He called Axis “a great company with a great product and some of the best people in the industry … [but] its projected growth rate over the next several years is mid single digits in local currency.”


      “We feel the price that Canon is offering for Axis is a fair price,” Kessler said.
