Interim management report
The directors present the unaudited interim financial statements of UT2 Funding
Plc for the six month period ended 29 February 2008.
Report on principal activities, business review and future developments
UT2 Funding Plc ("the Company"), is a public limited liability company,
incorporated under the laws of Ireland. The Company has been established to
securitise the cumulative profit participation securities ("CPPS") issued by
Dresdner Bank Aktiengesellschaft (the "Bank") with the aggregate principal
amount of €750,000,000.
In order to finance the purchase of the CPPS the Company has on 20 July 2006
issued €750,000,000 Dated Tier 2 Securities in the denomination of €1,000 each
(the "Securities"). Interest on the nominal of the Securities will accrue from
(and including) 20 July 2006 until 30 June 2016 for each coupon period.
As holder of the CPPS, the Company will earn profit distributions calculated
annually on the basis of the nominal amount of the CPPS for each fiscal year of
the Bank and payable annually in arrear ("Profit Distribution Payments"). Profit
distributions will only accrue if and to the extent that there is sufficient
balance sheet profit recorded on the Bank's annual non-consolidated balance
sheet and that and so long as the book value of the CPPS is not reduced. If the
balance sheet profits of the Bank do not suffice for the accrual of full profit
distributions, profit distributions may accrue in part or no profit
distributions may accrue at all for the relevant fiscal year of the Bank. Such
unpaid profit distribution ("arrears of Profit Distributions") will become
payable on the next due date subject to sufficient balance sheet profits having
recorded by the Bank for the fiscal year to pay both the Arrears of Profit
Distributions and Profit Distribution Payments falling due on such date.
The Company expects to fund interest payments on the Securities with profit
distribution payments received under the CPPS and funds received from the Bank
under a loan agreement (the "Loan Agreement"). In addition, the Bank and the
Issuer entered into an indemnity agreement (the "Indemnity Agreement") whereby
the Bank is obliged to make payments to the Company in respect of withholding
tax under the laws of Ireland, if any, on payments under the Securities.
Payment of interest may be delayed and are contingent on the Company's actual
receipt of fund under the CPPS, under the Loan Agreement and under the Indemnity
Agreement.
Report on results during the period and risk
The results for the period are set out in page 7. Both CPPS and debt securities
have a fixed interest rate and therefore, the Company is not exposed to
significant interest rate risk. CPPS is subject to interest rate of 5.386% per
annum while debt securities are subject to a fixed rate of 5.321% per annum.

To the best of our knowledge, and in accordance with the applicable reporting
principles for interim financial reporting, the interim financial statements
give a true and fair view of the assets, liabilities, financial position and
profit or loss of the Company, and the interim management report of the company
includes a fair review of the development and performance of the business and
the position of the company, together with description of the principal
opportunities and risks associated with the expected development of the company
for the remaining months of the financial year.

1. Basis of preparation
The financial information presented in the Interim Financial Statements accounts
for six months to 29 February 2008 have been prepared under the historical cost
convention.
This interim financial report has been prepared in accordance with IFRSs,
including IAS 34 "Interim Financial Reporting". The accounting policies and
presentation used in preparing this Interim Financial Statements are the same as
those used in preparing the annual financial statements for the period ended 31
August 2007.
The summary financial statements for the period ended 31 August 2007 as
presented in the Interim Financial Statements represent an abbreviated version
of the Company's full financial statements for that year, on which the
independent auditor issued an unqualified audit report.
Both the interim results for the six months ended 29 February 2008 and the
comparatives for the six months ended 28 February 2007 are unaudited.

Wirklich witzig wäre allerdings, wenn sich die Meldung aus dem BB heute bewahrheiten sollte: da bekam einer die Ankündigung für eine Zinsgutschrift für die UT2 Funding (A0GVS7). Während Gott und die Welt sich Gedanken darum macht, wann, wie und wieviel die HT1 ausschüttet, blättert die UT2 mal eben so die Zinsen hin... Wohl dem, der beide Anleihen hält und sich nicht durch (sinnlose) Umtauschaktionen auf eine fokusiert hat
Frage: wie läuftn das bei cumulativen Anleihen ab? Klar, die zahlen halt alles nach, sofern sie jemals wieder Gewinn machen. Aber im Detail? Theoretisch müssten ja auch die Leute was nachgezahlt bekommen, die sie "zwischendurch" gehalten haben. Kann mich da mal jemand erleuchten?

Habe gestern auch das Tenderangebot für die UT2 bekommen.
Der "indikative Aktiengegenwert" von 825 EUR/k ist allerdings nicht ersichtlich.
Klar, aus Coba Sicht mach das Sinn:
1.) Tausch von "minderwertigem" befristeten Ergänzungskapital in hartes Kernkapital (Aktien).
2.) Einsparung von zukünftigen Zinszahlungen von rund 150 Mio.
(4 mal 5% mal 750 Mio sin bereits bis heute aufgelaufen)
3.) Vermeidung der Heraufschreibung rund 118 Mio.
Und aus Investorensicht ?
Bei einigen Fonds/Hedgefonds liegen die UT2 bis zur Zinsnachzahlung ziemlich "ertraglos" rum, während die Aktie sich durchaus von derzeit 2 auf 4 Eur (oder mehr) verdoppeln könnte....insbesondere bei nachhaltigen Gewinnen. Aus dieser Sicht kann die Aktienkursentwicklung prozentual attraktiver als eine Zinsnachzahlung der UT2 (20%) und ein entsprechenden Anteigen des UT2-Kurses von derzeitig 80 auf 120 (+50%) sein....
Alles in allem nur gut für die UT2-Halter....ein Muss in jedem Depot!
