Our board has seriously considered the merits of delisting from Nasdaq and simultaneously deregistering under the US Exchange Act exactly because of the cost implications,” says CFO Craig Barnes

      PRINT

DRDGold is trying to find ways to meet the Nasdaq requirements to delist so it can save the onerous costs of complying with the exchange’s rules. DRDGold is one of the last remaining SA companies listed on this exchange.

Chief financial officer Craig Barnes says much has changed since DRDGold listed on the Nasdaq in October 1996 to access North American capital markets.

Since then DRDGold has shrunk and US regulatory requirements, including the Sarbanes-Oxley Act, have become more stringent, making compliance more expensive. Costs include higher external and internal audit costs, US legal counsel fees, American Depositary Receipt programme costs and management time.

Barnes says delisting from the Nasdaq is relatively easy in theory, but DRDGold would still have to bear the costs of compliance until it satisfied the full requirements for deregistration.

The Securities & Exchange Commission requires a foreign private issuer like DRDGold to meet the following requirements before it can deregister:

Average daily trading volume for the preceding 12 months must represent less than 5% of the worldwide average; or

It must have fewer than 300 shareholders of record worldwide or fewer than 300 US beneficial shareholders .

Barnes says DRDGold has 508 shareholders in the US and that it trades on the Nasdaq far more than the 5% daily average . That means it would have to wait at least 12 months after delisting to deregister and might not be able to deregister at all unless an active market developed outside the US or it decreased its US shareholder base, through “forced sale” measures, for example.

“Our board has seriously considered the merits of delisting from Nasdaq and simultaneously deregistering under the US Exchange Act exactly because of the cost implications. There are probably other listings that would meet the objectives of providing access to the North American and European capital markets with the required liquidity,” he says.

“The issue is by no means forgotten and we continue looking at various options to meet the above requirements so that we can eventually avoid the costs of this US listing.

here’s a certain contradiction in DRDGold’s plans for growth in Zimbabwe, one of the most risky mining environments in the world, since in SA it is moving to extract itself from higher- risk mining. The group has already closed its ERPM underground operations in the East Rand and said last week it was looking for buyers for its Blyvoor underground mine in Carletonville.

Though Blyvoor’s gold production in the March quarter is above the same quarter last year, and grades are also slightly better, DRDGold CEO Niël Pretorius says the mine no longer fits the company’s strategy.

DRDGold wants to focus on its lower-risk surface retreatment operations in SA, which contributed more than half of its gold output in the quarter. It also owns an undeveloped underground resource at ERPM 1 and 2, but Pretorius says the intention there is to unlock value by exploring further and then find the right shareholder for it. It is unlikely that DRDGold will develop those prospects into a mine.

Though political risk in Zimbabwe is high, Pretorius says DRDGold is managing it.

In March the Zimbabwe government gazetted regulations requiring foreign- owned mining companies to cede controlling stakes to locals by September 25. This has thrown many mining companies into a panic, but Pretorius says it was already clear when DRDGold entered the country that the indigenisation legislation was going to be enacted, and it did not invest a large amount of capital.

DRDGold has a 50/50 joint exploration venture with a local partner, Chizim Investments, so it would have to dilute by only 1% to meet government requirements.

Chizim Gold’s Leny project near Harare is a shallow, high-margin deposit. Pretorius says it will require a mill and a carbon-in-leach extraction method to achieve 92% recoveries.

“This is a very small-scale project but we are increasing our exposure in Zimbabwe by collecting deposits like these. Eventually conditions will be such that it will be worth investing capital in them.”

Within a few months the current exploration site will be able to cover its overheads and eventually generate enough cash to accumulate other projects, he says.

Other gold miners in Zimbabwe are also growing, off a very low base. Zimbabwe’s Chamber of Mines said last week that the country’s gold output would return to 50t within the next five years if US$1bn of capital were invested.

In 1975 Zimbabwe was the world’s fifth-largest gold producer, but by 2008 only one mine was still operating and output dropped to a nadir of 4,2t. That’s equivalent to 3100kg, only slightly more than one quarter’s production for DRDGold in SA.

Caledonia Mining, which is listed in London and Toronto, has ramped up production at the Blanket Mine near Bulawayo to 17707oz in the year to March from 11027oz a year ago.

“However, there remain numerous challenges to operating in Zimbabwe, namely, the lack of past investment in the Blanket properties, the limited availability of local capital, rising labour and power costs and the vagaries of changing legislation, particularly the requirements for indigenisation,” Caledonia says in its latest quarterly report.

It says it will invest further capital this year to improve output and cut costs if there is an “acceptable investment climate”.

Other active gold miners in Zimbabwe that report to global stock exchanges are African Consolidated Resources and New Dawn Mining.

RBC Capital Markets says DRDGold’s latest quarterly results were “decent, given that the March quarter is normally bad”. It expects the next quarter will be stronger and the sale of Blyvoor could potentially unlock more upside in the share price.

      Dein Wimpel in Ehren!

      1,40 EUR wieder vorstellbar.
