Gut, dass das nun geklärt ist. Aber letztlich sind damit die Prognosen einfach gekürzt. Fürs nächste Jahr dürfte das KGV um 16 sein, die Dividende allerdings immer noch bei strammen 0,7 Euro (laut Onvista und durchaus plausibel). Da ist sicher keine Kursfantasie nach oben drin, und immer das Risiko der Regulierungsbehörden oder von notwendigen hohen Investitionen.

Supreme Court terminated proceedings related to AS Tallinna Vesi’s damages claim against the Estonian Competition Authority

On 5th November 2019 Supreme Court terminated proceedings in administrative case 3-14-363 upon AS Tallinna Vesi’s withdrawal application and annulled the 19 November 2018 judgment of the Tallinn Administrative Court and the 19 June 2019 judgment of the Tallinn Circuit Court. Termination of the proceedings means that the dispute has ended without awarding any compensation for damages from the Competition Authority in favour of AS Tallinna Vesi.

The administrative case concerned AS Tallinna Vesi’s complaint against the Competition Authority regarding the compensation for loss of tariff income as well as the complaints challenging the refusal to review AS Tallinna Vesi’s applications for the approval of water tariffs for 2013-2017. Tallinn Administrative Court had dismissed the Company’s claims with its decision dated 19 November 2018. AS Tallinna Vesi appealed the Administrative Court’s decision on 19 December 2018. Tallinn Circuit Court dismissed the appeal on 19 June 2019. The Competition Authority approved AS Tallinna Vesi’s new water tariffs on 18 October 2019. Considering all the circumstances AS Tallinna Vesi decided to withdraw its complaints submitted in administrative case 3-14-363.

Damit scheint ja die Sache vollständig erledigt zumal die neuen Wassertraife offenbar zur Zufriedenheit aller Beteiligten genehmigt wurden?

The prices of water and wastewater services will decrease on average by 27% for domestic customers and by 15% for commercial customers.

Keine Ahnung ob die jetzt viel niedriger sind. Dann soll noch eine Dividende von 0,75 für 2019 bezahlt werden. Hätte man wohl ordentlich kaufen sollen. Völlig undurchschaubar und irgendwie schräg.

Sehe ich auch so

Bei 215 Mio Euro Börsenwert ist das keine Kleinigkeit. Wäre natürlich toll, wenn das wirklich so eingepreist gewesen wäre. Dennoch frage ich mich, wie das bezahlt werden soll ohne die Dividende mehrere Jahre ausfallen zu lassen. Denn das ist das Äquivalent.

Today, Tallinn Circuit Court made a decision in the dispute between AS Tallinna Vesi and the Competition Authority in administrative case 3-14-363. Tallinn Circuit Court decided to dismiss AS Tallinna Vesi´s appeal.

The administrative case concerns AS Tallinna Vesi’s complaint against the Competition Authority regarding the compensation for loss of tariff income as well as the complaints challenging the refusal to review AS Tallinna Vesi’s applications for the approval of water tariffs for 2013-2017. The company has the right to appeal to the Supreme Court within 30 days.

The administrative case 3-14-363 is separate from the on-going international arbitration proceedings where AS Tallinna Vesi and United Utilities (Tallinn) B.V. have submitted a damages claim against the Republic of Estonia based on the Agreement on Encouragement and Reciprocal Protection of Investments between the Kingdom of the Netherlands and the Republic of Estonia. AS Tallinna Vesi is still waiting for the decision in the arbitration proceedings regarding the possible damages claim.

International arbitration tribunal made a decision on AS Tallinna Vesi´s and United Utilities (Tallinn) B.V.’s claims against the Republic of Estonia

Yesterday, on 21 June 2019, an international arbitration tribunal made a decision on AS Tallinna Vesi´s and United Utilities (Tallinn) B.V.’s claim in the proceedings against the Republic of Estonia for compensation for losses caused by a breach of the Agreement on the Encouragement and Reciprocal Protection of Investments between the Kingdom of the Netherlands and the Republic of Estonia. A majority of the arbitration tribunal decided to dismiss AS Tallinna Vesi´s and United Utilities (Tallinn) B.V.’s claims.

The tribunal decided that the claimants shall cover 25% of respondent´s legal costs, fees and expenses and 25% of the expended portion of respondent´s share of the advance costs of the arbitration. 25% of respondent’s legal costs is approximately €500,000 and 25% of the respondent’s share of the advance costs is approximately €165,000. The exact amount to be paid by AS Tallinna Vesi is yet to be determined.

AS Tallinna Vesi will now conduct a legal analysis of the decision.

hatte heute lediglich Baltic-Day und bei TV überlegt: "up or out"?

Sie haben 17,5 Mio. für historische Ansprüche zurückgestellt und zeigen aktuell weiter/wieder gute Gewinne.

Neue Tarife gelten erst, wenn die entsprechenden Verwaltungsakte geschehen sind.

Es is ein Monopol, dessen Geschäftsgrundlage weiter existieren wird.

Klar gibt es das Risiko, aber habe schon so oft erlebt, dass juristische Risiken am Ende wesentlich weniger heiß gegessen wurden, als gekocht.

Und es gibt noch das Schiedsverfahren.

Supervisory board of AS Tallinna Vesi approved the dividend proposal

The Supervisory Board of AS Tallinna Vesi approved the dividend proposal to pay the shareholders a dividend of EUR 0.36 per A-share and EUR 600 per B-share for the financial year of 2017. The proposal will be submitted for approval to the Annual General Meeting of Shareholders, gathering on 31st May 2018.

Company´s retained profits as of 31st December 2017 were EUR 47,804,000, including the net profit for 2017 in the amount of EUR 7,221,000. The proposed dividend payment amounts to EUR 7,200,600.

The share capital of the Company consists of 20 million A-shares and 1 preference share i.e. B-share.

The dividend payment will be made on 26th June 2018 and the list of shareholders entitled to receive dividends is fixed based on the share ledger as at 23.59 on 13th June 2018.

Tallinna Vesi is still awaiting the final verdict from the International Arbitration.

Ich kaufe die Aktien noch nicht, bin dort noch sehr vorsichtig. Die Gewinne werden auf jeden fall deutlich rückläufig sein und noch ist das ganze Ausmaß gar nicht klar. Bis jetzt kaufen wohl entweder Spekulanten oder Leute, die nicht wirklich Ahnung von der Sache haben.

Wobei in Deutschland offenbar zuviel bezahlt wird. 10,60 in Frankfurt war Schlusskurs. In Tallin wurde kaum mehr bezahlt. Jetzt sogar noch eine Kursspanne von 10,488 zu 11,012 in Frankfurt. Langsam wird es eng. Vor der Nachricht vom 12.12. gab es Kurs zu 11,65. Jetzt noch einzusteigen ohne abschließende Klärung...weiß nicht.

Beeindruckende Aufholjagd. In Tallin schon wieder bei 10,50. Vielleicht kommt es mit den Tarifnachzahlungen doch nicht so schlimm. Von Rückzahlungen ist keine Rede.

Tallinna Vesi will submit a new tariff application by the end of February

AS Tallinna Vesi submitted an application to the Estonian Competition Authority to clarify the timetable for the submission of the new water tariff approval application. Today, the Competition Authority approved company´s application and is expecting AS Tallinna Vesi’s tariff application by 28.02.2018 at the latest.

Last Tuesday, the Supreme Court issued a decision on the tariff dispute, which requires AS Tallinna Vesi to start negotiations with the Competition Authority. On 12.12.2017, the Supreme Court made a decision on AS Tallinna Vesi’s appeal in cassation with regard to the tariff dispute with the Competition Authority. Supreme Court decided to partly uphold AS Tallinna Vesi’s appeal in cassation. The Court stated that the Competition Authority is not required to honour the water tariffs stipulated in the Services Agreement, which was executed at the time of privatisation, and AS Tallinna Vesi’s tariffs will be regulated by the tariff methodology developed by the Competition Authority.

As a result of the final verdict, the interim injunction, which had been granted by the Estonian courts with regard to the Competition Authority’s precept to reduce the tariffs, expired. AS Tallinna Vesi has started preparations to comply with the precept in the manner that both ensures the conformity with the Estonian legal requirements and protects the interests of Tallinna Vesi’s shareholders.

Habe mich die Tage mit einem Freund über Tallinna Vesi unterhalten. Er ist der Meinung, dass gar die Existenz des Unternehmens bedroht ist. Meinungen dazu?

Klar, das ist alles noch sehr ungewiss. Ich persönlich muss mich selber noch genauer reinarbeiten, um für mich eine Entscheidung zu treffen. Kaufen würde ich zum aktuellen Zeitpunkt jedoch nicht, glaube die Aktie wird weiter fallen.

Offen gesagt hatte ich nicht erwartet, dass Verbraucher rückwirkende Forderungen gegen Tallina vesi aufmachen können. Da bin ich bei Dir. Das ist ein hohes Risiko.

Andrerseits gibt es

1. Gegenforderungen von Tallina Vesi als Schadensersatz in nicht unbeträchtlicher Höhe

2. Keinen klaren Marktpreis. Will das Gericht jetzt auch sagen welches der korrekte Preis gewesen wäre?Wie will man den feststellen bei einem Monopolanbieter?

Finger weg kann ich nur sagen, Kurs müsste meiner Meinung nach noch viel weiter fallen. Kunden von Tallinna Vesi haben nun Anspruch auf zig Millionen Euro Rückzahlung, die sie in den letzten Jahren zu viel gezahlt haben:

Bist Du gerade raus? 1.500 Stück die nein zum Poker auf neue Wassertarife sagen!

Habe mir mal eine erste Wiedereinstiegsposition gegönnt. Da sie ja fast immer den gesamten Gewinn als Dividende ausschütten, sollte die Dividende doch bei wenigstens 0,50 Euro stabilisierbar sein. Gut 5% Dividendenrendite fände ich OK.

Supreme Court made a final decision on AS Tallinna Vesi’s appeal in cassation in the dispute between AS Tallinna Vesi and the Competition Authority

Today, on 12.12.2017, the Supreme Court made a decision on AS Tallinna Vesi’s appeal in cassation with regard to the tariff dispute with the Estonian Competition Authority. Supreme Court decided to partly uphold AS Tallinna Vesi’s appeal in cassation. However, the court stated that the CA is not bound by the agreement on the water tariffs, which was executed upon privatisation between the company and the City of Tallinn. Accordingly, both the Competition Authority’s 02.05.2011 decision to refuse to approve the water tariffs in accordance with the agreement executed upon privatisation and the Competition Authority’s 10.10.2011 precept requesting the submission of a new tariff application in line with the Competition Authority’s methodology, remained effective.

The appeal in cassation was upheld only with regard to one clause of the precept. The precept stated that the precept would be deemed to have been fulfilled only after the CA has approved the new tariff application. Supreme Court explained that whilst resolving the new tariff application, the Competition Authority and AS Tallinna Vesi may develop different views also regarding the aspects, which the Competition Authority did not address in the resolution of its precept. Although AS Tallinna Vesi has the obligation to submit a new tariff application in accordance with the Competition Authority’s methodology and the precept, the company cannot ensure the approval thereof by the Competition Authority.

Resulting from the final verdict, the interim injunction, which had been granted by the Estonian courts with regard to the Competition Authority’s precept to reduce the tariffs, expired. Tallinna Vesi will start preparations to comply with the precept in the manner that ensures conformity with the Estonian legal requirements and protects the interests of Tallinna Vesi’s shareholders. The company also intends to meet with the representatives of the Competition Authority. AS Tallinna Vesi will keep the shareholders informed of the next steps. The court decision in Estonian is available here.

In February 2017, AS Tallinna Vesi lodged an appeal in cassation with the Supreme Court against the Tallinn Circuit Court’s decision of 26th January 2017, in which Tallinn Circuit Court dismissed the Company’s claim against the Competition Authority as regards to the tariff dispute. On 20th June 2017, the Supreme Court accepted the appeal in cassation for proceedings. The decision made by the Supreme Court today cannot be appealed in the Estonian courts.

International arbitration proceedings are running separately and in parallel to the local court dispute. The hearings in the international arbitration proceedings were held in 2016. The procedural orders and decisions issued during the arbitration proceedings, subject to the redaction of confidential information, are available on the ICSID webpage.

AS Tallinna Vesi legte Kassationsbeschwerde beim Obersten Gerichtshof über den Tarifstreit zwischen der AS Tallinna Vesi und der Estnischen Wettbewerbsbehörde

AS Tallinna Vesi legte gegen den Urteilsentscheid des Tallinner Kreisgerichts vom 26. Januar 2017 Kassationsbeschwerde beim Obersten Gerichtshof ein. Die Kassationsbeschwerde gegen die Entscheidung des Bezirksgerichts Tallinn bedeutet, dass der Rechtsstreit noch nicht zum endgültigen Urteil geführt hat.

Am 26. Januar 2017 wies das Tallinner Kreisgericht den Antrag von AS Tallinna Vesi auf den laufenden Tarifstreit in Verbindung mit der estnischen Wettbewerbsbehörde ab.

Bis zum endgültigen Urteil über den Tarifstreit bleibt die einstweilige Verfügung der estnischen Gerichte gegen den Grundsatz der Zollbesteuerung der Wettbewerbsbehörde in Kraft. Der Schadenersatzanspruch der Gesellschaft gegen die estnische Wettbewerbsbehörde wurde ebenfalls ausgesetzt, bis das endgültige Urteil ergangen ist. AS Tallinna Vesi reichte diese Forderung am 2. Mai 2014 ein, um das Auslaufen der Geldforderung zu vermeiden.

Hintergrund des Tarifkonflikts:

Seit Mai 2011 verweigert die estnische Wettbewerbsbehörde die Genehmigung von Wasser- und Abwassertarifanmeldungen von AS Tallinna Vesi. Im Oktober 2011 erteilte die estnische Wettbewerbsbehörde AS Tallinna Vesi eine Vorschrift, um die Tarife zu senken. Die estnische Wettbewerbsbehörde hat ihre Meinung nicht geändert, ungeachtet der Tatsache, dass die estnischen Gerichte den Tarifvertrag, der zwischen dem AS Tallinna Vesi und der Stadt Tallinn im Jahr 2001 eingetragen wurde, zuvor als Teil des Dienstleistungsabkommens erklärt haben Gesetz Vertrag.

AS Tallinna Vesi ist der Ansicht, dass der Staat nach dem Verwaltungsverfahrensgesetz verpflichtet ist, einen öffentlich-rechtlichen Vertrag einzuhalten, bis er geändert oder aufgehoben wird.

Mit Urteil vom 5. Juni 2015 wies das Verwaltungsgericht Tallinn die Beschwerde des Unternehmens zurück (der Gerichtshof hat die Begründung der Entscheidung am 12. Oktober 2015 veröffentlicht), und das Tallinn Circuit Court wies die Berufung der Gesellschaft mit Entscheidung vom 25. Januar 2017 ebenfalls zurück. AS Tallinna Vesi war mit beiden Entscheidungen des Verwaltungsgerichts Tallinn und des Tallinner Kreisgerichts nicht einverstanden, da AS Tallinna Vesi der Meinung ist, dass die Gerichte das Gesetz falsch angewandt und die vorgelegten Beweise falsch bewertet hätten.

Internationales Schiedsverfahren, laufen getrennt und parallel zum Streitfall des Amtsgerichts. Die Anhörungen der Internationalen Schiedsgerichtsbarkeit fanden im November 2016 statt. Die im Schiedsverfahren erlassenen Verfahrensordnungen und Entscheidungen, die vertrauliche Informationen enthalten, stehen auf der ICSID-Webseite zur Verfügung.

Da wäre der Grund der Kürzung spannend. Eigentlich wird seit 2014 regelmäßig 0,90 EUR bezahlt und die Dividendenpolitik ist eigentlich möglichst viel/alles auszuschütten:

AS Tallinna Vesi is proposing a dividend payment of 0,54 EUR per share, but the existing dividend policy remains unchanged

On 21st of April 2017, the supervisory board of AS Tallinna Vesi decided to propose to the annual general meeting of shareholders a dividend payment of 0,54 EUR per A-share and 600 EUR per B-share for year 2016.

The Supervisory Board has decided to keep the dividend policy unchanged. It was decided, that AS Tallinna Vesi intends to pay out 60% of the usual dividend in June 2017, and defer the decision as regards to the remaining 40%, until after decisions have been received related to the ongoing tariff dispute. These decisions are expected later in the year, from both the Supreme Court of Estonia and the International Arbitration.

The payment of dividends will be made on 26th June 2017 and the list of shareholders entitled to receive dividends is fixed on the basis of the share ledger as at 23.59 on 16th June 2017.

Was ist bloß der "ongoing tariff dispute" und führt das zu dauerhaften Kürzungen der Dividende? Ließe sich das sauber einschätzen, wäre der Kauf bei einer Dividendenrendite von rd. 7,5% jetzt ein echter Schnapper. Hört sich sogar so an, als wenn die 40% nicht in die Rücklagen eingestellt wurden und ggf. noch nachbezahlt werden.

Distribution of profit
RESOLUTION: with 14,714,749 votes in favour (i.e. 99.97% of all votes represented at the Annual General Meeting) to approve the profit distribution proposal.
The net profit of the Company in 2016 is 18,390,000 (eighteen million three hundred and ninety thousand) euros. To distribute EUR 10,800,600 (ten million eight hundred thousand and six hundred) euros of AS Tallinna Vesi’s retained earnings of 51,384,000 (fifty one million three hundred and eighty four thousand) euros as of 31.12.2016, incl. from the net profit 18,390,000 (eighteen million three hundred and ninety thousand) euros for the year 2016, as dividends, of which 0.54 (zero point fifty four) euros per share shall be paid to the owners of the A-shares and 600 (six hundred) euros per share shall be paid to the owner of the B-share. Remaining retained earnings will remain undistributed and allocations from the net profit will not be made to the reserve capital.
Based on the dividend proposal made by the Management Board, the Council proposes to the general meeting to decide to pay the dividends out to the shareholders on 26th June 2017 and to determine the list of shareholders entitled to receive dividends on the basis of the share ledger as at 23.59 on 16th June 2017.
