interessieren doch keinen Menschen! Warum wollt ihr das denn nicht verstehen. Der Wert der Librarys beträgt laut Vince 128 Mln.$. Also, wenn dieser Wert ausschlaggebend wäre, dann müsste sich der Kurs verdreißgfachen, wenn man die aktuelle MK bei der Berechnung heranzieht. Es müssen endlich richtige News her (z.B. Kooperationen mit namhaften Wettbewerbern wie Netflix etc.) und richtige Umsätze und Gewinne ausgewiesen werden. Erst dann wird der Kurs sich nachhaltig erholen. Nach Zahlen einfach nur Sprüche kloppen wie letztens “At any time, the Company can explode” reicht nicht mehr.

also althier,
du erinnerst mich ganz stark an einen user, der vor einiger zeit hier war und nur destruktive beiträge geschrieben hat. leider ohne substanz bzw quellenangaben seinerseits. nachdem ihn immer mehr user auf ignore gestellt haben, wurde er in seinen beiträgen leider immer persönlicher und beleidigender. letztendlich wurde der gute junge von den mods gesperrt. ich hoffe, du nimmst nicht denselben weg...
versuch mal, dich konstruktiv zum thema zu äußern. es muss nichts positives sein.
aber hier den ganzen lieben tag lediglich taxen reinstellen, die hier im übrigen jeder selbst lesen kann, trägt nichts zur diskussion bei.
wi gesagt, das ganze ähnelt doch stark den beiträgen vom gutenjungen, der nach jedem rückgang von 0,01 cent bereits vom untergang des unternehmens fantasiert hat. oft verstehe ich die beweggründe solcher user nicht...
nun gut, ich würde sagen, wir warten die zahlen ab und schauen, was wir präsentiert bekommen werden. danach bin ich gerne wieder für anregende diskussionen zu haben. habt verständniss, wenn ich mich nicht mehr an diesem kindergartentalk beteiligen möchte. wie gesagt, die taxen kann jeder selbst lesen.

Solche Typen muss man einfach mit Nichtbeachtung strafen.

Nachdem ich merkte, dass der betreffende User frisch angemeldet war und nur
gebasht hat, bin ich einfach nicht mehr auf ihn eingegangen.
Es war mir klar, dass dieser ein fragwürdiges Ziel verfolgt hat.

Hoffen wir nun, dass Valcom seinen Weg macht und bis zu den Zahlen

Vor allem, diejenigen, die meinen andere aufgrund ihres Nicht-Wissens ächten zu müssen sollten sich fragen auf welche fundamentale Grundlage sie ihre Hans-Wurst-Aussagen stützen?

The government indictment alleges that Megaupload.com engaged in criminal copyright infringement, money laundering, racketeering and various other offenses and a shell company associated with the website caused an estimated half-billion dollars in copyright losses and made an estimated $175 million in proceeds. The website was established in 2005 and at one point ranked as the 13th most-visited website on the Internet throughout the world.

ValCom owned content was pirated on the Megaupload.com group of sites. So far $42 million in suspected criminal proceeds has been seized in the raids on Megaupload.com and its related entities. Tim Harrington, Chief Executive Officer of ValCom, Inc., and Patrick C. Willemsen, President and Chairman of the Board, pursuant to Article I Section 3 of the Company Bylaws, hereby adjourn the April 12, 2012 meeting of the stockholders until a future date and time to be determined.

The meeting is adjourned for the following reasons, constituting proper purpose, pursuant to Article I Section 3 of the Company Bylaws:

The Special Meeting was called by less than 10% of the holders of outstanding capital stock of the Corporation entitled to vote, as necessary pursuant to Article I Section 2 of Company Bylaws.
Of the fifteen "shareholders" who called the special meeting, only seven appear on the official ValCom Shareholder List, provided by Company's Stock Transfer Agent, Continental Stock and Transfer Company. Pursuant to the ValCom 10-Q for the period ending June 30, 2011, there were 178 million outstanding voting shares reported. According to the most recent Shareholder List provided by the Company Stock Transfer Agent, there are significantly more outstanding shares, and it is unknown how many of these shares have voting rights and also which shares may have been issued without proper authorization.
According to Article I Section 4 of the Company bylaws, each stockholder entitled to vote at any meeting shall be given written notice of such meeting. Not all shareholders of ValCom were given written notice of this special meeting, and the meeting is therefore in violation of Company Bylaws.
The special shareholder meeting is in violation of 17 C.F.R. subsection 240.14a-6(b), which requires copies of the proxy statement, form of proxy, and all other soliciting materials to be filed with the Securities Exchange Commission. ValCom, Inc. Update Of Recent Events By Patrick Willemsen, Chairman Of The Board

ValCom, Inc. (Pinksheets: VLCO) As a result of an Order and Judgment in the recent litigation with respect to the governance and management of ValCom, Vince Vellardita was removed as Chief Executive Officer, President and Chairman of ValCom, and the new composition of the ValCom board of directors was established. Shortly after Vellardita's removal, the board of directors of ValCom appointed me as Chairman of the Board of Directors, and Timothy Harrington as Chief Executive Officer.

We want to explain what was disputed in this litigation and how this dispute has been resolved. We also want to briefly outline where ValCom currently stands, and management's near-term priorities and long-term vision for creating value at ValCom.

Disputed Items in Recent Litigation

Prior to the commencement of the litigation, at the instigation of Tim Harrington, a current board member, an appraisal of ValCom's media library was undertaken beginning in February 2011. The appraisal revealed that the library was comprised of thousands of motion pictures and songs, as well as T.V. shows and episodes, and was an undervalued asset with what we believe is great potential.
On May 11, 2011, at a meeting following the annual meeting of shareholders, a mandate was given by the board of directors to then-CEO Vellardita to (i) monetize ValCom's media library, (ii) begin the process necessary to collect royalties due to ValCom (both past due and future), and (iii) fully document ValCom's rightful claims to the library's contents.
In the months following the May 11, 2011 meetings, a majority of the board of directors of ValCom was of the view that the company was in need of new leadership due to its inability to achieve strong financial results despite ownership of a valuable media library.
As the summer of 2011 progressed, it became apparent to the majority of the board of directors that little or no progress was being made in monetizing ValCom's media library and that other serious problems had arisen with customers and vendors. The majority board was of the view that, despite the board's mandates, Vellardita was not fulfilling his responsibilities as CEO and, in fact, was acting contrary to ValCom's best interests. Concurrently, inaccurate and incomplete press releases were being issued by Vellardita, without the board's knowledge or consent, touting spurious actions by ValCom (including stock buybacks and debt reductions). Despite the board's directive to refrain from such conduct, Vellardita continued ignoring these mandates and his responsibilities as CEO.
In early August 2011, amicable discussions commenced between the majority board and Vellardita about the future governance of ValCom and Vellardita's stepping down from his role as CEO. Suddenly, in late August 2011, without notice or warning, Vellardita caused a purported shareholder action by written consent to be taken, using improperly issued shares to effect such consent, in an attempt to remove Silvana Costa Manning, Tim Harrington, and Mike Vredegoor from, and elect Rahul Rathod and Nalin Rathod to, the ValCom board.
Shortly after Vellardita's attempted August 2011 shareholder action, the majority board of ValCom adopted resolutions to terminate Vellardita as CEO and appoint Patrick Willemsen in his stead.
In August 2011, Silvana Costa Manning and Patrick Willemsen filed a complaint with the Delaware Court of Chancery in an action to clarify that Manning, Harrington, and Vredegoor are directors, and that Rahul Rathod and Nalin Rathod are not directors, since their purported election was based on (i) failures to abide by proper corporate protocols and (ii) improperly issued ValCom securities. Concurrently with the filing of the complaint, Manning filed a motion for an interim order to maintain the status quo with respect to the business and affairs of ValCom pending resolution of the action. The motion for status quo order sought to maintain the ValCom governance structure immediately following the May 11, 2011 shareholder meeting and prior to the purported August 2011 shareholder action.



The Litigation

In September 2011, upon the consent of all parties, the Delaware Court of Chancery entered a Status Quo Order directing that, pending resolution of the matter, the board of directors of ValCom be comprised of Manning, Harrington, Vredegoor, Frank O'Donnell and Vellardita, with Vellardita as CEO.
The Status Quo Order required Vellardita and the board of directors to abide by specific protocols during the Status Quo period. Vellardita failed to abide by such protocols; in fact, he continued to ignore not only directives issued by the board, but also those ordered by the court. Moreover, during discovery, counsel for Vellardita withdrew certain documents that plaintiffs Manning and Willemsen had shown to be fabricated. This, in turn, led to the filing of a Motion for Contempt against Vellardita.
In March 2012 the Court entered an order directing that Vellardita be removed as Chief Executive Officer, President and Chairman of ValCom. The Court order also invalidated the purported election of Nalin Rathod and Rahul Rathod as directors of ValCom, and judgment was entered that the board of directors of the Company be comprised of Willemsen, Manning, Vredegoor, Harrington, O'Donnell, and Vellardita.



Where Things Stand

The new board of directors and management are just now finally able to take inventory of ValCom's assets, records and share capitalization. We are undertaking a thorough process to review:

ValCom's share register and recent transactions involving ValCom securities to determine our capitalization;
loan transactions, including transactions with Solomed Pte Ltd. (an entity affiliated with Nalin Rathod and Rahul Rathod), Greystone Capital and Asher Enterprises;

ValCom Pursues New Litigation Against Vincent Vellardita; Announces Frank O'Donnell And Vellardita Resign From Board
NEW YORK, April 26, 2012 /PRNewswire/ --ValCom, Inc. (Pink Sheets: VLCO) announced today that the company has filed a lawsuit in the Court of Chancery of the State of Delaware against Vincent Vellardita, Nalin Rathod and Rahul Rathod, and Solomed PTE LTD, an entity under the control of the Rathods. The lawsuit alleges, among other things, corporate mismanagement, corporate waste, self-dealing, breach of fiduciary duties, breach of duty of loyalty, and breach of the implied duty of good faith and fair dealing. In addition, the complaint alleges Mr. Vellardita, along with the Rathods, engaging in a civil conspiracy and/or aiding and abetting in a civil conspiracy to fraudulently authorize and issue ValCom securities.

On April 23, 2012, Vince Vellardita resigned as a member of the board of directors effective April 20, 2012. Mr. Vellardita's resignation comes following months of litigation surrounding the control and management of ValCom, the summation of which resulted in the Delaware court's eviction of Mr. Vellardita as CEO and Chairman of the company last month.

BOONTON TOWNSHIP, N.J., Nov. 6, 2012 /PRNewswire/ --On August 23, 2012 the Board of Directors of ValCom, Inc. deliberated upon, and voted to identify and evaluate, potential strategic options to sell and monetize certain ValCom assets. Following an assessment of various options, the Board of Directors voted to evaluate this option having determined it to be in the best interests of the company. Ich habe mir mal auch welche gegönnt. Amarantus ist schon davon geflogen, da sollte man auf einen Rücksetzer warten oder sie ziehen lassen. Bei Valcom kommen erst noch gute news. ich nutze mal die Zeit um hier günstig reinzugehen bzw. bei fallenden kursen nach zukaufen.

Orderbuch sieht in der tat sehr leer aus, wehe dem wenn hier mal größere Stückzahlen gekauft werden. Ich freu mich drauf.

4.000 Stücke reichten um auf 0,034 zu schliessen.Das ASk ist wie leergefegt, auch bei höheren Volumen, was den Anstieg erst ermöglicht wurde das ASk nicht aufgefüllt.
Da reichen 1.500 Euro und wir stehen schon bei 0,046 in den USA.Das Ding kann auch vor den News explodieren.

Was erst passiert, wenn wir Fakten zur Bibliothek als auch zum Merger usw bekommen, braucht man sich kaum ausmalen.

So kann man es auch sehen, es gibt eben nicht viel im ask. wer hier was kaufen will muss häppchenweise kaufen, ansonsten stehen wir sehr schnell über 10 US cents. Ich rechne aber heute schon mit weiter steigenden Kursen. Das Interesse nimmt täglich zu, vor allem auch bei den Amis. Die umjumbel Valcom regelrecht. Würd emich nicht wundern wenns hier bald etwas freudiges zu sehen/lesen gibt.

Die Jungs und Mädels bei Amarantus sind auch sehr enttäuscht und die wollen vermutlich ihre nassen hier wieder reinholen.

Auch wenn nicht ganz auf Tageshoch geschlossen, aber immerhin - wieder eine Treppe erklommen. Chart sieht wunderbar aus und Interesse steigt immer weiter, inzwischen gibts auch deutlich mehr Umsatz. Die Amis auf ihub sind sind sie nach wie vor aus dem Häuschen und spekulieren auf 0,40 Dollar. Vielleicht auf die schnelle etwas hoch, aber nicht ausgeschlossen. Wird eine spannende Zeit.

Jetzt verkaufen nur noch zittrige, die Shares werden gierig aufgesogen und das bei den Rahmenbedingungen in den USA und der normalen Kaufzurückhaltung zwischen den Feiertagen.

Kaufzurückhaltung zwischen den Feiertagen sieht allerdings anders aus. Dennoch gab es einen der am 24.12. ganze 300K zu 0,025 verscherbelt hat. Warum auch immer, aber das könnte am 31.12. wieder passieren. Ab dem ersten Handelstag im neuen Jahr gibt es wieder nur eine Richtung. Wenn man sich die Mühe macht und einzelne Trades der letzten Wochen anschaut, erkennt man das "einer" nicht möchte das die Ente zu schnell fliegt.

And don't speculate on why Valcom is selling assets. TH refers to selling some of the VIDEO assets to raise capital. Better than dilution man.

The music asset is a huge windfall. That's why Lehman buys. That's why the Rathod's bought. That's why the Mannings held at .12 Aug. 2011. That's why we are now trending upward.

Well at least C.R. Lehmann seems to be a well-known and admired person. I have checked the homepage of the Income Security Advisor, and also the performances of some funds. Not too bad actually, since in avarage he has beaten the marked the last 10 years. Please note, that less then 20% of all funds beat the marked constantly.

DOS Broadcast spoke with Bruce Maddocks on Monday January 21, 2013 and needs to update the report issued last week with two corrections and additions.

1. The report mispelled Bruce Maddocks name. This is the correct spelling in the report has been updated. DOS has apologized to Mr. Maddocks for the error.

2. Mr. Maddocks has clarified the location of the missing tapes and digital files. "Joel Wertman, has your tapes and digital files." When asked why they were returned to Mr. Wertman Mr. Maddocks stated "Joel Wertman was Valcom's authorized representative and if you want the other tapes and digital files you need to get them from Joel".

DOS has not been able verified the location of the tapes as being with Mr. Wertman but based on other information received from several sources, does believe that the tapes and digital files are in posession of Joel Wertman.

I cannot say, although a Form 4 shows he still owns 12.6 mil shares.

I am not sure about Mr. Harrington's position, although I am sure he has one.

I am also sure there are other entities involved with long positions, further decreasing the amount of shares actually available.

So, we can verify through recent filings, that AT LEAST 124,715,736 out of 178,200,000 (70%) of the shares outstanding are owned by insiders alone!, and are increasing their positions!

I will say this as well. I have never seen insiders buy into a penny stock like I have with Valcom insiders.

Does everyone understand the implications of this, Lemman's Form 4?

Mr. Lehmann has recently purchased another 2m plus shares at 3.5 cents. That brings his total to about 47m, of which he and his family own about 21m with the rest being owned by clients.

According to the 'Prudent-Person Rule'...

"A legal maxim restricting the discretion in a client's account to investments that a prudent person seeking reasonable income and preservation of capital might buy for his or her own portfolio."

He's invested over $750,000.00 of his/family's money and, since this is a high risk penny stock, he is personally liable for about another $500,000.00 of his client's money. Would he subject himself to this, a $1,250,000 risk, if he didn't absolutely know what was going to hasppen? I don't think so!

You can argue that he might want to risk his own money, but why his clients? He could have bought WEC in mid December and be looking like a hero with absolutly no risk.

Von Dezember 2012 bis März 2013 ist schon einiges passiert. Die Filings mit Lehmann sind also die Vorbereitung gewesen. Auch interessant die DOS Website und Valcom Website sollen mit neuem Design und Informationen wieder online gehen. Valcom wahrscheinlich auch mit der neuen Domain valcominc.tv.

Immerhin überzeugte ein "decent value", einen Herr Lehmann ein Teil der Prozesskosten bzgl. Megaupload zu finanzieren. Da versprechen sich die Herren, trotz Zweifel einiger ein positives Ergebnis.

Zur Email oben sei erwähnt. Es ist die Art von Harrington eine Antwort zu geben. Sehr oft kurz, knapp wenig präzise, aber zu 100% kommt dann wirklich
eine PR oder was auch immer.

NON-CIRCUMVENTION, NON-DISCLOSURE AND
CONFIDENTIALITY AGREEMENT
THIS AGREEMENT entered into on this _______ day of _______________________, 2013 is for
the Professional Association and arrangement of Non-Circumvention, Non-Disclosure and
Confidentiality by and between _____________________________________ whose office is
located at ______________________________________________ and DOS Broadcast &
Appraisal Service, Anniston, AL, hereinafter, called the "The Parties."
The Parties with this agree to respect the integrity and tangible value of this agreement between
them.
THIS AGREEMENT is a perpetuating guarantee for one (1) years from the date of execution and
is to be applied to any and all transactions present and future, of the introducing party, including
subsequent follow-up, repeat, extended, renegotiated, and new transactions regardless of the
success of the project.
Because of THIS AGREEMENT, the Parties involved in this transaction may learn from one
another, or from principals, the names and telephone numbers of investors, borrowers, lenders,
agents, brokers, banks, lending corporations, individuals and/or trusts, or buyers and sellers
hereinafter called contacts. The Parties with this acknowledge, accept and agree that the
identities of the contacts will be recognized by the other Party as exclusive and valuable contacts
of the introducing Party and will remain so for the duration of this agreement.
The Parties agree to keep confidential the documents titled DOS Sales Package for Valcom,
names of any contacts introduced or revealed to the other party, and that their firm, company,
associates, corporations, joint ventures, partnerships, divisions, subsidiaries, employees, agents,
heirs, assigns, designees, or consultants will not contact, deal with, negotiate or participate in any
transactions with any of the contacts without first entering a written agreement with the Party who
provided such contact unless that Party gives prior written permission. Such confidentiality will
include any names, addresses, telephone, telex, facsimile numbers, and/or other pertinent
information disclosed or revealed to either Party.
The Parties agree not to disclose, reveal or make use of any information during discussion or
observation regarding assets, plans, concepts, ideas, product/services, or proposed new
services, nor to do business with any of the revealed contacts without the written consent of the
introducing party or parties.
The Parties agree that any sales commission will be paid to DOS by Valcom, Inc., for any sales
that may results from this introduction and that due to the many variables surrounding each
Business Financial Transaction that will occur because of this agreement, the commission to be
paid and/or the fee structure between the Parties can vary. A separate fee/commission
agreement will outline compensation for each Business/Financial Transaction. The fee or
commission agreement must be drafted and acknowledged by signature before all
Business/Financial Transactions.
In case of circumvention, the Parties agree and guarantee that they will pay a legal monetary
penalty that is equal to the commission or fee the circumvented Party should have realized in
such transactions, by the person(s) engaged on the circumvention for each occurrence. If either
party commences legal proceedings to interpret or enforce the terms of THIS AGREEMENT, the
prevailing Party will be entitled to recover court costs and reasonable attorney fees.DOS Broadcast & Appraisal Service Non-Disclosure/Circumvention pg. 2
The parties will construe THIS AGREEMENT in accordance with the laws of the State of
Alabama, County of Calhoun. If any provision of this agreement is found to be void by any court
of competent jurisdiction, the remaining provisions will remain in force and effect.
THIS AGREEMENT contains the entire understanding between the Parties and any waiver,
amendment or modification to THIS AGREEMENT will be subject to the above conditions and
must be attached hereto.
Upon execution of THIS AGREEMENT by signature below, the Parties agree that any individual,
firm company, associates, corporations, joint ventures, partnerships, divisions, subsidiaries,
employees, agents, heirs, assigns, designees or consultants of which the signee is an agent,
officer, heir, successor, assign or designee is bound by the terms of THIS AGREEMENT.
A facsimile or email copy of this Non-Circumvention, Non-Disclosure and Confidentiality
Agreement shall constitute a legal and binding instrument. By setting forth my hand below I
warrant that I have complete authority to enter into THIS AGREEMENT.

As part of the recent engagement DOS also received full access to documents related to the Music Library. DOS has reviewed ownership documents to the Music Library and concluded that ValCom has clear title to the collection of songs and recordings. The collection consists of:

4135 Tracks/Songs
2,085 individual Songs
79 Publishing Company Contracts
289 Artists

Vom 18.3.2013

DOS has been selected to help sell the video and/or music assets of a company looking to move into other areas of the entertainment industry.

The sale includes a large Video Library of mostly Public Domain Films but there are over 1000 titles that are not PD.

There is also a large recording library of:

4,646 Total Tracks/Songs
2,100 Unique and Individual Songs
289 Artist

die news bei valcom kommen ja regelmäßig und sind gut, aber was macht der kurs, lügt der kurs, sind die machtkämpfe im hintergrund dafür verantwortlich, ist es nicht so, wenn eine aktie vielversprechend ist, steigt sie auch oder ?? valcom steigt leider nicht, was ist die schlussfolge ??

Wann geht es wieder los bzw. wird die Gesellschaft jemals wieder gelistet? Einen neuen CEO hat die Firma ja seit Dezember 2013 und der Rechtsstreit gegen den alten CEO läuft.

Die HP sieht aber recht mager aus.
