      Forécariah Joint Venture and Update on Financing



      Bellzone Mining plc (AIM: BZM) issues the following update to shareholders on developments with the Forécariah Joint Venture ("JV") in Guinea. The JV is 50% owned by Bellzone through Coastal Iron Developments Limited, a wholly owned subsidiary of Bellzone, which holds an investment in the Singapore based Forécariah Holdings PTE LTD.



      Bellzone has been informed that a legal case has been brought against the JV in Guinea by a former contractor alleging an amount of $6.1 million :cry: is outstanding for construction works contracted with the Singapore based Forécariah Holdings PTE LTD. The legal case is being vigorously defended by the JV in Guinea and does not impact on Bellzone or its Guinea-based subsidiaries.



      The JV is capable of settling the liability should the legal case be decided against it. Bellzone maintains the position that the JV will remain self-sustaining from a cash perspective.



      The JV has been operating successfully in 2014 and has shipped two cargoes of iron ore this year, with a third cargo ready to be loaded once a ship arrives in port.

      In line with previous announcements, the Company remains in discussions with both short and long term providers of finance and the Company's cash position remains sufficient to continue operations into Q2 2014. :rolleyes: The Company will provide further updates to the market as to its financial position and the status of financing negotiations as appropriate.



      Glenn Baldwin, Chief Executive Officer, commented:



      "The response to the Court action is being managed by the JV. We are obviously interested in the outcome but believe Bellzone itself is not impacted by the action. Our efforts remain focused on finalizing funding for our flagship 100% owned Kalia project, with discussions in this regard progressing well".

      Mein Fehler war, zuviel zu investieren und dann noch nachzulegen. Und mich auf die Meinung von anderen zu verlassen. Hatte unabhängig voneinander in drei vertrauenswürdigen Boards Bellzone in höchsten Tönen gelobt gehört. Naja, so kann man sich irren. Man sollte sich doch immer auf die eigene Nase verlassen.

      Die News beflügeln den Kurs.
      Bellzone heute schon +10% und knapp 2Mio. gehandelte Shares.
      So viel wie lange nicht, und es wird fleissig aus dem ask gekauft.
      Ask nun bei 3.74p.

      Wenn jetzt noch die News über die Finanzierung kommen, dann sind wir bald wieder zweistellig. Könnte mir vorstellen, dass Investoren zuerst die Entscheidung für die Infrastruktur abwarten. Damit sind wir jetzt durch, mal sehen wie es weiter geht.

      Market Cap ist mit den Kalia Aussichten ein Witz.

      Bellzone announces Placing to raise approximately £1.1 million (net)

      Bellzone Mining plc ("Bellzone" or the "Company") (AIM: BZM) announces a non-pre-emptive placing to raise approximately £1.1 million (net) (the "Placing") through the issue of 51,321,263 new ordinary shares of no par value at a price of 2.5p per share (the "Placing Shares") with China Sonangol International (S) Pte Ltd ("China Sonangol"), pursuant to which China Sonangol will either procure (as agent for the Company) placees for the Placing Shares or subscribe for the Placing Shares.

      Bellzone remains in active discussions with other potential providers of both short term and project finance. The proceeds of the Placing are expected to provide Bellzone with sufficient funds to continue operations until early August 2014 whilst funding discussions continue.

      The Placing

      The Placing is subject to the terms and conditions set out in the Appendix. The price per ordinary share at which the Placing Shares are to be placed (the "Placing Price") will be 2.5p per share, representing a discount of 22% to the closing mid-price of the Company's shares of 3.2p on 3 June 2014, being the last day of trading before the announcement of the Placing.

      As a result of the Placing, the total issued share capital of the Company will be 793,645,748 ordinary shares of no par value (the "Ordinary Shares"), of which 11,005,130 Ordinary Shares are held by the Company in treasury. Accordingly, the issued share capital of the Company for the purpose of calculating total voting rights will be 782,640,618 Ordinary Shares.

      The Placing Shares will be credited as fully paid and will rank pari passu in all respects with the existing Ordinary Shares, including the right to receive all dividends and other distributions declared, made or paid after the date of issue.

      The existing Ordinary Shares are listed on the London Stock Exchange ("LSE"), admitted to trading on the AIM Market. Application will be made to the LSE for the Placing Shares to be admitted to trading on AIM.

      Under the AIM Rules, China Sonangol is a related party of Bellzone. The directors of Bellzone consider, having consulted with Bellzone's Nominated Adviser, Investec Bank plc ("Investec"), that the terms of the Placing are fair and reasonable insofar as the shareholders of Bellzone are concerned.

      The Appendix to this announcement (which forms a part of this announcement) sets out further information and the terms and conditions of the Placing.

      Bellzone was on 26 July 2013 granted authority by its shareholders, pursuant to article 2.3 of its articles of association, to issue up to 222,397,345 new Ordinary Shares. The Placing Shares will be issued under this general mandate. The Placing is not subject to shareholders' approval.

      Wie erwartet ist SP tief unter 3p abgesturzt. Rally war eben auf PUMP. Kurzfristig unter 2.5p geht es kaum wegen placing. Habe kurzfristig @2.6P ein bischen gekauft. Ich kann nicht vorstellen, dass die big finanzierung kommt. Ist eben zu viel Geld.

      Jindal Steel and Power (JSPL) is close to acquiring an iron ore mine in West Africa to secure raw material for its recently commissioned steel plant in Oman and to sell the surplus in the open market.

      “We are in discussion with a few targets in West African countries like Cameroon, Senegal and Nigeria for an iron ore mine acquisition and hope to clinch a deal in the next three-four months,” a senior company official told PTI.

      Though the cost of the acquisition would not be “much”, creating infrastructure such as roads and ports while developing the mine would be “higher” and quantifying that would be possible later, he said.

      “By July-September, we will be able to seal the deal,” the official said, adding that the mine would have at least 1 billion tonnes of reserves.

      Naveen Jindal-led JSPL recently commissioned a 2-million per annum (mtpa) steel plant in Oman, taking its total capacity to 7 mtpa. It has a 3 mtpa steel plant at Raigarh in Chhattisgarh and a 2 mtpa facility at Angul in Odisha.

      It generally requires 1.6 million tonnes of iron ore to produce 1 million tonnes of steel. The Oman facility buys the raw material from the open market to run the plant.

      Operating a plant with raw material purchased from the market leaves a company vulnerable to price vagaries, which can impede growth and affect profitability.

      “We want to buy a mine so that the plant does not have to face the consequence of fluctuating iron ore prices in the international market. It is very important for us,” he said.

      Africa has natural resources in abundance. JSPL already has established its presence across South Africa, Mozambique, Namibia, Botswana and Mauritania on the continent.

      JOHANNESBURG (miningweekly.com) – Aim-listed Bellzone Mining on Monday said it was confident of meeting a 2016 deadline to export the first iron-ore from its flagship Guinea-based Kalia mine, provided that full funding was secured this year.

      “Although we have not been immune to the delays in funding that have been seen across the iron-ore sector this year, where prices have been under downward pressure, I am very pleased with the progress we have made with regard to funding Kalia,” Bellzone CEO Glenn Baldwin averred.

      Following the completion of the bankable feasibility study late last year, which showed robust economics, even in a low iron-ore price environment, the company had been focused on securing funding for the project.

      As Bellzone progressed active discussions with potential providers of both short-term and project finance, the group had secured a short-term funding agreement through a placement with major shareholder, China Sonangol, to ensure the ability of the company to meet its immediate obligations until August.

      Bellzone had placed 51-million new ordinary shares with China Sonangol, at a price of 2.5p apiece, raising net proceeds of about £1.1-million.

      The company reported a cash balance of $1.48-million as at June 13 to fund activities until August.

      “We remain confident in the quality and potential of Kalia as a key resource globally, and will continue to build on the progress made to date,” Baldwin concluded.

        Bellzone Mining plc  (“Bellzone” or “the Company”)  Financing Update    The Company announced on 4 June 2014 and again on 30 June 2014 that it had sufficient funds to  continue operations until early August 2014, following the £1.1 million (net) placing with China  Sonangol International (S) Pte Ltd ("China Sonangol"). The Company also announced that it was in  ongoing discussions with providers of both short and long term finance.     The Company wishes to update shareholders that it has not, to date, been able to secure long term  financing. However, the Company is in advanced discussions with China Sonangol in relation to the  provision of a short term loan. Although not yet finalised, the US$4 million loan would be secured  against the Kalia Project, and would be expected to allow operations to continue until late October  2014. This short term funding is required in the immediate future for the Company to continue its  operations.     The Company will provide a further update in due course.

      ("Bellzone" or "the Company")

      Short term finance update



      The Company announces that it has entered into an agreement with China Sonangol International (S) Pte Ltd ("China Sonangol") pursuant to which China Sonangol has agreed to provide short-term finance to the Company ("the Loan") of up to US$4 million.



      Under the terms of the Loan:

      · The Company expects to initially draw down US$750,000, which is expected to provide the Company with sufficient working capital to continue operations until late August 2014;

      · The drawdown of the remaining U$3,250,000 is subject to the satisfaction of certain further conditions, which include completion of the transfer of Bellzone Holdings SA (the holder of the Kalia Mining Permit and a wholly-owned Jersey subsidiary of the Company) to OTN Mining Limited (a wholly-owned subsidiary of the Company), which requires the receipt of the requisite governmental approvals. The transfer simplifies corporate transactions at the asset level and does not constitute a change of control of the asset;

      · The further US$3,250,000, is expected to provide the Company with sufficient working capital to continue operations until late October 2014. Although the Board is confident that such further conditions will be satisfied, there can be no certainty that such conditions will be satisfied;

      · Interest is payable monthly in arrears at the percentage rate per annum which is the aggregate of five (5) per cent and 3-month LIBOR;

      · The Loan, together with all amounts payable in respect thereof, is repayable in full on or before 14 December 2014;

      · The Loan is secured by the entire issued share capital of Bellzone Holdings SA, Sadeka SARL (holder of the Sadeka Exploration Permit), OTN Mining Limited and Coastal Iron Development Limited (holder of Bellzone's interest in the Forécariah JV), each of which is a wholly-owned subsidiary of the Company; and

      · China Sonangol will be able to enforce the security if Bellzone defaults on the terms of the Loan.



      China Sonangol will release its security upon repayment of the Loan (and all amounts payable in respect thereof). Bellzone has expressly preserved the right to seek alternative sources of financing and to use any funds so obtained to effect a repayment and the release of the security.



      The Loan enables the Company to continue to pursue its discussions with other prospective providers of financing, including for bridge funding, which would enable the Company to further progress development work and fund associated working capital while the Kalia project financing is finalised. There can be no certainty that any such financing will be obtained, nor as to the terms of any such financing, however, the directors continue to work vigorously to secure the funding solutions.



      Under the AIM Rules, as a result of its 29.9 per cent. shareholding in the Company, China Sonangol is a related party of Bellzone. The Directors consider, having consulted with Bellzone's Nominated Adviser, Investec Bank plc, that the terms of the Loan are fair and reasonable insofar as the shareholders of Bellzone are concerned.

      Why Bellzone Mining rose 587%

      Bellzone Mining (BZM) shares had been suspended for over five months, but returned to the market Friday after agreeing an extended loan agreement which should fund its entire working capital for 2015. That was always likely to be taken well, but just how well was a quite dramatic surprise.
      Bellzone shares were suspended at 0.52p at the end of September last year pending clarification of its financial position, but gathered steam through Friday's session, rising as high at 3.57p an hour ahead of the close. Some of the steam was let off as day traders collected profits, but an end-of-day rise of about 400% is still quite remarkable.

      The miner's major shareholder China Sonangol has agreed to extend Bellzone's original $4 million loan facility to the end of March 2018 and has increased it to $10 million. Drawing $5 million from the loan facility, the total it has taken out now stands at $8.5 million, leaving $1.5 million available. This extension and amendment in instead of a $30 million loan with its main stakeholder.

      In a statement the company said: "With ongoing financial support from the company's major shareholder having been re-affirmed, the board of Bellzone has sought the restoration of trading on AIM of the ordinary shares of no par value in Bellzone."

      But it's not out of the woods yet. The commodities rout and Ebola outbreak has caused problems for miners, especially those on AIM. When these challenges begin to thaw, Bellzone will look to find financing for its flagship Kalia project. This extended facility means it can maintain its interests in Guinea as it waits for a recovery in the market. But when this does happen, it's going to come to the market for money, which will dilute existing shareholders.

      TRG ist nicht entscheidend, deswegen habe ich alles unter 0,023€ gestern Abend noch gekauft.
      Schlusskurs war 0,022 GBP, nachbörslich wurde sogar zu 0,24 GBP gehandelt mit hohen Umsätzen, dass entspricht >0,033€.

      Eröffnung wird Spannend.

      CS hält mittlerweile 51% der Anteile.
      Das Board wurde komplett ausgetauscht und nun bestimmt Sonangol wie es weitergeht, übergangsweise wurde Kum Hon Tung installiert bis ein neuer CEO gefunden worden ist.

      Welche Strategie verfolgen die Chinesen?
      Noch ist der Eisenerzpreis im Keller, Goldmann Sachs sieht 66USD bis 2016 und Bernstein Gate mid 70s USD.

      Für die Zukunft ist die Kalia ja noch immer ein Riesen Asset.
      Aus einer Analyse erinnere ich einen Break-Even Eisenerz-Preis von 58,50 USD/t, damit Kalia kostendeckend operiert.

      Mit den letzten 10M USD von CS ist die Finanzierung bis 2016 gesichert, aber um das Kalia-Projekt auf die Beine zu stellen fehlen noch weitere geschätzte 600M USD. Mit einem neuen CEO und CS im Rücken glaube ich mittlerweile wieder an eine langfristige Finanzierung durch Partner. Zu dem CS Konglomerat mit dem chin.       Ich bin hier wieder investiert, der Kurs notiert momentan bei 2.5p.
      CS ist mit Kursen ab 17p und weiter aufwärts eingestiegen, da hat BZM noch einiges aufzuholen.

      Dass BZM nach der Suspension erstmal gezockt wird war abzusehen. Zum aktuellen Kurs werden die Leute die nach der Suspension eingestiegen sind und auf Gewinnen sitzen wieder weniger. Es kann durchaus nochmal zu weiteren Gewinnmitnahmen kommen und den Kurs unter Druck setzen. Wer hier kurzfristig Geld verdienen wollte wird mittlerweile wieder raus, sein. Dafür fällt der Kurs gerade zu stark. Hier ist weiterhin Geduld gefragt. Und die haben wir ja bereits bewiesen.

      Die Frage ist doch aber: Wie sind die langfristigen Aussichten? Welches Ziel verfolgt China Sonangol?
      Im Moment ist die Zukunft noch unklar, aber wenn der neue CEO bekannt gegeben wird kommt hier auch wieder neue Musik rein. Die Chancen mit Kalia sind einfach enorm und dieses Potential ist für die Chinesen ungeheuer wichtig.

      Ich sehe hier weitere News-Trigger, welche dem Kurs helfen könnten:

      Ich war kurz davor noch einmal zu kaufen, ging dann aber wieder zu schnell. Da kann man mal sehen, dass die Mischung aus einem Low Floater wie Bellzone einer ist und den anstehenden News einiges an explosiven Potential bietet!

      Welches Ziel verfolgt China Sonangol?

      CS ist hier seit 80p investiert und hat auf dem Weg nach unten mittlerweile die vollständige Kontrolle von BZM übernommen. M.M.n. hat CS die Gelegenheit genutzt und sich das Kali Asset gesichert und profitiert nun von den guten Kontakten von BZM zu Guineas Politikern.

      Die Manipulation des Eisenerz Preises (meine Meinung!) wird irgendwann ein Ende haben und dann ist das Potential hier enorm!

      Im Gegenteil, es gibt nichts neues. Solange bleibt BZM ein Spielball der Zocker bzw. momentan ist einfach zu wenig Interesse vorhanden.

      Mit Bekanntgabe des CEO sollte hier Auftrieb reinkommen. Ich habe eigentlich schon lange damit gerechnet.
      Die 1p scheinen aber zu halten.

      Bellzone Mining plc (“Bellzone” or “the Company”) (AIM:BZM) announces the audited results of the Company for the year ended 31 December 2014.
      Results
      • Loss for the year from continuing operations of $20.8 million (2013: $156.5 million)
      • Operating cash outflow of $13.4 million (2013: $35.6 million)
      • Cash flows from financing activities $7.6 million (2013: nil)
      • Net Debt of $3.5 million as at 31 December 2014
      CHAIRMAN'S STATEMENT
      Bellzone has undergone significant change over the past year. A year in which resolve, experience and relationships have been tested and proven to be resilient where others in our sector have sadly faltered.
      Operationally, the Group has sought to maintain activity required to comply with permit obligations whilst reducing costs as far as possible. The Company has met its planned objectives at Kalia and continues to drive down costs without negatively impacting its Guinean staff.
      The Guinean authorities have been conducting reviews of all issued mining licences. The CTRTCM (Comité Technique de Revue des Titres et Conventions Miniers) review has recently asked Bellzone to provide additional information on the Kalia licence and the Board has responded to this request. The Company will continue to engage with the Guinean authorities to ensure Bellzone’s hard-earned reputation in Guinea as a good corporate citizen is maintained.
      Corporate activity has been focused on obtaining finance, firstly to continue in operation and looking to Kalia development finance in the second instance. The support of our major shareholder, China Sonangol International (S) Pte Ltd (“China Sonangol”), has enabled us to obtain financing to continue in operation whilst our not insignificant efforts to finance Kalia have not been successful to date.
      The combination of decreasing commodity prices, perceptions of Guinea as an investment destination and of West Africa as a difficult operating environment, as well as the Ebola outbreak, have negatively impacted our Kalia financing initiatives and, in the case of Ebola, stopped crucial next step activities such as in-country due diligence by potential financiers and investors. The human face of the impact of the Ebola situation does however place the trials and tribulations of Kalia financing in perspective.
      China Sonangol’s support and interest in Bellzone extends beyond the purely financial aspect and the Board of Directors has seen significant change as a result. I welcomed Mr. Kum Hon Tung, acting Chief Executive Officer, to the Board as well as Messrs. Simon Brickles and James Leahy as Independent Directors at the same time as Messrs. Glenn Baldwin and Terry Larkan stepped down from the Board in November 2014. Having helped to oversee a transitional period for the Board, Mr. Leahy resigned to pursue other opportunities in May 2015. The Board now comprises three Independent Non-Executive Directors and one Executive Director.

      I am pleased to report that the Board was successful in having the Company’s shares re-admitted to trading on the AIM Market on 6 March 2015 and in securing finance for 2015 operational and working capital requirements.
      Your Board is committed to delivering value to all shareholders and is now focused on ensuring the Company retains its mining and exploration permits, including the Sadeka permit currently under discussion. During this period of low activity, we are exploring various pathways on how best to realise the full potential of Bellzone’s world-class asset at Kalia and evaluating the potential of alternative strategies possibly available through the financial and strategic strength of China Sonangol.

      OPERATIONS AND FINANCIAL REVIEW
      The Company was severely challenged to continue operations over the past year during which we have seen other companies operating in iron ore in the West African region fail.
      It is only through continuous cost reduction and supportive shareholder funding from China Sonangol that Bellzone has been able to continue operating in these trying times. The 84.1 per cent. reduction in year-on-year cash costs was achieved whilst meeting financial obligations in Guinea and without impacting our staff or host community with reduced activity, thereby maintaining Bellzone’s good corporate standing in Guinea.
      Market conditions for fundraising for major mining projects have been generally difficult since 2012 and, in particular, for relatively new mining companies. 2014 saw the price of seaborne iron ore collapse by close to 50 per cent., to a level from which prices have yet to recover.
      The Company continued to operate due to the significant reduction in costs and obtaining financing through small equity placements and a $4 million short term secured loan (“the Loan Facility”) in August 2014, all with China Sonangol. As a result of equity placings that were completed in 2014, China Sonangol is now the majority shareholder with 50.50 per cent. of the issued share capital of the Company and 51.00 per cent. of the total voting rights in the Company, taking account of treasury shares held.
      In March 2015 the Company agreed with China Sonangol to extend and amend the terms of the Loan Facility. The agreed amendments extended the availability period and the repayment date to 31 March 2018 and increased the total funding available under the Loan Facility from $4 million to $10 million. The amended Loan Facility is expected to provide Bellzone with sufficient working capital for 2015.
      Outlook and Strategy
      It is the intention of Bellzone to obtain further finance for the development of its Kalia project, once the Ebola outbreak is in abeyance and the iron ore price environment improves, such that project finance is available on terms acceptable to the Company.
      Bellzone’s flagship asset remains a strong iron ore development project. The fully independent BFS on the first phase of Kalia’s proposed production (“Kalia Project 1” or “KP1”) led by Fluor Australia Pty Limited and published in September 2013 demonstrated the robust financial business case for KP1. The Company believes that KP1 remains viable even at today’s low iron ore prices.
      Accounting Policies
      There have been no changes to the accounting policies adopted by the Group in 2014.

      Presentation of Financial Statements
      The financial statements are presented in accordance with International Financial Reporting Standards as adopted by the EU (“IFRS”), and are presented in US Dollars (“$”) with all values being rounded to the nearest thousand ($000) unless otherwise stated.
      Dividends
      As the Group is in a project-development stage and generates no revenue, no dividends have been declared (2013: nil).
      Changes in Finances
      The Australian subsidiary, Bellzone Management Services PTY LTD was placed into administration in October 2014 after the Board of Directors considered that the subsidiary was no longer serving any purpose. The closure of the subsidiary resulted in annual cash cost savings of $2.1 million and removed liabilities of $0.2 million from Group liabilities.
      Treasury and Cash Flow Management
      At 31 March 2015, funds on hand and available amounted to $4.0 million.
      The Board has a Treasury Committee consisting of the Chairman and the Chief Financial Officer.
      The structuring of the Company’s treasury reduces exposure to currency fluctuations by holding the bulk of the funds in the currency used for budgeted expenditure. The expenditure in Guinean Francs is the only currency which is not managed through this mechanism and is converted on a monthly basis for actual funding requirements.
      Funding Requirements
      The Company has agreed with China Sonangol to extend and amend the terms of the Loan Facility. The agreed amendments extended the availability period and the repayment date to 31 March 2018 and increased the total funding available under the Loan Facility from $4 million to $10 million. The amended Loan Facility is expected to provide Bellzone with sufficient working capital for 2015.
      The Company plans to make further cost reductions in the short term without reducing Guinean staff and corporate activities on statutory requirements. We will increase our efforts in sourcing new funding for the development of Kalia per the BFS published in September 2013.

      Die Verhandlungen mit den Chinesen verlaufen wohl vorteilhaft und der Cash reicht noch für dieses Jahr.

      Aber wenn Kalia nicht bald irgendwie finanziert werden kann, schaut es übel aus.

      Nur meine Meinung, bin nicht mehr sehr tief im Geschehen bei Bellzone. Nach quasi Leiche im Depot, ist es die Recherche fast nicht mehr wert ....

      Oder sieht hier jemand Licht am Ende?

      Aim-listed Bellzone Mining’s Kalia iron-ore project, in Guinea, remains a key asset; however, commodity pricing and a lack of available finance to develop greenfield iron-ore projects in the current challenging economic environment “were not conducive” to funding Kalia as defined in the independent bankable feasibility study, which the company released in September 2013.

      But, Bellzone advised on Friday that a strategic review undertaken in the first half of this year had revealed nickel potential within the iron-ore Joint Ore Reserves Committee- (Jorc-) compliant reserve and resource at the company’s 100%-owned flagship project, with a Jorc reserve of 6.1-billion tons.

Further, the availability period and the repayment date for Bellzone’s $4-million loan facility, previously announced on August 18, 2014, and amended on January 28, 2015, had been extended to March 31, 2018. The funding available under the loan facility was increased from $4-million to $10-million, of which $8.5-million had been drawn to date.

      2017 Funding and Business Update
      Bellzone (AIM: BZM) announces that agreement has been reached with Hudson Global Group
      Limited (“Hudson”), which has a 61.93 per cent. shareholding in the Company, regarding the
      Company’s working capital funding for 2017.
      The Company’s working capital requirements up to the end of 2016 have been funded by a US$6.5
      million loan facility which is to be repaid to Hudson with accrued interest on 31 March 2018. A total
      of US$6.0 million has been drawn down to date.
      In addition to the remaining US$0.5 million undrawn commitment, Hudson has agreed to make
      available a second loan facility of up to US$4.0 million to Bellzone (the “Hudson Additional Loan
      Facility”) with effect from 1 Jan 2017, with the first drawdown occurring no later than 28 February
      2017.
      This smaller loan amount compared to previous loans is a reflection of Bellzone’s continuing
      collective effort to further reduce its operating budget in 2017. The Hudson Additional Loan Facility
      will be on substantially the same commercial terms as the existing Hudson loan facility, with interest
      chargeable at Libor plus 5 per cent. which will accrue to be paid along with repayment of the
      principal drawn on 31 March 2018.
      Accrual of interest due under CSIS Loan Facility
      Bellzone also announces that China Sonangol International (S) Pte Ltd (“CSIS”) has agreed to revise
      the interest payment dates on 31 December 2016 and 31 December 2017 with respect to its
      US$10.2 million loan facility as last amended on 5 March 2015 to 31 March 2018 and for the net
      expenses incurred by Bellzone in relation to this loan facility to be aggregated together as part of the
      same loan facility.
      Related Party Transactions
      Under the AIM Rules, as a result of its 61.93 per cent. shareholding in the Company, Hudson is a
      related party of Bellzone. The Independent Directors of Bellzone, being Michael Farrow, Simon
      Brickles and Antony Gardner-Hillman consider, having consulted with Bellzone’s Nominated Advisor,
      WH Ireland Limited, that (i) the terms of the Hudson Additional Loan Facility; and (ii) the change of
      interest due dates on the CSIS US$10.2 million loan facility are fair and reasonable insofar as the
      shareholders of Bellzone are concerned.
      2017 Business Plan
      Bellzone is in the final stages of negotiations with the Government of the Republic of Guinea to
      update its Kalia Base Convention which was ratified in August 2010. Following the signing and
      ratification of the Addendum and updated Convention provisions, Bellzone intends to proceed
      without delay to complete the next steps required to convert the initial results of the technical study
      announced on 25 August 2016 into a full feasibility study assessment of the economic viability of the
      Ferronickel Project. The financing required to complete the key next steps of the feasibility study
      work has already been substantially raised in the equity placing announced on 21 January 2016.
      Termination and dissolution of Bellzone Employee Share Plan Trust (“BESPT”)
      The BESPT was dissolved on 19 December 2016. At the time of dissolution, the BESPT held
      21,652,840 ordinary shares of no par value (“Ordinary Shares”) in the issued share capital of the
      Company. These shares have been transferred to Bellzone Mining plc and will be held in treasury.
      Total Voting Rights
      The issued share capital of the Company is 1,469,858,383 Ordinary Shares. As a result of the transfer
      of shares from the BESPT to Bellzone, Bellzone now holds 32,657,970 Ordinary Shares in treasury.
      Accordingly, the issued share capital of the Company for the purpose of calculating total voting
      rights will be 1,437,200,413 Ordinary Shares.

      RE: Can see this boom tomorrowThu 19:00There isn't much stock and the mechanisms for retraces- namely placings or fears of a placing will likely not happen as the company is funded for a year. So it's a level playing field of supply and demand.
      Ie what retail punters think the 5th (or 7th) largest iron deposit in the world is worth.
      At an NPV of £500 million at Febs pricing I always thought it would be 10-20% at this stage of that. So 3.5p to 7p.
      Moving forward each $10 increase in iron ore price from the $92 will increase the NPV by $325 million. Huge numbers. So I suspect most feel the sp should be higher and wil go higher. I think it will go higher hence I'll hold.
      Easy money IMO

      The natural resources company, with a staggering near-term nickel resource inventory of 79.3mln tonnes (at a 0.69% nickel grade), sports a current market cap of £34m (2.30p) £ a gross undervaluation when one takes a closer look at the current price of nickel.

      Simply put, and at a current nickel price of $8,939.97 per tonne, and using a discounted cash flow analysis (discount rate 54%, terminal growth rate 8.0%- 14.0%), our integrated model and overview of the company suggests a potential net present value of £477m

      This was from June. The nickel price is now $12,560.00 per tonne. So a lot higher than back then too.

      Bellzone announces Placing to raise approximately £1.5 million (net) and Appointment of Joint Broker
      Bellzone Mining plc ("Bellzone" or the "Company") (AIM: BZM) is pleased to announce a successful non- pre-emptive placing to raise £1.6 million (approximately £1.5m net) (the "Placing") through the issue of 128,000,000 new ordinary shares of no par value at a price of 1.25 pence per share (the "Placing Shares"). This will represent 8.0% of the enlarged issued share capital of the Company.
      SVS Securities Plc ("SVS") acted as broker pursuant to a placing agent agreement whereby SVS will either procure (as agent for the Company) placees for the Placing Shares or subscribe itself for the Placing Shares. The SVS Placing will be undertaken by way of a cashbox placing and Cleargrass No.4 Limited (company number 124361) was registered in Jersey for this purpose.
      The proceeds of the Placing will be applied to advance the completion of the feasibility study on the proposed Ferronickel sub-project and for FY2018 working capital requirements. Approximately 60% of the work required to obtain feasibility study results has been completed and paid for and the remaining work is estimated to require a relatively small proportion of the funds raised. The Company expects to conclude the feasibility study by November 2018 at the latest in line with its obligations under the recently signed Addendum to its Mining Convention.
      The Company intends to make an immediate start to planning for additional bulk sample extraction and a test smelt campaign at Mintek in Johannesburg and regular market updates will be provided.
      The Placing
      Bellzone was on 28 July 2017 granted authority by its shareholders, pursuant to article 2.3 of its articles of association, to issue up to 440,957,000 new Ordinary Shares. The Placing Shares will be issued under this general mandate.
      The Placing is subject to the terms and conditions set out in the Appendix. The price per ordinary share at which the Placing Shares are to be placed (the "Placing Price") will be 1.25 pence per share, representing a discount of approximately 23% to the closing mid-price of the Company's shares of 1.625p on 22 November 2017, being the last day of trading prior to the announcement of the Placing.
      As a result of the Placing, the total issued share capital of the Company will be 1,597,858,383 Ordinary Shares of no par value, of which 32,657,970 Ordinary Shares are held by the Company as treasury shares for the purpose of executive remuneration. Therefore, as at 29 November 2017, the total voting rights in the Company are 1,565,200,413 and this figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change in their interest in, the Company under the Disclosure and Transparency Rules of the UK Financial Conduct Authority.

      Pure: since yesterday and after the news of placing there was tens of buys but I am isolating 3 buys one was 64k and two of 53k that’s totaling £170k that’s nearly 1.3% of the whole Market cap of the company or just under 20% of the whole amount placed and that’s in less than 48hrs! So there’s is clearly interested party who is not panicking by reading your posts or any of the negative posts -:)
