      Also fassen wir mal zusammen:
      1. Golar LNG

Teekay LNG Partners and Exmar to Enter Into LPG Carrier Joint Venture

      12/05/2012
HAMILTON, BERMUDA -- (MARKET WIRE) -- 12/05/12 -- Teekay LNG Partners L.P. (Teekay LNG or the Partnership) (NYSE:TGP) and EXMAR NV (EXMAR) (EXM:BB) today announced an agreement in principle to create a new 50/50 joint venture which will operate in the LPG Carrier segment with a primary focus on Midsize Gas Carriers. EXMAR and Teekay LNG seek to expand the joint venture by taking advantage of the current and future demand for liquefied petroleum gas (LPG) and ammonia (NH3).

      Transaction Summary

-- EXMAR will contribute 16 owned LPG carriers to the new joint venture
company, to be named EXMAR LPG BVBA. The EXMAR LPG BVBA fleet will
include 15 owned Midsize Gas Carriers (MGC), of which four are under
construction at Hyundai Mipo, and one owned Very Large Gas Carrier
(VLGC). EXMAR LPG BVBA will also time-charter in three MGCs and two
VLGCs, and bareboat-charter in one MGC and one VLGC.
-- Prior to this transaction, EXMAR LPG BVBA will acquire from Wah Kwong
the remaining 50 percent interest in two MGCs, the Brugge Venture and
the Touraine, which it does not already own.
-- Teekay LNG will then acquire a 50 percent ownership in EXMAR LPG BVBA.
In exchange for its 50 percent interest in EXMAR LPG BVBA, Teekay LNG
will contribute approximately USD 140 million of equity and assume pro
rata debt and lease obligations secured by certain vessels to be owned
      by EXMAR LPG BVBA.
-- EXMAR LPG BVBA has received a commitment from certain commercial lenders
to refinance the fleet in early-2013.
-- EXMAR will continue to commercially and technically manage and operate
      the vessels.
-- It is the intention of EXMAR LPG BVBA to renew and grow the fleet and
discussions are already underway with various yards to secure additional
      orders.

"New gas export projects scheduled to come on-line, combined with a relatively modest LPG carrier orderbook, are expected to result in strong demand for the current global LPG carrier fleet," commented Peter Evensen, Chief Executive Officer of Teekay GP LLC. "In addition to providing potential upside from the attractive fundamentals in the LPG shipping market, this accretive transaction further diversifies Teekay LNG's fixed-rate contract portfolio while leveraging EXMAR's deep expertise as a leading owner and operator of medium-sized gas carriers."

Nicolas Saverys, Chief Executive Officer of EXMAR N.V commented, "This transaction reflects a long-standing tradition of partnership with outstanding shipping peers. EXMAR is pleased to have Teekay LNG as a partner and rely on their extensive knowledge of the worldwide shipping markets to continue to grow the LPG and NH3 trade together. We share the same vision and strategy to grow the gas shipping trade and are excited about implementing our ideas as soon as possible."

The proposed transaction, which is expected to close in late-2012 or early-2013, has been approved by the Teekay LNG and EXMAR boards of directors, and remains subject to customary closing conditions, including the completion of due diligence, vessel inspections and documentation.

Exmar said that due to unfavorable current capital market conditions, it is delaying the launch of the contemplated initial public offering of common units in the United States of Exmar Energy Partners.

“Exmar will continue to evaluate the most appropriate timing for the initial public offering as market conditions develop,” stands in a company statement.

A registration statement has already been filed with the Securities and Exchange Commission at the end of September, but has not yet become effective.

Upon completion of the offering, the MLP is expected to own a 50% equity interest in joint ventures that own and operate four LNG regasification vessels and one LNG carrier.

Exmar of Belgium said it has made an order for a second floating LNG liquefaction unit at Wison Offshore & Marine.

Under the agreement Wison will be responsible for the turnkey engineering, procurement, construction, transportation, installation and commissioning of the FLNG, which will be a self-contained barge with a liquefaction capacity of 0.6 MTPA and 20,000 m³ of LNG storage, according to a statement by Exmar.

The FLNG will be constructed at Wison’s shipyard in Nantong, China, where also the construction of the world’s first FLNG for Exmar is nearing completion. Exmar also secured additional firm options for two more FLNG’s.

The FLNG is scheduled to be completed in 2017, which Exmar views as one of several strong competitive advantages as it will allow faster monetisation of existing gas reserves.

Nicolas Saverys, CEO of Exmar said, “It is clear that lower oil and gas prices will continue to boost demand for cost-efficient and fast-track FLNG solutions over land-based liquefaction terminals. We continue to see strong growth in the FLNG market. Thanks to our first-mover advantage we are actively working on seven FLNG projects around the world.”

      Exmar’s LNG profit climbs
Belgium’s Exmar said its LNG fleet earned USD 35.4 million for the full year 2014, compared to USD 26.5 million in 2013.

“Exmar remains committed to long-term charter, and is therefore not directly impacted by the rate fluctuations on the worldwide market,” the company said in a statement.

According to Exmar, LNG tanker Excel is currently employed by Malaysia LNG until end January 2015. Discussions on future employment are on-going.

Exmar also revealed in the statement that, together with Altagas Idemitsu Joint Venture and EDFT, it has completed the restructuring of the Douglas Channel FLNG project. The consortium has now full ownership and control of the project and is advancing to a final investment decision within 2015 with a start of LNG export in 2018.

Exmar and the Port of Antwerp decided not to jointly invest in an LNG bunker vessel.

The JV partners previously completed a study for the development of LNG bunkering within the Port of Antwerp.

“As the necessary critical demand for this service is currently not existing, it was decided not to jointly invest in an LNG bunker vessel,” Exmar added.

Exmar, ICBC ink FLNG financing deal
Exmar of Belgium said it has signed a US$200 million financing agreement with Chinese bank ICBC for a floating liquefaction and storage unit (FLNG).

The deal was signed on June 23rd by Jiang Jianqing, Chairman of Board of ICBC and Nicolas Saverys, CEO of Exmar. King Philippe of Belgium and President of China Xi Jinping were also present at the ceremony.

According to a statement by Exmar, this project is China’s biggest exporting project to Belgium in terms of contract value up to now, and also the highest technology project.

The floating liquefaction and storage unit, ordered by Exmar, will be serving a gas project for Colombia’s Pacific Rubiales Energy.

      Exmar LNG formed
Belgium’s Exmar, Flex LNG and Geveran Trading, a John Fredriksen controlled company, have agreed to join forces in a $2.3 billion move, creating Exmar LNG, a major independent LNG infrastructure player.

The transaction by which Geveran’s LNG assets and Exmar’s LNG assets and infrastructure will be transferred to the newly formed giant is expected to close during the third quarter of 2015, Exmar informed in a statement.

Once the transaction is completed, Exmar LNG will own interest in six LNG carriers, four of which are under construction and will feature MEGI propulsion systems. The company will also own interest in five FSRU’s, one of which is to become world’s first regasification barge and two FLNG’s, and respective time charter and exclusivity agreements.

The Caribbean FLNG currently under construction at Wison Offshore & Marine shipyard in Nantong, China, is scheduled for delivery in the first quarter of 2016 on a fifteen-year contract to Pacific Rubiales.

With an enterprise value of $2.3 billion and an equity value of approximately $823.3 million, Exmar LNG will become one of the largest independent floating LNG infrastructure players in the world, integrating liquefaction, shipping and regasification assets.

Upon completion of the transaction, Exmar will own 64.6 percent while Geveran Trading will own a 30.7 percent stake in the joint venture.

Exmar’s LNG numbers up in 2015
Exmar of Belgium informed on Thursday its LNG business earned US$34.5 million in 2015, a rise of 43 percent as compared to the year before.

The Antwerp-based shipping company said in a statement the operating result (EBIT) for its LNG business for the fourth quarter was $9.7 million.

      LNG shipping

Exmar said it remains committed to long-term charter, and is therefore “not directly impacted by the rate fluctuations on the worldwide market“.

The 138,000 cbm LNG tanker Excel is currently employed until end January. According to Exmar, discussions on future employment of the vessel are on-going.

      Caribbean FLNG

The construction of the floating liquefaction unit Caribbean FLNG at Wison Heavy Industry in Nantong, China is progressing and commissioning of the unit has started, Exmar said.

Delivery is expected in the second quarter 2016 once the unit has been tested at the Wison shipyard. However, Exmar said in its third-quarter report that delivery of the FLNG vessel is expected in the first quarter of 2016.

Exmar is working together with Pacific Exploration and Production (PRE) to find alternative employment for the FLNG unit.

The company also said it prolonged the option period for a second FLNG at Wison Offshore and Marine until the end of 2016 and is therefore “perfectly positioned for a potential turnaround in energy prices during the course of 2016“.

      Floating Regasification

According to Exmar, the FSRU under construction at Wison is progressing as planned and the unit is expected to be delivered by end 2016.

Exmar added it is in several negotiations for long-term employment of the unit.

The agreement on the acquisition envisages the transfer in stages of Exmar's participation in FSRU assets, FSRU projects under development and a corresponding part of the Exmar organisation.

The finalization of the deal is subject to consent and cooperation of multiple stakeholders including current partners in the FSRU's and customary approval from authorities. Subsequently, the ultimate scope of the transaction is dependent on the outcome of this process.

      Exmar LPG acquires newbuilding

Exmar LPG, a joint venture between Exmar and Teekay LNG Partners, agreed with Hyundai Heavy Industries to acquire an existing mid-size LPG carrier newbuilding contract.

According to the two JV partners, the 38,000 cubic meters fully-refrigerated midsize LPG carrier is scheduled for delivery in the third quarter of 2018.

The JV agreed to acquire the existing shipbuilding contract in April this year and is in line with Exmar LPG’s strategy to renew its fleet.

The installment payments on the vessel are expected to be financed by the Exmar LPG joint venture’s existing liquidity and the joint venture expects to secure long-term financing prior to delivery.

The proceeds from the financing will be used to pay the last instalment to the shipyard.

Exmar said in a statement on Wednesday it has secured the financing from Bank of China, Sinosure and a leading European financial institution.

The shipowner pushed back the delivery of its Caribbean FLNG several times this year.

The 0.5 mtpa FLNG unit, with a 16,100-cbm storage capacity, was scheduled for delivery to Pacific Exploration and Production in 2015, however, in March last year, the agreement was terminated.

Exmar is still in talks to secure an employment for the FLNG.

In the Wednesday statement, the company said the FLNG would be delivered in the coming weeks.

die letzten Wochen müssen richtig dramatisch gewesen sein:
      sie haben keine Refi für den am 7.7. fälligen Bond hinbekommen und deswegen den Holdern eine Verlängerung um 2 Jahre vorgeschlagen;

dafür mussten sie den Spread von 450bps auf 800bps hochletzen und die Währung von NOK auf USD switchen:

Wison delivers Caribbean FLNG to Exmar

Wison Offshore & Marine completed the final delivery of the barge-based floating natural gas liquefaction and storage facility, Caribbean FLNG to Exmar.

Prior to the delivery, the contracts for project financing provided by Bank of China, Deutsche Bank and supported by China Export & Credit Insurance Corporation have been officially signed, Wison said in a statement on Thursday.

The company undertook the Caribbean FLNG project under an engineering, procurement, construction, installation and commissioning contract with Exmar.

With a liquefaction capacity of 500,000 tons per year, the FLNG completed its performance test at the Wison yard in Nantong, China in September last year, which, according to the company was the first time that LNG has been produced onboard a floating facility as well as the first time that a floating liquefaction unit has completed gas-trial and performance test before sail-out.

Earlier this year, Exmar said it is still looking to secure an employment for the FLNG that has a storage capacity of 16,100 cubic meters.

To remind, Caribbean FLNG was scheduled for delivery to Pacific Exploration and Production in 2015, however, in March last year, the agreement was terminated.

Wison delivers barge-based FSRU to Exmar

Wison Offshore & Marine has completed final delivery of the barge-based floating LNG storage and regasification unit (FSRU) to Belgian company Exmar.

The FSRU constructed at Wison Nantong shipyard features an LNG storage capacity of 25,000 cubic meters and a re-gasification capacity of 600 mmscfd, Wison said in a statement.

It is the first ever FSRU project undertaken by a Chinese company on EPC basis. The delivery of the FSRU is another milestone for Wison following the delivery of the Caribbean FLNG in January this year.

On its part, Exmar, the Nicolas Savery-led shipowner, noted that it is the world’s first barge-based FSRU and is the first of the new generation of floating regasification assets, barge-based, and aimed at catering for the needs of medium-sized LNG import projects.

In addition to taking the delivery of the vessel, Exmar said it has secured long-term employment for the FSRU starting from mid-2018 onwards, without disclosing the name of the charterer.

However, the company did say it will provide further details on the contract in the near future.

Belgium’s Exmar, the Nicolas Savery-led shipowner, executed a fully effective ten-year charter with Gunvor for its floating storage and regasification unit (FSRU) barge.

Under the agreement, the FSRU will be deployed in Bangladesh, Exmar’s statement reads.

The company’s barge is currently at the Keppel Shipyard undergoing site-specific modifications after having been delivered from Wison Offshore and Marine in December last year.

The FSRU barge is expected to arrive in Bangladesh in the fourth quarter of this year and start operations after its full commissioning.

Currently, the FSRU has been fully paid by Exmar and the financing of the unit is under discussion.

The Swiss trading company, Gunvor, tied up with Exmar as part of its long-term strategy to enter the FSRU market. In September last year, the company signed a non-binding memorandum of understanding with Petrobangla of Bangladesh for the supply of liquefied natural gas.
