      Hallo allerseits ;)

      Da es für diese Aktie noch keinen Thread gibt und ich mir die Tage ein paar Stücke geholt habe möchte ich diesen Thread eröffnen zum diskutieren .

      Hervorgegangen aus der früheren Aktie Namens
      Alange Energy denke ich das nun der Neuanfang auch bei mir gekommen ist.

      Pacific Rubiales Accepts Shares of PetroMagdalena in Settlement of Debt
      TORONTO, Jan. 26, 2012 /PRNewswire/ - Pacific Rubiales Energy Corp. (TSX: PRE; BVC: PREC) announced today that it has entered into an agreement to receive common shares of PetroMagdalena Energy Corp. (TSXV: PMD) in satisfaction of certain debts owed to it in connection with the exploration program at the Topoyaco block. PetroMagdalena owes Pacific Rubiales approximately U.S. $6 million in connection with a cash call due to a subsidiary of Pacific Rubiales as at December 31, 2011.

      The shares for debt agreement was negotiated at arms-length between the two parties on January 19, 2012, using a deemed share price of $1.25per share. As such, PetroMagdalena will be issuing 4,826,600 (calculated using the Bank of Canada exchange rate at the close of January 19, 2012) common shares in settlement of the above-noted debt. The issuance of the common shares is subject to approval from the TSXV.

      Upon issuance of the common shares in settlement of the debt, Pacific Rubiales will own 6,528,900 common shares in the capital of PetroMagdalena, representing 4.4% of its issued and outstanding common shares.

      Pacific Rubiales, a Canadian-based company and producer of natural gas and heavy crude oil, owns 100 percent of Meta Petroleum Corp., a Colombian oil operator which operates the Rubiales and Piriri oil fields in the Llanos Basin in association with Ecopetrol, S.A., the Colombian national oil company, and 100 percent of Pacific Stratus Energy Corp. which operates the La Creciente natural gas field. The Company is focused on identifying opportunities primarily within the eastern Llanos Basin of Colombia as well as in other areas in Colombiaand northern Peru. Pacific Rubiales has working interests in 46 blocks in Colombia, Peru and Guatemala.

      PetroMagdalena Provides Production and Exploration Update

      TORONTO, Feb. 7, 2012 /PRNewswire/ - PetroMagdalena Energy Corp. (TSXV: PMD), today provided an update on its ongoing exploration program previously announced on January 18, 2012, and provided a production update for a new discovery on the Arrendajo block.

      Luciano Biondi, Chief Executive Officer of the Company stated: "We continue to make substantial progress with our first quarter exploration program. The result from the discovery at Azor is very positive. The incremental production we have from this well underpins our cash flow and provides the financial support that will allow us to expand our 2012 work program. The new Azor-1X well adds 587 bopd to our gross working interest production. We have also made good progress on our exploration program with intermediate casing set on the Santa Cruz-1X well, logging and casing the Cernicalo-1ST well and the Arrendajo Norte-1X well just south of the Azor discovery will reach total depth by the end of the week. As previously indicated, the first quarter incorporates intensive drilling activity."

      PRODUCTION UPDATE

      Azor-1X production test

      The Azor-1X well has been completed and was put on production on January 31, 2012. The well produced at a stable rate of 1,181 bopd, 0.3% water cut and a well head flowing pressure of 270 psi, natural flow with a 20/64th of an inch choke over the first 12 hours. The choke was then changed to 16/64th of an inch and the well flowed at a stable average rate of 870 bopd with a wellhead flowing pressure of 290 psi of natural flow and a 0.3% water cut over a continuous 6-day period. This results in 587 bopd gross working interest for the Company.

      The Azor-1X well was spudded on December 24, 2011 and discovered the Azor field on the Arrendajo Block, north of the Cubiro Block in the Llanos Basin and on January 17, 2012, PetroMagdalena initiated production testing on the C5 sand with the announcement on January 18, 2012 that the zone was tested at 752 bopd of 35.5 degrees API oil with 1% -BS&W. The final permit allowing for permanent production is currently in process.

      The Azor field is located on the Arrendajo Block in the Llanos Basin, where the Company has a 67.5% working interest, subject to ANH approval.

      EXPLORATION UPDATE

      Arrendajo Block, Llanos Basin: Arrendajo Norte - 1X Exploration well

      After drilling the discovery well, Azor-1X, the drilling rig has moved to another location on the Arrendajo block, Arrendajo Norte-1X, where the rig spudded on January 28, 2012 and has completed drilling to 588 feet (MD), after logging, the surface casing has been run and cemented. It is anticipated that the well will reach the projected TD of 7022 feet (MD) by February 10, 2012 to test the Carbonera sequence that was successful in the Azor-1X well, which is located 3 kilometers to the north.

      Cubiro Block, Llanos Basin: Cernicalo - 1ST Exploration well

      The Cernicalo-1ST well on the Cubiro Block has been drilled to a TD of 6,792 feet (MD) and has completed electric logs. Based on these results, 7-inch production casing has been run in the well to total depth and plans are in place to complete and production test the Guadalupe and C7 Carbonera Formations. Results from the completion and testing program are expected before the end of February 2012. PetroMagdalena has a 70% working interest in the Cernicalo-1ST well and is the operator of the Cubiro Block.

      Santa Cruz Block, Catatumbo Basin: Santa Cruz -1X Exploration well

      After spudding the Santa Cruz-1X exploration well on November 20, 2011, intermediate casing of 9 5/8 inch was set at 9,533 ft MD and drilling has progressed to 10,580 ft MD. It is expected the well will reach TD before the end of February 2012. This well is being drilled adjacent to the Rio Zulia field.

      CERNICALO DISCOVERY AT CUBIRO

      PetroMagdalena has discovered a new field with the Cernicalo-1 ST, a sidetrack of the Cernícalo 1 exploration well, which was drilled to explore the prospectivity of the Carbonera Formation, located on Polygon B of the Cubiro Block, where the Company holds a 70% working interest. The Cernicalo-1ST well was perforated in two Upper Guadalupe sands and it is currently being tested. In the last five hours, with an electro-submersible pump at 23 Hz, the Guadalupe Formation has produced an average of 530 bopd of 23.9 degrees API oil with 30% BS&W. This represents 371 bopd as PetroMagdalena's gross working interest share. The activities in the Cernicalo 1 ST also include testing the Carbonera C7.

      The Cernicalo-1ST well was spudded on January 18, 2012, drilled to a final depth of 6,845 feet MD and logged on January 28, 2012. The top of the Carbonera C7 sand was found at a depth of 5,880 feet MD. Petrophysical data show 13 feet of net pay in C7, with porosity of 24% and hydrocarbon saturation of 50%; and 12 feet in Upper Guadalupe, with porosity of 28% and oil saturation of 50%. Based on seismic interpretations, the accumulation discovered by Cernicalo-1ST is a 1.5 km long structure, corresponding to the typical exploration play in the Llanos Basin. The structure is on trend with the Barranquero field to the north and Tijereto Sur-1X exploration well to the south.

      EXPLORATION UPDATE

      Santa Cruz Block, Catatumbo Basin: Santa Cruz -1X Exploration well

      The Santa Cruz-1X well, located on the Santa Cruz Block in the Catatumbo Basin in North Eastern Colombia, was drilled to the Middle Los Cuervos Formation, reaching TD of 11,550 feet (MD), and finding a repeated section of the Mirador Formation. Based on the petrophysical logs and mud logging, a 7-inch production liner has been run in the well and plans are in place to test several intervals in the Mirador and Los Cuervos formations. Results from the testing program are expected towards mid-March 2012. PetroMagdalena has a 70% working interest in the Santa Cruz-1X well and is the operator of the Santa Cruz Block.

      Cubiro Block, Llanos Basin: Tijereto Sur - 1X Exploration well

      The Tijereto Sur-1X exploration well on the Cubiro Block has been drilled to a TD of 6,926 feet (MD) and, based on the petrophysical log data, 7-inch production casing has been run in the well to total depth and work is ongoing to complete and production test the C7 Carbonera Formation. Results from the completion and testing program are expected by early March 2012. PetroMagdalena has a 70% working interest in the Tijereto Sur-1X well and is the operator of the Cubiro Block.

      Arrendajo Block, Llanos Basin: Arrendajo Norte - 1X Exploration well

      The Arrendajo-1X well on the Arrendajo Block was drilled on February 9, 2012 to a TD of 6,298 feet (MD) and subsequently sidetracked to a TD of 7,343 feet. Petrophysical data do not show any prospective interval and the well will be abandoned.

      PetroMagdalena Energy Corp. has entered into a binding letter of intent with Interoil Colombia E&P Inc. in respect of a 50% participation to farm in to the LLA-47 block located in the Llanos just south and on trend with the company's main Cubiro block and other producing blocks in the basin.

      The LLA-47 is located in the prolific Llanos basin and covers an area of 447 km2. Interoil has owned a 100% of the working interest on the block and is the current operator. The Company has agreed to undertake a $30 million work program commitment in the three years of Phase 1 of the E&P contract with the ANH. This transaction is subject to approval by the ANH. In addition, the Company shall pay a $2 million signing fee upon receipt of ANH approval.

      PetroMagdalena Energy Corp. announce the appointment of Mr. Nelson Ortiz to the Company's board of directors, effective immediately.
      Mr. Ortiz is presently the Vice-Chairman of IESA.
      Mr. Ortiz has been in the capital markets for over 20 years and was President of the Caracas Stock Exchange from 2000 to 2007. He was part of the Latin American Merchant Banking Group at Bankers Trust in New York from 1992 to 1998. Previously, he spent almost 17 years at the Central Bank of Venezuela in various positions, including President's chief of staff. On two occasions during his career at the Central Bank he was called to serve as technical secretary of the Economic Cabinet of Venezuela (1985 to 1988 and 1989 to 1990). Mr. Ortiz was also a member of Venezuela's external debt restructuring team for the Brady Plan and the coordinator of Venezuelan relations with the Multilateral Financial Institutions. He twice chaired the Committee of the Board of Governors of the Interamerican Development Bank.

      TORONTO, April 24, 2012 /CNW/ - PetroMagdalena Energy Corp. (TSXV: PMD) has finished drilling and testing of the Santa Cruz-1X well located in the Santa Cruz Block in the Catatumbo Basin. Based on the results of the testing program, the well has been suspended to allow for further geological studies and a final conclusion on the prospectivity of the area. PetroMagdalena has a 70% working interest in the Santa Cruz Block, the Santa Cruz-1X well is the first exploration well on the block.

      The testing program consisted of three tests in the Barco, the first with water and traces of oil, the second two wet, one in the Cuervos with no inflow and two tests in the Mirador, both tests resulting in a natural flow of water.

      Blockade Affects Cubiro

      On the morning of April 19, 2012, small groups of people began illegally blocking roads on the Cubiro Block, in the municipalities of Trinidad and San Luis de Palenque, which has led to a lack of public order in the area. These persons are not employees or contractors of PetroMagdalena or associated in any way with the company. The blockades and the actions of those involved have resulted in a lack of public order which impacts PetroMagdalena's operations in the area.

      As a result of these measures, a temporary production halt has been initiated on certain wells located in the Cubiro Block. Management estimates that approximately 3,700 barrels of oil per day are currently shut-in. PetroMagdalena has evacuated all non-essential operational personnel from the Cubiro Block to ensure their safety. The Company's priority is to maintain the well-being of our personnel and contractors and to limit any potential damages and we will continue to take all necessary measures to do so.

      PetroMagdalena's social responsibility practices and policies include a full time Social Manager and permanent social representatives in the area of operations.       PetroMagdalena announces all-cash offer by Pacific Rubiales

      TORONTO, June 5, 2012 /CNW/ - PetroMagdalena Energy Corp. (TSX-V:PMD) announced today that it has entered into a definitive agreement (the "Arrangement Agreement") with Pacific Rubiales Energy Corp. (TSX:PRE; BVC: PREC; BOVESPA: PREB), pursuant to which Pacific Rubiales has offered to acquire all of the issued and outstanding common shares of PetroMagdalena (the "Shares") by way of a Plan of Arrangement under the British Columbia Business Corporations Act (the "Arrangement").

      Under the Arrangement, shareholders of PetroMagdalena will receive C$1.60 in cash for each outstanding Share, representing a premium of approximately 38% on the 20 day volume weighted average price of PetroMagdalena's common shares on the TSX-V as of June 4, 2012. In addition, holders of all of the outstanding PetroMagdalena warrants (TSX-V: PMD.WT) (the "Warrants") will receive C$0.25 in cash for each unexercised Warrant held at closing. The Warrants had a closing trading price on the TSX-V of C$0.215 on June 4, 2012.

      PetroMagdalena's Board of Directors, after consultation with GMP Securities L.P. ("GMP") who acted as PetroMagdalena's exclusive financial advisor and Blake, Cassels & Graydon LLP, PetroMagdalena's legal advisors, and based on the recommendation of an independent committee of PetroMagdalena's Board of Directors formed specifically to consider the offer, has unanimously determined that the Arrangement is fair to PetroMagdalena's shareholders and warrantholders (collectively, "Securityholders") and recommends that PetroMagdalena's Securityholders vote in favour of the Arrangement. Both Miguel de la Campa and Serafino Iacono, directors of the Company who are also directors of Pacific Rubiales, did not participate in any discussions or negotiations regarding the approval of the proposed acquisition and abstained from the Boards' deliberations.

      Luciano Biondi, Chief Executive Officer of PetroMagdalena, stated "We are very pleased to receive this offer and provide shareholders with an opportunity to realize value on their investment and provide liquidity in a volatile market."

      Arrangement Agreement Summary

      The Arrangement Agreement contains customary non-solicitation provisions, subject to PetroMagdalena's right to consider and accept superior proposals. In the event of a superior proposal, Pacific Rubiales will have a five business day right to match the superior proposal. If the Arrangement is not completed as a result of a superior proposal or for other certain specified circumstances, a termination fee equal to C$10,000,000 will be paid by PetroMagdalena to Pacific Rubiales. If the Arrangement is not completed, due to certain circumstances, including a failure to receive necessary regulatory approvals, a reverse termination fee of C$10,000,000 will be paid to PetroMagdalena by Pacific Rubiales.

      The terms and conditions of the Arrangement will be summarized in PetroMagdalena's management information circular which will be filed and mailed to PetroMagdalena's Securityholders in late June 2012. Securityholders will be asked to approve the Arrangement at a special meeting to be held in July 2012 (the "Special Meeting").

      The Arrangement will be subject, among other things, to the approval of at least 66 2/3% of the votes cast at the Special Meeting of PetroMagdalena's Securityholders to be called to consider the Arrangement. In addition, the Arrangement will be subject to certain customary conditions, including court approval, relevant regulatory approvals and the absence of any material adverse change with respect to PetroMagdalena. The transaction is expected to close in the third quarter of 2012.

      GMP has provided an opinion that, based upon and subject to the assumptions, limitations, and qualifications in such opinion, the consideration to be received by PetroMagdalena's shareholders and warrantholders is fair, from a financial point of view, to PetroMagdalena shareholders and warrantholders, respectively. A copy of the fairness opinion will be included in the PetroMagdalena meeting materials in respect of the Special Meeting.

      Weiss einer, wieviele Warrants das Betrifft?
      Bei 150 Mio Aktien a $1,60 sind das 240 Mio, die PRE hinblättert.
      Für die Warrants kommen sicher noch ein paar Millionen dazu.
      Macht über den Daumen 63 Tausend $ pro Barrel Tagesproduktion.
      Ist ganz in Ordnung, nicht überragend, aber auch nicht verschleudert.

      Beachtenswert ist wieviele Stücke als Sellorders im System gewesen sein müssen. Heute gibt es viele neue EX-Investierte bei Magdalena.

      Wie meinst Du das? Normalerweise werden doch bestehende Orders bei einem Trading Halt automatisch storniert?
      Pikant übrigens, das Pacific Rubiales ja erst vor kurzem sich PetroMagdalenas Schulden mit Aktien zu $1,20 hat bezahlen lassen.
      Und interessant, das PRE den Deal komplett aus der Kasse bezahlt.
      Hab meine letzten PRE Aktien übrigens im April verkauft, wie fast alle Aktien in den letzten Wochen.
      Erstmal abwarten, ich denke das wird ein trockener Sommer für die Börsen.
      PRE ist auf jeden Fall ein Kandidat für Sichere Renditen, wenn (wann?) das Sentiment wieder dreht.
      Wie hältst Du das im Moment? Eher durchhalten, Cash sammeln oder doch schon kaufen?

      Na, wenn ich als Aktionär so ein Angebot bekommen würde, im derzeitigen Marktumfeld, würde ich auch drei Kreuze schlagen und die Aktien gegen Cash tauschen. Mit ein wenig Bakschisch für den Zwischenhändler.
      Ein Gegengebot ist eh Unwahrscheinlich, bei der Konstellation.
