Threshold Pharmaceuticals and Merck KGaA Announce Global Agreement to Co-Develop and Commercialize Phase 3 Hypoxia-Targeted Drug TH-302

SOUTH SAN FRANCISCO, CA -- (MARKET WIRE) -- 02/03/12 -- Threshold Pharmaceuticals, Inc (NASDAQ: THLD)

      - Threshold to receive $25 million upfront, plus further potential milestones and royalties

      - Deal provides Threshold option to co-commercialize in the United States

      - Phase 3 trial in soft tissue sarcoma on-going and randomized Phase II trial in patients with pancreatic cancer expected to report in February 2012

Threshold Pharmaceuticals, Inc (NASDAQ: THLD) today announced that a global agreement was signed with Merck KGaA, Darmstadt, Germany, to co-develop and commercialize TH-302, Threshold's small molecule hypoxia-targeted drug. TH-302 is currently being investigated in a global Phase 3 clinical trial in patients with soft tissue sarcoma, a randomized Phase 2 trial in patients with advanced pancreatic cancer from which top-line results are expected in February, as well as additional clinical studies in other solid tumors and hematological malignancies.

Under the terms of the agreement, Merck will receive co-development rights, exclusive global commercialization rights and will provide Threshold an option to co-commercialize the therapeutic in the United States. In exchange, Threshold will receive an upfront payment of $25 million and could receive up to $35 million in additional development milestones during 2012. Threshold is also eligible to receive a $20 million milestone payment based on positive results from its randomized Phase 2 trial in pancreatic cancer. Total potential milestone payments are $525 million, comprised of $280 million in regulatory and development milestones and $245 million in sales-based milestones.

In the United States, Threshold will have primary responsibility for development of TH-302 in the soft tissue sarcoma indication. Threshold and Merck KGaA will jointly develop TH-302 in all other cancer indications being pursued. Merck KGaA will pay 70% of worldwide development costs for TH-302.

Subject to FDA approval in the United States, Merck KGaA will initially be responsible for commercialization of TH-302 with Threshold receiving a tiered, double-digit royalty on sales. Under the royalty-bearing portion of the agreement, Threshold retains the option to co-promote TH-302 in the United States. Additionally, Threshold retains the option to co-commercialize TH-302 allowing the company to participate in up to 50% of the profits in the United States based on certain revenue tiers. Outside of the United States, Merck KGaA will be solely responsible for the commercialization of TH-302 with Threshold receiving a tiered, double-digit royalty on sales in these territories.

"The addition of TH-302 to our pipeline provides an important opportunity in several different tumor types to expand our oncology development program," said Susan Jane Herbert, Head of Global Business Development and Strategy, Merck Serono. "Given the fact that pancreatic cancer is a very difficult to treat indication, successful Phase II results could represent an important upside for our company."

"We are excited by the new resources that our partnership is going to bring to the development of TH-302 and the expertise in clinical development and commercialization that Merck will contribute to this program," said Barry Selick, President and CEO of Threshold. "This collaboration provides Threshold a strong and committed partner with a shared vision for TH-302."

Morrison & Foerster LLP acted as legal counsel for Threshold in this transaction.

      About TH-302
TH-302 is a hypoxia-targeted drug that is thought to be activated under tumor hypoxic conditions, a hallmark for many cancer indications. Areas of low oxygen levels (hypoxia) within tissues are common in many solid tumors due to insufficient blood vessel growth. Similarly, the bone marrow of patients with hematological malignancies has also been shown, in some cases, to be extremely hypoxic.

TH-302 has been investigated in over 550 patients in Phase I/II clinical trials to date in a broad spectrum of tumor types, both as a monotherapy and in combination with chemotherapy treatments and other targeted cancer drugs.

Threshold has several ongoing clinical trials including, but not limited to, a controlled Phase 2 trial of TH-302 in combination with gemcitabine versus gemcitabine alone in patients with advanced pancreatic cancer and a Phase 3 study evaluating TH-302 in combination with doxorubicin versus doxorubicin alone in patients with soft tissue sarcoma.

TH-302 development in soft tissue sarcoma

A Phase 3 trial of TH-302 in patients with first-line advanced soft tissue sarcoma (STS) was initiated in September 2011, based on results from a Phase 1/2 trial investigating its use in combination with the chemotherapeutic doxorubicin. This randomized, multi-center Phase 3 trial will investigate the use of TH-302 plus doxorubicin compared with doxorubicin alone. The primary efficacy endpoint is overall survival. The study is conducted under a Special Protocol Assessment with the U.S. Food and Drug Administration. It is being run in partnership with the Sarcoma Alliance for Research through Collaboration (SARC) and aims to enroll 450 patients with metastatic or locally advanced unresectable STS.

      TH-302 development in pancreatic cancer

Results from a randomized, controlled, multi-center Phase 2 trial of TH-302 in patients with first-line pancreatic cancer are expected to be announced in February 2012. This trial of 214 previously untreated patients with locally advanced unresectable or metastatic pancreatic adenocarcinoma started in June 2010, and completed enrollment in June 2011. Two different doses of TH-302 in combination with the chemotherapeutic gemcitabine were compared to gemcitabine alone, with progression free survival (PFS) as the primary endpoint.

      Soft tissue sarcoma

Sarcomas are a group of aggressive cancers of connective tissue of the body for which there are currently limited treatment options. Soft tissue sarcomas are treated with surgery, chemotherapy and radiation. Doxorubicin as a single agent or in combination with ifosfamide are the most commonly used chemotherapeutic regimens in patients with advanced soft tissue sarcoma, but response rates are generally low and toxicity can be significant. The American Cancer Society estimates that 10,980 people were diagnosed with a soft tissue sarcoma in the United States in 2011, and approximately 3,920 people died from the disease. In Europe, it is estimated that more than 32,000 people were diagnosed with soft tissue sarcoma in 2010.

      Pancreatic cancer

Pancreatic cancer is a malignant neoplasm of the pancreas with current treatment options including surgery, radiotherapy and chemotherapy. Gemcitabine as a single agent or in combination with other treatments is the most commonly used chemotherapeutic agent in patients with advanced pancreatic cancer. It is estimated that approximately 279,000 cases of pancreatic cancer were diagnosed worldwide in 2008. Pancreatic cancer is the fourth most common cause of cancer death both in the United States and internationally. The American Cancer Society estimates that 44,030 people were diagnosed with pancreatic cancer in the United States in 2011, and approximately 37,660 people died from the disease.

Threshold Pharmaceuticals Announces Positive Phase 2b Clinical Trial Results of TH-302 in Patients With Pancreatic Cancer

SOUTH SAN FRANCISCO, CA -- (MARKET WIRE) -- 02/21/2012 -- Threshold Pharmaceuticals, Inc. (NASDAQ: THLD)

      - Primary endpoint of Progression Free Survival was met with hazard ratio of 0.61 (p = 0.005).

      - The combination therapy was well tolerated with a safety profile consistent with prior studies.

Threshold Pharmaceuticals, Inc. (NASDAQ: THLD) today announced that its 214 patient randomized controlled Phase 2b clinical trial evaluating the efficacy and safety of two doses of the investigational agent TH-302 in combination with gemcitabine compared to gemcitabine alone in patients with first-line advanced pancreatic cancer achieved its primary endpoint, with a 63% improvement in progression free survival and a safety profile consistent with previous studies. "With the results of this trial, we are again very encouraged that TH-302 is conferring benefit to patients with aggressive and difficult to treat cancers," said Barry Selick, Ph.D., Chief Executive Officer of Threshold. "We look forward to its ongoing development with our partner Merck KGaA in this and other indications."

      Clinical Trial Design
Study TH-CR-404 is a multi-center, randomized, controlled, dose-ranging, Phase 2b crossover clinical trial of TH-302 in combination with gemcitabine in patients with first line advanced pancreatic cancer. The primary endpoint of the trial is progression-free survival. The secondary endpoints are overall response rate, overall survival, change in CA19-9 as well as various other efficacy and safety parameters. Tumor response was evaluated at baseline and every eight weeks using RECIST. Patients for whom monotherapy with gemcitabine is considered standard therapy were eligible for the trial. Patients were randomized equally into one of three cohorts: TH-302 at a dose of 240 mg/m2 plus gemcitabine, TH-302 at a dose of 340 mg/m2 plus gemcitabine, or gemcitabine alone. Patients who successfully completed six cycles of treatment without evidence of significant treatment-related toxicity or progressive disease could continue to receive treatment. If a patient experienced cancer progression on gemcitabine alone, the patient could cross over into one of the TH-302 plus gemcitabine cohorts. The primary efficacy analysis was performed based upon 149 investigator-assessed PFS events and, per protocol, pooled data from the two gemcitabine plus TH-302 dose groups in comparison to gemcitabine alone.

      Results
The median progression-free survival (PFS) was 5.6 months for patients treated with gemcitabine in combination with TH-302 at 240 mg/m2 and 340 mg/m2 compared to 3.6 months for patients treated with gemcitabine alone. The PFS hazard ratio comparing the TH-302 combination to gemcitabine alone was 0.61 (95% confidence interval: 0.43 - 0.87) which was highly statistically significant (p = 0.005). The response rate in the combination arms was 22% compared to 12% in the gemcitabine alone group. Results also demonstrated greater efficacy in the higher TH-302 dose group compared to the lower dose group.

The combination was well tolerated with a safety profile that was consistent with our prior study of this combination regimen. As in that study, skin and mucosal toxicities related to TH-302 were dose dependent but not dose limiting. Further detailed information regarding the results of this trial will be presented at a future major medical conference.

"This study provides the proof of concept demonstration that TH-302 contributes to the efficacy of a known active agent and supports the rationale for combining TH-302, a hypoxia targeting agent, with other approved therapies," said Stew Kroll, Senior Vice President of Biostatistics and Clinical Operations of Threshold.

Threshold gains orphan drug designation for sarcoma drug

      19 March 2012

Threshold Pharmaceuticals has received an orphan drug designation for TH-302, to treat of soft tissue sarcoma, from the European Commission.

The company is conducting a pivotal Phase III study in soft tissue sarcoma comparing TH-302 in combination with doxorubicin against single agent doxorubicin.

The same combination regimen of TH-302, a hypoxia-targeted drug, with doxorubicin was investigated in the single-arm Phase 2 (TH-CR-403) study.

Threshold CEO Barry Selick said TH-302 was designed to selectively target hypoxic regions within tumors, which are believed to not be effectively treated with current therapy.

"The Orphan Drug Designation was granted as early studies of TH-302 have shown that it might be of significant benefit for patients with soft tissue sarcoma when combined with doxorubicin," Selick added.

FDA grants orphan drug status for Threshold cancer candidate
      PBR Staff Writer

      02 April 2012

Threshold Pharmaceutical has received orphan drug designation for TH-302, a cancer drug, from the US FDA.

Threshold is presently testing TH-302 along with a commonly used chemotherapeutic agent, doxorubicin, in a late-stage trial to treat soft tissue sarcoma.

The orphan status can provide a seven-year marketing exclusivity for the drug from the date of approval.

The experimental drug had received orphan status from European health regulators.

Threshold chief executive Barry Selick said: "The results of our Phase 2 study (TH-CR-403) in soft tissue sarcoma are certainly supportive of a pivotal trial underway in this difficult to treat cancer."

Threshold Pharmaceuticals Announces Detailed Results From Positive Phase 2b Trial of TH-302 in Pancreatic Cancer at AACR Annual Meeting

      31 Mar 2012

      - Primary progression-free survival efficacy endpoint met (p=0.005)

      - Response rate of 27% and median PFS of 6.0 months in highest TH-302 dose group

      - Dose-dependent TH-302-related toxicity did not increase discontinuations due to AE

SOUTH SAN FRANCISCO, CA, USA I March 31, 2012 I Threshold Pharmaceuticals, Inc. (NASDAQ: THLD - News) today announced that detailed results are now published in the abstract featuring its 214-patient randomized controlled Phase 2b clinical trial evaluating the efficacy and safety of two doses of TH-302, a hypoxia-targeted drug, in combination with gemcitabine compared to gemcitabine alone in patients with first-line advanced pancreatic cancer. The results will be presented by Mitesh J. Borad, M.D., a principal investigator and Assistant Professor of Medicine at the Mayo Clinic in Arizona, as part of a late breaking clinical trial presentation scheduled for 10:35 am CT on Monday, April 2, 2012, at the American Association of Cancer Research 2012 Annual Meeting in Chicago. The presentation will be available in the publications section of www.thresholdpharm.com following the session. The abstract can be found on the aacr.org website or by clicking here.

The study reached its pre-specified primary efficacy endpoint with a median increase in progression-free survival (PFS) from 3.6 months to 5.6 months in the pooled patients treated with TH-302 (at a dose of 240 mg/m2 or a dose 340 mg/m2) in combination with gemcitabine compared to gemcitabine alone. The combination regimen was also associated with an increase in tumor response rate from 12% to 22% and a greater decrease in serum CA19-9. In addition, a dose response was identified with the greatest efficacy in the higher 340 mg/m2 group with a median PFS of 6.0 months, response rate of 27% and larger CA19-9 decreases. TH-302-related toxicities were also dose dependent. TH-302 related toxicities including skin and mucosal toxicities and myelosuppression were dose dependent and consistent with previous trials and did not result in an increase in discontinuations due to adverse events.

"The detailed results from this first randomized study of TH-302 confirm the earlier results from our previous non-randomized 402 study for patients with pancreatic cancer. In that study, patients in a number of indications including pancreatic cancer appeared to benefit from the addition of TH-302 to standard chemotherapy based on comparisons to historical control data," said Barry Selick, Ph.D., Chief Executive Officer of Threshold. "These new results are very supportive of our prior findings and suggest that TH-302 may have broad therapeutic potential in addressing the unmet medical need of treating cancer cells residing in the hypoxic compartment of tumors. We are grateful to AACR for the opportunity to present this data at their annual meeting while we continue to focus on advancing TH-302 in pancreatic cancer, as well as soft tissue sarcoma with our ongoing Phase 3 trial."

TH-CR-404 (the "404 study") is a multi-center, randomized, controlled, dose-ranging, Phase 2b crossover clinical trial of TH-302 in combination with a standard gemcitabine regimen in patients with first-line advanced pancreatic cancer. The primary endpoint of the trial was PFS. The secondary endpoints were overall response rate, overall survival, and change in CA19-9 as well as various other efficacy and safety parameters. The primary efficacy analysis was performed based upon 149 investigator-assessed PFS events and, per protocol, the primary efficacy endpoint pooled data from the two gemcitabine plus TH-302 dose groups in the comparison to gemcitabine alone.

      Results

The median PFS was 5.6 months for pooled patients treated with gemcitabine in combination with TH-302 at either 240 mg/m2 or 340 mg/m2 compared to 3.6 months for patients treated with gemcitabine alone. The PFS hazard ratio comparing the TH-302 combination to gemcitabine alone was 0.61 (95% confidence interval: 0.43 - 0.87), which was highly statistically significant (p = 0.005). The median PFS was 6.0 months in the 340 mg/m2 group. The response rate in the pooled combination arms was 22% compared to 12% in the gemcitabine alone group with a 17% response rate in the 240 mg/m2 group and 27% response rate in the 340 mg/m2 group. A similar dose dependency was reported in serum CA19-9 levels.

There was greater drug exposure in the combination groups with a median of 4 cycles received with gemcitabine alone compared with 5 cycles in the 240 mg/m2 group and 6 cycles in the 340 mg/m2 group. The combination safety profile was consistent with the prior study of this combination regimen. As in that study, skin and mucosal toxicities and myelosuppression were TH-302 dose dependent and consistent with previous trials and did not result in an increase in discontinuations due to adverse events. The doses used in the 404 study were less than the single-agent maximum tolerated dose of TH-302, which was previously established at 575 mg/m2. The incidence of grade 3/4 thrombocytopenia and grade 3/4 neutropenia was significantly higher in the combination arms and highest in the 340 mg/m2 group. Discontinuations for adverse events were lowest in the 340 mg/m2 group.

An update of the efficacy and safety data from the study, including data on overall survival, is expected to be released later this year.

      About Pancreatic Cancer

      About TH-302

TH-302 is a hypoxia-targeted drug that is thought to be activated under tumor hypoxic conditions, a hallmark of many cancer indications. Areas of low oxygen levels (hypoxia) within tissues are common in many solid tumors due to insufficient blood vessel growth. Similarly, the bone marrow of patients with hematological malignancies has also been shown, in some cases, to be extremely hypoxic.

TH-302 has been investigated in over 600 patients in Phase 1/2 clinical trials to date in a broad spectrum of tumor types, both as a monotherapy and in combination with chemotherapy treatments and other targeted cancer drugs. Threshold has several additional ongoing clinical trials, the most advanced of which is a Phase 3 pivotal study evaluating TH-302 in combination with doxorubicin versus doxorubicin alone in patients with soft tissue sarcoma, and recently completed a Phase 2b trial of TH-302 in combination with gemcitabine versus gemcitabine alone in pancreatic cancer. In February 2012, Threshold signed a global agreement with Merck KGaA, Darmstadt, Germany, to co-develop and commercialize TH-302.

      About Threshold Pharmaceuticals
Threshold is a biotechnology company focused on the discovery and development of drugs targeting tumor hypoxia, the low oxygen condition found in microenvironments of most solid tumors as well as the bone marrows of some hematologic malignancies. This approach offers broad potential to treat a variety of cancers. By selectively targeting tumor cells, we are building a pipeline of drugs that hold promise to be more effective and less toxic to healthy tissues than conventional anticancer drugs. Threshold receives $20m milestone payment from Merck

      Published 12 April 2012

Threshold Pharmaceuticals has gained a $20m milestone payment from Merck for positive results from Phase II trial of TH-302 in pancreatic cancer.

Statistically significant progression free survival benefit was achieved in 214-patient randomized controlled Phase II trial.

The 404 trial evaluated the efficacy and safety of two doses of TH-302, a hypoxia-targeted drug, in combination with gemcitabine compared to gemcitabine alone in patients with first-line advanced pancreatic cancer.

Threshold CEO Barry Selick said the achievement of the milestone validates the encouraging results seen in 404 trial.

"We look forward to working in collaboration with Merck to rapidly determine next steps and move forward in this disease where few advances have been made," Selick added.

Threshold Pharmaceuticals' TH-302 fails to significantly improve survival in mid-stage trial; shares drop

      17.09.2012

Shares in Threshold Pharmaceuticals fell as much as 33 percent Monday after the company reported that the experimental drug TH-302 failed to significantly improve overall survival in patients with advanced pancreatic cancer in a mid-stage study. The drugmaker reported in February that the trial met its main goal, showing a significant 63-percent improvement in progression-free survival for patients treated with TH-302 and Eli Lilly's Gemzar (gemcitabine) versus Gemzar alone.

The Phase IIb study randomised 214 previously untreated patients with locally advanced unresectable or metastatic pancreatic cancer to receive treatment with one of two doses of TH-302 in combination with Gemzar or Gemzar alone. Threshold noted that patients receiving Gemzar alone whose disease progressed were allowed to be randomised to receive Eli Lilly's drug in combination with either the low or high dose of TH-302.

The new results, which will be presented at the ESMO congress, showed that patients given the highest dose of TH-302 in combination with Gemzar had median overall survival of 9.2 months compared to 6.9 months for those who received Gemzar alone. Threshold said that overall survival was a secondary goal of the trial and the study "was not designed to detect a statistically significant improvement" in this measure. The company indicated that "patients receiving [Gemzar] alone who crossed over to receive [Gemzar] plus TH-302 upon disease progression did contribute to an increase in survival of the control arm."

Threshold CEO Barry Selick said "we are pleased with the overall consistency of results from this study," adding that a late-stage trial of the hypoxia-targeted drug in patients with advanced first-line pancreatic cancer is expected to be initiated together with partner Merck KGaA. In February, Merck agreed [1] to pay up to $550 million to gain global rights to develop and market TH-302.

Threshold Pharmaceuticals Announces Target Enrollment of 620 Patients Achieved in Pivotal Phase 3 Trial of TH-302 in Advanced Soft Tissue Sarcoma

$12.5 Million USD Milestone to Be Paid by Merck KGaA

SOUTH SAN FRANCISCO, CA, USA I December 30, 2013

Threshold Pharmaceuticals, Inc. (NASDAQ: THLD) today announced that the target enrollment of 620 patients with advanced soft tissue sarcoma has been achieved in the company's pivotal Phase 3 trial of TH-302, its investigational hypoxia-targeted drug. The enrollment achievement triggers a milestone payment of $12.5 million USD from Merck KGaA, Darmstadt, Germany. Threshold has a global license and co-development agreement with Merck for TH-302, which includes an option for Threshold to co-commercialize in the U.S.

"We are pleased to achieve this enrollment milestone in this pivotal trial of TH-302 for the treatment of patients with advanced soft tissue sarcoma," said Barry Selick, Ph.D., Chief Executive Officer of Threshold. "We hope that TH-302 will ultimately be shown to be both safe and efficacious in this patient population for which there is an urgent unmet medical need."

Threshold is conducting this international, randomized, pivotal Phase 3 trial in partnership with the Sarcoma Alliance for Research through Collaboration (SARC). The trial is enrolling patients with metastatic or locally advanced unresectable soft tissue sarcoma and is designed to evaluate the efficacy and safety of TH-302 in combination with doxorubicin, compared to doxorubicin alone.

Though Threshold will remain blinded to the data from its ongoing Phase 3 trial, an Independent Data Monitoring Committee (IDMC), which monitors patient safety on an ongoing basis, will conduct an interim efficacy and safety analysis after 235 deaths are reported. The timing of the interim analysis, which is event-based and therefore dependent on the length of survival of patients, is currently projected to be conducted in mid-2014. The interim efficacy analysis is designed to allow for the early termination of the study based on achieving a pre-specified improvement in overall survival and the recommendation of the IDMC. If the IDMC recommends that the study continue as planned, Threshold will remain blinded to the data until the company conducts the primary analysis of overall survival after 434 deaths are reported. Unless the IDMC recommends that the study end early, top-line results of the primary efficacy analysis are currently projected to be reported in the first half of 2015.

Threshold Pharmaceuticals Receives FDA Fast Track Designation for TH-302 for the Treatment of Previously Untreated Patients With Metastatic or Locally Advanced Unresectable Soft Tissue Sarcoma

      11.11.2014, 13:00

SOUTH SAN FRANCISCO, CA--(Marketwired - Nov 11, 2014) - Threshold Pharmaceuticals, Inc. (NASDAQ: THLD) today announced that the U.S. Food and Drug Administration (FDA) granted Fast Track designation for TH-302, an investigational anticancer drug, for the treatment of previously untreated patients with metastatic or locally advanced unresectable soft tissue sarcoma (STS).

The FDA established the Fast Track designation process to facilitate the development and expedite the review of drugs intended to treat serious or life-threatening conditions and that demonstrate the potential to address unmet medical needs. An important feature of Fast Track is that the FDA may consider a "rolling review" of completed sections of the New Drug Application (NDA) before the complete application is submitted.

"We are pleased that FDA has granted Fast Track status for TH-302 for the treatment of previously untreated patients with metastatic or locally advanced unresectable soft tissue sarcoma," said Barry Selick, Ph.D., Chief Executive Officer of Threshold. "Our ongoing Phase 3 trial of TH-302 in these patients is being conducted under a Special Protocol Assessment with the FDA. If successful, the Fast Track designation may provide an added benefit of facilitating the NDA review process. Currently, we anticipate the primary analysis of overall survival of the Phase 3 trial to be conducted in the first quarter of 2016."

TH-302 is currently under evaluation in two Phase 3 trials: one in combination with doxorubicin versus doxorubicin alone in patients with locally advanced unresectable or metastatic STS, and the other in combination with gemcitabine versus gemcitabine and placebo in patients with advanced pancreatic cancer (the MAESTRO trial). Both Phase 3 trials are being conducted under Special Protocol Assessment (SPA) agreements with the FDA. The FDA and the European Commission have granted TH-302 Orphan Drug Designation for the treatment of STS and pancreatic cancer. TH-302 is also being investigated in a Phase 2b trial designed to support registration for the treatment of non-squamous non-small cell lung cancer, and in earlier-stage clinical trials of other solid tumors and hematological malignancies.

Threshold Pharmaceuticals Reports Fourth Quarter and Year End 2014 Financial and Operational Results

SOUTH SAN FRANCISCO, CA -- (Marketwired) -- 03/03/15 -- Threshold Pharmaceuticals, Inc. (NASDAQ: THLD), today reported financial results for the fourth quarter and year ended December 31, 2014. Revenue for the fourth quarter and year ended December 31, 2014 was $3.7 million and $14.7 million, respectively. Net loss for the fourth quarter ended December 31, 2014 was $6.0 million, which included the operating loss of $7.6 million and non-cash income of $1.6 million related to changes in the fair value of the Company's outstanding and exercised warrants that was classified as other income (expense). Net loss for the year ended December 31, 2014 was $21.6 million, which included the operating loss of $31.3 million and non-cash income of $9.3 million related to changes in the fair value of the Company's outstanding and exercised warrants. As of December 31, 2014, Threshold had $58.6 million in cash, cash equivalents and marketable securities, with no debt outstanding. In February 2015, the Company completed an underwritten offering of Threshold common stock and warrants. Net proceeds from the offering are expected to be approximately $28.2 million.

"We expect 2015 to be a key year for Threshold," said Barry Selick, Ph.D., Chief Executive Officer of Threshold. "Based on current projections, we expect that the number of protocol-specified events for the pivotal Phase 3 trials of evofosfamide in patients with advanced soft tissue sarcoma as well as in patients with advanced pancreatic cancer (MAESTRO) may be reached in the second half of 2015, with the results of the primary efficacy analyses for both trials to be available shortly thereafter. Our top priorities are to continue to efficiently execute the clinical studies to allow for timely data analyses and to prepare for the potential submission of marketing applications, assuming the data from the trials are supportive. In parallel, we continue to maintain focus on the Phase 2 trial of evofosfamide designed to support registration for the treatment of patients with advanced non-squamous non-small cell lung cancer as well as on multiple other earlier-stage trials in various types of solid tumors and hematological malignancies. Our recently completed financing has strengthened our cash position and should provide adequate funding to initiate our planned proof-of-concept Phase 2 trial of TH-4000, our hypoxia-activated epidermal growth factor receptor tyrosine kinase inhibitor (EGFR-TKI), in patients with EGFR-positive, T790M-negative non-small cell lung cancer in the first half of 2015."

Fourth Quarter and Year End 2014 Financial and Operational Results

The revenue from the upfront payment and milestone payments earned under the agreement is being amortized over the relevant performance period, rather than being immediately recognized when the upfront payment and milestone are earned or received.

The net loss for the fourth quarter of 2014 was $6.0 million compared to a net loss of $7.6 million for the fourth quarter of 2013. Included in the net loss for the fourth quarter of 2014 was an operating loss of $7.6 million and non-cash income of $1.6 million compared to an operating loss of $7.8 million and non-cash income of $0.2 million in the fourth quarter of 2013. Research and development expenses were $8.6 million for the fourth quarter ended December 31, 2014, compared to $8.5 million for the same period in 2013. The increase in research and development expenses, net of reimbursement for Merck KGaA, Darmstadt, Germany's 70% share of total development expenses for evofosfamide (previously known as TH-302), was due primarily to a $0.6 million increase in employee related expenses, including a $0.2 million increase in non-cash stock-based compensation expense, partially offset by a $0.5 million decrease in consulting expenses and clinical development expenses. Research and development expenses were $35.8 million for 2014, compared to $29.3 million in 2013. Non-cash stock-based compensation expense included in total operating expenses was $5.5 million for 2014 versus $4.9 million for 2013. The increase in stock-based compensation expense was due to the amortization of a greater number of options with higher fair values.

As of December 31, 2014 and 2013, Threshold had $58.6 million and $82.0 million in cash, cash equivalents and marketable securities, respectively. The net decrease of $23.4 million in cash, cash equivalents and marketable securities during 2014 is primarily due to the Company's operating cash requirements for 2014, partially offset by the $12.5 million in a milestone payment received from Threshold's collaboration with Merck KGaA, Darmstadt, Germany and $5.5 million in cash proceeds from the exercise of warrants and the exercise of stock options and purchase rights related to our stock-based equity incentive plans.

Clinical Development Outlook for Company- and Merck KGaA, Darmstadt, Germany-Sponsored Trials of Evofosfamide

The development plan for evofosfamide is designed to investigate its safety and efficacy across a broad range of solid tumors and hematologic malignancies. Evofosfamide is being developed in therapeutic areas supported by preclinical and clinical data and where there is high unmet need for new anti-cancer agents. To date, evofosfamide has been evaluated in more than 1,500 patients with cancer. Threshold anticipates the following development activities related to Company- and Merck KGaA, Darmstadt, Germany-sponsored clinical trials for evofosfamide in 2015:

      Continue to efficiently execute the two Phase 3 clinical trials of evofosfamide to allow for timely data analyses and to prepare for the potential submission of marketing applications, assuming the data from the trials are supportive;

      Continue to enroll the Phase 2 clinical trial of evofosfamide designed to support registration for the treatment of patients with non-squamous non-small cell lung cancer;
Complete enrollment in the Phase 2 clinical trial of evofosfamide in combination with bortezomib (Velcade®) and low-dose dexamethasone in patients with relapsed or refractory multiple myeloma; and
Continue to enroll patients in the Company's Phase 2 biomarker trial in patients with advanced melanoma.

About Evofosfamide (previously known as TH-302)

Evofosfamide, an investigational hypoxia-activated prodrug, is designed to be activated under tumor hypoxic conditions, a hallmark of many cancers. Areas of low oxygen levels (hypoxia) in solid tumors are due to insufficient blood supply as a result of aberrant vasculature. Similarly, the bone marrow of patients with hematological malignancies has also been shown, in some cases, to be severely hypoxic.

Evofosfamide is currently under evaluation in two Phase 3 trials: one in combination with doxorubicin versus doxorubicin alone in patients with locally advanced unresectable or metastatic soft tissue sarcoma (STS), and the other in combination with gemcitabine versus gemcitabine and placebo in patients with locally advanced unresectable or metastatic pancreatic cancer (the MAESTRO trial). Both Phase 3 trials are being conducted under Special Protocol Assessment (SPA) agreements with the FDA. The FDA and the European Commission have granted evofosfamide Orphan Drug Designation for the treatment of STS and pancreatic cancer. Evofosfamide is also being investigated in a Phase 2 trial designed to support registration for the treatment of non-squamous non-small cell lung cancer, and in earlier-stage clinical trials of other solid tumors and hematological malignancies.

Threshold has a global license and co-development agreement for evofosfamide with Merck KGaA, Darmstadt, Germany, which includes an option for Threshold to co-commercialize in the U.S.

      About TH-4000

In September 2014, Threshold licensed exclusive worldwide rights to a development program based on TH-4000 (formerly referred to as PR610 or Hypoxin™) from the University of Auckland. TH-4000 is a hypoxia-activated epidermal growth factor receptor, or EGFR, tyrosine-kinase inhibitor (TKI). TH-4000 is designed to selectively release a potent, irreversible EGFR-TKI in hypoxic tumors. Preclinical and Phase 1 clinical data suggest that plasma concentrations of TH-4000 that are active in EGFR-dependent tumor xenograft models in mice could be attained in patients with an acceptable therapeutic index. Threshold expects to initiate a Phase 2 proof-of-concept study in a subset of molecularly-defined non-small cell lung cancer patients whom Threshold believes may be responsive to TH-4000 in the first half of 2015.

Threshold Pharmaceuticals Reports Preclinical Data Suggesting That TH-4000 May Overcome Resistance to Conventional EGFR Tyrosine Kinase Inhibitors
TH-4000 Overcomes Erlotinib Resistance in Heterozygous (Wild-Type/Mutant) EGFR Xenograft Lung Cancer Model; Preclinical Antitumor Activity Observed With Human-Equivalent Doses Lower Than the Maximum Tolerated Dose of TH-4000 Determined in Phase 1; Phase 2 Trials in Patients With EGFR-Positive, T790M-Negative NSCLC and Patients With Head & Neck Cancer Planned

SOUTH SAN FRANCISCO, CA--(Marketwired - Apr 22, 2015) - Threshold Pharmaceuticals, Inc. (NASDAQ: THLD) today announced preclinical data on TH-4000, its proprietary, molecularly-targeted, hypoxia-activated, irreversible epidermal growth factor receptor (EGFR) tyrosine kinase inhibitor (TKI) suggesting that TH-4000 may overcome resistance to therapy with conventional EGFR-TKIs. In a xenograft model of non-small cell lung cancer (NSCLC) in which both wild-type (normal) EGFR and mutant EGFR are present (a heterozygous model), TH-4000 was more active than the conventional EGFR-TKI erlotinib. Complete tumor control was observed in this model using human-equivalent doses of TH-4000 that were less than 15% of the maximum-tolerated dose defined previously in a Phase 1 clinical trial. The company believes the data support its planned Phase 2 clinical trials of TH-4000, including one in patients with EGFR-positive, T790M-negative NSCLC and the other in patients with recurrent/metastatic head and neck (H&N) cancer. The data were reported at the annual meeting of the American Association for Cancer Research (AACR) on Wednesday, April 22, 8 AM - 12 PM EDT (Abstract #5358 in Poster Section #28) in Philadelphia, Pennsylvania.

Aberrant EGFR signaling is implicated in the growth and spread of certain tumor types including NSCLC and H&N cancer. Clinical studies indicate that mutant EGFR-positive NSCLC with wild-type EGFR present (heterozygous) is associated with reduced response rates, progression free survival and overall survival outcomes on conventional EGFR-TKIs. In H&N cancer, wild-type EGFR signaling drives tumor growth. Both types of tumors are known to be hypoxic; thus, hypoxia-induced activation of wild-type EGFR signaling may be a mechanism of current EGFR-TKI resistance.

"Certain tumor types are addicted to EGFR signaling and current EGFR-TKI therapies are ineffective in shutting down that signaling due to dose-limiting toxicities of rash and diarrhea," said Adam Patterson, Ph.D., Head of Translational Therapeutics Team at the University of Auckland in New Zealand, and co-inventor of TH-4000. "At the same time, we know that these tumors are hypoxic, and hypoxia drives the overexpression of EGFR. Therefore, a molecularly-targeted, hypoxia-activated irreversible EGFR-TKI may deliver greater efficacy with fewer side effects than currently available treatments."

"Leveraging knowledge that the hypoxic tumor microenvironment enhances aberrant, wild-type EGFR signaling, we designed TH-4000 to selectively release an irreversible EGFR inhibitor upon encountering tumor hypoxia," said Jeff Smaill, Ph.D., Senior Medicinal Chemist, at The University of Auckland, New Zealand, and co-inventor of TH-4000. "Given Threshold's expertise in developing therapies that target tumor hypoxia, it's exciting for us to be working together on this next-generation approach of combining molecular and hypoxia targeting in a single drug candidate."

Preclinical data reported at AACR demonstrated that TH-4000 is a pan-ErbB inhibitor, releasing a potent irreversible TKI of wild-type EGFR, mutant EGFR and HER2. In the PC9 xenograft model of NSCLC, which is heterozygous for wild-type and mutant (deletion 19) EGFR, a single dose of TH-4000 (equivalent to 20 mg/m2 in humans) showed prolonged prodrug residency and EGFR shutdown in tumor tissue for a week. In addition, while treatment with erlotinib alone resulted in only modest benefit, treatment with TH-4000, resulted in 9/9 complete responses, suggesting an ability to prevent or overcome resistance to TKI treatment. Furthermore, the PC9 model was determined to be only 8% hypoxic, suggesting that the complete responses observed with TH-4000 were due to the ability of TH-4000, once hypoxia-activated, to diffuse into the surrounding normoxic tumor tissue. Preclinical data presented also demonstrated that TH-4000 is highly active against WT EGFR-driven tumors, whereas approved EGFR-TKIs are substantially less active. It is believed the 'masked' design of TH-4000 allows WT EGFR signaling in tumor tissue to be targeted via hypoxia while sparing normal tissue signaling in the skin and GI tract, providing a potential therapeutic window.

Data from a previous Phase 1 clinical trial of patients with advanced solid tumors were also reported at AACR. The maximum tolerated dose of TH-4000 administered as a 1-hour weekly intravenous infusion was established at 150 mg/m2. The most common treatment-related adverse events were dose-dependent and included rash, QT prolongation, nausea, infusion reaction, vomiting, diarrhea and fatigue.

"We believe the data presented at AACR support our clinical development plans for TH-4000 in patients with tumors that are not candidates for conventional EGFR-TKI therapy," said Tillman Pearce, MD, Chief Medical Officer of Threshold. "In particular, we believe the data support the development of TH-4000 in patients with mutant EGFR-positive, T790M-negative non-squamous non-small cell lung cancer after conventional EGFR-TKI therapy has failed as well as in patients with head and neck cancer for which EGFR over-expression is associated with worse outcomes, both of which represent a significant unmet medical need. We are delighted to join forces with our friends and experts in the field of tumor hypoxia and Hypoxia-Activated Prodrug technology at the University of Auckland, and look forward to our collaborative efforts in the development of TH-4000 as potential new therapy that has potential to overcome the limitations of currently available EGFR-TKI therapies."

      About TH-4000

In September 2014, Threshold licensed exclusive worldwide rights to a clinical development program based on TH-4000 (formerly referred to as PR610 or Hypoxin™) from the University of Auckland. TH-4000 is a hypoxia-activated epidermal growth factor receptor, or EGFR, tyrosine-kinase inhibitor (TKI). TH-4000 is designed to selectively release an irreversible EGFR-TKI in hypoxic tumors. Preclinical and Phase 1 clinical data suggest that plasma concentrations of TH-4000 that are active in EGFR-dependent tumor xenograft models in mice could be attained in patients with an acceptable therapeutic index. Threshold expects to initiate Phase 2 proof-of-concept studies in patients with EGFR-positive, T790M-negative non-small cell lung cancer (NSCLC) after conventional EGFR-TKI therapy has failed and in patients with head and neck cancer.

      About NSCLC

NSCLC accounts for approximately 85 percent of the annual 1.3 million lung cancers diagnosed worldwide. EGFR activating mutations occur in approximately 15 percent of NSCLC cases in Caucasian patients and up to 35 percent in Asian patients. Tarceva®, Gilotrif® and Iressa®, are the first-generation EGFR inhibitors currently approved for patients with the EGFR activating mutation. Nearly all patients ultimately progress on these therapies, with approximately 50% of these patients developing acquired resistance due to a second, "gatekeeper" mutation, termed T790M. Chemotherapy is the primary treatment option for patients without the T790M mutation, and TH-4000 represents a potential novel and targeted treatment option in this setting.

      About H&N Cancer

The American Cancer Society estimates that more than 45,000 men and women in the United States will be diagnosed with head and neck cancers in 2015. In 2002, the World Health Organization (WHO) found that there were 600 ,000 new cases of head and neck cancer and 300,000 deaths each year worldwide. Nearly 66% of patients present with advanced disease (stage III and IV), and fewer than 30% of these patients are cured. The average survival rate for head and neck cancer is low due to the lack of early detection and the inability of current therapies to achieve a sustained response when the disease is in an advanced state. Overexpression of EGFR is recognized in more than 80% of squamous cell cancers of the head and neck, and this overexpression is associated with a poor prognosis.

      http://finance.yahoo.com/news/portfolio-4-trending-companies…

... Finally, investors looking for the best of breed in terms of biotech upside shouldn't ignore the exploits of Threshold Pharmaceuticals Inc. (THLD). The developer of Evofosfamide (previously known as TH-302), an investigational hypoxia-activated prodrug, has announced intent to initialize phase II clinical trials for its newly acquired cancer candidate, TH-4000.

Threshold Pharmaceuticals licensed TH-4000 (formerly known as PR610 or Hypoxin) from the University of Auckland of New Zealand back in September 2014. The drug holds promise because when it enters the tumor cells, it diffuses to the hypoxic zone, in which the TH-4000 effector (TH-4000E) is selectively activated and blocks hypoxia-induced EGFR signaling and tumor cell survival. In a very basic sense, TH-4000 is able to help in combatting the survival of cancer-protracting EGFR.

Threshold Pharmaceuticals has enjoyed very strong consolidation below 4.00 but investors have enjoyed rallies as high as 5.41 in the last year. The stock is trading just above support of 3.42 and with resistance not very far north at 3.74, investors could be in line for another major delivery of profits on a potential breakout ...

Cantor Still Expects Threshold Pharma To More Than Triple, Says 2016 Will Be 'Data Rich' Year

In a report published Thursday, Cantor Fitzgerald analyst Daniel Brims maintained a Buy rating and $14 price target on Threshold Pharmaceuticals, Inc. (NASDAQ: THLD). The analyst believes that Evofosfamide and TH-4000 could be key catalysts for the stock on 2016.

Existing EGFR inhibitors are found to be effective in only about 10-25 percent of NSCLC cases with driver mutations. In addition, it has also been found that Wt EGFR could be up-regulated due to hypoxic conditions and can also be expressed with driver mutant EGFR. It is also possible that Wt EGFR plays a role in the resistance towards certain drugs.

"TH-4000 is capable of inhibiting both Wt and the escape mutant, T790M, EGFR at doses well below the MTD (suggesting a large therapeutic window). The next generation drug candidates or current EGFR inhibitors are unable to be given at sufficient doses to inhibit wt EGFR, which we believe leads to a reduced response rate and more rapid progression," Brims reported.

The analyst believes that the proposed Phase 2 studies of TH-4000 in NSCLC, as well as head and neck cancer, could help position this drug as valuable treatment option. Previous trials have demonstrated that TH-4000 is usually well tolerated even in high doses, without the severe diarrhea and rash seen typically with elotinib. This, along with other data, shows a safety profile for TH-4000 that supports clinical development.

"We believe read-out of top-line OS data in the two pivotal phase 3 trials of evofosfamide in pancreatic cancer and STS, which are expected in early 2016, will be the key catalysts for THLD and enable both FDA and EMA regulatory submissions shortly thereafter," Brims added.

The analyst expects the company to initiate Phase 2 trials for TH-4000 by mid-2015, with interim data likely to be presented in 2016.

Threshold Pharmaceuticals’ stock plunges after drug trial disappoints

The company said early Monday that one Phase 3 study of evofosfamide, in patients with previously untreated metastatic pancreatic cancer, did not demonstrate a statistically-significant improvement in overall survival when compared with a placebo. Another Phase 3 trial didn’t show a statistically-significant improvement in overall survival when compared with doxorubicin, a medication used in chemotherapy.

      Bleib mal ganz ruhig Kumpel

      Technisch maximal optimale Entwicklung

      Ich bleibe long

Will dicke Gewinne absahnen.
