      .

Im Oktober 2010 traf Northcliff eine Vereinbarung mit Geodex Minerals Ltd. über eine 70%-Beteiligung am Projekt Sisson in New Brunswick/CA.

Diese Vereinbarung beinhaltete u.a.

      7th September 2012

      TORONTO (miningweekly.com)
      – New Brunswick project developer Northcliff Resources plans to enter an increasingly tight market within the next three years as it continues to advance towards completing a feasibility study and environmental-impact assessment (EIA) for its Sisson tungsten/molybdenum project by the end of the year.

CEO Chris Zahovskis told Mining Weekly Online that tungsten prices were edging ever higher as few new projects were being developed to fill a void in the supply side, left when China clamped down on rare-mineral exports around 2002.

China, which supplies about 85% of the world’s tungsten, also uses just under 60% of the world's production, which prompted it to secure supplies for its own use as it pushed ahead with industrialising its economy.

As a result of the world’s leading supplier curtailing exports, Zahovskis said the price for the world’s hardest metals rose exponentially during the last decade, from about $250 per metric ton unit (mtu) to about $460/mtu this year, before giving back in recent months to hover at about $360/mtu at present.

“We expect the supply of tungsten to tighten in the short to medium term, as a result of China potentially further curtailing exports, owing to decreasing domestic supply,” he said in an interview.

Zahovskis said global demand-side growth was expected to remain between 6% and 8% a year. However, he noted that, with even just a modest global growth profile, the price of tungsten was expected to test new highs as declining supply tightened the market.

      SIGNIFICANT DEVELOPMENT

The company’s fully owned New Brunswick-based Sisson mine would be one of the next new significant players in the tungsten market, with first production expected during 2015.

Zahovskis pointed out that Northcliff was in the final stages of completing a feasibility study for the project, as well as completing an EIA, which the company plans to submit by year-end.

“That would start the permitting process, which we expect to take about a year, before we could start construction of the mine,” he said from Vancouver.

Zahovskis declined to put a figure to the potential capital expenditure required to construct the mine, but said management was starting to consider various avenues of raising capital for the project.

A May resource update estimated the project to hold about 383-million tons of ore, containing 25.6-million metric ton units of tungsten trioxide and 178.3-million pounds of molybdenum at a $9 net smelter return cut-off. Sisson was also estimated to have an inferred resource of 178-million tons containing 9.1-million metric ton units of tungsten trioxide and 82.4-million pounds of molybdenum.

Northcliff had invested about $17-million in the project by the first quarter of this year, to earn a 70% stake in the project, while Geodex held the rest, before Northcliff, during the second quarter, obtained the remaining interest.

The mine was expected to have a life of 30-plus years.

Zahovskis said the Sisson project would have a “significant” positive impact on the province of New Brunswick and the surrounding communities. “The mine would bring significant tax revenue to the province and once the mine is at full production, would generate about 300 direct paying jobs,” he said.

Tungsten, also known as wolfram, has its main use in hardening steel for use in industrial applications such as in tool and construction steels. It enhances hardness, cutting efficiency and speed with a likened hardness to diamonds and is used to shape metals, alloys, wood, composites, plastics and ceramics.

The company's stock closed down 7.50% at 37 Canadian cents apiece on the TSX on Friday.

      Hallo !

Northcliff Provides Update on Sisson Project Feasibility Study and Environmental Assessment

      VANCOUVER, Oct. 11, 2012
/CNW/ - Northcliff Resources Ltd. ("Northcliff" or the "Company") (TSX: NCF) announces an update on current studies underway on its 100% owned Sisson Tungsten-Molybdenum Project located in New Brunswick, Canada.

      Feasibility Study

The Sisson Project Feasibility Study, which is being prepared by Samuel Engineering, Inc. of Denver, Colorado, is nearing completion. The Company plans to announce the results by mid-November 2012, following which the Company will have 45 days to file the corresponding NI 43-101 technical report on SEDAR (www.sedar.com).

      Environmental Assessment and Permitting

The Environmental Impact Assessment (EIA) report, which is being prepared by Stantec Inc., of Fredericton, New Brunswick, remains on track for completion in November 2012 and subsequent submission to both Federal and Provincial governments. Concurrent with the review of the EIA, the Company plans to begin preparing for permit and mining license applications.

      Financing

Over the past several months, Northcliff has begun the process of engaging with potential strategic partners to assess their interest in participating in the Sisson Project. The Company expects that this process will continue through the end of 2012 and into 2013.

Northcliff President and CEO Christopher Zahovskis said, "I am pleased with the progress that has been made since Northcliff started work on the Sisson Project just two years ago. We set out an ambitious schedule at that time with an overall objective of completing the feasibility study by the fall of this year. With the upswing in the tungsten market over the same period, we have remained focused on advancing Sisson into the feasibility stage as quickly as possible to provide tremendous potential value to our shareholders."

      31.01.2013 | 9:36 Uhr | DGAP

Northcliff to adopt Shareholder Rights Plan

VANCOUVER, March 21, 2013 /CNW/ - Northcliff Resources Ltd. ("Northcliff" or the "Company") (TSX:NCF) announces that its Board of Directors has resolved to adopt a customary Shareholder Rights Plan Agreement (the "Rights Plan"). The Rights Plan is being adopted to help ensure the fair treatment of all Northcliff shareholders in connection with any take-over bid for the outstanding common shares of Northcliff. The Rights Plan will provide shareholders with additional time to properly evaluate and assess a take-over bid and gives the Board additional time to consider possible alternative transactions in order to maximize shareholder value.

Northcliff President & CEO Chris Zahovskis said, "Northcliff is committed to meaningful consultation with First Nations and this Agreement is a demonstration of our continued interest in supporting First Nations' active engagement in the Sisson Project and the Environmental Impact Assessment. We are delighted that St. Mary's, Woodstock and the Assembly of First Nations Chiefs in New Brunswick, collectively representing all First Nations in New Brunswick, have agreed to work together by jointly retaining technical experts to assist them in reviewing, understanding and commenting on any documents, reports or information related to the Sisson Project as part of the EA Process. Northcliff Signs Process Agreement with Woodstock First Nation
Agreement Provides Framework for Cooperation Agreement Negotiations and Community Consultation

FREDERICTON, June 27, 2013 /CNW/ - Northcliff Resources Ltd. ("Northcliff" or the "Company") (TSX: NCF) is pleased to announce it has signed a Process Agreement (the "Agreement") with the Woodstock First Nation for the Sisson Tungsten-Molybdenum Project located in central New Brunswick. The Agreement provides a framework for Northcliff and the Woodstock First Nation to negotiate a Cooperation Agreement and to work together on community consultation efforts.

Woodstock First Nation Chief Len Tomah, Jr. said, "This is a first and important step for the Woodstock First Nation to take with the Company in assessing whether the proposed Sisson Project can provide sustainable opportunities for our community. There is a great deal that our membership needs to learn about with respect to both the potential impacts and benefits of this Project, and through this Process Agreement, we hope to become better informed about the Sisson Project."

Northcliff President & CEO Chris Zahovskis said, "I would like to thank the Woodstock First Nation for their willingness to explore opportunities with us related to the development of the Sisson Project. We believe the proposed project has the potential to create long term benefits for New Brunswick First Nations and this agreement is a step in that direction. We have agreed to implement a community consultation process that is based on open dialogue and good faith. We have also agreed to implement a process to negotiate a long term Cooperation Agreement with the Woodstock First Nation. Northcliff is committed to meaningful consultation with First Nations and we look forward to establishing a long term partnership with the Woodstock First Nation."

The Process Agreement consists of the following key areas:

      Cooperation Agreement Negotiations

The Process Agreement outlines the approach for the establishment of a Cooperation Agreement that would record the formal relationship and associated benefits negotiated between the two parties. A Cooperation Agreement, commonly referred to as an Impact and Benefits Agreement, is a long term agreement between a company and a First Nation setting out the obligations, responsibilities and benefits of the various parties. Northcliff and the Woodstock First Nation have agreed to negotiate in good faith and in a spirit of cooperation and mutual respect. A Cooperation Agreement could contain commitments related to environmental protection, education and employment of Woodstock First Nations members, social and cultural protection and enhancements, and economic benefits.

      Community Consultation Process

A key aspect of the consultation process is engaging First Nations community members to discuss potential impacts of the project on First Nations' interests. As part of the Process Agreement, the Woodstock First Nation will implement a community consultation process that will inform the community about the status of the potential development and learn what the community thinks about the Sisson Project.

      About The Woodstock First Nation

The Woodstock First Nation is a Maliseet First Nation located in the Province of New Brunswick on the shore of the Saint John River. The Sisson Project is located within Maliseet traditional territory and approximately 50 kilometers from the Woodstock First Nation's reserve.

Look Beyond 2013 for Moly Market Recovery, Analysts

      Thursday August 8, 2013, 4:00am PD

By Charlotte McLeod - Exclusive to Moly Investing News

Look Beyond 2013 for Moly Market Recovery, Analysts Say

Further confirmation that molybdenum prices likely will not recover until after the end of 2013 was recently provided by analysts interviewed by Metal-Pages.

Stephan Ioannou, an analyst at Haywood Securities, told the publication that lack of steel demand from China continues to dampen the molybdenum market. “In terms of moly price strengthening, it’s hard to anticipate. At the very earliest it will be late this year, but probably it’s a 2014 to 2015 story,” he explained.

Similarly, Catherine Virga, CPM’s director of research, commented, “by the very end of the year we could get back up to around $11/lb, but we are not overly optimistic for prices this year,” while John Tumazos of Very Independent Research said that the current weakness in prices is unsurprising given current market conditions. “Moly should not be viewed as unique or special,” he said.

Molybdenum oxide hit $11.90 per pound, its highest price this year, in January, but since then has sunk to its current price of $9.35 per pound, a 21.4-percent decline.

      .........
About two weeks later, Northcliff Resources (TSX:NCF) announced the completion of the Environmental Impact Assessment report for its New Brunswick-based Sisson tungsten-molybdenum project. It has been submitted to the Canadian Environmental Assessment Agency as well as to the New Brunswick Department of Environment and Local Government.

TMR: What other specialty metals do you think would do well under a scarcity of supply scenario? Would tungsten be one?

JK: The markets have their heads in the sand about tungsten. China is the dominant producer, but much of the resource comes from small mines targeted by regulators for environmental cleanup. Tungsten's use as a hardening metal alloy makes it a war metal, but it is also important for the oil drilling business, which has boomed with the development of tight oil and gas in shale deposits. If the Umbrella Revolution currently playing out in Hong Kong spins out of control, and China ends up withdrawing into itself the way Russia has started to do as a result of its Ukraine intervention, it is conceivable that exports of tungsten could drop precipitously, which would leave the Western world in a bind. This is an outlier but not an implausible scenario. More serious are the risks that China's production from small tungsten deposits may decline through depletion or shutdown for environmental reasons.

That is why I very much like the Northcliff Resources Ltd. (NCF:TSX) Sisson project in New Brunswick. It has a tungsten-molybdenum deposit that could provide nearly 10% of current global supply. If we see further concern emerge over China, the capital will arrive to enable Sisson to go into production.

TMR: Northcliff put out a feasibility study in 2013. What is the next catalyst?

JK: The main thing we're waiting for there is the environmental permit. A New Zealand partner could put up as much as $25M for a minority percentage. Once Northcliff has this permit, a funding arrangement may emerge to put this into production. It could also be bought by a major, something the management group Hunter Dickinson group has orchestrated before.

      Explorers and developers
While the best approach to use with specific mining projects is an NPV, in absence of such
information we compare the projects based on an EV/resource multiple. However, given that the
scale and quality of the resource base is only one of a number of criteria, this approach may not be
too revealing. We note that different project parameters such as opex and capex do not always
favour a resource-based comparison. Still, for our selected peer group, the multiples range from
US$0.4/mtu for Northcliff, reflecting Sisson’s large-scale resource base, to US$12.7/mtu for
Tungsten Mining (Kilba). At the reserves level, the situation looks slightly different, with Northcliff
trading at US$0.7/mtu and Wolf being valued at US$58/mtu
. We also believe that comparing the
companies’ current market valuations with the funding requirements of the respective projects might
be telling. In our analysis, Northcliff (Sisson) and Vital Metals (Watershed) have the lowest market
cap-to-capex ratios, while Ormonde and Carbine Tungsten have the highest. That said, in some
cases strategic investors/partners (such as Todd in Northcliff’s case) are expected to co-finance the
development of the projects, contributing a certain share of funding and reducing the dilution.

K: Tungsten is an important metal. It is used as a hardening agent largely in the tool industry and has seen considerable demand growth during the shale drilling boom. But demand tends to follow the global economic trend, so it is suffering a bit from the worldwide slowdown. It is, however, also a war metal used in weapons and as a hardening agent for armor. If we do end up in a period of conflict that encourages an arms buildup, we could see demand for tungsten go up dramatically.

The company that I follow closely in this space is Northcliff Resources Ltd. (NCF:TSX), which advanced the Sisson project in New Brunswick to the stage where it is pursuing a permit to go into production. This is a low-grade tungsten-molybdenum deposit, which would represent close to 8% of current global production. At the current tungsten price, the Sisson project is not viable, but a geopolitical disruption could completely change the equation.

TMR: When we talked in October, you were waiting for an environmental report. Did that work out as you'd hoped?

JK: There are many stages in the environmental process. I don't expect to see final approvals until the end of this year, maybe early next year. Northcliff is treading water while it endures the tungsten price slump. There is no reason to rush the permitting process. It has a 15% shareholder in Todd Corporation Ltd., which is eager to own the whole company. The risk is that unless there is a breakout in tungsten prices before the company runs out of money, it could be absorbed by the Australian conglomerate to secure long-term supply of tungsten for its tool businesses.

Die stehen genau so schon im Jahresberricht von vor 6 Jahren drin: "This financing strategy has encompassed discussions with potential financing partners (including off‐take smelter groups) and banking institutions."

Na prima, da stehts ja genau so drin:

"Most developers have old mines they are rebooting. Greenfield projects remain largely unfinanceable"

Northcliff Achieves Major Permitting Milestone for the Sisson Project
July 10, 2019 Vancouver, BC - Northcliff Resources Ltd. ("Northcliff" or the "Company") (TSX: NCF), on behalf of Sisson Mines Ltd., the general partner of the Sisson Project Limited Partnership (the "Sisson Partnership") is pleased to announce that the Sisson Tungsten-Molybdenum Project (the "Sisson Project") has received a final key federal authorization for the project.

Following extensive consultation with First Nations and the public, led by federal agencies Environment Canada and Climate Change and Department of Fisheries and Oceans, the Metal and Diamond Effluent Regulation Schedule 2 amendment ("MDMER") authorization process is now successfully completed. Through this process, project designs regarding the placement of the tailings facility, the tailings technology to be used and the fish habitat compensation plan for the Sisson Project were thoroughly reviewed and the result has been published in the Canada Gazette, Part II: Metal and Diamond Mining Effluent Regulations --- Regulations Amending Fisheries Act SOR/2019-245 25/06/19

"Completion of the MDMER amendment represents an important milestone toward project development," said Northcliff President & CEO Chris Zahovskis.

Prior to the MDMER, the Sisson Project received Environmental Impact Assessment ("EIA") approvals from the provincial and federal governments in 2015 and 2017 respectively.
