RECENT CHANGES TO THE BOARD

Further to the news release of April 30, 2013, in which Acadia Resources Corp. announced the appointment of Yogeshwar Sharma and Peter Clutterbuck as directors of the company, the company has made further changes to the board of directors and management:

- Chris Cherry has resigned as a director of the company.

- The company's board of directors now consists of Read Taylor, Mr. Sharma and Mr. Clutterbuck.

- Mr. Clutterbuck has been appointed as president and chief executive officer upon the resignation of Tom Kennedy from those positions.

- Mr. Sharma has been appointed as chairman of the board.

- Nigel Friend has been appointed as chief financial officer upon the resignation of Tyler Friesen.

- Mr. Kennedy has been appointed as corporate secretary of the company upon the resignation of James Harris from that position.


Mr. Sharma has over 40 years of broad international oil and gas industry experience. He is a co-founder of Hardy Oil and Gas PLC and served as its chief executive officer until May, 2012, when he stepped down to take a position as a non-executive director. Hardy is a London Stock Exchange-listed company with operations in offshore India. He also serves as a director of Longreach Oil and Gas, a TSX Venture Exchange-listed company with assets in Morocco. Prior to founding Hardy, Mr. Sharma worked at Elf International in France and at Schlumberger Dowell Research in the United States. Mr. Sharma graduated from the University of Alberta in mechanical engineering and did his postgraduate studies at the University of Calgary in chemical engineering. He is a registered professional engineer in Alberta, Canada, a full member of the SPE, and a member of the Society of Applied and Industrial Mathematics.

Mr. Clutterbuck was most recently chief executive officer of Alternative Investment Market-listed 3Legs Resources, which operated the first shale gas production in Europe. Previously, he was chief executive officer of TSX Venture Exchange-listed Orca Exploration, which developed the Songo Songo gas field in Tanzania, and vice-president of operations for Gabon-focused Pan Ocean Energy, which was sold for $1.6-billion to Addax Petroleum. A former director of AIM-listed Northern Petroleum (chief executive officer), President Petroleum and Mediterranean Oil & Gas, Mr. Clutterbuck was responsible for the discovery of the Rubiales field in Colombia. He had a 15-year career in management positions with the BP group in Abu Dhabi, North Sea and Alaska, and he served on the board of the SPE in London. He holds a degree in engineering from Cambridge University.

Mr. Friend is an accountant with an extensive knowledge of the energy sector and in particular the commercialization of gas streams. He is currently a commercial financial director of ASA Energy Conversions Ltd. (a company involved with gas to liquid technology). Previously (2004 to 2012), he was chief financial officer and executive vice-president of Orca Exploration Group Inc. (a company involved in gas development in Tanzania) and, prior to that (2002 to 2004), was a financial and commercial consultant for Pan Ocean Energy Corp. Inc. (an oil exploration and production company operating in Gabon). Mr. Friend was a practising accountant with KPMG for 11 years (1986 to 1997).

First tranche closing of private placement
Further to the company's news releases dated April 30, 2013, and May 15, 2013, the company has received TSX Venture Exchange approval to a first tranche closing of its private placement. The company has raised $207,500 and issued 4.15 million subscription receipts at a price of five cents per receipt. Each receipt is convertible, for no additional consideration, into one postconsolidated common share upon completion of the company's proposed share consolidation. Finders' fees of $6,000 will be paid in connection with the first tranche closing of the private placement. The receipts are subject to a four-month hold period expiring Oct. 29, 2013.

Acadia Resources Corp. has made key additions to its board of directors. Yogeshwar Sharma and Peter Clutterbuck, two petroleum executives with nearly 80 years of combined experience in the international oil and gas industry, have agreed to join the company's board of directors.

In addition, as part of its reorganization, the company will:

Complete a non-brokered private placement to the new directors, as well as to certain additional subscribers for proceeds of up to $500,000;
Complete a 1:3 consolidation of its outstanding shares and a name change, and change its corporate jurisdiction from British Columbia to Jersey, Channel Islands.

It is anticipated that the private placement will be completed by the company issuing subscription receipts at the price of five cents per receipt, with each receipt automatically converting into one postconsolidated common share of the company. The receipts and the resulting shares will have the usual four-month hold period.

The company will seek approval of the restructuring at an extraordinary general meeting of its shareholders.

The new directors have a successful record of establishing, managing and growing internationally focused petroleum exploration and development companies.

11. SIGNIFICANT TRANSACTION
The Company is investigating oil and gas exploration and development opportunities in Sub Saharan Africa. In that regard, during the quarter ended February 28, 2013, it had entered into an exclusive option agreement with a private company (“Privateco”), which had signed a memorandum of understanding on a prospective onshore exploration block within Africa.
Pursuant to the terms of the option agreement, the Company had the right to negotiate with Privateco in respect of a possible merger, investment or acquisition, to acquire up to 100% of Privateco’s interest in the block, as well as Privateco’s interest, if any, in any additional blocks. The term of the option agreement expired May 31, 2013. The agreement did not proceed and the Company expensed all deferred acquisition costs incurred to property investigation costs during the third quarter of fiscal 2013.
The Company continues to investigate oil and gas exploration and development opportunities in Africa.

sehe ich auch so. Kosten des missglückten Versuch ein Projekt an Land zu ziehen vom Alten Management sind verbucht, siehe CONDENSED INTERIM FINANCIAL - STATEMENTFOR THE NINE MONTHS ENDED MAY 31, 2013.

Jetzt muss die 2 Tranche des PP geschlossen werden.

Hier steht alles auf Neustart! Meiner Meinung nach exzellentes Management. Hier fehlen nur noch die Projekte. Es wird spannend.

Da ich keine Quelle nennen möchte, ist nachfolgendes in die Kategorie "Gerüchteküche" einzuordnen:

CEO P. Clutterbuck ist in aussichtsreicher Verhandlung für die Beteiligung an einem Ölprojekt mit ausgewiesenen Ressourcen. Im Prinzip ist man sich einig. Voraussetzung dafür ist jedoch die Finanzierung, da das Eigenkapital von Acadia nicht ausreicht. Diese Finanzierung wird parallel verhandelt. Eine kanad. Bank soll die Bereitschaft für die Finanz. erklärt haben, vorbehaltlich der Prüfung entspr. Dokumente, der Sicherheit durch Eintragung ins Grundbuch oder wie das vor Ort heißt, sowie der endgültigen Zustimmung des Bankvorstandes.

Alles in Allem sieht es gut aus, jedoch sind o. g. Hürden zu nehmen. Evtl. erklärt das den Kursanstieg.

Bin mit einer ersten Posi long. Noch sehr spekulativ! Risikominderung sobald die erste Beteiligung oder Übernahme definitiv erklärt wird. Erst dann würde ich nachkaufen. Eine Kursverdoppelung ist das Mindeste, was ich erwarte. Wer mitwetten will, sollte nicht zu lange warten. Alles nur meine Meinung!

Wenn ich der Kurs so ansehe sind hier schon viel Vorschusslorbeeren verteilt worden. News müssen gut sein, um dieses Kursniveau zu verteidigen. Hoffen wir aus sehr gute News.

Momentan wird über einen 100 Mio $-Kredit verhandelt für die Beteiligung an einem Projekt mit nachgewiesenen Ressourcen. Sollte das gelingen, ist der aktuelle Kurs ein Schnäppchen. Natürlich gibt es keine Garantie dafür, daher spekulativ. Alternativ werden auch anderen Projekte verhandelt. Irgendwann im Laufe der nächsten Wochen rechne ich mit eine diesbezüglichen Nachricht.

Bin immer noch mit einer ersten Posi investiert. Im Erfolgsfall wird aufgestockt!

Hallo Jon-Schnee,

die Verhandlungen sind ja eine Kombination zwischen Asset-Partnern, evtl. Regierungsvertretern sowie den Bank-Managern (Finanzierung). Erst wenn alles "stimmig" ist, kann ein Erfolg verkündet werden.

Aufgrund der Komplexität rechne ich aller-frühestens im Oktober, wahrscheinlich eher November mit einer diesbezüglichen Meldung. Ein Scheitern der Verhandlungen ist natürlich auch nicht ausgeschlossen.

Ein bisschen Geduld ist wohl noch nötig ...

Ich bin vor kurzem auch in PRD Energy (WKN: A1C166) eingestiegen. Haben assets in Deutschland und bohren momentan das erste Loch. Ich hoffe, bis E. Okt. hierzu eine Unternehmensmeldung zu erfahren.

bin über Otto Energy zu diesem Board gestoßen, vor allem auf der Suche nach Firmen, die im East African Rift explorieren wollen. Habe OEL und auch SWE, bin auch mit AOI, TPN und SMB ziemlich dick im Rift investiert
Weißt Du eigentlich, welche Lizenzen Horizon Petroleum in Afrika anstrebt ? Nach kurzer Durchsicht der Corporate Präsentation, haben die noch keine Lizenzen, aber verhandeln über eine 100 Mio USD Creditline, aber um was zu finanzieren?
Auch scheint mir das Business Model ein wenig konzeptlos zu sein, wenn die schon ein paar Lizenzen hätten wie SWE dann bitte, aber die müssen erst welche bekommen.
Aber wo, Malawi, Zambia oder Mozambique vielleicht?

Hallo Source,

es gibt noch keine definitive Beteiligung oder Übernahme. Es finden Verhandlungen dazu statt.

Aussichtsreichstes Projekt zurzeit: in Angola

Dort ist Horizon bevorzugter Partner (!) - allerdings muss Horizon auch das "Brautgeschenk" (Finanzierung) mitbringen. Hierüber wird parallel verhandelt. Ein Bankenkonsortium prüft derzeit die Angelegenheit.

Sollte es mit Angola widererwarten nichts werden, stehen div. Optionen offen, wie z. B. in Tansania, Sudan, Äthiopien, Tschad, Nigeria. Auch für diese Projekte gab es bereits Gespräche. Der CEO von Horizon hat einen guten Ruf in der Branche und wird dort allgemein anerkannt.

Hallo Tommy,
danke für die Infos, habe mir die Präsi genauer angesehen. Der Founder von Hardy Oil und seine Freunde, das kann ja noch was werden, wird aber ein langer Weg sein. Obwohl in West Africa schon sehr viel exploriert wurde, kann man mit guten Connections den einen oder anderen guten Deal noch bekommen. Aber in Ost Afrika ist noch einiges offen, da können kleinere Player durchaus first mover advantage haben.
Werde den Wert genauer beobachten und an der TSX dann mal einsteigen. Wie ich sehe war da nicht sehr viel Umsatz, ohne News wird der Kurs auch ein wenig fallen.

Company provides update on its activities in Sub Saharan Africa, and announces private placement

Horizon Petroleum plc (“Horizon” or “the Company”) (TSX.V: HPL) provides the following update on its activities in securing oil and gas assets in Sub Saharan Africa.
Horizon has recently signed a Memorandum of Understanding with Grupo Suninvest-Investimentos, Participações E Empreendimentos S.A. (“Suninvest”) a well-respected, established and financially robust Angolan company, to evaluate onshore exploration potential and proven oil and gas assets. Suninvest has several existing joint ventures with major international businesses, primarily in infrastructure, and is now looking to extend its activities to the oil and gas sector in partnership with Horizon.

The Company continues to evaluate several other opportunities elsewhere in Sub Saharan Africa. The objective is to secure proven reserves that can be brought on production within a short period of time, with exploration upside.

To achieve its ambitious plans, the Company announces that it will undertake a non-brokered private placement (“Private Placement”) to insiders and new subscribers to raise up to $2 million. The funds will enable the Company to finalize one or more transactions.

The Private Placement will be completed by the Company issuing common shares at $0.12 per common share of the Company. The common shares will have the usual 4 month hold period.
Finder’s fees may be payable on a portion of the Private Placement.
Completion of the Private Placement is subject to a number of conditions and approvals including, but not limited to, the approval of the TSX Venture Exchange.

We have screened over 40 petroleum opportunities across Sub Saharan Africa, most of which did not meet our criteria of materiality, value, quality and risk management. Horizon Petroleum PLC provides the following update on its activities in securing oil and gas assets in sub-Saharan Africa.

Horizon has recently joined a bidding group with Niger Delta Exploration & Production PLC and its subsidiary Niger Delta Petroleum Resources Ltd. This enables Horizon to bid for opportunities in Nigeria that are only available to indigenous Nigerian companies and their partners. This consortium is well placed to bid on sales of proven oil fields from international oil companies (IOCs), and for marginal fields.

Peter Clutterbuck, chief executive officer of Horizon Petroleum, commented as follows: "Consistent with our objectives of selecting top-quality indigenous companies to work with in proven hydrocarbon provinces, we have assessed a large number of operators in Nigeria, and are delighted to be working with Niger Delta as our selected partner. so siehts es aus, Pollinger spielt hier absolut garkeine Rolle, wie schon geschrieben der Kurs wird woanders gemacht.

Wichtig ist immer ein gutes Management und das ist vorhanden....

Volumen zur Zeit lächerlich, wenn das aber bald hier rein kommt bei News, stehen wir ganz woanders.

Das ist eben auch eine Strategie, vorher einzusteigen und nicht dem fahrenden Zug hinterherlaufen......

Ist doch eine schöne Mantelspekulation.

Geld in der Kasse - promoted in Kanada und Deutschland - steigende Kurse und viel Fantasie - ob daraus Realität wird - wir werden sehen. Wer hier früh mit dabei war konnte 1/2 bei ca. 100% verkaufen und kann jetzt zurück lehnen und schauen ob das Management wirklich so gut ist wie behauptet.

Die Long Position macht Spass - auch in einer solchen Börsenlage.

Wenn man ein Haar in der Suppe finden möchte: Das der Kurs fast keine Rücksetzer für Schnäppchenjäger macht. Aber JS, nicht jammern auf hohen Niveau.

Heute am 11.4 soll die Entscheidung über die Vergabe fallen, schaut man auf den Kurs, dann sieht es nicht gerade positiv aus, auch wenn der der Alpenproll was anderes von sich gibt.Meinungen?

Aktie ist sehr gelaufen mit Fantasie. Danch wurde es ruhig - und in solchen Ruhige Phasen gehts bei TSX Klitschen meisten bergab.
Ich habe mit Horzion Petroleum gut verdient. Und bin seit 2 Tage wieder investiert.

Herdenverhalten? So läuft die Börse aber nun mal leider und wenn man die Richtung der Herde richtig einzuschätzen weiß ist es doch sehr profitabel.

Klar, magste Recht haben. Besonders wenn man sie mit gezielten Informationen steuern kann. Aber das ist n anderes Thema. Bist du denn hier investiert in Horizon? Anfang des Jahres gab es ja einen ziemlichen Run auf die Aktie. Mittlerweile ist es arg ruhig geworden.
