      Zahlen kamen letzte Woche, solartypisch riesige Nettoverluste (verstehe nicht wirklich warum das bei den Amis so ist);

      richtig schwierig finde ich die Ermittlung Anzahl ausgegebener Aktien: meine Schätzung per 31.12.2014 ist 124,6 Mio. und dazu kommt die KE aus Januar, die nochmal 12 Mio. Stück umfasste;

      Divi derzeit 27c pro Quartal, d.h. rund 3,2% => die Yield-Junkies lieben es

      TerraForm finalizes pricing on $280M term loan

      NEW YORK, (TRLPC)

      Clean energy power plant operator TerraForm Power Inc set final pricing on a $280 million term loan B late Tuesday, sources said.

      The term loan, which will be used to help back its acquisition of Atlantic Power wind assets, priced at LIB+400 with a 1 percent Libor floor and a discount of 99. This was on the wide end of the LIB+375-400 guidance.

      Morgan Stanley leads the transaction with Citigroup and Goldman Sachs as joint lead arrangers and bookrunners.

      TerraForm announced the $350 million acquisition of Atlantic Power's wind assets on April 1.

      The company said July 27 in an investor presentation that it had decided to use cash on hand and incremental debt instead of equity to support parent company SunEdison Inc's $2.2 billion acquisition of Vivint Solar Inc because management views TerraForm's equity as significantly undervalued.

      In addition to the Atlantic Power deal, TerraForm's parent SunEdison announced July 20 that it is purchasing Vivint and that TerraForm will buy Vivint's rooftop solar portfolio for $922 million.

      TerraForm is also buying $467 million of Invenergy assets. To fund both of these acquisitions, TerraForm plans to use $610 million of cash on hand, assume $358 million of debt, issue $261 million of new project debt and sell a $200 million holdco bond, according to a regulatory filing.

      Naja das ist dem komplizierten Geflecht mit SunEdison geschuldet, bin da kein Experte, aber obwohl Terraform unabhängig ist, würde der Konzern auf Dauer(15-20 Jahre) wertlos werden, wenn er keine weiteren Projekte von SunEdison einschreiben kann, falls SunEdison wirklich pleite gehen sollte... So oder so ähnlich habe ich es verstanden, beziehe mich auf einen sehr interessanten Post in Finanzen.net von Ulm im JinkoSolar Forum. Bin leider auch drin und hoffe nichtsdestotrotz auf eine baldige und heftige Gegenreaktion, am besten schon heute ;) Große Chance, großes Risiko!
      Falls du anderer Meinung bist und glaubst dass Terraform auch ohne SunEdison auf Dauer überleben kann, würde ich gerne deine Meinung dazu hören, es ist immer interessant zu diskutieren und mehr Wissen zu erlangen. Die Diskussion hier ist ja bisher sehr bescheiden gewesen, leider...

Frage mich gerade selber warum ich hier bin, aber die +12% Dividende haben wohl zu heftig gelockt, sie müssen halt nur wirklich fließen und das Unternehmen muss mit Hilfe von SunEdison eine Zukunft haben, spannend spannend...

      Kernproblem von terraform
      Habe den Post von Ulm nochmal rausgesucht:

      Auf dem Papier hat du Recht mit "Aber TERP ist eine eigene Firma und somit unabhängig in der Geschäftsentwicklung von SUNE", aber in der Realität natürlich nicht.

      Wenn SunEdison nicht regelmäßig in seinen YieldCo neue Projekte transferieren kann, dann nimmt der innere Wert der Terraform YieldCo-Aktie, ja dieser YieldCo ist nicht nur ein Dividendenpapier, sondern auch eine Aktie, zwangsläufig ab und das liegt an der Logik eines YieldCos. Jedoch kann SunEdison bei einer Dividendenrendite von aktuell 11% keine neuen Projekte in den YieldCo rein bringen, denn das wäre dann ein absolutes Draufzahlgeschäft.

      Beim YieldCo werden ja alle Gewinne (Stromeinnahmen minus Betriebskosten minus Zinsaufwendungen minus YieldCo Verwaltungskosten minus Rückstellungen für den Solarkraftwerksrückbau nach 15/20 Jahren) komplett ausgeschüttet. Damit wird dem YieldCo alles an Geld entzogen was er erwirtschaftet und wenn jetzt keine neue Projekte via Kapitalerhöhungen in den YieldCo reinkommen, dann nimmt natürlich das Eigenkapital des YieldCos kontinuierlich ab und somit zwangsläufig der Wert der YieldCo-Aktie und dabei spielt es überhaupt keine Rolle ob nun eine Dividendenrendite von 11 oder 13% erzielt werden kann.

      Man kann das alles auch ganz einfach auf einen Nenner bringen: Sollten keine Projekte mehr in den YieldCo kommen, dann bedeutet das, dass die YieldCo-Aktie spätestens in 20 Jahren komplett wertlos ist. Genau das ist derzeit das Problem vom Terraform-YieldCo.

      Dazu kommt natürlich noch, sollte SunEdison wirklich Pleite gehen, was ich derzeit nicht glaube, weil halt sehr viele große Player der Finanzbranche bei SunEdison drin hängen entweder als große Kreditgeber oder als Aktionär, was passiert dazu noch mit den YieldCo-Aktien, denn SunEdison ist ja auch Großaktionär des Terraform YieldCos. Wenn die dann alle auf den Markt geschmissen werden, dann kann man sich sehr gut vorstellen was mit dem Kurs der YieldCo-Aktie passiert.

      Dieser Terraform YieldCo ist ein Teufelskreislauf für die Aktionäre wie auch für SunEdison und wenn sich der nicht erholt, dann fällt wohl das Geschäftsmodell von SunEdison zusammen wie ein Kartenhaus und das hätte dann auch zwangsläufig große negative Folgen ganz direkt auf den YieldCo.

      Es kann weitere Probleme durch sogenannte Cross-Default-Agreements geben - sollte SunEdison tatsächlich in Chapter 11 enden (wirklich nicht unwahrscheinlich aktuell), dann können bei Anwendung dieser Klauseln auch automatisch die Schulden der YieldCos sofort fällig gestellt werden, was gleichfalls Chapter 11 bedeuten würde. Zudem wird sich SunEdision diversen Margin Calls nicht entziehen können, da der Wert der vom Unternehmen für seine Schulden gestellten Sicherheiten (Aktien der YieldCos) zuletzt so drastisch gefallen ist.

      Das Geschäftsmodell ist aktuell hinfällig natürlich, wie schon korrekt bemerkt. Die Dividendenrenditen von Terraform Global und Terraform Power sind entsprechend hoch aktuell und stellen nach wie vor nur einen unzureichende Risikoprämie dar.

      Trotzdem bestehen Chancen, dass die Sache doch noch gut enden wird, das Unternehmen müsste dafür allerdings den Support neuer institutioneller Anleger finden. Im Prinzip ein idealer Fall für Carl Icahn, der durch einen Einstieg SOFORT seinen Einstand mal schnell mehr als verdoppeln würde. Zwar haben die meisten Hedge Fonds mittlerweile ihre Verluste realisiert, andere haben jedoch gegenläufig Positionen aufgebaut wie zuletzt Blue Moutain Capital bei TerraForm Power, die gestern eine Aufstockung ihres Anteils von 6,3% im September auf nun 10,1% gemeldet haben.

      Der Ausgang der Angelegenheit bleibt erst einmal in der Schwebe. Vom Gefühl her wird die Sache gut ausgehen, aber das reicht nicht, um ein so riskantes Investment aktuell zu rechtfertigen.

      Wer mehr Risikoprämie will, sollte lieber in Terraform Global investieren, die Dividendenrendite liegt aktuell bei 26% im Vergleich zu lediglich 15% bei Terraform Power.

      Das höchste Potential hat natürlich SunEdison selber, sollte die Sache gut ausgehen, aber hier gibt es keine Dividende zur Abfederung der Risiken.

      Also:

      Riskanter Zock mit hohem Potential nach oben und nach unten. Größere Positionen sind daher nicht anzuraten.

      In meinen Augen schlechte News heute für TERP und GLBL - SunEdison installiert eigene Leute an der Spitze um den eigenen Hintern unter Zuhilfenahme seiner YieldCos zu retten. Wahrscheinlich läuft das auf eine Aufgabe des YieldCo-Modells und die Einfusionierung der beiden Töchter hinaus.

      Und schon haben wir den Salat. Einen Tag später wird ein Deal durchgedrückt, den offensichtlich der alte CEO von GLBL nicht machen wollte.

      Im Prinzip zapft SUNE dadurch wie erwartet GLBL die Liquidität ab, um seine Margin Calls bedienen zu können. Hier gibt es wirklich nichts zu feiern dran.

      Ich finde, Du schießt sehr schnell,
      nur mal eine Auswahl Deiner Aussagen aus den letzten Tagen und jeweils mögliche Alternativinterpretationen; nicht dass ich sage, es ist definitiv anders, aber eben auch: es ist nicht definitiv dass Deine Version stimmt:


      1) "Es kann weitere Probleme durch sogenannte Cross-Default-Agreements geben"

      Hast Du irgendeinen Hinweis auf solche agreements? Meiner Erfahrung nach ist der überwältigende Teil von Projektfinanzierungen eben das - Finanzierung auf Basis des Projekts und non-recourse- und genau diese Art der Finanzierung würde ich bei einem Bestandshalter wie TERP erwarten.

      Dazu passt Seite 114 des 10k, wo die Zusammensetzung der long-term debt dargestellt ist: fast alle Posten deuten von der Bezeichnung her auf Projektfinanzierung.

      These: es gibt keine solchen cross-default-agreements; falls Du doch von solchen sprichst, bitte Quellen für Hinweise

      Verstehe nicht, wie sich das auf den WERT von TERP auswirken können soll; kurzfristig möglicherweise auf den KURS, weil Liquidierungen stattfinden könnten (wobei Banken schlau genug sein dürften, genau das zu vermeiden)

      3) "Das Geschäftsmodell ist aktuell hinfällig natürlich, wie schon korrekt bemerkt."

      Warum?

      Belege für die Vermutungen? Fakt ist lediglich, dass bei TERP neues Management -zugegeben mit schlapper Begründung- installiert wurde. Alles Weitere ist erstmal pure Spekulation

      Wie Du selber schreibst, geht es bei DEM Deal um GLBL - und wir reden hier über TERP.


      Ein wenig Präzision täte Dir sicher gut. Mein Eindruck ist, Du hast Dich auf die These "SUNE is doomed" versteift und leidest jetzt unter einem confirmation & selection bias, der Dich nur noch Bestätigungen für diese These wahrnehmen läßt.

      Was Du z.B. geflissentlich übersiehst, ist die am selben Tag veröffentlichte Meldung von SUNE, dass ein margin loan für TERP fast vollständig zurückgeführt worden ist. Womit Dein Punkt 2) schon nach 3 Tagen widerlegt worden ist.

      3. Gechäftsmodell

      Die Kapitalkosten für die YieldCos sind zu hoch, um weitere Projekte von SunEdison zu kaufen. Sobald SUNE den beiden YieldCos nun die verbleibende Liquidität entzogen hat, sind keine weiteren Dropdowns mehr möglich. SunEdison muss seine übrigen Projekte daher zukünftig für Kleingeld an Drittabnehmer verkaufen.

      4. Neues Management unter der Maßgabe, die Liquidität der YieldCos abzuzapfen

      Es ist der einzige plausible Grund. Siehe auch hier:

      5. GLBL-Dropdown ohne Relevanz für TERP

      Global hatte die höhere Liquidität, daher waren sie zuerst dran. TERP bekommt auch noch seinen Teil ab.

      6. Rückführung Margin-Loan

      Das war doch genau meine These, die sich sofort bestätigt hat. Am nächsten Tag nach dem Managementwechsel gleich den Cash von GLBL abgezapft um Margin Calls zu bedienen (die übrigens SUNE betrafen und nicht TERP)

      Zusammenfassend:

      Es sieht zwar nicht gut aus für SUNE, aber möglicherweise bekommen sie noch die Kurve. Ein Einstieg eines großen institutionellen Investors und die Sache wäre praktisch schon geritzt...Aber die Risiken sind mannigfaltig und die Aktionen dieser Woche unter dem Strich sehr negativ für die YieldCos und ihre Dividendenfähigkeit. Mehr außer ein paar Hintergründen dazu wollte ich nicht aufzeigen.

      TerraForm Power downgraded to Sell from Neutral at UBS

      UBS analyst Julien Dumoulin-Smith downgraded TerraForm Power (TERP) to Sell saying shares have downside risk relating to potential liabilities back to SunEdison (SUNE). SunEdison is likely to extract "meaningful liquidity" from TerraForm, Dumoulin-Smith tells investors in a research note. He cut his price target for shares to $6 from $14. The analyst this morning also downgraded SunEdison to Sell.

Die letzten mir bekannten Käufe stammen alle aus der Zeit vor den nun bekannt gewordenen Problemen. Trotz des gigantischen Kursverlusts hat seitdem kein Insider mehr Aktien erworben. Das sollte Dir zu denken geben.

      Insiderkäufe
      Naja die letzten Insiderkäufe sind gerade mal 3 Tage her, aber es sind eben auch nur noch Blue Mountain die einkaufen gehen, verkaufen tut aber keiner mehr, wobei mir der Überblick fehlt wer denn eigentlich noch alles drin ist. Aber Käufen von 8,4 mio shares stehen Verkäufen von 26.000 gegenüber, das ist schon ein Pfund!
      Trotzdem ist die aktuelle Situation wirklich schwer einzuschätzen und und verbleibt negativ, denn ob SunEdison wirklich Rücksicht auf die Terraform Aktionäre nehmen wird, wage ich im Angesicht des Kampfes um das nackte Überleben des Konzerns zu bezweifeln, leider :(

After this insider buying, BlueMountain Capital Managemennow has a total stake of 744,562 shares in the company. Its shares currently owned by company management are 2.20% while institutional investors own about 91.00%. The 6-month change recorded in total insider ownership was 7.73%. On the other side, 3.44% change in total institutional ownership has been reported for the 3-month period.

      David Tepper’s Appaloosa Management filed a lawsuit to prevent a provision of the merger agreement between Sunedison and Vivint Solar, which involves TerraForm Power.

      The hedge fund aims to stop TerraForm Power from purchasing the installed rooftop solar portfolio of Vivint Solar. The acquisition will take place once Sunedison completes its transaction with Vivint Solar.

      Tepper’s hedge fund is asking the court for an “immediate injunctive relief” based on the fact that Sunedison and Vivint Solar could close the merger agreement anytime. Appaloosa owns 9.3% stake in TerraForm Power.

      Appaloosa repeatedly warned the Board of Directors of TerraForm Power that the acquisition of the assets of Vivint Solar was not in the best interest of shareholders.

      The hedge fund accused the yieldco of departing from its business model and making decisions without regard to its shareholders since it will be compelled to take $960 million in debt. It also alleged that Sunedison was imposing conflicts of interest on TerraForm Power. The hedge fund implied that the renewable energy development company was using the yieldco as a dumping site for bad acquisitions and subpar assets.

      TerraForm Power Is Not Included in SunEdison’s Chapter 11 Cases

      Will Continue to Operate in Ordinary Course


      BETHESDA, Md., April 21, 2016 (GLOBE NEWSWIRE) --

      TerraForm Power, Inc. (Nasdaq:TERP), an indirect subsidiary of SunEdison, Inc. (NYSE:SUNE) that owns and operates clean energy power plants, today commented on the voluntary filing made by SunEdison, Inc. and certain of its domestic and international subsidiaries for protection under Chapter 11 of the U.S. Bankruptcy Code in the Bankruptcy Court for the Southern District of New York. TerraForm Power and its sister company, TerraForm Global, Inc. (Nasdaq:GLBL), are not part of the SunEdison bankruptcy filing and have no plans to file for bankruptcy themselves. TerraForm Power and TerraForm Global are publicly listed companies that are separate legal entities and are traded separately on Nasdaq. The equity interests of TerraForm Power and TerraForm Global in their respective wind and solar power plants that are legally owned by their respective subsidiaries are not available to satisfy the claims of creditors of SunEdison.

      TerraForm Power believes that it has sufficient liquidity to operate its business. Although SunEdison’s bankruptcy will present challenges, TerraForm Power expects to continue to operate in the ordinary course and to meet its financial obligations on a timely basis. In addition, TerraForm Power intends to coordinate with SunEdison so that the Company’s facilities and their operations continue to perform uninterrupted.

      SunEdison has been, and is expected to continue to be, an important partner for TerraForm Power, as SunEdison affiliates provide asset management and operations and maintenance (“O&M”) services to many of TerraForm Power’s power plants. TerraForm Power anticipates that SunEdison will continue to provide these asset management and O&M services for TerraForm Power’s power plants following the filing. In addition, TerraForm Power expects that SunEdison generally will continue to fulfill its obligations to provide corporate level support to TerraForm Power under the Management Services Agreement between SunEdison and TerraForm Power. Even if certain of those obligations were not fulfilled, TerraForm Power expects to be able to continue operating its business pursuant to contingency plans it has been developing.

      As SunEdison announced on April 21, 2016, SunEdison has secured commitments for new capital totaling up to $300 million in debtor-in-possession (“DIP”) financing from a consortium of first and second lien lenders. Subject to Court approval, these financial resources will be made available to SunEdison to support its continuing business operations, minimize disruption to its worldwide projects and partnerships, and make necessary operational changes.

      As previously disclosed in filings with the United States Securities and Exchange Commission, the Company’s corporate level revolving credit facility and indentures for its senior unsecured bonds do not include event of default provisions triggered by a SunEdison bankruptcy.

      While TerraForm Power’s relevant review remains ongoing, the Company has not identified any significant power purchase agreement (“PPA”) that includes a provision that would permit the offtake counterparty to terminate the agreement in the event of a SunEdison bankruptcy.

      In most of TerraForm Power’s debt-financed projects, SunEdison is a party to a material project agreement or guarantor thereof, such as being a party or guarantor to an asset management or O&M contract.

      As a result of SunEdison’s bankruptcy filing and delays in the preparation of audited financial statements, there may now exist defaults under many of TerraForm Power’s non-recourse project-debt financing agreements (or such defaults may arise in the future); however, these defaults are generally curable.

      TerraForm Power will work with its project lenders to obtain waivers and/or forbearance agreements as it seeks to cure such defaults, however no assurances can be given that such waivers and/or forbearance agreements will be obtained.

      Bankrupt renewables firm SunEdison has received official interest in purchasing all class ‘A’ series share holding in yieldco, TerraForm Power.

      Existing yieldco shareholders, US hedge fund Appaloosa Management and Canadian asset management firm Brookfield Asset Management, partially through its newly established US$14 billion infrastructure fund (Brookfield Infrastructure Fund III), jointly own nearly 22% of the class A shares.

      Appaloosa had previously been highly vocal over the performance and behaviour of former SunEdison executives, notably in its dealings with TerraForm Power and had pressed for senior management changes ahead of the SunEdison’s Chapter 11 bankruptcy.

      Several hedge funds with shares in SunEdison and its yieldco’s were recently behind providing DiP (Debtor in Possession) financing, seen as a way to attempt to preserve the value of investments in the short-term.

      The international renewable yieldco of bankrupt SunEdison, TerraForm Global recently issued preliminary unaudited financial figures for the first quarter of 2016 and noted that it was open to discussions with its parent to potentially put sell its assets or some of its assets to third parties.

      SunEdison proposes to stop paying interest on yieldcos’ notes

      Bankrupt renewables firm SunEdison has informed its two yieldcos that it will no longer pay interest on their senior notes due to Chapter 11 bankruptcy proceedings, according to SEC filings.

      SunEdison agreed in 2015 to pay interest on senior notes due 2022 for both TerraForm Global and TerraForm Power.

      The interest payments on behalf of TerraForm Power for the rest of 2016 were expected to be US$8 million alongside a further US$16 million in 2017 and any interest due on any late payments.

      Meanwhile, payments on behalf of TerraForm Global for the rest of 2016 were expected to be US$37.1 million, and US$40 million in 2017 with further significant payments each year up to 2020.

      In the SEC filings, both yieldcos said they contest the “purported termination” of the interest payments from SunEdison and said the termination letters sent by SunEdison were invalid.

      However, the firms did say that, should SunEdison stop paying the interest, they expect to continue paying the interest on their senior notes using current liquidity and cash flow from operations.

      Last month, it emerged that TerraForm Power added just 20MW of projects to its portfolio from SunEdison in Q1 2016.

      SunEdison also confirmed that it will collaborate with both its yieldcos to hopefully sell and monetize its controlling Class ‘B’ shares in both units.

      Requests a Hearing Regarding Letter


      BETHESDA, Md., Sept. 09, 2016 (GLOBE NEWSWIRE) --

      TerraForm Power, Inc. (Nasdaq:TERP) (the “Company”), an owner and operator of clean energy power plants, announced today that on September 8, 2016 it received a notification letter from a Director of Nasdaq Listing Qualifications (the “Notification Letter”). The Notification Letter stated that due to the Company’s non-compliance with Nasdaq Listing Rule 5250(c)(1) (the “Filing Rule”), the Company would be delisted from The Nasdaq Global Select Market at the opening of business on September 19, 2016 unless the Company requests a hearing on the determination by 4:00 p.m. Eastern Time on September 15, 2016.

      As previously announced, the Company has not filed its Form 10-K for the year ended December 31, 2015, its Form 10-Q for the period ended March 31, 2016 or its Form 10-Q for the period ended June 30, 2016 (collectively, the “Delayed Filings”).

      On September 9, 2016 the Company requested a hearing and also requested a stay of the delisting pending the hearing. Because of this request, the delisting of the Company's common stock will automatically be stayed for at least 15 calendar days. If the hearings panel grants the Company’s request for a stay, it can postpone any delisting action until the panel’s determination following the hearing. Hearings are typically scheduled to occur approximately 30-45 days after the date of the hearing request. At the hearing, the Company plans to present its plan to regain compliance with the Filing Rule and to request the continued listing of its common stock on The Nasdaq Global Select Market pending such compliance.       The two renewable energy yieldco subsidiaries of Chapter 11 bankrupt firm, SunEdsion are seeking over US$3 billion from their parent company over damages and sought settlement via discussions before heading to the courts.

      TerraForm Power has made claims against SunEdison that were said by the yieldco to be estimated to be in excess of US$1 billion. The claims include damages related to breach of SunEdison's obligations under the sponsorship arrangement and other agreements established as part of its previous IPO.

      TerraForm Global has claimed similar issues but claims were estimated to be over US$2 billion.

      “TerraForm Power has lost a large part of its enterprise value as a result of SunEdison’s catastrophic breach of its sponsorship and legal duties,” said Jack Stark, Chairman of the Company’s Corporate Governance and Conflicts Committee.

      “We are prepared to enforce our rights and defenses in litigation if necessary, whether in bankruptcy court or elsewhere.       D.E. Shaw bids to replace SunEdison as TerraForm Power sponsor

      D.E. Shaw has bid to replace SunEdison as the operating sponsor of TerraForm Power, according to a regulatory filing on 21 October.

      The non-binding bid was proposed by the hedge fund’s clean-energy unit D.E. Shaw Renewable Investments (DESRI), which believes the switch “would assist in stabilising TerraForm Power’s business and return the company to sustainable, long-term growth”.

      This news comes after the US$38 billion New York-based hedge fund said earlier this month that it may make an offer for SunEdison’s stake in the yieldco. Bankrupt renewables firm SunEdison was recently in discussions with its two publicly-listed yieldco subsidiaries to sell its ownership interest and other rights.

      No price was disclosed with D.E. Shaw’s non-binding bid, but it intends to reorganise TerraForm Power’s project portfolio to “maximize value” for all stakeholders. In the filing, it was mentioned that DESRI is prepared to offer TerraForm Power a right of first offer (ROFO) on a portion of its existing and future projects.

      D.E. Shaw already owns around 6.2 million shares of TerraForm Power stock. In light of this, the hedge fund said it would “welcome a sale of the company at a fair price that properly reflects TerraForm Power’s intrinsic value,” according to filing. “Unfortunately, a sale on such terms may not be currently possible. We believe that TerraForm Power’s current stock price reflects a significant discount to intrinsic value due to the company’s association with SunEdison’s financial distress, as well as TerraForm Power’s current operational and financial ailments.”

      Brookfield proposes takeover of SunEdison yieldcos

      Canada’s Brookfield Asset Management has proposed a takeover of TerraForm Power and TerraForm Global – either by buying out 100% of the companies for cash, or purchasing their existing Class A and Class B shares and replacing SunEdison as sponsor.

      The Toroto-based alternative asset manager proposed the deal in a meeting with members of the board of both publicly-traded yieldcos on Thursday. No specific purchase prices were discussed or included in the filing.

      Brookfield has already acquired 11.1 million of TerraForm Power’s Class A shares, making it the largest shareholder with a 12% stake. With more than US$200 billion and 10GW of renewable assets mostly dominated by hydro facilities, the deal could be a significant foray into the solar power.

      Brookfield has been flirting with the idea of a takeover since June, when it first acquired shares in TerraForm Power – the more valuable of the two. At the time, it also entered into swap agreements to buy almost 11.6 million additional shares, also expressing interest in buying SunEdison’s Class B shares that provide control over TerraForm, according to Bloomberg. It also was reportedly planning to make a joint bid with David Tepper’s hedgefund Appaloosa, but this never materialised.

      The outcome of the meeting on Wednesday has yet to receive confirmation for either of the two scenarios floated by Brookfield.

      “Nothing was agreed at the meeting, and no specific prices were discussed,” Brookfield said in the filings.


      Brookfield shuns TerraForm Power auction

      In September, SunEdison set up an auction for TerraForm Power, but Brookfield declined to participate, due to concerns about the rules of the process that would require it to relinquish voting rights and give up the ability to trade its shares. However, refusal to participate in the auction was not an indication of a loss of interest in the yieldco – which owns around 3GW of projects in the US, Canada, Chile and the UK.

      “We continue to be on the outside, although we remain in a constructive dialogue,” said Sachin Shah, CEO of Brookfield in a conference call last week. “We are the largest shareholder from a Class A shareholder perspective with the company. We’re constructive, we maintain a dialogue, but we are not in the formal process.

      “We like the company, we like the assets. We’re going to be a shareholder a very long time, and we think we can work constructively with the company, its board and the bankruptcy estate to come to a resolution in the near term.”


      Share boost

      On the news of Brookfield’s plan, TerraForm Power’s shares jumped as much as 11.2%; hitting US$12.92 before closing at US$12.42. TerraForm Global too was up by 6.67% by trading close.

      The SunEdison yieldcos are still under the control of SunEdison, whose Chapter 11 bankruptcy in April still stands as the biggest corporate implosion of 2016, with liabilities exceeding US$16 billion. TerraForm Power is currently in the process of striking a deal to sever its ties from its parent sponsor; whose financial woes have caused both yieldcos to be unable to trade at their former peaks reached in 2015.

      Regardless, many investors have shown interest in TerraForm Power, with D.E. Shaw emerging as a contender last month in a proposal to replace SunEdison as sponsor. Brookfield’s proposal however marks the first public interest in TerraForm Global – the smaller of the two yieldcos, with wind and solar projects in emerging markets.

      The portfolio, understood to be the largest single portfolio of assets available on the UK’s secondary market, comprises 24 operational solar farms developed under the Renewables Obligation scheme. The sites also benefit from 14-year power purchase agreements.

      Bloomberg reported in August 2016 that TerraForm Power was seeking to dispose of its UK assets via an auction, with five companies entering a second round of bidding at the time. PV Tech understands that this was subsequently narrowed down to two contenders before a winner emerged towards the end of last year.

      EFG Hermes has emerged victorious from the tender process, paying circa £470 million for the sought-after portfolio.

      Global alternative asset manager Brookfield announced Tuesday that it has entered into a definitive agreement with SunEdison's yieldco TerraForm Power, under which Brookfield will assume the role of TerraForm Power’s sponsor and also become the controlling shareholder.

      In addition, Brookfield announced that it has acquired fellow SunEdison yieldco TerraForm Global outright for approximately US$787 million, per Nasdaq.com. Brookfield will also take on approximately US$455 million in net debt.

      TerraForm Global currently owns and operates a portfolio that includes 31 wind and solar power plants totaling 952 MW of capacity — located in Brazil, India, China, South Africa, Thailand, Malaysia, and Uruguay.

      As part of the transaction details with TerraForm Power, Brookfield will acquire a controlling 51% of the company post-closing. TerraForm’s controlling stake was ultimately sold for US$11.46 per share.

      As a result, Brookfield will provide a US$500 million sponsor equity line to support future growth, while TerraForm Power will also secure a 3.5GW right of first offer (ROFO) portfolio that includes 1.2GW of operating wind plants and 2.3GW of development-stage wind and solar projects in North America and Western Europe.

      Peter Blackmore, chairman and interim chief executive officer of TerraForm Power, said: “With the successful completion of the board’s strategic alternatives process, the TerraForm Power Board and management team are confident that Brookfield’s sponsorship will enable our company to deliver cash to shareholders while strengthening our operations for future value creation.

      TerraForm Power has also reached a settlement deal with SunEdison, under which SunEdison will renounce all ownership and claims to TerraForm Power.

      Brookfield expects the transaction to be completed in the second half of 2017.
