      Wir sind investiert und geben keine Shares ab!
      Wer wie wir schon über 1.5 Jahre hält sieht das aber bei dem jetzigen Kursniveau auch wieder etwas entspannter. Als es den Absacker gab war uns da etwas mulmiger zu mute!
      Aber Pediapharm liefert und die Aussicht ist top! Warum wir dennoch noch nicht wieder beim ATH sind verstehe ich nicht. Besser aufgestellt als damals ... aber so ist die Börse halt.

      Ich denke wir noch nicht investiert ist und dies tun möchte ist hier sehr gut aufgestellt. Abwärtspotential unserer Meinung begrenzt. Nach oben hin genug Luft!

      wenn ich das mit Deinem ersten Posting hier vor ziemlich exakt 2 Jahren vergleiche, was dagegen fast euphorisch wirkte, das Unternehmen jetzt ungleich besser da steht denn je zuvor, und der Kurs seitdem nur knapp 40% gestiegen ist, verstehe ich nicht warum Du die Aktie damals als massivst unterbewertet angesehen hast und jetzt eher so verhalten klingst.
      Den bereits befürchteten Backtext Richtung 0,30 haben wir dann heute schon erlebt.

Mir macht die brutale überbewertung an den Aktienmärkten sorgen und natürlich die anstehenden Wahlen in Holland und Frankreich . Ich bin absoluter gegner des Euro und der EU-Diktatur deshalb hoffe ich z.b. sehr das Le Pen gewinnt aber das würde automatisch auch erhebliche unsicherheit an den Märkten bringen .

      wow, das hätte ich nicht von Dir gedacht. Bin dsbzgl. genau auf Deiner Wellenlänge ;-)
      die gleichzeitigen parallelen Ängste kann ich dabei auch gut nachvollziehen, deswegen bin ich auch 81% cash, 13% Anleihen und 6% nur noch in Aktien. 3% PDP und 3% Petro Welt. das wars.
      Sorgen wegen der Höhe der Aktiemärkte hatten schon einige kurz vor Weihnachten. Du auch schon seit längerem glaube ich.

      NoBrainer will ich es auch nicht nennen.
      Aber hier ist doch klar absehbar, dass jetzt nach den ersten Launchkosten, insbes. nach der Zulassung von dem Zugpferd Rupall, Ebitda und EBit in den nächsten Monaten DEUTLICH anziehen werden bei dem Unternehmen.
      Ich weiss ehrlich gesagt nicht worauf der Markt noch wartet. Die MK ist ein Witz.
      Manchmal braucht der Markt aber auch einfach nur seine Zeit um etwas zu honorieren, umso süsser ist dann das Gefühl Recht gehabt zu haben und investiert geblieben zu sein.

      jetzt habe ich doch noch meine 20Tsd St. zu 0,30 gekriegt. Ich hoffe der erwartete Backtest bis 0,30 von oben hält jetzt auch. Ist schon eine sehr massive Unterstützungszone aus der Vergangenheit, da PDP da insgesamt 4 mal nicht nach oben durchgehen wollte damals.

      bin hier auch investiert, aber als Quelle ein Forum wie Stockhouse, oder überhaupt ein Forum als Quelle anzugeben, finde ich schon bedenklich. Man sollte schon versuchen andere Quellen zu benennen um Licht ins Dunkle zu bringen.

      Ich schliess mich cancoon an.
      Deswegen auch das Verhaltene "Ah ok, danke"
      Denn das jemand aus dem Interview rausgehört haben wollt und irgenwas rein interpertieren. mhh...
      Man sollte auch nicht vergessen: wenn es denn so wäääre, ist das auch nicht für Lau. Schlägt sich negativ(wenn auch erst vorab) auf denn 'Cash bestand' aus.
      Natürlich könnte es in der Zukunkt Cash einbringen, schätze aber dann hätte der Markt schon darauf reagiert.

      Nicht falsch verstehen, bin auch investiert nur male ich mir vorerst nicht soviel von solchen Aussagen aus.

      Die Zeit weisst den Weg......

      im Moment ist die nur marginal unterschritten.
      egal wo PDP aktuell rumdümpelt, Biohero hat Recht, sie braucht vielleicht noch etwas Zeit. Aber ab diesem ersten Rupall ergebniswirksamen Quartal wird PDP über die 0,50 katapultiert werden.

      36 Mio?
      Aktuell haben wir gem. Yahoo eine Market Cap von 18.35M und wenn ich mich recht entsinne hat PDP 5 Mio Cash. korrigiert mich wenn ich was Falsches widergebe.

      klar braucht PDP noch etwas Zeit, wie Biohero schon sagte, aber soooo spekulativ sehe ich das (jetzt) gar nicht mehr, da ab jetzt klar ist,dass die Einnahmen von Quartal zu Quartal sukzessive steigen werden, vor allem wegen dem neuen Zugpferd Rupall im Stall. Das wird der grösste Gewinnbringer.

      in dem letzten Post bei Stockhouse hat es jemand gut beschrieben wie er die Sache bei PDP sieht. dem schliesse ich mich auch an.
      Sinngemäss Werte kaufen die (noch) unter dem Radar laufen, mit gutem Management, steigenden Einnahmen in den kommenden Quartalen (was hier ausser Frage steht), damit hat er bisher immer Erfolg gehabt mit etwas Geduld.
      Vergleichbare Unternehmen wären mit 50Mio bis 1,5Mrd bewertet. Pediapharm aktuell (noch) mit lächerlichen 20Mio.;
      in 12 Monaten stehen wir mit Sicherheit in ganz anderen Kursregionen. Ich bleibe auf jeden Fall dabei und gebe auf diesem Niveau kein Stück ab.

      Aber überleg mal, welche Fortschritte das Unternehmen seit 2015 gemacht hat...
      Als Dankeschön kam die Halbierung von 0,30 CAD.
      Wenn man unten eingestiegen ist oder nachgekauft hat (bin ich aber nicht) steht super da...
      Jetzt dümpeln wir wieder um die 0,30 CAD rum...

      Wie ich schon desöfteren gesagt habe, für mich ist dieser Sharepreis völlig unverständlich...
      Ich gebe auch keine Shares ab aber so langsam darf es gerne mal Richtung 0,40 CAD laufen.

      Ist bisher der "Zocker" Wert in dem ich am längsten investiert bin - ohne das was dabei rumgekommen ist.
      Trost ist, dass mein Depot durch andere Werte (Santhera, Evonik, Dax ETF) gut darsteht.

      Moin. Möchte mich mal mit meinen 'Erkenntnissen' zu Wort melden.😂 Sieht momentan für mich nach sammeln aus. Großen Block zu 0,30 stellen und alles zwischen 0,275-0.290 mitnehmen. Denke da passiert bald was. Ist aber nur meine Auffassung der Dinge. Vllt kann jemand auch seinen Senf dazu beitragen 😜

Jahreshälfte mit vielen Indikatoren und Wegweisern. Juli kommen die nächsten Zahlen die Rupall enthalten und im August gleich die nächsten mit Otixal hinterher wenn der Start wie geplant im April stattfindet. Dann haben wir noch die nächste Zulassung und auch schon die nächsten Zahlen im November die eigentlich wieder sehr stark sein müssen da NYDA in dem Quartal immer sehr Umsatzstark war. Momentan finde ich ist dies noch eine gute Zeit zum Sammeln. Ab Juli sollte es meiner Meinung nach bei stetig wachsenden Umsätzen nachhaltig nach oben gehen.

      Soweit meine Einschätzung.

      Für die Jahresberichte sind 4 Monate Zeit und die Q Berichte 2 Monate. Jahresbericht 2016 war Juni und 2015 Juli.

      wirklich trauriger Kursverlauf, trotzdem bleibe ich mit meinen 50Tsd St. investiert, weil ich auf die zukünftigen Quartale mit hohen cah-flows setze insbesondere seit die Rupall Cash Cow ab diesem Quartal ergebniswirksam wird.

      hmmmm warum eig. nur zu 0,34 CAD?

      Da kann man ja schon fast damit rechnen, dass es in der nächsten Zeit nicht höher geht...

      Placement zu 0,45 oder 0,60 CAD wäre mal ne Ansage gewesen. Wenn das dann alles aufgesogen worden wäre hätte ichs top gefunden.

      Wer das PP geschlossen hat geht mit Sicherheit davon aus, bald höhere Kurse zusehen😉

      Dann bitte ich dich mir sie nochmals zu erläutern.

      Wenn ich mich recht entsinne, meinte ich sogar gelesen zuhaben das es noch zu jeder Aktie nenn 1/2 warrant gab. Der bei 0,52CAD einzulösen wäre, bis 2020.
      Wenn ich das richtig so in Erinnerung habe wäre das doch ein super Indikator für höhere Kurse & zwar über der 0,52CAD(muss aber sagen ich weis nicht ob es 0,52 waren aber irgendwas mit0,5... war es)

      Der Grund hierfuer ist in diesem Teilaspekt der Q1 Zahlen zu finden, der mich sehr optimistisch werden laesst:

      "Given our growth momentum with the recently launched products and the fact that most initial launch expenses occurred in Q1, we are seriously approaching positive EBITDA on an annual basis."

      Sprich Pediapharm wird aller Voraussicht bald Gewinn generieren, wahrscheinlich schon in Q2, dazu ging die letzte KE zu 0,34CAD durch, Cash ist also vorhanden, und alle Optionen/Warrants stehen zu 0,30CAD oder hoeher, viele Gruende fuer ein Investment :)

      das war aber kein Block Buster?
      Wobei sich die Peak Sales so langsam in den Umsätzen der einzelnen Produkte so langsam zu seiner stolzen Summe aufaddieren.
      Bald sollten wir hier andere Kurse sehen. Spätestens 2018 werden die KArten dzbzgl. neu gemischt werden.

      wie ist denn hier die Stimmung auf Sicht von ~12 Monaten? Nach all den bereits gestemmten Anlaufkosten sollte es doch in den nächsten Quartalen sukzessive nach oben gehen. Mittlerweile hat PDP ja einiges in der Pipeline mit hohem Alleinstellungsmerkmal.
      Mein Kurrsziel bis dahin mindestens 0,45CAD.

      Ich bin sehr optimistisch, vielleicht etwas zu optimistisch ;-) , aber schon die nächsten Zahlen sollten zeigen, wie schnell es in Richtung Profibilität gehen kann, ich rechne eigentlich schon mit dem kommenden Jahr, bei dem besonders bei Rupall schnell steigenden Einnahmen:

      Danke für Deine Einschätzung. Ich war nur verwundert warum die Amis immer noch auf Oktober warten. Habe das mal klar gestellt, dass das bis Dezember ausgedehnt wurde.
      Obwohl an der Börse eigentlich die Zukunft gehandelt wird und verglichen mit 2016 bereits einiges in trockenen Tüchern ist für die zukünftige Umsatz-/Gewinnseite (und bereits sichtbar ist bei den Zahlen) steht der Kurs nur unwesentlich höher als damals.
      Hier geht es ja nicht um einen Hop oder Top Biotechwert wo man noch auf irgendeine Zulassung wartet.
      Geduld wird sich hier aber sicher auszahlen.

      Der Schlüssel wird aber sein, wenn PDP anfängt Gewinne zu machen. Noch gibt es hohe Anlaufkosten. Die Ampeln stehen meiner Meinung nach jetzt überall auf grün für 2018.
      Der Threaderöffner sagte mal zu Jahresbeginn, dass Pediapharm auf einem guten Weg ist, aber noch ein bischen Zeit braucht.

      Dass dies in keiner Weise kurstechnisch honoriert, sondern eher mit Abverkauf bestraft wird, nur darum ging es hier.

      mal schauen... wenn es heute nochmal welche zu 0,285 gibt lege ich vielleicht nochmal 50.000St. nach. Die nächsten Q-Zahlen (jetzt im November?) dürften verglichen mit letztem Jahr ein weiteres Rekord-Quartal bedeuten.

      dafür läuft sie jetzt aber schon sehr lange seitwärts, trotz vieler fundamentaler Verbesserungen, auch im Zahlenwerk.
      Explodieren wird sie aber sicherlich sobald PDP profitabel arbeitet. Und das kann meiner Meinung nach nicht mehr soooo lange dauern. Mit dem Turnaround sehen wir hier ganz andere Kurse. Ich finde es nach so vielen Zulassungen und Einnahmequellen nicht mal mehr sonderlich riskant hier zu investieren. Man muss nur noch etwas Geduld mit bringen, dann wird das ein Selbstläufer.

      Dass da jetzt zu den Tiefstkursen aus diesem Jahr trotz dieser Meldung noch abgeladen wird, kann ich kaum nachvollziehen. Ja, es dauert noch etwas bis zum break-even (vielleicht gibt es bei den nächsten Q-Zahlen in ein paar Wochen ja auch schon heraus lesbare Andeutungen dazu), aber es ist doch schon absehbar und sehr wahrscheinlich, dass das auch so kommen wird.
      Von daher hätte ich nach der Zulassung für ein weiteres Medikament in der Pipeline doch wenigstens Kurse oberhalb 0,30CAD erhofft.
      Wie auch immer, ich bleib dabei. Die wichtigsten Etappen hat PDP bereits erfolgreich gemeistert in meinen Augen.

Es erlaubt jedoch auch das berühmte Nachladen zu billig Preisen, auch wenn ich von dem Slogan generell wenig halte. Pediapharm ist wohl einfach noch auf keinem Radar zu finden, was sich aber schnell ändern wird, sobald es profitabel wird!
      Für unsereins ist es eigentlich eine Profitable Position, müsen wir doch lediglich noch 6-12 Monate warten um unsere Gewinne abzuholen, auch wenn natürlich nichts sicher ist...

      Muss und möchte trotzdem mal noch blöd fragen. Was bedeutet PC ? Damit meine ich die Standards für diesen Markt? Weiß das wer aus dem Stegreif heraus? Gibt ja mehrere Kürzel bei den otc werten. Da ich diese nicht Handel bin ich da nicht ganz so Form vertraut damit?

      Wird also an dem unreguliertesten Marketplace (Pink Open Market) gehandelt, den die OTC zu bieten hat.
      Da die TSX aber die Heimatbörse ist und bleibt, wird das keine negativen Auswirkungen haben. Ist halt die finanziell günstigste Notierung für PDP, um in US handelbar zu sein.

      Wie ebenfalls schon geschrieben, ist das aber nicht die alleinige Börse und schon gar nicht die Heimatbörse von PDP. Somit musst du dir auch keine Gedanken darüber machen, dass uns PDP nun plötzlich die Quartalszahlen o.ä. Informationen vorenthält, denn dann würden sie die Regularien der TSX nicht mehr erfüllen...

      Es sieht ja gut aus heut, schönes Volumen in den Trades. Hoffentlich wird der Anstieg nachhaltig sein. Hab trotzdem noch das Gefühl das ein Abgeber mit dabei ist. Wenn es so weiter geht sollte aber auch er bald fertig haben.

Die nächsten Zahlen werden ganz spannend, denn wenn das Wachstum bei bleibt und erstmals auch unbereinigt ein positives Ergebnis steht, muss der Kurs die Entwicklung der letzten Jahre auch mal honorieren!
      Anfang März wissen wir mehr, dann kommen aller Wahrscheinlichkeit nach die nächsten Zahlen :-)

      Ach ist doch zum brechen...

      Seit 3 Jahren stagniert mein Kapital +/- 0.

      Zum Glück hatte ich bei 0,31 CAD die Hälfte verkauft und bin damit in IOTA reingegangen und hab damit kurzfristig Gewinn gemacht.

      Andere Hälfte verbleibt dennoch hier. Passiert aber bis Q3 2018 nix zieh ich mich von Pedi zurück!

Jedoch fällt mir dieser Satz ins Auge:

      "This quarter included additional investments for Rupall, due to the very positive response from physicians, which will help accelerate revenue growth in upcoming quarters"

      Dazu fallen in diesem Quartal auch noch weitere Kosten für die Vermarktung von Cuvposa an, sprich auch in Q4 könnte es schwer werden Gewinn zu schreiben, aber ich bin mehr als optimistsich für das fiscal year was am 1. April 2018 beginnt, dann wird Pediapharm endlich die Früchte ihrer Investionen ernten können!

      In der letzten Stunde vor dem dem Börsenwochenende ist Pediapharm gestern Abend aus dem Dornröschenschlaf erwacht und es wurde fleissig gekauft. Zum ersten Mal seit über einem Jahr wurde die 0,33 CAD wieder durchbrochen und bei 0,34 CAD geschlossen. Ich werte das vorsichtig optimistisch als erstes Signal einer bevorstehenden positiven Kursentwicklung und werde nächste Woche selber noch einmal nachlegen. Informationen zur finanzielle Entwicklung des Unternehmens bis Ende März diesen Jahres können wahrscheinlich wieder ca. Ende Juni erwartet werden.

      Antwort auf Beitrag Nr.: 57.905.715 von Palawanobi am 04.06.18 19:30:48In der Tat, das sieht richtig gut, e scheint als erwartet der Markt einen sehr guten Financial Report im Juni oder eventuell eine Akquisition eines neuen Produktes etc. Man muss bei einem so kleinen Unternehmen wie Pediapharm auch sehr auf die einzelnden Produkte achten, denn der größte Umsatz soll auf Sicht mit Rupall (Einem Antiallergikum) geschaffen werden und die Allergie Saison geht erst richtig im Frühjahr los, sprich hier ist einiges an Potenzial! Ich erwarte dass Pediapharm spätestens mit dem Q2 Report im August einen ordentlichen Gewinn vorweisen kann...

      Ich denke der momentane Schub zeugt von einem Optimismus ob des baldigen Q1 Financial Reports, denn der müsste spätestens ende Juni kommen. Der Turnaround ist für dieses Geschäftsjahr geplant, sprich Pediapharm ist selbst auch sehr optimistisch, besonders gegenüber Rupall. Deswegen will ich mal kurz eine kleine spekulative Rechnung anstellen:

      Fully deluted wird Pediapharm 106 Mio Aktien ausstehend haben und einem stark wachsenden Unternehmen wie Pediapharm wird aller mindestens ein KGV von 15, aber wohl eher eins von 25 zugestanden werden können. Das bedeutet, bei einem Gewinn von ca. 2 Mio. in diesem Jahr, wäre ein Kurs von 0,30 CAD definitv gerechfertigt, wahrscheinlicher aber eher ein Kurs von 0,50 CAD, wie von euch geschätzt. Sollte Pediapharm es aber sogar schaffen, einen Gewinn von 4 Mio. zu generieren, können wir diese Zahlen locker verdoppeln und dies sollte, wenn nicht dieses Jahr, auf jeden Fall nächstes Jahr zu schaffen sein! Dazu hat Pediapharm auch noch einige Millionen in der Kriegskasse, um weitere Produkte zu akquirieren, sprich hier ist auch noch einiges möglich!

      Mein Fazit ist deshalb, auf Sicht von 1 Jahr ist Pediapharm auch auf diesem Niveau ein klarer Kauf, jedoch würde ich eventuell noch die Q1 Zahlen abwarten, da diese eventuell doch enttäuschen könnten. Es ist nämlich zu beachten, dass Rupall eher wenig zum Umsatz in Q1 2018 beitragen kann, da ein Antiallergikum logischerweise einen deutlich stärkeren Umsatz im Frühling/Sommer verbuchen kann (Dies konnte man auch deutlich im Q4 2017 Report sehen).

      Würde zwar stark wachsenden durch solide wachsenden ersetzen aber trotzdem schön.

      Schauen wir mal wo es hinführt.
      Positiv seh ich persönlich das es keine Push´s gibt. „Manipuliert“ wird trotzdem immer etwas am Kurs. Der jetztigen Anstieg erkläre ich mir mit den Enden der Verkäufe seitens Knight Therapeutic. Denn auch die Stücke sind nicht mehr so hoch. (Ask/bid)

      Danke für die Blumen, wollte nur nochmal klarstellen, dass natürlich die Q4 Zahlen ende Juni kommen und im August dann die Q1 Zahlen zum neuen Financial year, ist auch immer etwas verwirrend mit den kanadischen Financial Kalender ;-)
      Im Bezug ob Pediapharm stark oder solide wachsend ist, so finde ich 74% annual growth rate doch schon ziemlich stark :P

      Ich kann es mir nur durch einen Zock auf gute Quartals Zahlen (nächste Woche?) erklären, fundamental hat sich ja nichts verändert. Aber wie ich schon in meinem vorherigen Post drauf Aufmerksam gemacht habe, benötigt Pediapharm nicht viel Gewinn um eine doppelt bis dreifach so hohe Bewertung zu rechtfertigen! Ich denke nur, dass das zurückliegende Quartal noch nicht den erhofften Durchbruch schaffen wird, sondern erst das Jetzige. Time will tell very soon :-)

      Ärgerlich...
      Also ich habe gehalten und halte auch weiter. Für mich stimmt das hier einfach was die Umsetzung der Zulassungen angeht sowie das Umsatzwachstum. War zwar damals ein holpriger Start mim Easyhealer und den Ablehnungen aber die Zeit danach lief sehr gut.
      Bin hier sehr zuversichtlich und sehe es als Langzeitinvest.

      Vllt schaust du die die Aktie nochmals mit den nächsten Zahlen an. Selbst wenn sie nicht schlecht ausfallen würden könnte ich mir ein „sell the news“ vorstellen bei dem schnellen Anstieg die letzen Tage.
      Die Richtung danach ist für mich persönlich trotzdem klar.

      So nun stehen „wir“ davor. Morgen evtl Zahlen vor Börsen Start. Nach dem ab und auf heut und der Unterstützung zum Schluss, bin ich gespannt ob „news sell“ wirklich kommt. (?)
      Denke es geht ohne großes Volumen genau so weiter.
      Das ist aber nur meine Einschätzung nach der heutigen Beobachtung.
      Schön wäre es, wenn ihr VOR den Zahlen eure Meinung zum Verlauf (am Newstag) äußert......

      KEY HIGHLIGHTS - PERIOD ENDED MARCH 31, 2018
      In the three-month period ended March 31, 2018, the Company achieved quarterly revenue of $2,103,439 (three-month period ended March 31, 2017 - $1,658,788), representing an increase of 27%. Highlights for this quarter include:
      Revenue from Established brands (NYDA®, Relaxa™, Naproxen Suspension) increased by 14%.       The Company continued its investments in the recently launched brands, especially with Rupall. Additional investments were deployed to allow the marketing and sales team to focus on the urticaria opportunity since antihistamines, such as Rupall, are used first-line to treat urticaria.
      As previously stated and as shown in the fourth quarter, Management expects increases in selling and administrative expenses to be minimal when compared to previous years unless it sees specific opportunities where additional expenses would generate significant incremental revenue. The Company’s plan remains to bring the Company into a positive Adjusted EBITDA situation in the fiscal year ending March 31, 2019.
      On November 1st, 2017, Pediapharm announced Health Canada’s notice of compliance (approval) for Cuvposa™ (Glycopyrrolate oral solution 1 mg/ 5 mL) which is indicated to reduce chronic severe drooling in patients aged 3-18 years with neurologic conditions associated with problem drooling (e.g. cerebral palsy (CP)). The Company commercially launched Cuvposa™ in April 2018 using its current infrastructure.
      The Company has net working capital of approximately $4.8 million as of March 31, 2018 ($3.5 million as of March 31, 2017).

      FUTURE OUTLOOK
      The Company has recently launched three new products: Rupall™, Otixal™ and Cuvposa™.  Rupall™ was launched in late January 2017 and Management is closely monitoring Key Performance Indicators (“KPIs”), such as number of physicians prescribing Rupall™.  These early but very promising results, combined with the on-going positive feedback from key opinion leaders in allergy, confirm Management’s estimate that Rupall™ has an annual peak sale potential of $10-12 million. Otixal™ was launched in mid-May 2017 and the Company estimates an annual peak sale potential of $4 million. In April 2018, the Company commercially launched, using its current infrastructure, Cuvposa™ (Glycopyrrolate oral solution 1 mg/ 5 mL) which is indicated to reduce chronic severe drooling in patients aged 3-18 years with neurologic conditions associated with problem drooling (e.g. cerebral palsy (CP)).
      With its existing solid infrastructure in place, Management estimates that increases in selling and administrative expenses will be minimal even with its projected substantial revenue growth in quarters and years to come. Management therefore estimates that the Company will be in a positive adjusted EBITDA situation in the current fiscal year.
      Pediapharm has a portfolio of products, which Management believes will enable the Company to reach annual peak revenue of $30,000,000 to $35,000,000 along with projected EBITDA of approximately 30% to revenue. The projected peak revenue forecast is based on using IMS data and Management’s estimate in the market share to be captured for each of the product.
      Now that Pediapharm has positioned itself with a strong portfolio of products as shown above, for which all of the regulatory investments are behind, the Company’s core strategy regarding business development has recently evolved to focus more on acquisitions of products with existing sales and on co-promotion for products already approved in Canada. In parallel, Pediapharm still assesses additional exclusive licensing agreements (commonly known as “in-licensing”). The key objective is to generate profitability in a timely fashion.

      GROSS PROFIT AND MARGIN
      When comparing periods, in addition to focusing on gross profit dollars, it is also appropriate to focus on the gross margin as a percentage of revenue. Since there is no cost of sales related to revenue from commissions, the following gross margin percentages are calculated using cost of sales and revenue from products only. In addition to actual cost of goods and royalties paid to partners, gross margins are impacted by amortization of assets generating revenue, allowances for potential product returns as well as warehouse and logistics expenses.
      For the three months ended March 31, 2018, gross profit reached $860,694, representing an increase of 21% (three months ended March 31, 2017   $712,385). Gross margin as a percentage of revenue was 41% (three months ended March 31, 2017 – 42%). Relaxa™, which has lower gross margins due to the nature of its product category, has a negative impact on total gross margin percentages. Recently, the province of Quebec implemented a new regulation on Rx generic drugs, including the Active Pharmaceutical Ingredient (API) of Relaxa™, which had a negative impact on net revenue and gross margin. Over time, with the estimated revenue growth from NYDA®, Rupall™, Otixal™ and Cuvposa, the estimated revenue from Relaxa™ will represent a smaller percentage of total revenue and hence, Management estimates that total gross margins as a percentage of revenue will improve and ultimately reach 60-65%.
      For the twelve months ended March 31, 2018, gross profit reached $5,041,626, representing an increase of 47% (twelve months ended March 31, 2017 -  $3,428,746). Gross margin as a percentage of revenue was 50% (twelve months ended March 31, 2017 – 53%). The main reason for the lower gross margin percentage is related to Relaxa™, which has lower gross margins due to the nature of its product category. Furthermore, the Quebec Government recently implemented a new regulation on Rx generic drugs, including the Active Pharmaceutical Ingredient (API) of Relaxa™, which had a negative impact on net revenue and gross margin. Over time, with the estimated revenue growth from NYDA®, Rupall™, Otixal™ and Cuvposa, the estimated revenue from Relaxa™ will represent a smaller percentage of total revenue and hence, Management estimates that total gross margins as a percentage of revenue will improve and ultimately reach 60-65%.
      SELLING AND ADMINISTRATIVE EXPENSES
      For the three months ended March 31, 2018, selling and administrative expenses reached $2,063,415 (three months ended March 31, 2017 - $1,871,811). For the twelve months ended March 31, 2018, selling and administrative expenses reached $7,862,437 (twelve months ended March 31, 2017 -  $6,803,665). The increase reflects the Company’s commitment to invest in new product launches while having a minimal impact on operating expenses. Management believes these investments in Rupall™ and Otixal™ are key to the overall success of the Company.
      OTHER INCOME
      In the three and twelve months ended March 31, 2018, there was nothing to report as other income. In the three months ended June 30, 2016 the Company received the second and final payment of US$2 million in cash ($2,570,200) from the sale of the US rights to the drug Naproxen Suspension in a transaction valued at approximately US$4.25 million.

      Adjusted EBITDA, defined below, for the three-month period ended March 31, 2018 was ($1,119,984) compared to ($1,268,759) for the three-month period ended March 31, 2017. The improvement is mainly due to the increase gross profit driven by a 27% increase in revenue.

      MONTREAL, Sept. 06, 2018 (GLOBE NEWSWIRE) -- Pediapharm Inc. ("Pediapharm") (TSXV: PDP, OTCQX: PDDPF) is pleased to announce that it has entered into definitive agreements to acquire two speciality pharmaceutical companies and also intends to complete a private placement offering for up to CDN$60 million.

      Pediapharm has entered into an arm's length amalgamation agreement with Medexus Inc. ("Medexus"), a Canadian pharmaceutical innovator with strategic partnerships in key international markets, whereby Pediapharm will acquire all of the issued and outstanding shares of Medexus (the "Medexus Acquisition"). Pediapharm has also entered into an arm's length stock purchase agreement with medac Gesellschaft für klinische Spezialpräparate mbH ("medac GmbH"), a global pharmaceutical company based in Germany, whereby Pediapharm will acquire all of the shares of medac GmbH's U.S. business, Medac Pharma, Inc. ("Medac Pharma") (the "Medac Pharma Acquisition" and, together with the Medexus Acquisition, the "Acquisitions").

      Pediapharm intends to complete a concurrent private placement offering (the "Offering") of subscription receipts for aggregate gross proceeds of approximately CDN$60 million, consisting of a combination of subscription receipts exchangeable for Convertible Debentures (defined below) and subscription receipts exchangeable for Units (defined below). The Offering will consist of both a non-brokered private placement for gross proceeds of approximately CDN$30 million (the "Non-Brokered Offering") and a brokered private placement for gross proceeds of approximately CDN$30 million (the "Brokered Offering") co-led by Cormark Securities Inc. and Mackie Research Capital Corporation, as co-lead agents and joint bookrunners (together, the "Agents").

      By combining Pediapharm’s Canadian pediatric speciality pharmaceutical business with the Canadian diversified speciality pharmaceutical business of Medexus and the U.S. rheumatology speciality pharmaceutical business of Medac Pharma, the Acquisitions and Offering (collectively, the "Transactions") will create a leading North American commercial-stage specialty pharmaceutical company strategically positioned for future growth.

      THE ACQUISITIONS

      Medexus Acquisition

      Medexus is a Canadian specialty pharmaceutical company focused on the licensing, registration, marketing, sales and distribution of innovative pharmaceutical products in Canada, with strategic partnerships in key international markets. Medexus has a strong position in the Canadian marketplace and focuses on key growth areas with an emphasis on rheumatology as well as women's health and dermatology. The healthcare solutions offered by Medexus include: Metoject®, Oralvisc®, Tricovel®, Multi-Gyn®, Calcia®, IronOne®, Monoderma A-C-E-M™, Allergoff® and Triamcinolone Hexacetonide.

      The total consideration payable by Pediapharm for the Medexus Acquisition is CDN$23 million, which will be satisfied through the issuance of 67,647,059 common shares of Pediapharm (the "PDP Shares") at an issue price of CDN$0.34 per PDP Share.

      The Medexus Acquisition will be completed by way of an amalgamation whereby a wholly-owned subsidiary of Pediapharm, incorporated solely for the purposes of the Medexus Acquisition, will amalgamate with Medexus. Upon completion of the Medexus Acquisition, Ken d'Entremont, the Founder, President and Chief Executive Officer of Medexus, will become a director and the Chief Operating Officer of Pediapharm. Mr. d'Entremont and two other former directors of Medexus have agreed not to sell the PDP Shares issued to them pursuant to the Medexus Acquisition for a period of two years following the closing of the Medexus Acquisition, subject to certain exceptions for Mr. d'Entremont tied to his funding needs for bona fide tax obligations, without the prior approval of Pediapharm.

      The Medexus Acquisition is subject to customary closing conditions, including, among other things, TSX Venture Exchange ("TSXV") approval and the receipt of Medexus shareholder approval of the amalgamation (such approval requiring not less than 662/3% of the votes cast by Medexus shareholders present in person or represented by proxy at the special meeting of Medexus shareholders). Medexus shareholders, that will in the aggregate hold approximately 71.3% of the shares of Medexus entitled to vote at the special meeting of Medexus shareholders that will be convened to approve the amalgamation, have signed customary support and voting agreements under which they have agreed to vote in favour of the amalgamation.

      Medac Pharma Acquisition

      Medac Pharma is a privately held specialty pharmaceutical company focusing primarily in the area of rheumatology in the United States through a solid implemented commercial infrastructure. The leading product of Medac Pharma is Rasuvo, an enhanced delivery of methotrexate (auto-pen) to treat rheumatoid arthritis. Medac Pharma is a wholly owned subsidiary of medac GmbH, a well-known global pharmaceutical company located in Germany that has been making scientific and therapeutic discoveries for more than 40 years.

      Pursuant to the Medac Pharma Acquisition, all of the shares of Medac Pharma will be acquired by a wholly-owned U.S. subsidiary of Pediapharm, incorporated solely for the purposes of the Medac Pharma Acquisition. The total consideration payable by Pediapharm for the Medac Pharma Acquisition is up to U.S. $50 million, payable as follows:

      a cash payment of U.S. $13.1 million (the "Closing Cash Payment") due on closing, to be funded by the proceeds of the Offering;

      such number of units of Pediapharm (the "Consideration Units") equal in value to U.S. $1.9 million, issued at an issue price of CDN$0.34 per Consideration Unit (the "Closing Unit Payment") with each Consideration Unit consisting of one PDP Share and one half of one PDP Share purchase warrant (each such full warrant being exercisable into one PDP Share for a period of five years at an exercise price of CDN$0.63 per PDP Share). medac GmbH has agreed not to sell the PDP Shares issued or issuable to it under the Medac Pharma Acquisition for a period of two years following the closing of the Medac Pharma Acquisition, without the prior approval of Pediapharm;

      a contingent cash payment of U.S. $5 million, payable within six months following the FDA approval of a certain new product to be supplied to Pediapharm by medac GmbH for sale in the United States, or 30 days following the date, provided that such FDA approval has been obtained, that medac GmbH has manufactured and delivered to Pediapharm sufficient quantities of such products to meet the forecasted launch demand for such product in the United States; and

      annual payments in an amount equal to 7.5% of the aggregate consolidated EBITDA of Pediapharm (the "Trailer Payments"), subject to certain agreed-upon adjustments, until such time as an aggregate of U.S. $30 million in Trailer Payments have been made.
      The Closing Cash Payment and the Closing Unit Payment shall be subject to adjustment with respect to the allocation of cash and Consideration Units at closing, all in accordance with the terms of the Medac Pharma Acquisition agreement, but the aggregate closing consideration paid shall be equal to U.S. $15 million.

      Contemporaneously with the completion of the Medac Pharma Acquisition, medac GmbH will enter into a manufacturing and supply agreement (the "Medac Supply Agreement") with Pediapharm and Medac Pharma for an initial term of 12 years from the completion of the Medac Pharma Acquisition, which Supply Agreement will provide for the continued supply of products by medac GmbH to Pediapharm for sale in the United States by Pediapharm. In addition, the term of the existing supply agreement between medac GmbH and Medexus will be extended, on its existing financial terms, such that it expires 12 years from the date of the completion of the Medac Pharma Acquisition.

      As part of the Medac Pharma Acquisition, during the term of the Medac Supply Agreement, medac GmbH has granted to Pediapharm a right of first refusal with respect to the commercialization in the United States or Canada of certain specified products of medac GmbH that medac GmbH wishes to commercialize for use in the United States or Canada during the term of the Medac Supply Agreement.

      The Medac Pharma Acquisition is subject to customary closing conditions, including, among other things, TSXV approval.

      Subject to the timely completion of the Offering, and other customary closing conditions, it is expected that the Acquisitions will be completed on or about September 28, 2018.

      THE OFFERING

      In connection with the Acquisitions, Pediapharm intends to complete the Offering consisting of a combination of subscription receipts exchangeable for Convertible Debentures ("Debenture Subscription Receipts") and subscription receipts exchangeable for Units ("Unit Subscription Receipts" and, collectively with the Debenture Subscription Receipts, the "Subscription Receipts"). The gross proceeds from the Offering, will be placed in in escrow pending the satisfaction of certain escrow release conditions (the "Escrow Release Conditions") to be set out in a subscription receipt agreement to entered into in connection with the Offering (the "Subscription Receipt Agreement"), including the completion, satisfaction or waiver of all conditions precedent to the completion of the Acquisitions and the receipt of necessary approvals for the Offering and the Acquisitions. Upon the satisfaction of the Escrow Release Conditions, the net proceeds of the Offering will be used to fund the cash consideration due on closing of the Medac Pharma Acquisition, with the balance of the proceeds to used for the ongoing operations and strategic initiatives of Pediapharm.

      The Debenture Subscription Receipts shall be issued at a price of CDN$1,000 per Debenture Subscription Receipt. Each Debenture Subscription Receipt shall, following the satisfaction of the Escrow Release Conditions, without payment of additional consideration or further action, automatically be exchanged for one CDN$1,000 principal amount convertible debenture (a "Convertible Debenture"), which Convertible Debenture shall be convertible into units ("Conversion Units") at a conversion price of CDN$0.42 per Conversion Unit. Each Conversion Unit shall be comprised of one PDP Share and one half of one PDP Share purchase warrant (each such full warrant being exercisable into one PDP Share at an exercise price of CDN$0.63 per PDP Share for a period of five years from the date the Convertible Debentures are issued). The Convertible Debentures will mature on the date that is the fifth anniversary of the date of issuance and shall be repaid in full by Pediapharm with a payment equal to 125% of such outstanding principal amount, with such repayment to be made in cash or, at Pediapharm’s option, in PDP Shares. The Convertible Debentures will bear interest at 6.0% per annum beginning on the date the Debenture Subscription Receipts are exchanged for Convertible Debentures, payable semi-annually in cash, or, at Pediapharm’s option and subject to the prior approval of the TSXV, in PDP Shares.

      The Unit Subscription Receipts shall be issued at a price of CDN$0.34 per Unit Subscription Receipt. Each Unit Subscription Receipt shall, following the satisfaction of the Escrow Release Conditions, without payment of additional consideration or further action, automatically be exchanged for a unit of Pediapharm (a "Unit") comprised of one PDP Share and one half of one PDP Share purchase warrant (each such full warrant being exercisable into one PDP Share at an exercise price of CDN$0.63 per PDP Share for a period of five years from the date the Units are issued).

      Pediapharm has signed an engagement letter with the Agents, under which the Agents have agreed to offer for sale, on a best efforts basis, the Subscription Receipts under the Brokered Offering.

      The Non-Brokered Offering is being assisted by Goodwood Inc. ("Goodwood") pursuant to the Transaction Agreement (as further described below).

      The Subscription Receipts will be distributed by way of private placement in all the provinces of Canada, to investors in the United States pursuant to available exemptions from the registration requirements of the United States Securities Act of 1933, as amended, and in such certain other jurisdictions as Pediapharm and the Agents may agree. Completion of the Offering is subject to certain customary closing conditions, including approval of the TSXV. Closing of the Offering is expected to occur on or about September 21, 2018.

      In connection with the Offering, Pediapharm will pay commissions to the Agents equal to a cash fee of 7.0% for the gross proceeds raised in the Brokered Offering, and will issue PDP Share purchase warrants ("Broker Warrants") to the Agents equal to 3.5% of the gross proceeds raised in the Brokered Offering, with each Broker Warrant exercisable for one PDP Share, at an exercise price of CDN$0.63 per PDP Share, for a period of 36 months following closing. Pediapharm may also pay cash commissions of up to 7% on a portion of the funds raised in respect of the Non-Brokered Offering to one or more registered dealers involved in the Non-Brokered Offering, provided that no commissions will be paid to Goodwood.

      The Transaction Agreement

      In connection with Transactions, Pediapharm has entered into a transaction agreement with Goodwood (the "Transaction Agreement"). In accordance with the Transaction Agreement, one or more investment funds managed by Goodwood, together with the other purchasers under the Non-Brokered Offering, are expected to purchase approximately CDN$30 million of Subscription Receipts.

      Pediapharm has also agreed that, contemporaneously with the completion of the Transactions, Pediapharm and Goodwood (or an affiliate thereof) will enter into a consulting agreement pursuant to which Goodwood (or an affiliate thereof) will provide strategic advisory services to Pediapharm for four years. Under such consulting agreement, Goodwood will be paid a fee of CDN$120,000 per annum...

      Das Management wirft entweder grad seinen Business Plan zum Fenster raus oder baut ihn in einen weit mächtigeren Business Plan ein.

      Letztere Möglichkeit gefällt selbstverständlich besser, denn immerhin, bei "stable operational expenses" macht eine Erweiterung hier Sinn.

      Das Ganze will aber erst verdaut sein, und Brocken, die "privately held" schwimmen, helfen Investoren beim Verdauen nicht.

      Was bedeutet die Erweiterung für den Peak-Absatz bestehender Produkte?

      Welchen Wert bringen neue Produkte?

      Welche Bedeutung wird "rheumatology" haben?

      Hey Leute, momentan fällt es mir schwer auch meine „Senf“ mit dazu bei zutragen weil es zur Zeit schwerfällt die Geschehnisse einzuschätzen. Es wirkt auf den ersten Blick so, also würde man mit wenig finanziellen Mittel nach den Sternen greifen wollen.
      Es kann was „großes“ entstehen aber auch ein „total Verlust“

      Selbst weiß ich das der Kommentar überflüssig ist weil keiner damit was anfangen kann.
      Aber das ist ja bei den „Vorrednern“ nicht anders. ;)

      Wenn jemand von euch die Muse Besitz und den Deal mal analysiert(mir zu aufwändig mit meine „paar“ Anteilen was ich offen u ehrlich zugebe) dann würde mich es erfreuen.

      Aber darum geht es mir nicht, wird bestimmt noch Person geben die tiefer investiert sind und für die soll es sein.

      Und JA der Businessplan wurde komplett zum Fenster heraus geworfen.

      Schauen wir mal nach dem halt wo es hingeht. & wie lang er überhaupt dauert.
      Denk mal es wird heut und morgen nicht weiter gehandelt, zu erst muss alles „verpackt“ sein und das kann nach meiner Ansicht zumindest dauern.

      Nach all der Zeit zeigt TSXV Exchange enttäuschenderweise noch immer geringes Volumen. Der Kurs hat kaum Aussagekraft. Es gibt keine aggregierte Meinung. Schade.

Der Umsatz ist stark gestiegen ,die Firma ist sehr gut finanziert hat attraktive Produkte , sie kaufen aktuell Aktien zurück es geht hier in die richtige Richtung . Die Aktie ist auf meiner Watch ganz oben muss erst was von meinem Depot abstossen bevor ich eventuell ein paar kaufe , ich mag es übersichtlich in meinem Depot .
