      Guten Morgen!

Exclusive Interview With Mike Pruitt, CEO Of Chanticleer Holdings

Apr. 16, 2015 11:07 AM ET  |  7 comments  |  About: Chanticleer Holdings (HOTR), Includes: HABT, SHAKDisclosure: The author is long HOTR. (More...)

      Summary

Over $16M invested in HOTR stock by CEO and his friends and family, including an additional $2M+ through the recent rights offering.Believes HOTR should receive similar valuation multiples as SHAK and HABT.Models company structure after Berkshire Hathaway in which he has been a shareholder for the past 15 years.Just Fresh brand will open 2 additional stores in 2015 and intends to begin franchising in 2016.Cash to be used for additional accretive acquisitions for the foreseeable future.Chanticleer Holdings (NASDAQ:HOTR) is an extremely undervalued holding company of casual restaurant brands including Hooters, BGR The Burger Joint, and Just Fresh. They now operate 50 stores and sport a forward Price to Sales ratio of 0.7, which is a fraction of the PS ratio of peers Shake Shack (NYSE:SHAK) and Habit Burger (NASDAQ:HABT). What's more, this PS ratio of 0.7 assumes no additional store openings, no additional acquisitions, and no organic growth. With a market cap of just $36M and experiencing explosive growth in the Better Burger category, there is significant room for HOTR's stock price to appreciate as investors become aware of this opportunity and as HOTR continues to rapidly open new stores and make additional accretive acquisitions. In the most recent quarter alone, HOTR achieved 261% revenue growth through their aggressive acquisition strategy and these numbers entirely exclude the impact of their recent large acquisition of BGR The Better Burger Joint with 20 locations now open and 80 additional locations under franchise development. There have been numerous recent articles discussing HOTR's financials and rapid growth, which can be found here, here, here, and here including a $6 price target from Prosdocimi brokerage services here. Additionally, the most recent investor presentation has just been released by HOTR and can be found here. With the wealth of financial information available, I wanted to take a different approach by getting to know management intimately so I could determine if HOTR has the potential to appreciate just hundreds of percent this year or thousands of percent over the longer term. I conducted an exclusive and in-depth interview with Mike Pruitt, CEO of HOTR on April 15th, 2015 in which I've already shared the key exciting highlights in the summary above. Here is the full interview:Ben:Mike, thank you for taking the time to speak with me today. I'd like to begin with some housekeeping by reviewing the corporate history and strategy of Chanticleer Holdings and touching on some of your personal philosophies. We'll then turn to some recent exciting developments.Chanticleer Holdings started its corporate existence in 2005 with the purchase of a minority stake in Hooters of America (HOA). The value of this minority stake alone represents a significant percentage of Chanticleer's current market cap. It is rumored that HOA is currently for sale. Can you comment on that and clarify exactly what percentage of sale proceeds Chanticleer will receive and what minimum after-tax dollar amount that would represent?Mike:Chanticleer went public as a BDC (investment company) in 2005. We made our investment ($5 million convertible note) in Hooters of America in April 2006. Utilizing the Right of First Refusal that was part of this investment we converted into equity along with two PE Partners when we acquired Hooters in January 2011. Yes, it's public that HOA has hired Piper Jaffray to explore a potential sale. We are not prepared to speculate what we may make but it certainly is not a significant portion of our current market cap given the successful rights offering.Ben:Subsequent to its minority purchase in Hooters of America, Chanticleer later commenced operations when it became a Hooters franchisee in South Africa, Australia, and Europe with the stated goal of "Bringing a Taste of America Abroad." In recent years however, Chanticleer has made several non-Hooter's acquisitions and with its most recent acquisition of BGR The Burger Joint, a majority of the company's revenue will now be as a franchiser from its domestic Better Burger Brands. However, to date, the corporate identity, as evidenced by its ticker symbol, website, and investor materials still have a primary focus on its Hooters brand. Are there any plans for a corporate re-branding to better represent the company's vision and direction?Mike:We constantly explore ways to improve our branding to reflect who and what the company stands for. Given that Hooters put us in the game it will always be a part of that strategy but is always being reviewed.Ben:What is Chanticleer's acquisition strategy? For the parent company to be integrally involved in consolidation, management, and growth or to allow acquired companies to run 100% independently under prior management? In other words, is the goal to be a passive investment company or to actively manage, consolidate, and build leading brands?Mike:I've been a shareholder in Berkshire Hathaway (NYSE:BRK.A) (NYSE:BRK.B) for 15 years or more so I'm a fan of their holding company structure. As for our acquisition strategy it's to find good businesses, run by great people who we like, trust and admire, but pay a price that will be accretive to our shareholders (private to public arbitrage). The seller must take a portion in shares to remain engaged and committed to HOTR's future success and key management must stay.Ben: If not simply held as investment holdings, what sort of management or operational synergies exist across brands which could help increase margins as the company scales?Mike:Lots of back office synergies: purchasing discounts for products and services, best practice reviews & implementation, scale to overcome public company G&A cost, etc.Ben:When profitability is reached, what is your philosophy on use of cash? Returned via cash dividends or buybacks, or 100% retained for possible future acquisitions? When do you expect the company to be in a position to return cash to shareholders?Mike:If we cannot find accretive acquisitions, which for the foreseeable future I cannot imagine, it would be to return cash to shareholders via dividends.Ben:Thank you Mike for reviewing some of those housekeeping questions! Now, let's turn to your fast and exciting growth in some of your newer brands, particularly in the better burger space.Chanticleer now owns multiple brands in the better burger space. Are there any plans for consolidation under one brand now or in the future? Why or why not?Mike:All are consolidated under our wholly owned subsidiary, the American Burger Company. BGR The Burger Joint will be the one we franchise, the others we own today and potential future acquisitions will be strong regional brands. Again, behind the scenes we will consolidate some things.Ben:BGR The Burger Joint, the most significant recent acquisition by Chanticleer with 20 locations and 80 others in franchise development, has drawn considerable investor interest and comparison to Shake Shack and Habit Burger due to its existing and rapidly growing scalable franchise model in the Better Burger space. Both SHAK and HABT trade at revenue multiples significantly higher than HOTR. If Chanticleer receives valuation multiples close to that of SHAK or HABT, its stock would appreciate several hundred percent from today's levels. Do you believe these comparisons are warranted?Mike:I certainly believe those two comps should be considered and we plan to work hard to get there.Ben:In a comprehensive review on Yelp (NYSE:YELP), BGR The Burger Joint received rave reviews for the quality of its burgers but its overall scores were roughly 30% lower than Shake Shack. These lower ratings were almost entirely due to complaints about extremely slow service, unfriendly staff, and overall poor on-site management. While many Yelp reviewers said they'd be back due to the high quality of the burgers, others hesitated to return due to the poor service. These complaints have persisted over the years. Is Chanticleer aware of these complaints? If so, does the company have the desire and know-how to improve this aspect of the business? And finally, is it wise for BGR The Burger Joint to rapidly expand before addressing these issues?Mike:Yes we reviewed yelp and the DC company store locations fare favorably to Shake Shack. We tend to place more weight on TripAdvisor (NASDAQ:TRIP) but we closely monitor all through an independent agency (see below). However, yes we think it can be improved but our channel checks provided slightly different feedback and given the numerous awards they have won we got more than comfortable.Ben:Chanticleer also owns Just Fresh, a premier healthy eating brand in North Carolina with 7 locations. This brand, as evidenced by its website and extremely positive Yelp reviews, seems even better refined than BGR and ready for rapid growth and mainstream adoption; however, expansion has been relatively slow. Why? Can anything from the franchise model within BGR be leveraged to allow for faster expansion of the Just Fresh brand?Mike:We are still refining the Just Fresh prototype but intend to franchise in 2016. We love the business.Ben:What will be Chanticleer's primary focus for the remainder of 2015? Any specific developments we should keep our eyes open for?Mike:For the rest of 2015: accretive acquisitions, potential Hooters sale, franchising BGR, opening 2 new Just Fresh + fine tuning the design and product offering and being opportunistic on new locations when we find great ones.Ben:Finally Mike, Investors always feel more at ease when their interests are aligned with management. In the public domain, I was not able to find any reference regarding your ownership stake in HOTR. Can you comment on how many shares you own and if you plan to make any future purchases of stock in the open market?Mike:I personally own 204,000 shares with a cost basis of $5.03. More importantly, people I consider Friends and Family have invested over $15 million in our stock including greater than $2 million in the latest rights offering. Our team and I work hard on all shareholders' behalf to create value and then have it reflected in the share price.Ben:Thank you for your time Mike and congratulations on your continued success!Mike provided me with ratings of BGR The Burger Joint from their independent agency. They included ratings from Facebook (NASDAQ:FB), Yelp, TripAdvisor, and Google (NASDAQ:GOOG) (NASDAQ:GOOGL). The overall ratings (particularly from TripAdvisor) did support a conclusion of higher satisfaction compared to the limited research I did myself on Yelp of only a few stores.Additionally, Mike pointed me to this article which gives an in-depth view of how Chanticleer started and Mike's special relationship with Hooters of America. With the answers that Mike provided, I feel comfortable including HOTR as a long-term investment in my portfolio and expect a better than average chance of a 1000%+ return over the next several years. In the near term, I expect HOTR to appreciate by 100%+ as the valuation gap betw
een it and SHAK and HABT should decrease as investors become aware of this opportunity.

Da erhofft sich einer sehr viel.
