      China-based LED packaging service provider MLS has revealed it will issue corporate bonds worth CNY2 billion (US$300 million) to fund the acquisition of Ledvance (LED + Advanced), the lamp business unit of Germany-based Osram.

      MLS, China-based Yiwu State-owned Assets Operation Center and strategic investor IDG Capital Oartners formed a consortium to acquire a 100% stake in Ledvance from Osram at EUR400 million (US$441 million) in late July 2016. MLS and Yiwu each hold a 35.7% stake in the acquisition and IDG holds a 28.6% stake.

      As MLS sells inexpensive LED lighting products under own brand Forest Lighting mainly in the China and Asia markets while Osram focuses on the North America and Europe markets, MLS will adopt dual-brand marketing after acquiring Ledvance.

      Forest Lighting Parent Company, MLS, Announces IPO in China

      ATLANTA, GA--(Marketwired - Mar 12, 2015) -

      Forest Lighting, the USA subsidiary of Zhongshan, China-based MLS Co. Ltd., has announced that MLS recently completed its Initial Public Offering on the Shenzhen stock exchange in China. At the close of the first day of trading on February 16, MLS stock closed at $30.95, up 44% from the opening price of $21.50. The market value of the company is approximately $2 billion. About 44 million shares were issued, raising $154 million (RMB 960 million).

      MLS now ranks among the top ten manufacturers of Light Emitting Diodes (LEDs) in the world; 2014 revenue exceeded $700 million, and the company expects 30% growth in 2015. It produces over 16 billion LEDs annually, and has 12,000 employees.

      "The IPO will allow increased investment in our production capacity, and we will be able to diversify our product lines even further. Our goal is to double our lighting business revenue in China," said Lawrence Lin, MLS general manager. "As we grow, our intention is to improve profitability as well."

      The Atlanta-based Forest Lighting business in the US is also growing. "The US market is important to MLS, and over the last year we have positioned our US lighting inventory and are fast-tracking sales and marketing activities," said Jian Ni, chief operating officer of Forest Lighting. "The IPO will allow us to commit to the US market with increased inventory investment. Our LED Lamps carry all the required certifications and technical specifications necessary to compete in the US market, and customers are responding to our value proposition of 'affordable performance.'"

      MLS hikes 3Q16 estimated profit, Sanan Optoelectronics, Foshan Nationstar see increased 3-quarter performance

      China-based LED packaging service provider MLS has upward adjusted estimated net profit for January-September 2016 from CNY192-210 million (US$29.2-31.9 million) to CNY285-325 million which grows 14.15-30.58% on year, while fellow maker Foshan Nationstar Optoelectronics posted January-September revenues of CNY1.676 billion and net profit of CNY131 million, increasing 25.64% and 6.59%, respectively.

      In addition, China-based LED epitaxial wafer and chip maker Sanan Optoelectronics has reported revenues of CNY1.707 billion and net profit of CNY529 million for the third quarter of 2016, respectively rising 6.70% and 3.98% on quarter. As a result, the company had January-September revenues of CNY4.486 billion and net profit of CNY1.496 billion increasing 24.55% and 3.39% respectively on year.

      MLS has raised additional paid-in capital of CNY2.348 billion to expand production capacity and will expand annual SMD LED packaging capacity by 51 billion LED chips. Foshan Nationstar has also expanded LED packaging capacity by over 40%.

      According to LED industry sources in China, China-based LED makers generated total production value of CNY212.7 billion in the first half of 2016 and the total production value for the whole year is estimated at CNY457.6 billion, growing 15.35% on year.

      MLS hopes Germany will green-light Ledvance acquisition

      Germany-based Osram Licht AG in late July 2016 announced the sale of Ledvance, its lamp business unit, to a China-based consortium of LED packaging service provider MLS, Yiwu State-owned Assets Operation Center and IDG Capital Partners at EUR400 million (US$418 million), and the consortium in September-October proposed an acquisition plan to the government in Germany and hopes to obtain approval in the first half of 2017, according to MLS.

      Yiwu State-owned Assets Operation Center and MLS each hold a 35.7% stake in the consortium and IDG Capital Partners holds a 28.6% stake.

      In addition to the EUR400 million, Osram will obtain additional payments for licensing its trademark rights. Under the deal, Ledvance will continue to use the Osram brand in the international market and the Sylvania brand specifically in North America. It will maintain the lamp business unit's existing R&D staff and the other employees until the end of 2018.

      Germany is reportedly inclined to not approve the deal due to worries about outflow of Osram-developed technologies to MLS, but Ledvance is engaged in global marketing of LED lighting only, and this does not involve sensitive technologies, industry experts indicated. Therefore, the government is likely to approve the acquisition, the experts noted.

      MLS focuses on selling LED lighting products under the own-brand Forest Lighting in China and Asia and Osram has a large proportion of lamp sales coming from North America and Europe, thus they are complementary, MLS said. Through the acquisition of Ledvance, MLS will procure LED chips produced at Osram's factory in Malaysia and receive supply priority, MLS indicated.

      MLS to expand capacity ahead of schedule

      China's largest LED packaging service provider MLS originally planned to expand its monthly packaging capacity from 60-70 billion LED chips currently to 150 billion units by the end of 2018, but has sped up expansion to reach the target by the end of 2017, according to the company.

      The advance in capacity expansion is because demand for large-size fine pixel pitch LED displays has far exceeded supply and MLS needs much more capacity for producing LED lighting products arising from the acquisition of Osram's lamp business unit Ledvance.

      Of the additional packaging capacity, 60% will be used to produce large-size fine pixel pitch LED displays and 40% LED lighting, MLS said.

      Taiwan-based LED epitaxial wafer and chip maker Epistar originally supplied 30% of MLS's demand for LED chips but has decreased supply since mid-2016 due to Epistar's downward adjusting output of entry-level LCD chips to reduce operating losses. Consequently, MLS has added two China-based makers, HC SemiTek to supply LED chips used to produce large-size fine pixel pitch LED displays and Huaian Aucksun Optoelectronics Technology supplying LED chips used to produce lighting products.

      MLS to have full control of Ledvance

      The largest China-based LED packaging service provider MLS will spend up to CNY4 billion (US$580 million) acquiring the whole ownership of Guangdong Mingxin Optoelectronic, which holds a 100% stake in Ledvance, originally a lighting business unit of Osram.

      MLS said the acquisition will give it actual control of Ledvance's business operation.

      The Germany's Federal Ministry of Economics and Technology in January 2017 approved Osram's roposed sale of Ledvance to a consortium formed by MLS, Yiwu State-owned Assets Operation Center and IDG Capital Partners. The US Committee on Foreign Investment also approved the sale in February.

      The consortium then made arrangements for Mingxin Optoelectronic to acquire Ledvance through a SPV (special-purpose vehicle) established in Luxembourg, MLS said. The China-based Mingxin, which was founded in July 2016, completed the Ledvance acquisition in March 2017, MLS noted.

      To acquire full ownership of Mingxin, MLS will issue 96.25 million new shares of its stock at CNY28.53 per share, equivalent to a total value of CNY2.746 billion, for shareholders of the former plus cash payment of up to CNY1.254 billion, MLS indicated.

      MLS said it will combine its manufacturing capability with Levance's complementary marketing resources to enhance Ledvance's international marketing.

      Digitimes Research: Nichia tops LED packagers in 2016 revenue

      Japan-based Nichia generated revenues of US$2.423 billion from LED packaging in 2016, the highest among all LED packaging service providers around the world, according to Digitimes Research.

      Taiwan-based Everlight Electronics ranked second with US$963.5 million, followed by South Korea-based Seoul Semiconductor with US$841.8 million, China-based MLS with US$800.2 million, Germany-based Osram Opto Semiconductors with US$787.6 million and South Korea-based LG Innotek with US$613.2 million, Digitimes Research indicated.

      However, MLS and China-based Hongli Zhihui and Foshan Nationstar Optoelectronics recorded the highest on-year growths at 42.2%, 40.4% and 36.3% respectively in 2016 revenues, mainly due to their expanding production capacities, and mergers. In contrast, Japan-based Toyoda Gosei, LG Innotek and Nichia saw the highest on-year decreases of 44.3%, 11.5% and 9.8% respectively.
