      Diehl Graphsoft Acquired by Nemetschek AG for $30 Million Deal Establishes US Presence for European Software Giant
      COLUMBIA, Md.--(BUSINESS WIRE)--Feb. 18, 2000--Representatives of computer aided design (CAD) software developer, Diehl Graphsoft, Inc. (Nasdaq:DIEG - news), today announced that it has been acquired by IT/AEC software development firm, Nemetschek AG, for $9.50 per share in cash in a deal valued at approximately $30 Million.

      Under terms of the agreement, Diehl Graphsoft will operate as a wholly-owned subsidiary of the publicly held, Munich, Germany based firm.

      The move positions Diehl Graphsoft as Nemetschek AG`s sole US subsidiary, joining the Nemetschek`s network of more than 40 branches and subsidiaries throughout Europe, including: Germany, Austria, Switzerland, Italy, France, Spain, Bulgaria, Croatia, Poland, Russia, Slovak Republic, Hungary, and Czech Republic.

      In keeping with its stated objectives of superior earnings growth and rapid expansion into international markets, Nemetschek AG integrated or acquired seven enterprises before its initial public offering (IPO) in March 1999, and has acquired eight additional enterprises since that time.

      ``We have a very clear acquisition strategy, which is based on two principles. We only acquire very successful companies which have proved to be the best players in their segment of the market,`` explained Nemetschek Chairman, Prof. Georg Nemetschek. ``We integrate their first-rate products into our existing product portfolio, thus creating a unique range of products on the market. At the same time the new associate and subsidiary companies contribute with their sales and earnings,`` he added.

      Diehl Graphsoft officials say they plan to utilize their existing distribution channels to market some Nemetschek products, although Nemetschek`s high-end CAD offering, ALLPLAN, and Diehl Graphsoft`s mid-range CAD product, VectorWorks, will not be consolidated and will continue to be marketed through separate channels.

      Diehl Graphsoft founder and CEO, Richard Diehl, says the most immediate impact of the merger will be the availability of Nemetschek AG products via Diehl Graphsoft`s international distribution channels. ``This acquisition allows both firms to maximize the synergies each brings to the computer aided design and systems integration markets. We will all benefit from sharing our technologies and advancing the bar via new product development across several target markets,`` offered Diehl. ``We are very pleased with this outcome and are excited about the promise this merger holds,`` he added.

      ``Diehl Graphsoft`s consistently strong sales and its consistent advances in CAD technology make it a valuable asset in our strategy for expanding our international reach,`` he said. `` This acquisition allows us to immediately establish a strong presence in the US AEC CAD software market and further expand our international market position,`` Prof. Nemetschek concluded.

      Diehl Graphsoft representatives report that the acquisition will not affect its announced strategy of expanding its product line and developing new, market specific add-ons. The first new product developed under this strategy, VectorWorks ARCHITECT, was released at the MacWorld Expo in January. Early sales figures indicate that the product has been very well received by the architectural CAD market, says Diehl.

      Nemetschek AG, founded as a consulting firm in 1963 by civil engineer, Professor Georg Nemetschek, is one of the largest architectural software vendors in the world, with annual revenues exceeding US $120 million (245 million DEM). Nemetschek is one of the world`s largest full-solution vendors of information and communications technology for the design, construction and management of buildings and real estate.

      Übrigens,
      DIEHL GRAPHSOFT ist an der Nasdaq gelistet.
      Kürzel ist DIEG. Am Freitag haben die schon 14% Prozent gemacht.
      In Berlin werden sie unter der WKN 897868 gehandelt.
      Dort kann man am Montag zuschlagen. Ich denke, die Pressemitteilung in Deutschland wird eine sehr hohe Nachfrage generieren.
      Auch dürften nun amerikanische Investoren auf Nemetschek aufmerksam werden. Da der neue Markt momentan sehr hoch bewertet ist kann man nun prima in Werte investieren, die bisher noch nicht so toll gelaufen sind.
      Mein Kursziel: 120 Euro in 6 Monaten.
      Bevor irgenwelche Kommentare folgen: Ja, das ist ein pushversuch !!

      Das muß nicht unbedingt sein. Eine weitere Möglichkeit wäre, daß Nemetschek plant durch die Diehl-Übernahme an der Nasdaq gelistet zu werden.
      Was dann mit den Kursen abgeht kann man sich leicht vorstellen.
      Nemetschek hat in der e-commerce Sparte wahnsinnige Zuwächse.
      Die machen ihren Vertrieb komplett über das Internet. Das spart Kosten und macht bestellen angenehm. Die Produktpalette wurde auch drastisch erweitert. Schaut euch www.nemetschek-direct.de an.

      COLUMBIA, Md.--(BUSINESS WIRE)--Jan. 14, 2000---Diehl Graphsoft, Inc. (Nasdaq Small Cap:DIEG) reported improved comparative revenues and net income for the second fiscal quarter and for the first six months for fiscal 2000, ended November 30, 1999.

      The Company attributes the improvements to further acceptance of its core CAD product, Vector Works.

      Fiscal 2000 second quarter revenues were $1,767,705 compared to $1,187,495 for the previous year`s similar quarter, an increase of 48.9%. The Company reported net income for the same fiscal period of $86,347, or $0.03 per diluted share, versus a net loss of $106,854 or $0.03 per diluted share a year earlier on 3,076,623 and 3,113,270 average weighted shares outstanding for the respective periods.

      For fiscal 2000`s first six months, revenues were up 45.3% to $4,447,253 versus $3,061,075 for the same 1999 period. Net income was $654,820, up 208% compared to net income of $212,664, while net income per diluted share was $0.21 and $0.07 for the respective fiscal 2000 and 1999 periods. Average weighted shares outstanding for the two periods were 3,069,655 and 3,130,154 respectively.

      The Company`s financial position remains strong. Working capital increased $1,239,182 or 14.8 % from $8,357,069 at November 30, 1998 to $9,596,251 at November 30, 1999. The Company had on hand at November 30, 1999, $9,697,646 in cash and marketable securities equivalent to $3.17 per share.

      Richard Diehl, President and Chief Executive Officer, commenting on the second quarter figures, said, "Even though our second fiscal quarter revenues and net income were up from last year`s comparative results, they did not reach the levels of our three previous strong reporting quarters. As we had earlier noted, these results were not unexpected. Our foreign distributors traditionally make large periodic purchases which was especially true in the prior two quarters following the initial response to our newest products, VectorWorks and RenderWorks. Since we did not have a comparable large order in the most recent quarter, revenues were lower."

      He added, "In comparing the 2000 fiscal second quarter with the similar 1999 period, revenues improved in both the Windows and Macintosh markets with the greatest increases coming from Windows where revenues were up 44%. It is important to note that in 1996 we refocused our strategies to enter the larger and faster growing Windows sector and stress this sector in our marketing efforts. For the second fiscal three months, 41% of revenues came from this sector while for the first first six months, Windows` revenues were 34% of our total."

      Mr. Diehl continued, "As we continue to aggressively expand our product portfolio, on January 5 at the Macworld Expo 2000 in San Francisco, we introduced our vertical product VectorWorks ARCHITECT, which is the Company`s first architecturally specific add-on module to VectorWorks. Our goal is to develop as many as six new industry specific add-ons over the next 24 months, with the second one currently scheduled for introduction in early summer and a third before the end of the calendar year."

      Ob es am Namen liegt? Nemetschek... Ich habe nichts gegen den Namen,
      doch muß ich zugeben, als ich mir die Aktien kaufte, zögerte ich, weil
      der Name so langweilig klingt. Wer macht sich aber heute noch die
      Arbeit zu schauen, was hinter einem Unternehmen steht? Es ist doch
      so: Hauptsache es sieht gut aus und klingt gut; 1&1 bzw. United
      Internet haben das verstanden.

      Kurz: Ich bin zur Überzeugung gelangt, daß Nemetschek ein
      hochinovatives und gleichzeitig konservatives Unternehmen ist. Ein
      klarer Kauf. Irgendwann gilt es: Back to the basics, die Fundamental-
      daten zählen - langfristig.
      Aber das gibt uns doch die Chance, überlegt einzusteigen, bevor die
      großen Kursgewinne schon gemacht wurden. Und bei Nemetschek bin ich
      mir sicher: Nach der Übernahme und der B2B Fantasie kommen ganz
      schnell die Empfehlungen und die überaus gute Kursentwicklung wird
      dann erst recht diese Aktie in den Focus der Anleger rücken. Dann wird
      allgemein bemerkt werden, zu welch niedrigem Preis auch am neuen
      Markt noch ein so excellentes Unternehmen zu haben ist.
      Fazit: Nemetschek - gut wer sie jetzt schon hat!

      Endlich kommen die guten Nachrichten bei Nemetschek! Hat ja auch lange genug gedauert. Ich hab` da nur noch eine kurze Frage bezüglich des Veröffentlichungstermiens der Diehl- Übernahme:

      Wenn ich richtig gerechnet habe, ist die news erst nach Börsenschluss (Frankfurt) bekanntgegeben worden, oder?! Allerdings hat mich ein Kollege von mir behauptet, dass dies schon während der Handelszeit am Freitag bekannt war! Nun bin ich mir nicht mehr sicher, was jetzt stimmt.

      Kann mir vielleicht jemand helfen? Danke schon Mal im voraus!

      Nemetschek wird die news sicher am Montag veröffentlichen.
      Da der Nasdaq am Freitag nicht gut gelaufen ist wird man sich bei uns am neuen Markt nach Titeln umsehen, die bisher noch nicht so gut gelaufen sind.
      Wer ab Donnerstag auf der cebit in Hannover ist kann sich ein eigenes Bild von Nemetschek machen.
      Sie haben einen großen Stand in Halle 22, Stand B-20.
      Auf der cebit wird dann event. auch noch eine neue Software vorgestellt, die alles bisher da gewesene in den Schatten stellt.
      Wer am Montag nicht kauft ist selbst schuld und kann den Kursen hinterher sehen.
      Kursziel 120 Euro.

      Die entscheidende Frage laute nun, ob Nemetschek den Tiefstkurs hinter sich habe. Die Spitze habe bei 95 Euro, das Tief bei 48 Euro gelegen, also eine glatte Halbierung für diesen an sich erstklassigen Software-Spezialisten im Bausektor. Die Börsenumsätze würden bereits zunehmen.       Das Researchteam von Hornblower Fischer empfiehlt derzeit die Aktien der Nemetschek AG (WKN 645290) zu kaufen.

      Die Softwarefirma aus München habe einen Anstieg des Absatzes um 41 % in 1999 vermeldet. Der Umsatz habe im vergangenen Geschäftsjahr 245 Millionen DM betragen. Das operative Ergebnis werde schätzungsweise 12 bis 18 % des Umsatzes ausmachen. Nemetschek sei der deutsche Marktführer im Bereich CAD/CAE Software. Das internationale Geschäft habe 25 % zum Absatz beigetragen, und das mit einem rasanten Wachstumstempo. Nemetschek entwickele one-stop-shop für Immobilien-Informationssysteme, elektronisches Dokumenten-Management und ihre traditionelle CAD/CAE Software. Der Gebrauch dieser Informationssysteme verspreche Einsparungen von mehr als 30 % im Immobilien-Lebenszyklus.

      Nach dem Auflösen der Investitionszurückhaltung aufgrund Y2K würden möglicherweise Abteilungen in der Datenverarbeitung von Unternehmen sich wieder auf Software zur Kosteneinsparung fokussieren.
