Globalen nanotechnology Firma pSivida Beschränkt (ASX Aus: PSD), ist zufrieden anzukündigen, dass sein Großbritannien, das Betriebstochtergesellschaft pSiMedica sich eingestellt hat, um sich zu 100 % Besitz Singapurs zu bewegen, pSiOncology Pte Ltd. pSiMedica stützte, zur Zeit besitzt 90 % von pSiOncology mit den restlichen 10 % gehalten durch General-Krankenhaus von Singapur (SGH), und Singapur stützte Biotech-Forschung riskiert Pte Ltd (BRV). PSiMedica, SGH und BRV haben vor kurzem Kasseninvestitionen in pSiOncology auf einer verhältnismäßigen Grundlage ganz gemacht um mit Kosten mitzuhelfen vereinigte die Phase IIa menschliche klinische Versuche für BrachySilTM, die später in diesem Monat anfangen. pSiMedica Extends Ownership of pSiOncology
Global nanotechnology company pSivida Limited (ASX: PSD), is pleased to announce that its UK operating subsidiary pSiMedica has positioned itself to move to 100% ownership of Singapore based pSiOncology Pte Ltd.
pSiMedica currently owns 90% of pSiOncology with the remaining 10% held by Singapore General Hospital (SGH) and Singapore based Biotech Research Ventures Pte Ltd (BRV).
pSiMedica, SGH and BRV have all recently made cash investments into pSiOncology on a pro rata basis to assist with costs associated the Phase IIa human clinical trials for BrachySilTM which commence later this month. Significantly this represents SGH’s first cash investment in a joint venture and is a strong measure of their support for the clinical programme.
Under the terms of the original Shareholders Agreement, SGH has the opportunity to increase its shareholding in pSiOncology upon achieving certain milestones linked to the development of the Company’s brachytherapy products. pSiMedica has negotiated to issue SGH a discounted quantity of pSiOncology shares and cancel the current milestone linked arrangements.
Importantly pSiMedica has also been able to secure a call option over SGH and BRV’s shares in pSiOncology, providing it with the ability to move to 100% ownership of the company. Should the call option be exercised SGH and BRV would be issued shares in pSiMedica representing less than 3.5% of its issued capital with pSivida retaining control of over 51% of pSiMedica.
pSivida’s Commercialisation Director and pSiOncology CEO, Dr Roger Aston said, ” We are extremely pleased with the progress being made at pSiOncology and in particular with our lead product, BrachySilTM. We believe that 100% ownership of our most progressed asset is a key to our commercial strategy and this latest corporate initiative will result in a more simplified ownership structure with pSiOncology to ultimately become a fully owned subsidiary of pSiMedica.”
