    Highlights Annual General Meeting ROODMICROTEC N.V. held on 24 April 2014

    During the Annual General Meeting of shareholders held on 24 April 2014, the following items were discussed.

    All the voting items on the agenda (adoption 2013 annual report, discharge of the management board, discharge of the supervisory board and approval of result appropriation) were passed.

    During the meeting, the auditor commented on the audit he performed, the (unqualified) audit report on the 2013 annual report, which as a pilot was very extensive, and the key audit matters contained in it. The auditor also corrected comments he made in the Annual General Meeting of shareholders held on 25 April 2013 regarding the investigation of RoodMicrotec N.V.'s audit dossier by the Netherlands Authority for the Financial Markets (AFM). During this meeting, it was remarked that RoodMicrotec N.V.'s dossier for the 2010 financial year had been examined by the AFM in the context of its regular checks. However, this was incorrect. What was done, was that the dossier was checked internally by the auditor.
    Furthermore, the name VEB was accidentally replaced by AFM in the minutes. In the relevant passage, VEB should have been mentioned twice instead of AFM.

    The minutes have since been adjusted and corrected. The adjusted and corrected version has meanwhile been placed on RoodMicrotec's website. The list of adopted resolutions is now also on the website.

    In the meeting, communication with shareholders was also discussed. This revealed that not all shareholders receive RoodMicrotec's bimonthly newsletter. RoodMicrotec hereby invites shareholders and other interested parties to subscribe to the newsletter. They can do so by writing an email to investor-relations@roodmicrotec.com.
