Annual General Meeting approves of domination agreement with Starwood

Berlin, 21 July 2014 - The annual general meeting of Design Hotels AG
resolved today, among other things, to approve of the domination agreement
between Design Hotels AG and Starwood Hotels & Resorts Worldwide, Inc. The
resolution regarding the approval of the domination agreement was passed
with a majority of 86.93 % of all shareholders present or represented in
the meeting. There were six objections put on record of the minutes. In
order to become effective, the domination agreement requires registration
with the commercial register. The registration with the commercial register
can be delayed or prevented in the event the resolution regarding the
approval of the domination agreement is challenged in court.
