Assystem to purchase a 51% interest in the Turkish company ENVY

Assystem and the shareholders of the Turkish engineering company ENVY Energy and Environmental Investments Inc ("ENVY") have today entered into an agreement pursuant to which Assystem will purchase 51% of ENVY's share capital, provided clearance is received from the Turkish regulatory authorities. The remainder of ENVY's share capital will be subject to puts and calls exercisable over the medium to long term.

ENVY was founded in 1999 by a prominent Turkish university Professor in mechanical engineering, Professor Selcuk Yahsi, who, together with members of his family, currently owns more than 99% of the company's share capital.

ENVY is a reputed player in the Turkish market for engineering services and generated revenue of around USD 13 million in 2015. It operates primarily in the energy and transport sectors and is notably involved in two power plant construction projects: Akkuyu (a Rosatom project) and Sinop (an Atmea project). Rosatom - the Russian operator and vendor of nuclear plants - is an important client of ENVY and access to this player is of strategic interest to Assystem in view of the potential it offers for developing business in a large number of geographic regions.

Assystem - through its Energy & Infrastructure division - and Professor Yahsi are determined to draw on their new partnership to enhance ENVY's development. They intend to do this by leveraging the company's existing technical capabilities and well-established client portfolio and by capitalizing on the added value that Assystem will bring to the company in terms of additional technical expertise and opportunities for broadening the company's geographical footprint.
