bondholders' meetings for the election of a joint representative on August

3, 2016

Munich, July 20, 2016

The local court Dortmund has convened three independent bondholders'

meetings on August 3, 2016. Sole purpose of these meetings is the election

of a joint representative for each bond. The major task of the joint

representative is to register all claims (nominal and interest) of the bond

with the insolvency administrator and to represent the bondholders in the

insolvency proceeding.

The venue for all bondholders' meetings is Messe Westfalenhallen Dortmund

(Halle 6), Rheinlanddamm 200, 44139 Dortmund, Eingang Messe West I.

The bondholders' meetings will take place on August 3, 2016 in the

following order:

- 6.75% bond 2012/17 (WKN: A1PGWZ): 10:00 am

- 7.00% bond 2014/18 (WKN: A12UAE): 1:00 pm

- 7.00% bond 2015/17 (WKN: A14J4G): 4:00 pm

Only bondholders or their authorised representatives are entitled to vote.

Please note that the court ordered personal attendance or representation by

a lawyer pursuant to sec. 79 German Code of Civil Proceedings (ZPO).

Representation by a third person, not being a lawyer, is not permitted.

One Square Advisory Services GmbH offers representation by their lawyers,

free of charge. The relevant proxy form, which also enables bondholders to

issue voting instructions, is available under the following link:

obliged to vote pursuant to the given instructions.

Bond 2012/17 (WKN: A1PGWZ) requires registration until July 31, 2016. A

blocking notice must also be submitted to STP Solution GmbH until July 31,

2016.

A registration for the bonds 2014/18 (WKN: A12UAE) and 2015/17 (WKN:

A14J4G) is not mandatory. Nevertheless, One Square Advisory Services GmbH

recommends a prior registration, to ensure eligibility beforehand. The

blocking notice must be available on the day of the meeting.

Please note, that after consultation with the court and STP Solution GmbH,

the participation of asset managers is subject to the following conditions:

- Asset managers, who are entitled to exercise their clients voting

rights for managed assets pursuant to the asset management contract,

can either participate in person or authorise a lawyer by PoA. The

asset manager's right to exercise the voting right on behalf of their

clients must be proved by presenting the relevant contract.

- Asset managers, who require a PoA from their clients in order to

exercise the clients' voting rights, cannot participate in the

creditors' meeting on behalf of their clients, unless they qualify as

lawyer and can be authorised pursuant to sec. 79 ZPO. Only the client

himself or a lawyer on his behalf can attend the bondholders' meeting

and exercise the voting rights.

In addition, please note the following:

In case a bondholder or asset manager, who is entitled to vote for its

clients pursuant to the provisions of the asset management contract, is a

legal entity, their representatives must prove their power of

representation by presenting an up-to-date excerpt of a commercial register

or similar authority (not older than 14 days).

The official language of German courts is German. Therefore, all documents,

not being in German, must be translated by a certified translator and the

translation must be certified.

One Square Advisory Services GmbH recommends all bondholders to send all

relevant documents to STP Solution GmbH and have them checked for

effectiveness. One Square Advisory Services GmbH also offers to assist all

bondholders in the registration process and to check all relevant documents

for correctness and completeness free of charge.
