Amberg, April 27, 2017 - Grammer AG announced today in accordance with section 26a of the German Securities Trading Act that the number of voting rights in the company had increased by 1,062,447 to a total of 12,607,121.

Grammer AG's share capital now comprises the shares with the identity number WKN 589540 (ISIN DE0005895403) as well as the new shares with the identity number WKN A2E41X (ISIN DE000A2E41W6) which arose on April 25, 2017 from the conversion of the mandatory convertible bonds issued on February 14, 2017.

The 1,062,447 new non-par-value shares will be voting-entitled at the company's annual general meeting on May 24, 2017. However, they are not dividend-entitled for fiscal year 2016.

As a precautionary measure, we wish to remind our shareholders that the new share capital may necessitate adjustments to voting right notifications under sections 21ff of the German Securities Trading Act if their notional percentage share in GRAMMER AG's capital has reached or dropped below the relevant disclosure thresholds under the German Securities Trading Act as a result of the issue of the new shares.

The company continues to hold treasury stock of 330,050 shares which do not convey any voting rights.
