Kirkel, 16 August 2006 - Praktiker Bau- und Heimwerkermärkte Holding AG istaking over the operational business of Max Bahr Holzhandlung GmbH & Co.KG. A corresponding agreement was signed by the two contracting partnersin Hamburg on Wednesday.

In its last financial year (01.03.2005 - 28.02.2006), Max Bahr´s net salestotalled EUR 726 million at 77 locations with a total sales area of 513,249m². Together with Max Bahr, the Praktiker Group will achieve annual salesof almost EUR 4 billion.

Praktiker is expecting a positive earnings contribution, startingalready in the first complete financial year.

By acquiring Max Bahr, Praktiker is improving its strategic position. Theexpansion into attractive East European markets will continue as planned.Equally, the Easy-to-shop concept shall be rolled out in Germany from 2007,as planned. These two strategic concepts will be supported by a two-brandstrategy in Germany with Praktiker as a discount-orientated brand and MaxBahr as a premium brand. As a result, additional customer groups shall beaddressed.

This transaction is still subject to clearance by the Federal CartelOffice.
