Seit 2008Ich habe jetzt selbst erfolgreich bei Dongfeng angefragt und eine sehr ausführliche Antwort erhalten, die ich Euch nicht vorenthalten will:
1. What happens if you do NOT sell your shares?
If the proposed merger is approved at the upcoming meetings on March 9, 2026, and you continue to hold your shares, the following will occur automatically:
Cancellation of Shares: Your DFG H Shares will be cancelled and the company will be delisted from the Hong Kong Stock Exchange (HKEX) [1].
Combined Consideration: You will receive a package consisting of both cash and new shares:
·Cash: HK$6.68 for every 1 DFG H Share you hold.
·VOYAH Shares: 0.3552608 VOYAH H Shares for every 1 DFG H Share you hold.
Automatic Process: If you hold your shares through a broker (in "street name"), your broker will receive the cash and the new VOYAH shares on your behalf. If you are a registered shareholder (your name is on the share certificate), cheques for the cash will be mailed to you (expected by March 27, 2026), and VOYAH share certificates will be despatched (expected by March 18, 2026).
2. The "Switch" to VOYAH Shares
There is no manual "exchange" or "switch" you need to perform. The distribution of VOYAH H Shares is a core part of the privatization deal. VOYAH H Shares are expected to be listed on the HKEX by way of introduction on Thursday, March 19, 2026 [1]. After that date, you will be able to trade your new VOYAH shares on the market just like you currently trade DFG shares.
3. What to do in the next few days
Since today is March 4, 2026, you have a very narrow window to act:
To Vote (Deadline: March 8): If you wish to vote on the privatization, you must return your proxy forms by 9:00 a.m. (for the EGM) or 9:30 a.m. (for the Class Meeting) on Sunday, March 8, 2026 [1]. If you hold shares through a broker, they may have an earlier internal deadline (likely March 5 or 6) for you to provide instructions.
To Sell on the Market (Deadline: March 9): The last day of trading for DFG H Shares on the HKEX is expected to be Monday, March 9, 2026 [1]. If you want to receive cash immediately and do not want to own VOYAH shares, you must sell your DFG shares on the exchange before the market closes on that day.
To Hold for the Deal: If you are satisfied with receiving HK$6.68 plus the VOYAH shares, you do not need to take any immediate action other than ensuring your contact/banking details with your broker are up to date.
