Notes to the Financial Statements
For the Year Ended 31 December 2003

During the year, the former immediate holding
company, China Construction Group Inc (“CCGI) sold
291,384,625 shares representing 38.75% of the issued
share capital of the Company. China Construction
Holdings Limited (“CIH) then ceased to be the ultimate
holding company as CIH holds 220,025,125 shares
representing 29.25% of the issued share capital of the
Company through CCGI after the disposals.
On 28 March 2003, CIH entered into an agreement
with its subsidiary, China Construction Civil Engineering
Limited (“CCCE) whereby CCCE undertakes the
payment of the amount due from CIH to the Group.
On the same day, CIH pledged the Tianjin Riverside
Garden (“TRG) to the Group for a period of six months.
Pursuant to the terms of the agreement, the ownership
of the TRG would be transferred to the Group if CCCE
failed to settle the amount due after the six months
period. However CCCE has the right to buy back the
ownership of the TRG if CCCE settle the amount due
within six months from the date of transfer of
ownership. During the year, the local government took
possession of the TRG and subsequent to the year end,
the local government authority, Tianjin Municipal Tanggu
District Construction Administration Committee, issued
a letter to CIH and the Group whereby RMB 18.1 million
will be compensated to CIH and the Group. Details are
set out in note 29(c).....

(c) TRG was pledged to the Group to secure the
amount due by CIH. During the year, the local
government took possession of the TRG. On 30
April 2004, Tianjin Municipal Tanggu District
Construction Administration Committee, a local
government authority, issued a letter to CIH and
the Group whereby RMB18.1 million will be
compensated to CIH and the Group.
On the same day, CIH, CCCE and the Group
entered into a supplementary agreement whereby
CIH and CCCE undertake that the compensation
from the local government will be used to settle
the amount of RMB15.1 million owed to the Group.....
