SanDisk Calls for Redemption of 4 1/2% Convertible Subordinated Debt

SUNNYVALE, Calif.--(BUSINESS WIRE)--Oct. 15, 2004--SanDisk Corporation (Nasdaq:SNDK - News), the world`s largest supplier of flash storage card products, today announced that the company has called for redemption on November 18, 2004 all of its outstanding 4 1/2% Convertible Subordinated Notes due 2006 (the "Notes"). The aggregate principal amount of Notes outstanding is $150 million.
Before 5 p.m. Eastern Standard Time on November 17, 2004, holders may convert their Notes into shares of SanDisk common stock at a price of approximately $9.22 per share, or approximately 108.5 shares of SanDisk common stock per $1,000 principal amount of Notes. Cash will be paid in lieu of fractional shares. The last interest payment for the Notes will be paid to holders of record as of November 1, 2004. For holders of record for the next interest payment, as long as the market price of SanDisk common stock is at least approximately $9.39 per share (the conversion price plus the redemption premium), a holder of Notes who converts after the record date for the interest payment will receive SanDisk common stock with a market value (plus cash in lieu of any fractional shares) greater than the amount of cash the holder would otherwise be entitled to receive upon redemption. Alternatively, holders may have their Notes redeemed at a total redemption price of $1,018.00 for each $1,000 principal amount due at the stated maturity, plus accrued and unpaid interest to, but excluding, the redemption date. Any Notes not converted on or before 5 p.m. Eastern Standard Time on November 17, 2004, after which interest will cease to accrue, will be automatically redeemed on November 18, 2004. Holders of Notes should contact their brokers with any questions.
