YAPI KREDI BANK; Yapi Kredi Bank decided to sell 2.4bn Turkcell
shares (1% of the paid-in capital) in Turkcell’s IPO.
Comment: Turkcell will be offered to the public at a value of
US$16.5bn-US$19bn, therefore we expect Yapi Kredi Bank to receive
US$165mn-US$190mn from the IPO. Yapi Kredi announced to add the IPO
revenues to its paid-in capital, which will be used to strengthen
the bank’s capital base allowing the bank to expand its asset size
via foreign borrowings. Considering the bank’s FY99 consolidated
IAS-29 shareholder’s equity figure of US$2,161mn the contribution of
the cash inflow from the IPO will be limited. Yet, it should be
reminded that the bank will still have a 1.6% direct and 10.1%
indirect stake in Turkcell after the IPO, which carries between US$2
bn-US$2.2bn liquidation potential.

YAPI KREDI
The bank announced that establishment of Turkcell Holding AS was
registered on December 28th, 1999. The new company has a paid in
capital of TL257 trillion (US$480mn) and Yapi Kredi has committed
TL51.4 trillion (US$96mn), TL12bn (US$20,689) of which in cash. Rest
of the contribution was realised with the transfer of 4,391,343
Turkcell shares.
Comment: It should be reminded that Cukurova Group companies would
have a 52.9% stake in Turkcell Holding, while Sonera Group would
47.01% and this company would control the majority stake of Turkcell
(the GSM operator).Considering the delicate shareholder structure
of Turkcell, we think the new company was established to protect the
Cukurova Group’s management rights on Turkcell after an IPO.
Therefore, we think the shares, that are not transferred to new
company will have a potential to be offered to public.

sonera (tkc anteil 37,1%, bis jetzt 9,5% verkauft), auswirkungen einer übernahme schwer einzuschätzen)
cukurova group (tkc anteil 11,7%, bis jetzt ca. 10% verkauft)
yapi kredi bank (tkc anteil ca. 5%, bis jetzt ? % verkauft)

ich kenne mich überhaupt nicht bei türkischen werten aus - turkcell ist also meine erste erfahrung
leider habe ich festgestellt das man sich ziemlich verrenken muss um an infos ranzukommen. wenig transparenz also.
was den türkischen aktienmarkt an sich angeht hat der ja schon ganz schön zugelegt und inzwischen ca. 20-30%
vom high verloren. ob sich jetzt eine trendwende vollzieht kann ich nicht abschätzen aber das betrifft wohl
z.zt. die meissten märkte.....

meine meinung zu tkc:
ich schätze das zumindest bis zum 1.oktober (ise100 aufnahme) der kurs wohl weiter sinken wird. wenn man das
risiko durch die verquaste aktionärsstruktur akzeptiert, kann man ja spekulativ einsteigen. trotz guter fundamentals
und noch besseren aussichten (!) sehe ich aber keine grosse zukunft für diese aktie.
tkc wurde/wird zum abmelken missbraucht, schliesslich gehen die ganzen verkaufserlöse nicht an tkc sondern
bessern die bilanzen der genannten unternehmen auf.
wenn der kurs tatsächlich steigen sollte könnte tkc wieder unter verkaufsdruck geraten weil min. 15-20% der
emission jederzeit auf den markt geworfen werden können. diese unsicherheit könnten nicht mal phantastische
ergebnisse aufwiegen. wenn der verkaufsdruck wegfallen würde wäre auch eine bessere bewertung möglich....
was für tkc spricht ist das zur zeit die meissten telekom werte geprügelt werden (sonera!) warum sollte dann
tkc eine ausnahme bilden ? ich kann natürlich auch falsch liegen aber das ist nunmal mein eindruck.
