Upgrade International Corp. Announces Changes to the Company`s Board of Directors

SEATTLE--(BUSINESS WIRE)--Sept. 20, 2000--Upgrade International Corporation (OTCBB:UPGD - news) is pleased to announce the appointment of Mr. Brian Kerr to the Board of Directors of the Company.

Mr. Kerr, the former President of the Institute of Chartered Accountants of British Columbia, and a current member of the Board of Governors of that entity is a financial professional with substantial business experience including a directorship of a senior reporting Company. Mr. Kerr completes the Board of Directors of Upgrade by providing to the Board of Directors the requisite balance of independence and financial experience required within the Company`s Charter for its audit committee function. This change was required in part to comply with requirements of the impending change of the Companys listing from the OTC Bulletin Board to the Amex Stock Exchange.

Further, the Board of Directors accepted the resignation of Mr. David Zucker, from the Board of Directors of Upgrade International Corp. Mr. Zucker remains as the President and Director of EforNet Corporation, a subsidiary Company of Upgrade. In conjunction with the Company`s pending acquisitions of Pathway`s Inc. and Cards & More, GmbH, the Company has decided to develop an executive committee comprised of the Presidents of each of Upgrade International Inc. subsidiary Companies. The executive committee will be a more effective way of integrating the operations of the subsidiaries into realizing Upgrade`s Corporate objectives states Mr. Bland, the President of Upgrade International Corp.

Upgrade International Corp. (OTCBB:UPGD - news), through its ownership interest in UltraCard Inc., Efornet Corp, and Centurion Technologies Inc, and its acquisitions in process of Pathways and Cards and More, is a SmartCard solutions provider including the development and commercialization of a patented, data storage technology UltraCard.
