Mr. Don Smith reports OREMEX RESOURCES INC.: CDN$7,000,000 PRIVATE PLACEMENT FINANCING Oremex Resources Inc. will proceed with a private placement consisting of up to 9,333,333 units at 75 cents per unit, for gross proceeds of approximately $7-million. This financing replaces the two private placements totalling $6-million that were reported in Stockwatch on April 11, 2006, and April 17, 2006. Each unit will consist of one common share and one-half of one share purchase warrant. One whole warrant will entitle the holder to purchase one additional common share for a period of 18 months at a price of 95 cents per warrant share, subject to an acceleration provision such that if, at any time following four months after the closing of the financing, the closing price per share on the TSX Venture Exchange is $2 or higher for 20 consecutive business days, the company may give the investors notice that the warrants must be exercised or they will expire within 30 days of such notice. The company will pay finders\' fees equal to 8 per cent of the sale price of the units, payable in cash or in units, at the option of the finder. If all of the units are sold, the gross proceeds to be realized by the company from the private placement will be approximately $7-million. The net proceeds, after payment of cash finders\' fees and offering expenses, will be used to finance infill and expansion reverse circulation and diamond drilling, related development work, and a preliminary assessment study on the Tejamen property. The net proceeds will also be used to finance exploration on the company\'s other six mineral properties, property acquisitions and for general working capital purposes. The securities to be issued under the offering will be subject to a four-month hold period. The offering is subject to the acceptance of the TSX Venture Exchange. We seek Safe Harbor. |
