The Wall Street Journal Interactive Edition meldet, dass CISCO den US

Cisco to Acquire Active Voice
For About $296 Million in Stock

A WSJ.COM News Roundup

SAN JOSE, Calif. -- Cisco Systems Inc. agreed to acquire Active Voice Corp., a provider of
Internet protocol-based messaging software, for about $296 million in stock.

The networking giant said acquiring Active Voice, Seattle, is part of its plan to develop a unified
communication network for businesses. Active Voice`s messaging software combines e-mail, voice
and fax messages into a common mailbox.

Under the terms of the deal, Cisco will pay about $266 million in stock
for Active Voice`s Unity operation and its IP-based unified messaging
software. Cisco also will pay roughly $30 million in stock for Active
Voice`s circuit-switched PBX voice-mail products, but Cisco said it will
immediately sell that operation to a new company launched by former Active Voice employees for
$30 million.

Cisco expects to take a charge of as much as two cents a share for in-process research and
development in connection with the acquisition. Both companies boards have approved the deal,
which is expected to close in the second quarter.

The deal marks another in a string of acquisitions for Cisco, which just several weeks ago agreed to
acquire the broadband subscriber-management software unit of Cais Internet Inc. for about $170
million in cash and stock. In September, Cisco bought Vovida Networks Inc. and IPCell
Technologies Inc. for about $369 million in stock.

In fiscal 2000, ended March 31, Active Voice earned $6.1 million including gains, or 57 cents a
diluted share, on sales of $74.4 million.

Shares of Cisco closed Thursday at $53.25, up $1.13, on the Nasdaq Stock Market. Active Voice
shares closed at 14.94, up six cents, also on Nasdaq.
