ADHOC - Mitteilung nach § 15 WpHG D.Logistics baut Marktstellung im Life Science-Bereich um 120 Krankenhäuser aus Hofheim: Die D.Logistics AG (WKN: 510 150) hat einen weiteren entscheidenden Schritt zum Ausbau ihrer Marktstellung im Life Science-Logistikmarkt getan. Über das Tochterunternehmen Aescudata wurde ein bindender Vorvertrag über den Erwerb des gesamten Materialwirtschaftsteils der Systema Human Informations Systems GmbH (Steyr) geschlossen. Im Gegenzug erhält Systema 25,1% der Aescudata GmbH. Neben einer nunmehr gemeinsamen Plattform im Wachstumsmarkt IT-Materialwirt- schaft für Krankenhäuser, kommen mit dem Erwerb weitere 120 Krankenhäuser in Deutschland, Österreich und der Türkei als Kunden der D.Logistics-Gruppe hinzu. Erhebliche Synergieeffekte ergeben sich sowohl auf der Entwicklungs- wie auch auf der Serviceseite. Zusätzlich wurde eine Cross-Selling Vereinbarung zwischen der D.Logistics und der Systema GmbH geschlossen. Weitere 4 % an der Aescudata übernimmt die uhb consulting GmbH, St. Wolfgang. Aescudata wird sich darüber hinaus mit 25,1% an der data net solutions GmbH beteiligen. Im Bereich IT-Materialwirtschaft für Krankenhäuser hat die D.Logistics AG damit die Marktführerschaft in Deutschland weiter ausgebaut. Its Aescudata GmbH subsidiary has signed a binding preliminary agreement to acquire the entire assets of the logistics operations of Systema Human Information Systems GmbH, Steyr, Germany, in exchange for 25.1 % of its common stock. Under parallel transactions, uhb consulting GmbH, St. Wolfgang, Germany, has acquired a 4-% interest in Aescudata GmbH and Aescudata GmbH is acquiring a 25.1-% interest in data net solutions GmbH. In addition to providing the D.Logistics Group with a common platform for addressing the rapidly growing IT-based hospital-logistics market, the acquisition adds a total of 120 hospitals throughout Germany, Austria, and Turkey to its customer base and will generate major synergies in the business-development and services areas.
