18Apr2001 GERMANY: Metabox gains as small investors offer extra cash.
FRANKFURT, April 18 (Reuters) - Shares in German set-top box maker Metabox gained 16 percent on Wednesday after a group of shareholders said it was ready to support the company with up to two million marks ($898,900) in new capital.
Metabox stock surged 16.13 percent to 1.80 euros by 1304 GMT, while the Neuer Markt all-share index was up 5.45 percent. The company is still trading 96 percent below its 45.80 euros all-time high of July last year.
Karl-Heinz Jaeger, a spokesman for Aktionaersgemeinschaft Metabox, told Reuters the group of 86 private investors was prepared to buy shares via a private placement at a price no lower than the current market level.
Jaeger said the investors, who already have a combined stake of five to six percent, would make the investment to support the company`s restructuring programme.
Metabox spokeswoman Aenne Schaper confirmed that the group had held talks with the management board, but said no decision had been taken yet on whether to carry out a capital increase.
The shareholder group said it believed in the company`s operative strength, despite an investigation of Metabox`s board by the Hanover state prosecutor concerning alleged share-price manipulation.
Last year, shares in Metabox came under pressure after the company reduced its sales forecast several times and after it halved already reported 1999 results.
The company said in March it would lay off about 30 percent of its personnel in order to concentrate on its core business, the production of set-top boxes.

Shareholders back Metabox

Shares in Metabox, a set-top box manufacturer, rose nearly 20 per cent yesterday when a group of small shareholders said they wanted to provide the company with additional capital to support its restructuring programme.

Yesterday`s show of support was unusual in a country where shareholder activists have reacted to the recent equity downturn by filing numerous civil and criminal complaints against affected businesses.

The 86 shareholders, who own more than 5 per cent of Metabox, said they were willing to raise their stake through a private placement at the current market price and would commit up to DM2m (Euros 1m, Dollars 890,000) of their own funds. Bertrand Benoit, Frankfurt
