News@CHS@nline Ch Grand Forest (00910) amends acquisition terms 2008/06/23 08:30 (Infocast News) China Grand Forestry Green Resources (00910) has signed a supplemantal agreement regarding its proposed acquisition of Shenyu New Energy Group Limited. The supplemental agreement mainly increases the cash to be paid by China Grand Forestry as part of the total consideration from $400 million to $1.2 billion, and reduces the size of the convertible notes as part of the total consideration from $3.6 billion to $2.8 billion, so that the total consideration will be settled as to 30% with cash and 70% with convertible notes. The convertible notes are convertible into shares at $2.5 per share. China Grand Forestry will settle the payments in four instalments by 30 September 2011. China Grand Forestry has applied to the Stock Exchange fore resuming trading in its shares starting from this morning. The latest supplemental agreement is entered into after executing further due diligence exercise and reviewing the preliminary valuation reports from Pöyry Forestry Industry Ltd. and LCH (Asia-Pacific) Surveyors Limited, China Grand Forestry says |
