[posting]36302495[/posting]ASX RELEASE 16 January 2009 SECTION 708A NOTICE Perth, Australia – 16 January 2009 – Bannerman Resources Ltd (ASX: BMN, TSX: BAN, NSX: BMN) ("Bannerman" or the "Company") advised, on 17 December 2008 its subsidiary Bannerman Mining Resources (Namibia) Pty Ltd (“Bannerman Namibia”) had entered into an agreement to settle the litigation against Bannerman and others brought by Savanna Marble CC (“Savanna”) and certain associated parties. On January 12, 2009, the Company issued 5,500,000 fully paid ordinary shares to Savanna pursuant to the terms of the settlement agreement. In accordance with the requirements of section 708A(5)(e) of the Corporations Act 2001 (Act), under which this notice is given, the Company confirms that: 1. the Shares were issued without disclosure to investors under part 6D.2 of the Act and without a prospectus (as such term is defined under the Act) being prepared; 2. the Company as the issuer of the Shares is subject to regular reporting and disclosure obligations; 3. as at the date of this notice, the Company has complied with: (a) the provisions of Chapter 2M of the Act as it applies to the Company; and (b) section 674 of the Act as it applies to the Company; and 4. as at the date of this notice, there is no excluded information (within the meaning of sub-sections 708A(7) and (8) of the Act) in relation to the Company.
