MicroHoldings US, Inc. Acquires 40% of MicroCars, Ltd., a Sri Lankan Manufacturer of Automobiles

SAN DIEGO -- MicroHoldings US, Inc. (Pink Sheets:CTXI) today announced that it has signed an agreement to acquire a 40% equity stake in MicroCars, Ltd. Micro Cars is an 11-year-old company that has successfully designed and operated an automobile manufacturing and assembly facility in Sri Lanka. The transaction requires MicroHoldings US (Holdings) to pay $300,000 in cash over the next six months to MicroCars. Shareholders of MicroCars will also receive warrants in Holdings, exercisable after two years.

Established in 1995, MicroCars, Ltd. is the only automobile manufacturer in Sri Lanka, and offers a unique, cost effective system for assembling quality cars using local labor and available local materials. Created by Dr. Lawrence Perera, previously an engineer at BMW and Volkswagen, MicroCars features a line of vehicles that includes a sedan, a coupe, a minivan and a four wheel drive pickup truck.

Stated Jeffrey Flannery, CEO of MicroHoldings US, Inc., "The decision by both Parties to take this step was the result of working together for over a year and seeing the benefit of establishing a closer working relationship. Holdings previously acquired a subsidiary of MicroCars, MicroCars International, which gave Holdings the international licensing rights to foreign car and plant sales. This new agreement supersedes that previous agreement, formalizing those international rights and providing Holdings with the 40% equity position in MicroCars in exchange for the cash payments. Holdings management has indicated that the cash payments for this transaction will come from private investors.

MicroHoldings US, Inc. Signs Nonbinding Agreement to Acquire Global Vision Telecom; Announces...

SAN DIEGO -- MicroHoldings US, Inc. (Pink Sheets:MHUS) today announced that it has signed a non-binding agreement to acquire Global Vision Telecom, Inc., a privately held company that provides international calling services and network management systems.

The final agreement will be a stock for stock exchange between the companies and is pending due diligence. MHUS also controls the international rights to the MicroCars assembly system.

Stated Jeffrey Flannery, CEO of MicroHoldings US, Inc., "As a holding company, we felt it was important to begin diversifying the companies within Microholdings so as to have a variety of solid revenue sources and to create additional opportunities for MHUS to grow and be profitable. GVT is a good company for MHUS in that it is run by established professionals in the telecom industry who have a track record of building large successful telecom companies."

MicroHoldings US, Inc. Signs Letter of Intent to Acquire Second Telecommunications Company in Germany

SAN DIEGO -- MicroHoldings US, Inc. (Pink Sheets:MHUS) today announced that it has signed a nonbinding letter of intent to acquire a second German company, GDS Global Destination Services, GmbH, an established provider of international carrier services. The acquisition of GDS is dependent on the Parties completing due diligence and executing a Final Agreement.

Earlier this week, MHUS announced an LOI to acquire Merkur Telekom, a German provider of prepaid calling services. Although distinct in the types of services they provide, Merkur and GDS are sister companies, and the Parties agreed today to pursue an acquisition of both German companies. According to unaudited financials, GDS produced more than 2.5 million Euros, or $3.36 million US, in gross revenues for 2006.

"The acquisition of GDS provides us with a base of profitable operations on which to launch our new services in the European markets," stated Joe Putegnat, Director of Operations for MHUS. "After discussions, we all decided it was in our best interests to acquire both entities. In fact, both companies give us combined and complementary revenues of nearly $7 million per year. We are excited to bring both companies online with MHUS."
