Company Press Release
NetCommerce Inc. Signs Letter of Intent to Acquire an Equity Interest in NetCom ISP to Provide High Speed Internet Connectivity Services to Business Customers
DALLAS--(BUSINESS WIRE)--Feb. 4, 2000--NetCommerce Inc. (OTCBB:NEET - news; http://www.netcommerceinc.com) Friday announced that it has signed a letter of intent to acquire an equity interest in NetCom ISP Inc., a Texas corporation (http://www.netcomisp.com) which provides bandwidth services to business customers.

The company expects the transaction to close in March and is subject to the approval of each company`s board of directors.

The company expects the acquisition to expand the existing business of its subsidiary, Metroplexweb (http://www.metroplexweb.com), with national dial-up, wireless, DSL, T-1, T-3, and other broad bandwidth services in the Dallas area, and eventually in other Metroplexweb cities.

``We are very excited about this opportunity,`` said Netcom ISP`s president, John Thompson. ``We are developing the business-to-business end of our ISP services with a focus on small to medium size businesses. Metroplexweb`s extensive marketing program should enhance revenues by providing value-added services at minimal additional cost.``

Thompson has an extensive background in broad bandwidth sales, services, and technical applications. Thompson most recently served as customer engineering manager for the Central Region for Verio (Nasdaq:VRIO - news) based in Dallas.

Mark Lindberg, chief executive officer of Metroplexweb, said, ``This acquisition should result in expanding the range of services and technical support we offer as part of our city directories for small to medium sized businesses generating additional revenues for the company.``

Recently, NetCommerce announced its intent to acquire Currentmedia LLC (http://www.currentmedia.com), a Utah-based Web design and Web development firm, as part of its expansion of Metroplexweb`s outreach into Salt Lake City and surrounding communities (http://www.saltlakecityweb.com).

NetCommerce Inc. is an Internet holding company establishing wholly owned or partially owned subsidiaries in the Internet, Web page design and e-commerce industries. Metroplexweb Inc., NetCommerce`s first acquisition and wholly owned subsidiary, operates city directories throughout the United States. Metroplexweb currently has over 7,000 business listings in its Dallas/Ft. Worth area and has done over 3,000 Web sites for small to medium sized businesses in the area.
