FRANKFURT, Germany--(BUSINESS WIRE)--Nov. 18, 1999--NetCommerce, Inc. (OTCBB:NEET - news; www.netcommerceinc.com) announced today that it has entered into a definitive financing agreement with Quantum Securities (www.quantum-securities.com) to effect a private placement of up to $5,000,000 of its securities on the European Markets. The agreement with Quantum Securities follows last month`s listing of NetCommerce stock on the Frankfurt Stock Exchange. The Company spokesman said, ``The proposed funding will be utilized by NetCommerce to expand the operations of its subsidiaries: Metroplexweb -- including the opening of a Metroplexweb office and `city directory` website in Salt Lake City, Utah (www.saltlakecityweb.com) and for InterCom.`` Speaking from Frankfurt, Mark Lindberg said, ``We intend to replicate our Dallas, Texas `city directory` plan in five to seven major U.S. cities over the next 12 months. Salt Lake City is our first stop. This relationship with Quantum Securities should enable the Company to fund its expansion in the U.S. and its activities overseas. With the expansion of the Metroplexweb activities, and as we capture large numbers of new web design clients in the new metropolitan areas, next quarter`s revenues should greatly improve.`` NetCommerce, Inc. is a fully reporting public company and plans to hold equity positions in ISP, software development, and additional sales companies specializing in e-business. The Company`s Internet services, including web page design, web hosting and ISP marketing activities are conducted through Metroplexweb, Inc., a Nevada corporation. Metroplexweb has been delivering website design, hosting and Internet directory services to Dallas area businesses since September of 1996. Metroplexweb currently operates a business listing directory which includes approximately 7,000 Dallas area merchants. Metroplexweb has also designed approximately 3,000 websites for businesses listed in its directory. The Company`s Internet-related telecommunications services, including prepaid calling cards, remarketing of long distance services and its recent venture to license and market the Web Video Phone software, are conducted through InterCom, Inc., a Nevada corporation which, earlier this year entered into an agreement to purchase 47 percent of Anyuser.Net Corporation. Anyuser.Net is a South Korean corporation founded in May 1999 by former principals and employees of internationally known South Korean-based telecommunications, Internet software and marketing companies. Anyuser.Net develops and markets software products as a replacement for the PC for those computerless homes and offices. Both Metroplexweb and InterCom are wholly owned subsidiaries. InterCom is presently a development-stage company. Anyuser.Net, subject to the pending acquisition, will become a 47 percent owned subsidiary of InterCom. |
