LUCENT TECHNOLOGIES CLOSES MANUFACTURING AGREEMENT WITH CELESTICA INC.


TUESDAY, Sept. 4, 2001

MURRAY HILL, N.J. -- Lucent Technologies (NYSE: LU) today announced it has closed its agreement with Celestica Inc. (NYSE, TSE: CLS) to transition its manufacturing operations at Oklahoma City and Columbus, Ohio, and has commenced its five-year manufacturing supply agreement.

Toronto-based Celestica, a world leader in electronics manufacturing services, will pay Lucent about $570 million in cash, subject to post-closing adjustments, for Lucent`s plant and property in Columbus and the equipment and inventory at both facilities. Celestica will supply Lucent with the switching and access products made at the Oklahoma City facility and the wireless networking equipment made in Columbus as part of a supply agreement with a potential value of up to $10 billion.

The decision to transition the manufacturing operations at these two facilities is part of Lucent`s strategy to expand its use of contract manufacturers. This will enable the company to focus its resources on developing the advanced networking systems needed by the world`s largest service providers while leveraging the expertise of leading contract manufacturers such as Celestica.
