Kaufen wuerde ich nicht: Plateau Energy Metals Announces Private Placement NOT FOR DISTRIBUTION TO U.S. NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATES TORONTO, Aug. 22, 2019 (GLOBE NEWSWIRE) -- Plateau Energy Metals Inc. (“Plateau” or the “Company”) (TSX-V: PLU | OTCQB: PLUUF) is pleased to announce its intention to complete a non-brokered private placement (the "Offering") of up to 4,000,000 units (the "Units") at a price of C$0.25 per Unit for gross proceeds of up to C$1,000,000. Each Unit will consist of one common share in the capital of the Company (a “Share”) and one-half of one non-transferable common share purchase warrant (each whole common share purchase warrant, a “Warrant”). Each whole Warrant will be exercisable to acquire one Share at an exercise price of C$0.50 per Share for a period of 24 months from the date of issuance. In connection with the Offering, the Company may pay finders’ fees to eligible finders of up to 6% of the gross proceeds received and may issue warrants equal to 6% of the Units placed (“Finders’ Warrants”). The Finders’ Warrants will have the same terms as the Warrants forming part of the Units. The Offering will not be subject to a minimum subscription amount. The Company intends to use the net proceeds from the Offering for working capital and general corporate purposes. The Offering is scheduled to close on or about September 17, 2019 (the “Closing Date”), and is subject to certain conditions customary for transactions of this nature including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange. The securities issued under the Offering will be subject to a statutory hold period of four months and one day following the Closing Date. |
