LONDON (CBS.MW) - KPNQwest on Thursday filed for bankruptcy protection Thursday shortly after its five-member supervisory board resigned.

"The company continues to believe that there is substantial risk that there may be no underlying value to either its debt or equity securities," KPNQwest said in a brief statement.

Shares (KQIP: news, chart, profile) (NL:36492: news, chart, profile) were halted at the open in Amsterdam. U.S. long-distance carrier Qwest (Q: news, chart, profile) owns 47 percent of the company; Dutch carrier KPN owns 40 percent.

The board resigned last night, the company said. Qwest had two representatives on the board; KPN had one and the final two were independent.

"The board recognized that in light of the current situation of the company that their influence has been significantly diminished," a spokesman said.

Last week, the company warned it was running out of cash and that its shares could be worthless. See full story

On Wednesday, KPNQwest reiterated the warning, saying its bankers "has insisted that making certain asset sales in a timely manner would be a requirement to any standstill agreement and the company has also not been able to conclude these asset sales to date."

The company is reviewing "serious offers" for its non-core assets and has other cash-based deals on the table, the spokesman said, but added that as nothing has been confirmed, and that the company is remaining cautious.

Qwest made clear last week it`s not planning to lend KPNQwest any more money.
