The sender is solely responsible for the contents of this announcement.<p>--------------------------------------------------------------------------------<p>Effective as of July 1, 2002 Bipop-Carire shares will be traded ex-merger and, on that same date, Bipop-Carire shareholders will receive Banca di Roma shares in accordance with the exchange ratio already published,and the procedures set out herein. Effective on that same date, Banca di Roma S.p.A. will be renamed Capitalia, Società per Azioni, and Bancaroma Banking Group will change its name into "Capitalia" Banking Group. Please note that the shares in Capitalia (formerly Banca di Roma) issued in execution of the de-merger, and the shares in Bipop-Carire issued in execution of the merger, will be deposited in dematerialized form with the centralized securities depository Monte Titoli SpA. With respect to the Capitalia (formerly Banca di Roma) ordinary shares, issued in execution of the de-merger to Bipop-Carire shareholders, Bipop-Carire, through brokers who are member of the centralized securities management system of Monte Titoli S.p.A, will provide treatment of any share fractions to integers for its shareholders, free of any charge, stamp duty or fee.
