Hallo dosto,
über deine Meinung regt sich hier doch keiner auf, wohl eher über den unerwartet angekündigten Reverse Split.
Die Firma kommt nicht so richtig weiter??? Lies dir bitte den NEUEN Bericht zum NEUEN 2. Quartal durch und nicht immer den gleichen vom letzten Jahr.
Hab dich zwar echt vermisst, aber jetzt ist es spät (oder besser gesagt früh) und ich gehe erstmal schlafen.

=DJ Talk America Down -2:Sees Split Aiding Coverage,Stk Offer

NEW YORK (Dow Jones)--Tiny telecommunications start-up Talk America Holdings Inc. (TALK) saw its
shares fall to their lowest level in several weeks Wednesday during the trading session that followed its
announcement of second-quarter earnings and a reverse stock split.

The quarter was Talk`s first since it restructured its balance sheet through an exchange offer for its
convertible notes, which was completed April 1.

The company reported earnings of $9.4 million, or 11 cents a share, on revenue of $77.7 million for the second
quarter. A year ago, before the 2002 debt restructuring, Talk posted nearly twice as much quarterly revenue,
but it lost 80 cents a share.

Earnings before interest, taxes, depreciation and amortization, was $16.7 million, well surpassing the company`s
forecast of $10 million to $12 million given when first-quarter results were reported. Later, Talk had hiked its
EBITDA forecast to $12 million to $14 million. The company had predicted revenue of $75 million to $80
million at the end of the first quarter.

Talk also announced it will seek shareholder approval for a 1-for-3 reverse stock split, expected to be
completed in the fourth quarter of this year.

** Chairman and Chief Executive Gabriel Battista told Dow Jones Newswires that plans for the reverse stock
** split rather than the financial results were causing Wednesday`s selloff.

** "There is a perception relating to the fact that usually the people to do this do it because they`re facing
** delisting," he said, adding that this is not the case for Talk. Earlier this year, the Nasdaq had notified Talk that it
could face delisting as its shares failed to meet the minimum bid price. Talk`s share price has been over $1
since the end of April and, until Wednesday`s nosedive, over $3 since late June.

** Battista said that Talk`s reasons for the reverse stock split are to attract more institutional investors and
** sell-side analysts, who may be restricted from buying or launching research on stocks that trade for less than
$5 a share. Currently, no sell-side analysts cover the stock, he said. Boosting the stock price will also give the
company flexibility to issue more shares, he added.

** "Some of our investor base that`s more short-term oriented might not like it," he said. "Our key institutional
** holders like the idea."

Institutional shareholders, including Legg Mason, one of the company`s largest investors, couldn`t be reached
for comment.

Talk shares recently traded at $2.66, down $1.14, or 30% on volume of 2.5 million compared with the daily
average of 973,000.
