demand for drugs. As we all know, older consumers use more drugs than their younger
counterparts. And America is rapidly aging -- the over 65 segment of the population will
become the fastest growing demographic over the next 20 years. That spells higher

Management
Holmes BioPharma’s management team is experienced in all aspects of management,
marketing and operation of the clinical research and drug development business. The
group has successfully carried out complex clinical operations and trials. The company’s
core management team will consist of clinical researchers and administrative staff.
Holmes BioPharma will utilize Qualia as the operating company to manage and conduct
the growing number of research contracts for clients in the drug and biotech industries.
John F. Metcalfe – President, Holmes BioPharma
Mr. Metcalfe has been President of the public company since 2002. He has a
background in business development and marketing. He spent five years with Moore
Corporation, the world`s largest designer and supplier of business forms and related
office solutions where he held positions including Director of Marketing and Consulting
Services. In addition, John has served as President and a Director of an anti-virus
software company with proprietary software. He is a career-oriented team player with
proven leadership, sales, marketing and business management qualities. His role will
be to work with Qualia’s management to insure the CRO meets its budget and sales
objectives.
Dr. Sohail Khattak, MD – President, Qualia Clinical Service Inc.
Dr. Khattak has worked extensively in the research field for over 18 years. He is a Fellow
of the Royal College of Physicians and Surgeons of Canada and the Research Division of
Hematology Oncology at the Hospital for Sick Children, Toronto. Over the years, he has
served as an advisory board member for leading drug companies including Abbot,
Novartis, Jansen Ortho and Shire Pharmaceuticals. His body of work includes research,
design and supervision of Phase I, II, III and IV trials, organizing first-in man studies,
setting up bioequivalence, bioavailability and ADME studies. He has also overseen the
writing and implementation of clinical Standard Operating Procedures working with the
FDA and other international regulatory bodies. Dr. Khattak is a member of multiple drug
research and medical associations including the Canadian Medical Association, the
Ontario Medical Association, the Canadian Society of Clinical Pharmacology, the Drug
Information Association and a Board Member the Occupational Health Clinics of Ontario.
He has received many awards for his research, particularly in the areas of pediatric
oncology and pregnancy. He has published numerous papers and peer review articles.
Dr. Khattak continues to aid in the further clinical research with affiliations as Staff at the
Division of Clinical Pharmacology and Toxicology at The Hospital For Sick Children,
Toronto, Canada, as an assistant professor, Department of Pediatrics University of
Toronto, Canada and as a research associate at Trent University, Ontario, Canada. He
continues his work in the pediatric field and presents at leading international conferences.

Masood M. Bhatti, Ph.D. – Chief Operating Officer, Qualia Clinical Service Inc.
Dr. Bhatti has a long history of working in the research and investigational research field.
He completed his Ph.D. and lectured at the University of Alberta, Edmonton. Since 1991
he has worked with several first tier clinical research organizations including Biovail
Contract Research (which he currently serves as Director of Clinical Operations),
PharmaMedica Research Inc., PKDM Purdue Pharma, and Covance Laboratories in
Madison Wisconsin. His work spans the entire spectrum of clinical research and all
phases of trials, along with budget management, administrative structure and overseeing
all facets of a research organization.
Dr. Bhatti has been published in major medical and clinical research peer review
publications and has contributed dozens of abstracts on his research over the years. He
is widely regarded as a skilled research administrator within the clinical research
industry.
Khurshid Iqbal, Ph.D. – Director of Drug Development, Qualia Clinical Service Inc.
Dr. Iqbal is a senior pharmaceutical R&D executive with extensive experience in
management, planning and execution of all phases of pharmaceutical development with
leading multi-national pharmaceutical organizations. He is attributed with numerous
outstanding accomplishments and expertise in pre-clinical, clinical and drug delivery of
pharmaceutical products. Dr. Iqbal possesses an excellent knowledge of the worldwide
project management, regulatory requirements. He has proven leadership ability in
managing senior level, multi-disciplinary global R&D teams and is truly an accomplished
scientist. His professional affiliations include the American Association of
Pharmaceutical Scientists and he has been published in multiple peer journals.

Financing
Holmes BioPharma is a division of Holmes Herbs Inc., a publicly listed company on the
OTC Bulletin Board, trading symbol HMHB. The total capital required to fund the initial
operations of Qualia for its twelve-month horizon is approximately US$5 million.
This investment has very limited downside risk and tremendous upside potential.
The investment risk is modest since Qualia’s management have been servicing Fortune
500 clientele for several years and have a unique formula for contract research.
Outsourcing research – which contributes to Qualia’s anticipated client base – is growing
at an unprecedented rate and is increasing due to the current environment. Above all,
the blended capabilities of Qualia’s management combined with the financial resources
of Holmes BioPharma will allow the company to capture a significant market share in the
contract research industry.
Exit Strategies
There are three likely exit strategies available:
• Buy Out:
By a large integrated clinical research firm. The large ($ billion plus revenue)
international research services companies have been aggressively acquiring smaller
firms. As envisioned, Qualia would make a worthwhile target, at significant premium
valuation.
• Merger:
With a well-run clinical research organization or services company. Many of the
companies seeking a position in the outsourcing research sector look for companies
with a strong portfolio of proven clients and methodology as an entry point; Qualia
would be worth a significant premium valuation.
• Public Company:
As a public company, Holmes BioPharma intends to move onto a national US
exchange as Qualia’s business operations develop, providing existing shareholders
with liquidity opportunities as demand for the shares increases from institutional
investors.

ITEM 2. MANAGEMENT`S DISCUSSION AND ANALYSIS OR PLAN OF OPERATIONS
Executive Overview
Our strategy was to engage in the distribution of herbal and natural medicine products, beginning with e-commerce transactions and we had plans to expand through an "800" telephone ordering system and retail outlets in the United States. However, we completed a test marketing program of our SOLAR THERM products, utilizing our online store in an effort to determine market demand for the product. The test marketing results proved unsatisfactory for our business plan.
In June 2005 we entered into a non-binding letter of intent to acquire certain assets and develop a clinical drug research and development business under the name Holmes Biopharma. Under the terms of the letter of intent, we are working towards a binding purchase agreement to acquire and develop certain assets of a business called Qualia Clinical Research Services, with operations in Philadelphia, Pennsylvania, U.S.A. and Toronto, Ontario, Canada. To facilitate this transaction, on June 6, 2005, we incorporated a wholly-owned subsidiary, Qualia Clinical Service Inc., a Nevada corporation, for the purpose of developing a clinical drug research and development business. We expect to finalize this agreement within the next 90 days, but there can be no assurance we will successfully close these negotiations. Also, all risks inherent in new and inexperienced enterprises are inherent in our plan.
Liquidity
We will have to raise additional capital in the next twelve months. As of June 30, 2005, we had $7,432 in cash and total current liabilities of $41,114. We have not recorded revenues from operations for the past two fiscal years and our auditors have expressed concern regarding our ability to continue as a going concern. Additional financing is required in order to complete the plans necessary for our growth and new product strategy. We are seeking financing in the form of equity and debt in order to provide working capital, but if we are unable to obtain
necessary funding, we may be forced to delay our business development plans.
Financing
In April 2005 we conducted a private placement of 100,000 shares of common stock at $0.50 per share. As of June 30, 2005, we received subscriptions for 28,500 shares for gross proceeds of $14,250 from this private placement. However, as of the date of this filing, we have not closed the private placement and the shares have not been issued.
We also intend to conduct an offering in Europe pursuant to Regulation S to raise additional funds. Regulation S provides for the offers and sales of restricted securities outside of the United States. These securities are not registered under the Securities Act of 1933 and cannot be offered or sold in the United States unless registered under the Securities Act or an exemption from registration is available. We intend to offer an aggregate of 10,000,000 shares of common stock in this offering. As of the date of this filing, we have authorized and transferred 2,000,000 common shares for this offering to a trustee for the sole purpose of selling these shares, but we have not received any proceeds from this offering. We agreed to pay the trustee a fee equal to 5% of the selling value of the Regulation S shares, and our agent will receive a financing fee equal to 35% of the selling value of the Regulation S shares. Any shares of common stock not sold by the trustee will be returned to Holmes Herbs at our request.
Commitments
In May 2005 we were able to negotiate the extension of the term of a Convertible Debenture Agreement, dated September 29, 2003, between Holmes Herbs and Rockridge Capital Corp. This agreement provided Holmes Herbs with up to $100,000, at 10% interest per annum, in working capital financing. The loan is convertible into our common stock at $0.50 per share. On May 18, 2005, we authorized the issuance of an aggregate of 10,600,000 common shares in consideration for $10,600 paid in cash and the extension of the term of the Convertible Debenture Agreement for an additional two years; until September 29, 2007.
New Accounting Pronouncements
In December 2004, the Financial Accounting Standards Board issued SFAS No. 123 (revised 2004), "Share-Based Payment." SFAS No. 123R replaced SFAS No. 123 and superseded Accounting Principles Board Opinion No. 25. SFAS No. 123R will require compensation costs related to share-based payment transactions to be recognized in the financial statements. The effective date of SFAS No. 123R is the first reporting period beginning after June 15, 2005. The adoption of SFAS No. 123 (revised 2004) should not have a significant impact on our financial position or results of operations until we have share-based payments.
