Hiking Adventures signs Letter of Intent to acquire DXP New Media Services
BELLINGHAM, WA, March 17 /CNW-PRN/ - Hiking Adventures Inc. (OTCBB: HKAD - news; the ``Company``) announced today that it has entered into a Letter of Intent to acquire all of the issued and outstanding shares of DXP New Media Services (USA) Inc. (``DXP``) and its UK subsidiary, IQROM Limited (``IQROM``).

Under the terms of the Letter of Intent, the Company will acquire all of the issued and outstanding shares of DXP in exchange for the issuance of 12,800,625 common shares of the Company. The Company is also required to complete a minimum US$7,500,000 financing to be used by DXP for general working capital and expansion purposes.

Concurrently, the Company announced a US$7,500,000 private placement of 1,000,000 units at US$7.50 per unit. Each unit will consist of one common share and one-half of a share purchase warrant. Each whole warrant will entitle the holder to purchase one additional common share at US$7.50 if exercised in the first year and US$10.00 if exercised in the second year.

IQROM is the license for Soft-CD, an advanced and effective patented software application facilitating the remote updating of information on CD-ROMS utilizing Internet technology. This license is exclusive world-wide in respect of CD Cards, a new variety of portable CD-ROM being rectangular, more in the shape of a business card and containing approximately 30mb of information. By giving the name IQROM to the combination of the CD Card and Soft-CD, DXP is building a major new brand and providing a highly effective method of capturing the attention of prospective customers. It is the provision of IQROM with supporting services that forms the core of IQROM`s current activities.

vielleicht hats auch mit dem 12,5 zu 1 split zu tun, obwohl der nur einen kurssprung auf 4 gerechtfertigen würde, aber vielleicht sind dann die lemminge aufgesprungen und treiben den kurs weiter, aber einen umsatz von 20 Mio $ bringen keine lemminge zustande.

BELLINGHAM, Wash., March 1 /PRNewswire/ -- Hiking Adventures Inc. (OTC Bulletin Board: HKAV - news) announces the hiring of Eric J. Boehnke as its new President and Director. The Company has also appointed John A. Meyer as Secretary and Director.

Mr. Boehnke has been a businessman for the past 10 years. As a business owner he employed over 35 people. He has been involved in both the start up phases as well as being instrumental in the raising of capital for several small companies.

Further, the Company announces today that it is restructuring its current issued and outstanding shares by authorizing a twelve and one-half (12-1/2) to one (1) forward split.
